Addendum to FAR 52.212-1 – Instructions to Offerors-Commercial Products and Commercial Services
1. GENERAL INSTRUCTION
1.1 The Offeror's proposal must include all data and information requested by this Addendum to FAR 52.212-1 and shall be submitted in accordance with the Instructions to Offerors (ITO). The offer shall be compliant with the requirements as stated in this Request for Proposal (RFP), Performance Work Statement (PWS), and appendices, RFP attachments. Non-conformance with the instructions provided in this addendum and/or failure to meet a requirement may result in an offer being ineligible for award.
1.1.2. The proposal shall be clear, concise, and include sufficient detail for effective evaluation and substantiation of stated claims. The proposal must not simply rephrase or restate Government requirements but shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume the Government has no prior knowledge of their facilities or experience and will base its evaluation solely on the information presented in the Offeror's proposal.
1.1.3 Proposals must demonstrate a comprehensive understanding of the nature and scope of work required. The Government will not search for data to cure problems or address inconsistencies in proposals. Each offeror shall submit a complete proposal in accordance with these instructions. The Government may consider any failure to comply with these instructions to be indicative of what could be expected from the offeror during performance and may consider it a failure of the proposal.
General statements (i.e., "will comply," "noted and understood," "in accordance with industry best practices/standards,") without supporting narrative are not acceptable. Cursory responses or responses that merely reiterate or paraphrase the language contained within the PWS does not satisfy the requirements of the solicitation. Elaborate brochures or documentation, binding, detailed artwork, or other embellishments are unnecessary and are not desired.
1.1.4 A Pre-proposal conference/site visit has been set for 21 March 2023 at 0900, MacDill AFB Theater. Parking at the theater is limited, so plan accordingly as you may have to walk up to a quarter mile. Offerors wishing to attend will need to submit names of up to three (3) individuals representing the company within 3 business days after issuance of the solicitation; requirements (i.e., picture ID, SSN, etc.…) will be found under Attachment 39 of the solicitation. The government reserves the right to limit the number of individuals per contractor based on availability of seats at the meeting location and bus seats. After the conference, leaving from the base theater, a bus tour of the premises will be provided--No photography while on base will be allowed. Should there be any change to the aforementioned date, the government will immediately notify all prospective offerors via amendment to the solicitation by way of sam.gov website.
1.2 Acceptance Period
The Government requires a minimum acceptance period of 280 calendar days from the date of receipt of offers; however, Offerors may specify an acceptance period exceeding the Government’s minimum requirement. The Offeror's proposal must affirmatively state an acceptance period equal to, or greater than, 280 calendar days.
1.3 Retainability/Disposal
In accordance with FAR Subpart 4.8, Government Contract Files; the Government will retain the original copy of all unsuccessful proposals. The Government will destroy extra copies of such unsuccessful proposals.
1.4 Government Point of Contact
Submit signed and dated offers to the office specified below no later than the date and time specified in this RFP. Offers shall be submitted on the Standard Form 1449 (SF 1449).
1.4.1 The Contracting Officer (CO) is the sole point of contact for this acquisition. Questions pertaining to the RFP, or any of its attachments shall be submitted in writing using the Solicitation Question and Comment Form and corresponding spreadsheet (ref: RFP,). Address any questions or concerns to all POCs listed below. The deadline for any questions, concerns, and/or requests for clarification is seven (7) calendar days after the pre-proposal conference. The Government will not respond to submissions past the deadline. Contact information is as follows:

1.5 Debriefings
The CO will promptly notify Offerors of any decision to exclude them from the competitive range if a competitive range is established; whereupon the Offeror may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or a post-award debriefing. (NOTE: Offerors excluded from the competitive range are entitled to a single debriefing. The CO will notify unsuccessful Offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful Offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505, Pre-award debriefing of offerors or FAR 15.506, Post-award debriefing of offerors, as applicable.
1.6 Discrepancies
If an offeror believes the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the CO in writing with supporting rationale and recommended remedies for the CO to consider in order to correct the issue(s). (NOTE: The offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussions.)
1.7 Electronic Reference Documents
All referenced documents for this solicitation are available on the Contract Opportunities website at ww.sam.gov/. Potential Offerors are encouraged to subscribe for e-mail notifications to be updated when information has been posted to the website for this solicitation.
1.8 Conflicting Proposals
Proposals must be submitted in both electronic and paper format as specified in Table 1 and Table
2. In case of a conflict between paper and electronic proposal copies, the paper version will take precedence. Telegraphic or facsimile offers will not be accepted. The sealed envelope or package used to submit your proposal must show the time and date specified for receipt, the Solicitation Number, and the Offeror's POC name, address, and phone number.
1.9 Visitor Pass – Hand Carried Proposals
Offerors are cautioned that MacDill AFB has visitor control procedures requiring individuals not affiliated with the installation to obtain a visitor pass to gain entrance. Some delay should be anticipated when hand carrying proposals. Late proposals will be processed in accordance with FAR 52.212-1(c) Period for acceptance of offers.

1.10. Organization/Number of Copies/Page Limits
The proposal shall consist of four (4) separate volumes as set forth in Table 1. Volume titles, submittal formats/quantities, page limits, and due dates shall comply with Table 2. The specific contents of each proposal volume are described in the paragraphs below:

1.10.1 Page Limitations
Page limitations for each volume are listed in Table 1 above and shall be treated as maximums.
Each page shall be counted except the following: subcontractor letters of consent, client authorization letters, transmittal letter, cover pages, tab-divider pages, title pages, table of contents, lists of tables and drawings, glossary of abbreviations and acronyms, cross-reference matrix, and manpower matrix. If the proposal volume exceeds the page limitation, the excess pages will not be read or considered in the evaluation of the proposal volume. Page limitations may be placed on responses to Evaluation Notices (ENs). The specified page limits for EN responses will be identified in the letters forwarding the ENs to the Offerors.
1.10.2 Page Size and Format
A page is defined as each face of a sheet of paper containing information. When both sides of a sheet display printed material, it shall be counted as two pages. Narrative documentation shall be submitted in Microsoft Word in a format compatible with Microsoft 365. Page size shall be 8.5 x 11 inches, not including foldouts. Typing shall be single-spaced, not less than 12 font size (pitch), and Times New Roman font style. Tracking, kerning, and leading values shall not be changed from the default values of the word processing or page layout software. Use at least 1-inch margins on the top and bottom and ¾-inch side margins. Pages shall be numbered sequentially by volume. These page size and format restrictions shall apply to responses to ENs. These limitations shall apply to both electronic and hard copy proposals.
Legible tables, charts, graphs and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, plans, etc. These displays shall be uncomplicated, legible, and shall not exceed 11 x 17 inches in size. Foldout pages shall fold entirely within the volume, and count as a single page. Foldout pages may only be used for large tables, charts, graphs, diagrams and schematics, not for pages of text. For tables, charts, graphs and figures, the text shall be no smaller than 8-font size (pitch), Times New Roman font style. These limitations shall apply to both electronic and hard copy proposals.
1.10.3 Cross-Referencing
Cross-referencing within a proposal volume is permitted where its use would conserve space without impairing clarity. The Offeror shall provide a Solicitation Cross Reference Matrix indicating by Addendum to 52.212-1, PWS, paragraph number, the corresponding proposal paragraph in that section which addresses the referenced item. The matrix shall be added to the Table of Contents under each applicable volume. Information required for proposal evaluation which is not found or referenced in its designated volume, and is not indicated on the cross-reference matrix, will be assumed to have been omitted from the proposal.
1.10.4 Indexing
Each volume shall contain a detailed Table of Contents to delineate the section and subparagraphs within that volume. Tab indexing shall be used to identify each section and subparagraph(s) (i.e., Volume II, Section 2.6, Subparagraph a).

Each volume shall contain a glossary of all abbreviations and acronyms used, and an explanation for each. Glossaries do not count against the page limitations for their respective volumes.
1.10.6 Binding and Labeling
Mark original hard copy as “Original”, and all others as “Copy.” The “Original” for each volume shall be unbound and also include a standard (5 ½ inch-spaced) two-hole punch applied to the top of each page when viewed in Portrait orientation (for Government filing). Each hard-copy volume (other than the “Original”) of the proposal shall be separately bound in a three-ring, loose leaf binder permitting the volume to lie flat when open. Staples shall not be used. Volumes I through IV shall not be submitted together within the same binding. Each volume should include a cover sheet that clearly indicates the volume number, title, copy number, solicitation identification, and the Offeror's name. The same identifying data should be placed on the spine of each binder. Be sure to apply all appropriate markings including those prescribed in accordance with FAR 52.215-1(e), Restriction on disclosure and use of data, and FAR 3.104-4, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source Selection Information.
1.11 Electronic Offers
The content and page size of electronic copies must be identical to the hard copies. For electronic copies, use separate electronic folders to permit rapid location of all portions, including subfactors, exhibits, annexes, and attachments. The offeror shall submit Volumes I through IV in electronic format, using recordable CD/DVDs. Each volume shall be in a different directory on a CD/DVD.
The electronic copies of the proposal shall be submitted in a format readable by Microsoft (MS) Word, MS Office Excel, MS Office Project, and MS Office Power Point for Microsoft 365, or newer.
1.12 Distribution
In accordance with Table 1 above, mail or hand-deliver required proposal volumes to the address below:

2. VOLUME I –PRICE
The price proposal shall be prepared according to these instructions and will be evaluated in accordance with the evaluation criteria in Addendum to 52.212-2 of this RFP. Compliance with these requirements is mandatory and failure to comply will render the proposal unresponsive. The CD/DVD shall include all MS Excel files with all cell formulas and tabs viewable. Data submitted beyond that required by this instruction shall not be considered or evaluated.
2.1 Volume Organization
The price volume shall be organized according to the following general outline:

2.2 Executive Summary
To aid the Government’s understanding, describe how the Offeror's proposed price is reasonable and matches the proposed technical approach to meet the requirement.
2.3 Price Analysis
The source selection will be conducted with the expectation of adequate price competition per FAR 15.403-1(c)(1); therefore, certified cost or pricing data is not required. However, if at any time during competition the CO determines that adequate price competition no longer exists or that price reasonableness cannot be determined, offeror(s) may be required to submit other than certified cost or pricing data or additional data other than certified cost or pricing data, as appropriate, for the CO to determine the price fair, reasonable, complete and balanced.
2.4 Price Proposal Workbook
Offerors are required to complete the Price Proposal Workbook provided in the RFP, List of Attachments, Attachment 33. All data relating to the proposed price, including all required supporting documentation, must be included in the Price volume (Volume I). Under no circumstances shall this data and documentation be included elsewhere in the proposal. The proposed prices in the Price Proposal Workbook must be based on the Offeror's technical approach submitted in the Technical Proposal (Volume II). In addition, the price proposed for CLIN 0018, Transition Period must be supported by rationale and must correspond to efforts described in the Technical Proposal for the mobilization approach. The Offeror shall propose and insert a fully burdened, whole dollar unit price for each FFP CLIN of the base period, each option period, and award-term option period in the Price Proposal Workbook only. A whole dollar unit price will be a price without the presence of hidden decimal places. The total extended price for each FFP CLIN must equal the whole dollar unit price multiplied by the quantity of units. If a discrepancy occurs in the extended amount due to hidden decimal places, the proposed whole dollar unit price multiplied by the quantity will take precedence. In addition, if a unit price is proposed with decimal places, the unit price will be rounded up or down and the resulting whole dollar will be multiplied by the quantity and that extended price will take precedence. The total sum of the extended total prices of all FFP CLINs for the base period (to include mobilization), option periods, and award-term option periods and a 6-month extension of services option will be the Offeror's Total Evaluated Price (TEP) used for evaluation and award decision purposes. Time and Material CLINs will not be evaluated for award decision purposes and therefore, not included in the TEP. The Offeror shall not provide a price for Time and Materials (T&M) CLINs.
2.4.1 To be eligible for Economic Price Adjustments listed in Addendum to FAR 52.212-4, paragraph (w) (Economic Price Adjustment—Non-Labor), the contractor shall submit the non-labor pricing information required in that section.
2.5 Statement of Compliance with the Service Contract Labor Standards (SCLS) The SCLS Wage Determination (WD) (ref: RFP, List of Attachments, Attachment 31), is applicable to this requirement. The offeror shall provide a statement acknowledging:
(a) Compliance with the requirements of the SCLS WD.
(b) The prices proposed for labor covered by the SCLS WD were formulated in consideration of the rates specified in the document as required for covered contractor personnel.
(c) The wage and benefit rates specified in the SCLS WD are not escalated beyond the basic period of performance (FAR 52.222-43(a) and (b)) and likewise, the prices proposed for labor covered by the SCLS WD were not escalated beyond the basic period of performance;
and
(d) The proposed prices for each CLIN demonstrate a logical correlation to the staffing (e.g., Full-Time Employees’ man-years, man-hours, labor categories, skills mix) proposed in the Technical Proposal at Volume II.
2.6 Statement of Compliance with the Collective Bargaining Agreement (CBA) A CBA (ref: RFP, List of Attachments, Attachment 32), is applicable to this requirement. The Offeror shall provide a statement acknowledging:
(a) Compliance with the requirements of the CBA;
(b) The prices proposed for labor covered by the CBA were formulated in consideration of the rates specified in the document as required for covered contractor personnel;
(c) The wage and benefit rates specified in the CBA are not escalated beyond the basic period of performance (FAR 52.222-43(a) and (b)) and likewise, the prices proposed for labor covered by the CBA were not escalated beyond the basic period of performance; and
(d) The proposed prices for each CLIN demonstrate a logical correlation to the staffing (e.g., Full-Time Employees’ man-years, man-hours, labor categories, skill mix) proposed in the Technical Proposal at Volume II.
3. VOLUME II - TECHNICAL
The technical volume should be specific and complete. Legibility, clarity, and coherence are very important. Responses will be evaluated against the technical subfactors defined in Addendum to FAR 52.212-2 Evaluation-Commercial Products and Commercial Services Using the instructions provided below, provide as specifically as possible the actual methodology you would use for accomplishing or satisfying these subfactors. All the requirements specified in the solicitation are mandatory. By your proposal submission, you are representing that your firm will perform all the requirements specified in the PWS/solicitation. Do not merely reiterate the objectives or reformulate the requirements specified in the PWS/solicitation.
In the technical volume, address your technical solution for meeting the Government’s minimum performance requirements of each technical subfactor.
3.1 Volume Organization
The technical volume shall be organized according to the following general outline:

(6) Subfactor 1 (Mobilization/Transition Approach)

3.2 Executive Summary
To aid the Government’s understanding, provide an executive summary of the Offeror's proposed technical approach that explains how the approach will meet all performance standards provided in the PWS.
3.3 Technical Subfactors
3.3.1 Subfactor 1 - (Mobilization/Approach)
This subfactor will determine whether the offeror provided an acceptable plan to integrate with the existing service provider during the 60-day mobilization period to accomplish all Human Resource (HR) actions, mobilize required equipment, vehicle and supplies and ensure a trained and qualified workforce is equipped and available on the first day of full contract performance. Offerors shall describe an acceptable Mobilization Approach by providing the following:
3.3.1.1. A Mobilization Plan and supporting rationale to accomplish the following key tasks during the 60- day mobilization period. At a minimum, the plan should describe the following events:
a) Identify personnel that require security clearances and the level of security clearance required to perform job requirements. Proposal should include the quantity of security clearances and job description or job titles that require clearances in accordance with each section of the PWS.
b) Identify a process to ensure employees or subcontract employees meet required certifications listed in PWS sections 2.9., 3.18., 4.1.24., 4.2.17., 5.7., 7.1.3., 7.1.4., 7.5.9., Position Qualifications. Provide a continuous training plan to identify and schedule all required training to ensure all required training, licensing and certification requirements are complete by the contract performance start date.
c) A list of equipment and vehicles that the offeror will furnish above the Government Provided Equipment. If equipment and vehicles are not contractor owned, explain how vehicles will be provided. Identify the equipment/vehicles by quantity and type and intended purpose by work section to ensure all necessary equipment and vehicles are available for use on the first day of full contract performance.
d) The offeror shall provide a statement of compliance acknowledging they shall be responsible to acquire Offeror-provided supplies and materials to ensure all necessary supplies and materials are available for use for the first 90 days of full contract performance.
e) A realistic schedule to include graph/chart with sound supporting rationale, with timelines to fully address start and completion of each key scheduled event. At a minimum the offeror shall address interviewing, hiring, human resource actions, training, and security clearances and start work dates, to include dates when equipment/vehicles, supplies and material will be on site.
3.3.2 Subfactor 2 (Technical Approach)
This subfactor assesses the Offeror's Proposed technical approach to meet the requirement for all of the following essential elements with little potential for disruption of schedule, increased cost, or degradation of performance by providing the following:
3.3.2.1 The offeror shall propose a technical approach. The approach shall explain how the offeror intends to identify and schedule the required work to be performed and employ properly trained specialists to accomplish all requirements within the provided service performance standards. At a minimum, the proposed approach shall address:
a) Accomplishing PWS requirements in 1) All Services, 2) Installation Management e.g. Civil
Engineering Computer IT Management; Real Property; and Environmental requirements, 3) Operation and Maintenance e.g. Operations Management; Operations; Heavy Repair;
Infrastructure Systems; Facility Systems; Requirements and Optimization; and Transportation and Utilities Activity Management Plans (AMPs), 4) Installation Engineering e.g. Engineering Management; Portfolio Optimization; and Project Management and 5) Emergency Management e.g. Readiness and Emergency Management while maintaining the established standards.
b) An approach to quickly and successfully adapt to new and/or changes in scope work requirements and workload (short (<3 months) and long (>3 months) term surges, contract reductions, and/or performing crisis/critical essential services) while continuing to meet contract performance standards.
c) Strategy to manage, maintain, and use any required Government Information Technology
(IT) or workload management systems (e.g., Air Force Legacy Systems identified throughout the PWS and Next Generation ((NexGen) Systems) by trained specialists.
Discuss Contractor-provided Material Management System and integration of government team.
3.3.3 Subfactor 3 (Program Management and Staffing Approach)
This subfactor assesses the Offeror's proposed Program Management and Staffing Approach.
3.3.3.1 The Offeror shall provide an approach that demonstrates a thorough understanding of workforce size, roles, and qualifications required to meet PWS requirements. Provides Offeror's proposed staffing by shift, skill classification and work unit for the basic contract period and all option periods. The proposal shall provide an organizational structure that the company will employ while performing this effort. It must address lines of authority, details of onsite personnel by skill mix, function, and numbers. The proposal shall provide rationale used to develop the organizational structure. The Offeror shall:
a) Provide descriptions of the proposed roles and responsibilities, to include position qualifications/descriptions for each organizational element (i.e., work center or shop) and Organizational Chart. Provide productive man-year calculations broken down by productive work hours (“on equipment” direct support) and non-productive work hours (i.e., breaks, training, personal hygiene, vacation, etc.). Provide detailed rationale used to project straight time vs internally directed overtime, to include projections for each performance period, including any manpower adjustments. Provide descriptions of the proposed roles and responsibilities, to include position qualifications/descriptions for each organizational element (i.e., work center or shop).
b) Provide a completed Manpower Matrix for the base period that adequately supports projected workload/PWS requirements.
c) Provide a rationale to support the proposed staffing, to include productive hour calculations.
d) Identify and provide a strategy that addresses coverage of “Critical One-Deep” and “Key” positions with trained, qualified and/or certified personnel. Key positions shall have dedicated personnel, onsite at MacDill AFB during normal duty hours and/or available for after hour responses as required by the PWS. The list of Key Positions includes the job titles identified in the PWS sections.
e) Provide a strategy to recruit, develop, train, and retain personnel as needed throughout the life of the contract.
f) Provide a complete Work Breakdown Structure (WBS) for each functional area for the base period of performance that is sufficient to meet projected workload/PWS requirements in terms of quantity of personnel assigned, and time allotted to each functional area.

4 VOLUME III - PAST PERFORMANCE
The offeror shall submit a past performance volume with its proposal, containing past performance information in accordance with all instructions contained within addendum to FAR 52.212-1. This information is required for the offeror and major or critical subcontractors, teaming partners, and/or joint venture partners. All authorized past performance authorized by regulations as appropriate for the entity type is allowed. If such information is not in the prime’s name, prime must prove how the named company qualifies as allowed by regulations. The Government will use data provided by each offeror in this volume and obtained from other sources in the evaluation of past performance.
4.1 Volume Organization

4.2 Executive Summary
Describe the role of the Offeror and each subcontractor, teaming partner, and/or joint venture partner for whom the Offeror is required to provide PPI. The executive summary shall not exceed
(5) pages.
4.3 Past Performance Information (PPI)
4.3.1 Offerors may submit past performance information (PPI) on a maximum of five (5) recent contracts (one (1) PPI per contract; not to exceed 10 pages per PPI) it considers most relevant in demonstrating its ability to perform the proposed effort.
4.3.2 Submit PPI on no more than five (5) recent contracts. Offerors who are in Mentor-Protégé arrangements may submit PPI showing that the parties to the arrangement aggregately demonstrate the past performance, experience, business systems and certifications necessary to perform the contract. For all other offerors, no more than two (2) of the contracts may be as a prime contractor where efforts were performed by major or critical subcontractors, teaming partners and or joint venture partners.
Thoroughly describe how the recent past performance information relevant to the proposed effort and to what aspects they are closely related to MacDill Civil Engineering/ Base Maintenance Support in terms of Facilities Maintenance Operations, Engineering, Environmental and Emergency Management. This may include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a limited or no confidence rating, since the problems encountered may have been on a more complex program, or an offeror may have subsequently demonstrated the ability to overcome the problems encountered. Explaining management actions employed in overcoming problems and the effects of those actions in terms of improvements achieved or problems rectified may allow the offeror to be considered a higher confidence candidate.
4.3.3 For a description of the characteristics or aspects the Government will consider in determining recency and relevancy, see Addendum to FAR 52.212-2, Recency Assessment and Relevancy Assessment.
4.3.4. Past Performance Questionnaires (PPQ)
4.3.4.1 The government requests each offeror submit POC information (in Attachment 30) for each reference 5 days prior to the date set for receipt of proposals, to the Contracting Officer.
Offerors shall complete Section 1 of the attached Past Performance Questionnaire (Attachment 30) and e-mail it to all points of contacts (POCs) the offeror has listed as past performance references.
The POCs listed in the proposal should represent the individuals most knowledgeable about the offeror's performance on the identified contract or program, such as the following: (1) Contracting Officer's Technical Representative; (2) Program/Project Manager; (3) Contracting Officer. For commercial contracts, send the questionnaires to the commercial equivalents of these individuals.

4.3.4.2 RESPONDENTS TO THE QUESTIONNAIRES SHALL NOT SEND THE COMPLETED
INFORMATION SHEETS BACK TO THE OFFEROR! Questionnaires received from the Offeror will not be considered.
4.4 Organizational Structure Change History
To facilitate the relevancy determination, Offerors shall explain all relevant changes in the organization of the Offeror's company. A pamphlet or other commercial document describing such reorganizations may suffice. As part of this explanation, show how these changes impact the relevance of any efforts you identify for the past performance evaluation.
4.5 Subcontractor Letters of Consent
Past performance information, pertaining to a subcontract cannot be disclosed to the prime offeror without the subcontractor’s consent. Because a prime contractor is a private party, the Government will need that consent before disclosing subcontractor past and present performance information to the prime during exchanges. In an effort to assist the Government’s past performance evaluation team (PPET) in assessing an Offeror's performance relevancy, proposals must include a Consent Letter executed by each major or critical subcontractor, teaming partner, joint venture partner, and/or Mentor-Protégé parties as part of your past performance volume.
4.6 Client Authorization Letters
If applicable, Offerors must also include Client Authorization Letters for each identified effort performed for a commercial customer, authorizing release to the Government of requested information on the Offeror's performance.
5. VOLUME IV – OTHER PROPOSAL DOCUMENTS
5.1 Contract Forms

Include on each proposal cover letter or proposal cover page: name, office phone (and if applicable, cell phone number), and e-mail address for the proposal point of contact. The offeror must complete the following and include in Volume IV:
5.2 Standard Form 1449 and Amendments
Complete Standard Form 1449 (SF 1449), Blocks 17a, 30a-30c, of the RFP. In completing these blocks, the offeror accedes to the contract terms and conditions as written in the RFP. Include in the “Original” hard copy proposal the originally signed (“wet” signature) copy of the RFP.
For any/all amendments, complete Standard Form 30 (SF 30), Blocks 15A-15C, of the RFP. Include in the “Original” hard copy proposal the originally signed (“wet” signature) copy of any/all amendments.
All digital copies will be included in the proposal Disk copy.
5.3 Representations and Certifications, and other Statements of Offerors (Section K) Complete all necessary fill-ins and certifications in Sections I through K. Ensure compliance with RFP requirements if using the annual representations and certifications electronically via the System for Award Management (SAM) website at https://www.sam.gov/portal/public/SAM/. Ensure the Tax Identification Number (TIN) is loaded in SAM or provided in the proposal submission. If the CO is unable to access/retrieve an Offeror's annual representations and certifications, that offeror may, upon request by the CO, be required to submit a hard copy of their annual representations and certifications. This request will not be construed as communications or discussions with an Offeror as defined by FAR 15.306.
5.4 Authorized Offeror Personnel
Submit a letter, signed at the vice-president level, equivalent or higher, that identifies the individual(s) with the authority to obligate, negotiate or otherwise bind the offeror contractually.
5.5 Responsibility Determination and Supporting Documentation In accordance with FAR 9.104-5, Representation and Certifications Regarding Responsibility Matters, the offeror is required to comply with the submission regarding FAR 52.209-5, Certification Regarding Responsibility Matters found in Section K of this RFP. Since it is the Government’s intent to make Award without Discussions IAW FAR 52.215-1, the Government may request an offeror submit additional information so a responsibility determination can be made. This request for additional information will not be construed as communications or discussions with an Offeror as defined by FAR 15.306. An incomplete proposal may be considered to indicate lack of understanding of the requirement and may result in the entire proposal being determined “Unacceptable” and eliminated from further consideration.
To assist the Government in determining contractor responsibility in accordance with FAR 9.104- 3(a), the Offeror shall:
(a) Explain how they plan to maintain adequate financial resources for a contract of this magnitude and length;
(b) Address a fiscal plan for covering mobilization, unexpected or emergency situations, and initial performance costs prior to recoupment in the form of monthly invoice payments;
(c) Provide complete financial statements for one (1) fiscal year and year-to-date financial information through the last quarter available. The year-end financial statements must be certified by an independent accounting firm;
(d) If the Offeror intends to rely on internally available working/operation capital, documentation of availability must be submitted. If the Offeror plans to rely on financial support from external sources, documentation of availability and maximum lines of credit available (based upon the inclusion of this contract effort) must be submitted. Evidence of external funding must be provided in the form of a dated letter from the external source.
5.6 Subcontracting Plan (Not required)
5.7 Teaming Arrangements and/or Letters of Intent
If a teaming arrangement or Mentor-Protégé arrangement is contemplated, provide complete, verifiable information detailing the arrangement, to include any relevant and recent information on previous teaming arrangements with same partner. Submit information relative to the formation, organization, and operation of the business unit and clearly identify roles and responsibilities of the parties. Additional information to be submitted shall include cost and revenue sharing agreements and any other information which describes the business arrangement. Disclose existing or planned agreements between and among the principals, each company’s responsibility for financial management of the venture, the business systems contemplated for use by the entity and their location.
5.8 Solicitation Requirements, Terms and Conditions
Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. Failure to meet a requirement may result in an offer being ineligible for award. Offerors must clearly identify any exception to the terms and conditions or any other requirements of the solicitation. Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken. Provide rationale to support each exception and fully explain its impact, if any, on the performance, schedule, cost, and/or specific requirements of the solicitation. Under no circumstances shall exceptions be included elsewhere in the proposal.
