SOFTWARE AS A SERVICE ENVIRONMENT SERVICES FOR CONTRACTOR’S ERP SYSTEM
1. Contractor will deliver an operable, high-functioning ERP System capable of meeting the dynamic, year-over-year electronic ERP needs of Clemson University and such System will include an Environment required for Software as a Service, operating, and maintaining the System in accordance with the MASLs. Contractor will, therefore, provide the SaaS that will allow Clemson University to benefit from the execution of the functionality of the ERP Software to meet Clemson University’s business requirements set forth in this Contract.
2. The following shall be applicable to the SaaS Environment:
a. Change Management. Any major Updates to the Systems Software and Equipment and infrastructure must be scheduled after advanced prior notice that allows Clemson University an opportunity to assess the impact and make any needed changes to the ERP System to accommodate the new System infrastructure.
b. Quality Assurance. Contractor shall cooperate with any person(s) designated by Clemson University to monitor and track service-level performance and promptly respond to requests from such persons to facilitate contract performance monitoring by Clemson University.
c. Data Security. Contractor and any Subcontractor will be obligated to comply with all applicable security requirements set forth in this Contract. Contractor shall require that all data, including data stored in all databases, environments, and data backups, shall be stored on-shore within the United States of America System access shall be limited to Clemson University-assigned personnel and only those Contractors’ staff required to perform services under this Contract. Prior to any access, Clemson University-approved staff shall sign a nondisclosure agreement and a security agreement acceptable to Clemson University. Contractor shall use the data only as necessary to perform services hereunder and not share or sell the data in any way.
d. Data Location: Contractor and any subcontractor shall provide its services to Clemson University and its end users solely from data centers in the United States. Storage of Clemson University data at rest shall be encrypted and located solely in data centers in the United States. Contractor and any subcontractors shall not allow its personnel or contractors to store Clemson University data on portable devices, including personal computers, except for devices that are used and kept only at its U.S. data centers. Contractor and any Subcontractor shall permit its personnel and contractors to access Clemson University data remotely only as required to provide technical support.
e. SaaS Environment Maintenance. Contractor shall provide for the maintaining and refreshing of Equipment and Systems Software and any underlying cloud infrastructure, including network, servers, operating systems and storage maintenance, upgrades, and enhancements over time including through the system configuration, implementation and testing phases, warranty period, and any optional maintenance periods Clemson University elects.
f. Redundancy. Contractor shall require that the Software as a Services Environment will include a fully redundant System with encryption in transit and at rest that will provide full business continuity.
