I. Agency and Contracting Activity.
U.S. Air Force
HQ ACC AMIC/PKB
300 Exploration Way Hampton, VA 23666
II. Nature and/or description of the action being approved.
1. The purpose of this justification is to authorize and approve a Firm Fixed Price (FFP) bridge contract modification to , contract FA489017C0006. The need for continued support must be issued as a sole source, six (6) month bridge contract modification (one two-month period plus four, one-month periods) to meet mission requirements while the ongoing Source Selection for the follow-on acquisition is being completed. The bridge modification will extend the current contract initially for two (2) months (1 Oct 22 - 30 Nov 22) with the option to exercise each of the other four (4) periods as required. This will allow adequate time for the follow-on acquisition to be awarded and transition to the new awardee while maintaining continuity in the services for F-15E, F-16 and F-22A Contract Aircrew Training (CAT) and Courseware Development (CWD) support (hereafter known as the Fighter) without interruptions.
2. Contract History: The current effort provides commercial services for F-15E, F-16 and F-22A CAT/CWD support for HQ ACC/A3 at five (5) geographically separate CONUS locations: Langley AFB, VA; Mt Home AFB, ID; Nellis AFB, NV; Shaw AFB, SC and Seymour Johnson AFB, NC. The contract was solicited as a commercial, Firm Fixed Priced, 100% set aside for Service-Disabled Veteran Owned Small Business (SDVOSB). The PSC code of U009 (Education/Training) and NAICS code 611512 (Flight Training with a corresponding size standard of $27.5M) was assigned. The source selection procedures utilized was Lowest Price Technically Acceptable (LPTA). Seven offers were received in response to the solicitation. The result was a single, firm-fixed price contract valued at and awarded on 1 Jan 2017 to
. The period of performance consisted of a (2) month transition period, (12) month base period and four one-year option periods. Total period of performance was (5) years (2) months (1 Feb 2017 - 31 Mar 2022). The contract was novated on 5 Aug 2019 via modification P00027 due to change in ownership/merger , bought out the original awardees' company that was a SDVOSB.
3. The contract period of performance for Option Year 4 ended 31 Mar 2022. On 14 Mar 2022, modification P00045 extended the services under FAR Clause 52.217-8 for (6) months (1 Apr - 30 Sep 2022) due to major changes and delays in the acquisition strategy.
4. The estimated contract award date for the follow-on contract is 30 Sep 2022. With only 45 days remaining on the (6) month extension, a bridge contract modification for six (6) months is required. This will allow ample time to complete the ongoing source selection and allow for a 60-day transition period to the new awardee (1 Oct - 30 Nov 2022) with the estimated date for actual contract performance to start on 1 Dec 2022. The bridge modification will be funded with FY23 O&M funds.
5. The Requirement Approval Document dated 24 Jan 2022, was approved by , Deputy Director of Operations for the same services provided for under the current contract. The current contract value is (total of all funded line items); the estimated price for this bridge action is .
III. Description of supplies/services required to meet agency needs.
1. The contractor shall furnish all personnel, equipment, tools, materials, supervision, and all other items and services that are required to perform F-15E, F-16, F-22A Contract Aircrew Training (CAT), Courseware Development (CWD) to include Instrument Refresher Course (IRC) Instruction, Distributed Mission Operations (DMO) and Distributed Mission Training

IV. Demonstration that the contractor's unique qualifications or the nature of the acquisition requires use of the authority cited above.
1. is the incumbent and currently performing the required services outlined in Section III on contract FA489017C0006.
The contract was solicited as a Service-Disabled Veteran Owned Small Business (SDVOSB) requirement, utilizing the Lowest Priced Technically Acceptable (LPTA) source selection process. The contract was awarded on 31 Jan 2017. The period of performance consisted of a (2) month transition period, a (12) month base period and (4) one-year option periods.
2. The contract includes FAR Clause 52.217-8, Option to Extend Services. The current contract extension under this clause will end on 30 Sep 2022. A competitive acquisition in the time remaining before the current contract expires is not practical.
The incumbent contractor can continue providing services IAW the PWS for the extended period with no loss in continuity, efficiency or adverse impact on the mission. Accordingly, is the only vendor capable of providing the supplies and services described in Section III above without interruption to the mission or excess costs.
3. The current source selection is near end with announcement of award scheduled for the end of September 2022. Award to any other source would result in substantial duplication of costs to the government (that will not be recouped through any further type of competition), and unacceptable delays in fulfilling the Air Force's requirements. Stopping or interrupting current mission ops at the Formal Training Unit (FTU) could be detrimental to the program; it can take up to six months to fully qualify the instructor cadre. We also believe award to any other source at this time would result in substantial startup costs to potential vendors for proposal preparation and recruitment/staffing.
4. is the only contractor equipped to meet the government's mission needs during the bridge period. They have the necessary resources and fully trained/qualified personnel already in place; no other contractor can meet the government's requirements over the next 45 days. The Air Force does not have military personnel to provide this training. It is dependent upon contractual support to ensure the critical training requirements of the Fighter program are met. Any attempt to award an interim competitive contract would result in further delay and possibly complete shutdown of the Fighter training program which will reduce the ability of the warfighter to accomplish their mission in the AOR.

V. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by subpart 5.2 and, if not, which exception under
FAR 5.202 applies.
1. This justification and approval document will be publicized within 14 days after contract award as required by FAR 5.301(d) and 6.305(a) via the government-wide point of entry (GPE).
2. Based upon the rationale in Section IV above, it is not practicable to solicit additional sources for this immediate requirement.
The follow-on requirement was solicited through GSA OASIS NAICS Code of 541330 Exception A under Pool 3 and expected to be awarded NLT 30 Sep 2022. As discussed above, the purpose of the bridge is to allow for the ongoing source selection to come to a close and facilitate transition of the new contract.
VI. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.
1. The anticipated cost for this modification will be determined fair and reasonable after comparing the proposed prices for the bridge contract to the original competed prices. The current (and follow-on) contract is governed by (5) Collective Bargaining Agreements (CBAs) that stipulate all labor rates and fringe benefit costs for the remaining 45 days of FY 2022 through FY23.
VII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.
1. Market research was conducted for the follow-on recompete that is underway; therefore, no further market research was conducted for this bridge action.
2. On 26 Oct 2021, a scope review was requested. After reviewing the draft PWS and DD254, the GSA Senior Contracting Officer concurred this requirement fits under NAICS 541330 Exception A (Pool 3). On 28 Oct 2021, a MRAS report was requested targeting small and unrestricted businesses.
3. Ten companies expressed interest in this requirement Based on the review of the GSA MRSA report, a determination was made there is adequate evidence to support soliciting the requirement through OASIS SB POOL3, NAICS code 541330 Exception A. Market research identified a reasonable expectation that two or more responsible offerors, competing independently, will submit priced offers in response to the solicitation. Therefore, the Contracting Officer recommended this acquisition be procured as 100% set-aside for Veteran Owned Small Business under the OASIS SB POOL3, NAICS code 541330 Exception A. That FOPR under OASIS was issued in April 2022, with proposals received and currently being evaluated, as stated above.
VIII. Any other facts supporting the use of Other Than Full and Open Competition.
None.
IX. List of any sources that expressed, in writing, an interest in the acquisition.
See Section VII above.
X. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisitions for the supplies or services required.
There are no known barriers to competition. Both the current contract and the follow-on are awarded competitively.
