FAR 52.232-18 Availability of Funds.
AVAILABILITY OF FUNDS (APR 1984)
Funds are not presently available for this contract. The Government’s obligation under this contract is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise until funds are made available to the Contracting Officer for this contract and until the Contractor receives notice of such availability, to be confirmed in writing by the Contracting Officer.
FAR 52.237-1 Site Visit. (APR 1984) The following is added:
Offerors or quoters are urged and expected to inspect the site where services are to be performed and to satisfy themselves regarding all general and local conditions that may affect the cost of contract performance, to the extent that the information is reasonably obtainable. In no event shall failure to inspect the site constitute grounds for a claim after contract award.
Some unit acreages may be estimates at this time and will be traversed prior to payment. Payment will be made for actual acres treated and accepted. The Government reserves the right to add additional acres to sub-items. Offerors should consider the availability of workers to manage and or handle additional acres added through mutual agreement of both parties.
NOTE TO QUOTERS: Technical Proposals are required for the evaluation of quotes. See FAR 52.212-2, Evaluation – Commercial Items, for evaluation and award information.
The Government may make a single award or multiple contract awards from this solicitation. Quoters must submit prices for all categories within an Item to be considered for award of that Item. Contractors may quote on all Items and limit the total amount of work they could accept in the Technical Proposal. In the event that offered prices exceed funding availability, award may be offered for quantities less than those shown in an item. Award will be made up to the funding available.
The offeror will need to provide one crew per Item.
Invoice Processing Platform (IPP)
The Forest Service is utilizing the Invoice Processing Platform (IPP) for the electronic submission and tracking of contracts/purchase orders, invoices, and payment information. IPP is a secure Government-wide, Web-based invoice processing service. Visit http://www.ipp.gov to learn more.

STATEMENT OF WORK
A. SCOPE OF CONTRACT. This contract requires pruning of Western White Pine (WWP) trees for blister rust control, slash treatment, and related work, in compliance with its terms, specifications and provisions. This includes furnishing labor, equipment, supervision, transportation, operating supplies and incidentals .
B. LOCATION AND DESCRIPTION. The project consists of WWP Pruning on the Clearwater National Forest. The location of the work sites, access to the areas, size of the units, and other information pertinent to each pruning unit will be: (1) the North Fork RD, (2) the Palouse RD, and (3) the Lochsa/Powell/Moose Creek RDs. See Item maps and charts uploaded separately on www.FBO.gov opportunity.
(a) - Accessibility. The majority of the project areas may be reached by forest roads that are accessible by standard two wheel drive pickup truck equipped for mountain driving during the normal operating season. Not every road shown on the maps can necessarily be used for vehicle access. All units will have vehicle access to within 1 mile of the unit. The Government assumes no obligation to plow snow or do special maintenance to keep roads open.
(b) – Motorized Equipment. Use of motorized equipment will not be permitted off designated roads in the project area without approval of the Contracting Officer.
(c) - Boundaries. Pruning unit boundaries are obvious on-the-ground features or have been marked with plastic ribbon and/or paint, and will be identified on the project maps.
C. DEFINITIONS OF TECHNICAL SPECIFICATIONS AND TERMS
(a) - Pruning. The severing of all live and dead limbs from the bole of a selected tree to a specified pruning height.
(b) - Branch Collar. The basal enlargement of a branch.
(c) - Whorl. The limbs emanating from the circumference of the bole at a particular height.
(d) - Canker. A spreading white pine blister rust infection.
(e) - Operational Damage. Deep bark gouges, rips, tears (to the cambium), or other damage to the bole of the tree, including the branch collar.
(f) - Slash. Any limbs or other vegetation that is cut by the Contractor.
(g) – Crop Tree. All WWP trees that meet the technical specifications requiring pruning.
D. TECHNICAL SPECIFICATIONS
(a) – Crop Tree Requirements
(1) - All WWP that are 6 feet tall or taller in overall height and which do not have blister rust infection in the bole of the tree shall be pruned.
(b) - Pruning Requirements
(1) – Removal of Live and Dead Limbs. – All live and dead limbs shall be removed from the lower one-half of the live crown, always leaving the top three live whorls. Where the entire lower ½ of the live crown cannot be reached, prune up to a minimum of 8 feet in height. The pruning height will be determined from the uphill side of the tree. The live and dead limbs to be pruned shall be completely severed from the tree as close to the bole as possible without cutting into the branch collar. Leave no more than one-quarter inch of the branch beyond the branch collar. All live and dead limbs must be severed so as to leave a flat cut surface. All live and dead limbs shall be removed, including those at the base of the tree that may be covered by litter, duff, and/or soil.
(2) - Removal of Needles. In addition to pruning of the limbs, all needles that are attached to the bole of pruned WWP shall be removed within the pruned area or to a height of 6 feet, whichever is lesser.
(3) - Operational Damage. All WWP shall be pruned in a manner that does not cause damage to the tree.
(c) - Slash Treatment. Slash created during the pruning operation shall be lopped and/or scattered in such a manner that it does not exceed a depth of 2 feet above the ground. All slash shall be removed from the traveled surface of all roads and specified trails and scattered within the treatment unit.
E. CONTRACTOR QUALITY CONTROL
The Contractor is responsible for the quality of work and is expected to conduct their own prompt inspections to ensure the technical specifications are being met. Government inspections are for payment determination only, and are not intended to be used as a quality control by the Contractor. Any delay in Government inspections will not cause the Government to be responsible for the Contractors quality.
F. GOVERNMENT QUALITY ASSURANCE SURVEILLANCE PLAN
(a) Inspection. The Government’s quality assurance inspections will determine compliance with specifications and provide the basis for computing the rate of payment. The Government will make periodic visual inspections of each subitem to determine adherence to the specifications. If the visual inspection indicates unsatisfactory work, then a representative sample of WWP trees will be taken to determine the quality of the work performed. Each contract subitem will be inspected separately and inspection results will not be averaged with those of other contract subitems.
Determination of the acceptability of the work performed will be based on these inspections, which will be considered conclusive, except as otherwise provided in the contract. The Contractor or his representative may observe inspections while they are underway.
(b) Procedures. Inspections will consist of visual observations and/or line transects or sample plots to determine compliance with the specifications. The inspections will be located throughout the pruned areas to obtain a representative sample of the work. Individual WWP trees will be examined to determine whether the tree should have been pruned, whether it was pruned according to specifications, and whether any operational damage had occurred.
An inspection summary for each subitem will be recorded as follows:
1. Number of trees that should have been pruned.
2. Number of satisfactorily pruned trees.
3. Number of damaged trees.
(c) Pruning quality for each subitem will be calculated as follows:
number of satisfactorily pruned trees X 100 = pruning quality percent number of trees that should have been pruned
(d) Rework And Reinspection After Rework. When inspection results are below 85 percent, payment will not be made until the pruning deficiencies have been corrected. Reinspections after rework will be made in the same manner as the first inspection but on different plot lines. The contractor shall pay for inspections necessitated by the rework. Damage to trees caused by the pruning operation is unacceptable, cannot be corrected by rework, and will be grounds for termination for default.
Noncompliance with slash treatment specifications or any other contract requirements will classify the treatment as unacceptable and rework will be required to bring the treatment into compliance.
G. DELIVERIES OR PERFORMANCE REQUIREMENTS
Performance Period Estimated Start Date
| Item #1 – North Fork RD – North Zone | 16 June | ||
| Item #2 – Palouse RD – North Zone | 16 June | ||
| Item #3 – Lochsa & Powell RDs – Central Zone | 16 June |
The estimated start date and required completion date will be specified in each contract. The amount of contract time allowed for each will equal a minimum of one calendar day for every 10 acres.
The Contractor shall maintain progress at a rate that will assure completion of work by the required completion date for each Item. If more than one Item is awarded to one contractor, the respective performance times will run concurrently, not consecutively. Work may be performed on each Item in succession provided the required rate of progress is maintained. The Contractor shall keep the COR informed of work schedules and any periods of time they will not be working.
NOTE: The Government reserves the right to direct the sequence on sub-items in which work is performed.
H. MEASUREMENT AND PAYMENT
(a) Measurement. The acreages were measured on a horizontal plane within the established boundaries. The Contractor may, at any time after award, request remeasurement of any subitem. The request must be made in writing. Remeasurement shall be made within the established boundaries. If remeasurement indicates a variance of 5 percent or less in the acreage stated in the Schedule of Items, the Contractor shall pay for the actual cost of remeasurement and no adjustment to the acreage will be made. If remeasurement indicates a variance greater that 5 percent in the stated acreage, payment will be based on the remeasured acreage and the Government will pay for the remeasurement.
(b) Basis of Payment. After inspection of completed subitems, the Contracting Officer will calculate the pay rate for the acceptable work. The pay rate shall be calculated by multiplying the pruning quality percentage times the contract unit price per acre. When the pruning quality percent is 95% or greater, the work will be considered acceptable and payment will be made at the contract unit price. When the quality of work is less than 95% but is 85% or over, the work will be considered unacceptable but payment will be made for the value of services received. Payment will be made after assessment of a 1% deduction in the unit price for each 1% the pruning quality is below 100%. This payment shall only be made after the Government determines that no further rework shall be required nor allowed. Pruning quality below 85% is unacceptable and requires rework.
Slash treatment is incidental to the pruning operation and no additional payment shall be made.
Payment will be Lump Sum (LS) at the full completion of each scheduled Item. Progress payments and partial payments should not be anticipated. Please note that this is to facilitate and support the new www.ipp.gov invoicing system.

CONTRACT CLAUSES
FAR 52.212-4 Contract Terms and Conditions—Commercial Items.
CONTRACT TERMS AND CONDITIONS—COMMERCIAL ITEMS (SEPT 2013)
(a) Inspection/Acceptance. The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights—
(1) Within a reasonable time after the defect was discovered or should have been discovered; and
(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.
(b) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims Act (31 U.S.C. 3727). However, when a third party makes payment (e.g., use of the Governmentwide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract.
(c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties.
(d) Disputes. This contract is subject to the Contract Disputes Act of 1978, as amended (41 U.S.C. 601-613). Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause at FAR 52.233-1, Disputes, which is incorporated herein by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.
