(2) If the clause at 52.204-7 is not included in this solicitation, and the offeror is currently registered in CCR, and has completed the ORCA electronically, the offeror may choose to use paragraph (c) of this provision instead of completing the corresponding individual representations and certifications in the solicitation. K.3 FAR 52.209-5 Certification Regarding Responsibility Matters (DEC 2008)
(a)(1) The Offeror certifies, to the best of its knowledge and belief, that—
(i) The Offeror and/or any of its Principals—
(A) Are o are not o presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;
(B) Have o have not o, within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, state, or local) contract or subcontract; violation of Federal or state antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property;
(C) Are o are not o presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision;
(D) Have o, have not o, within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds $3,000 for which the liability remains unsatisfied.
(1) Federal taxes are considered delinquent if both of the following criteria apply:
(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.
(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.
http://orca.bpn.gov/
(2) Examples.
(i) The taxpayer has received a statutory notice of deficiency, under I.R.C. § 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. § 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. § 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).
(ii) The Offeror has o has not o, within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.
(2) “Principal,” for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager;
plant manager; head of a subsidiary, division, or business segment; and similar positions).
This Certification Concerns a Matter Within the Jurisdiction of an Agency of the United States and the Making of a False, Fictitious, or Fraudulent Certification May Render the Maker Subject to Prosecution Under Section 1001, Title 18, United States Code.
(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.
(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror’s responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.
(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.
(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.

The small business size standard corresponding to this NAICS code can be found at http://www.sba.gov/services/contractingopportunities/sizestandardstopics/.
(d) The small business size standard for a Contractor providing a product which it does not manufacture itself, for a contract other than a construction or service contract, is 500 employees.
(e) Except as provided in paragraph (g) of this clause, the Contractor shall make the rerepresentation required by paragraph (b) of this clause by validating or updating all its representations in the Online Representations and Certifications Application and its data in the Central Contractor Registration, as necessary, to ensure they reflect current status. The Contractor shall notify the contracting office by e-mail, or otherwise in writing, that the data have been validated or updated, and provide the date of the validation or update.
(f) If the Contractor represented that it was other than a small business concern prior to award of this contract, the Contractor may, but is not required to, take the actions required by paragraphs (e) or (g) of this clause.
(g) If the Contractor does not have representations and certifications in ORCA, or does not have a representation in ORCA for the NAICS code applicable to this contract, the Contractor is required to complete the following rerepresentation and submit it to the contracting office, along with the contract number and the date on which the rerepresentation was completed:
The Contractor represents that it ( ) is, ( ) is not a small business concern under NAICS Code ______________ assigned to contract number ______________.

Any "alternate" proposal may be considered if overall performance would be improved or not compromised, and if it is in the best interest of the Government. SECTION M--EVALUATION FACTORS FOR AWARD
M.1 Source Selection
The Government intends to make an award to the offeror whose proposal represents the best value to the Government, with all factors considered as described below. The source selection process is inherently subjective, and the resulting decision will reflect the source selection authority’s subjective and integrated determination of the best value proposal. All evaluation factors other than price, when combined, are approximately equal to price. Accordingly, award may be made to an offeror other than the lowest priced offeror, if that higher-priced offeror provides the best value.
Offerors with no past performance data will be treated as an unknown performance risk and neither be evaluated favorably nor unfavorably. Therefore, offerors will receive credit for good past performance, lose credit for poor past performance, and neither receive nor lose credit for no relevant past performance.
M.2 Evaluation Factors and Sub-factors
Four evaluation factors will be used in this source selection: Past Performance, Experience, Capacity, and Price. Three non-price evaluation factors with sub-factors are listed below in descending order of importance.
The evaluation factors and sub-factors other than price, when combined, are approximately equal to price.
1. PAST PERFORMANCE. The Government will assess the degree of confidence it has in the offeror’s ability to supply the services that meet the Government’s needs.
2. CAPABILITY. The Government will evaluate the offeror’s past experience in the type of work within the scope of the Government’s requirement.
a. Working in remote locations. The Government will assess a contractor’s successful experience working in remote locations such as Southeast Alaska.
b. Managing jobs at multiple remote locations. The Government will assess a contractor’s successful experience managing jobs at multiple remote locations simultaneously.
c. Completing on time and within budget. The Government will assess a contractor’s successful experience completing jobs on time and within budget constraints.
3. CAPACITY. The Government will evaluate the offeror’s capacity within the scope of the Government requirement.
a. Sufficient owned or available equipment. The Government will assess a contractor’s capacity in terms of owned or immediately available equipment to perform the work.
b. Sufficient employees or subcontractors. The Government will assess a contractor’s capacity in terms of employees or readily available subcontractors to perform the work.
c. Financial Stability. The Government will assess a contractor’s capacity in terms of financial stability to perform the work.
4. PRICE. The Government will assess the reasonableness of the offeror’s proposed prices as well as the realism of the proposed prices.
M.3 Past Performance Factor Evaluation
The Government may use past performance information provided by the offeror, information provided by references on previous efforts undertaken by the offeror, and information available from other sources (such as Government past performance databases).
The Government will consider the relevance of any past performance information obtained to the work contemplated by this solicitation. The Government will make an assessment of its confidence in the offeror’s ability to fulfill the solicitation requirements.
The Government will subjectively identify the offeror’s past performance strengths and weaknesses with this solicitation’s requirements in mind. A rating for this factor will be assigned from Table 1.
Table 1 – Past Performance Ratings High
Confidence Based on the offeror’s performance record, the Government has high confidence (or essentially no doubt) the offeror will successfully perform the required work.
Confidence Based on the offeror’s performance record, the Government has confidence (or little doubt) the offeror will successfully perform the required work.
Little Confidence
Based on the offeror’s performance record, substantial doubt exists that the offeror will successfully perform the required work.
No Confidence
Based on the offeror’s performance record, extreme doubt exists that the offeror will successfully perform the required work.
M.4 Capability and Capacity Factor Evaluation
Based on the offeror’s submitted experience and capacity the Government will subjectively rate the offeror’s strengths and weaknesses with this solicitation’s requirement in mind. For each sub-factor a rating will be assigned from Table 2.
Table 2 - Experience and Capacity Ratings Excellent The offeror exceeds the standard in ways which provide value to the Government and which MAY be incorporated into the contract.
Satisfactory The offeror meets the standard.
Marginal The offeror does not appear to meet the standard, but is likely able to meet the standard with appropriate management emphasis and government monitoring.
Unsatisfactory The offeror does not meet the standard, or is unlikely to meet the standard even with management emphasis and government monitoring.
M.5 Price Factor Evaluation
The offeror’s submitted prices for this solicitation and any resulting task orders will be evaluated for reasonableness (FAR 15.404-1(b) and realism (FAR 15.404-1(d)).
For purposes of enabling price evaluation, the Government will utilize the mid-point (rounded down) amount times the unit price in items containing quantity groups.
Example: the midpoint of a 51-100 quantity group is calculated as 100-51 = 49 ÷ 2 = 24.5 + 51 = 75 as the mid-point number for evaluating unit price.
The Government anticipates that competition will result in reasonable prices, but may perform price analysis as needed to establish price reasonableness.
The Government will assess the realism of the offeror’s submitted prices to ensure the offeror fully understands the requirement and to ensure it is satisfied that it will receive quality service from the offeror in the resulting contract with no risk of default or degraded performance associated with the offeror’s prices.
M.6 Notice of Award
A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
