About this file

This is Addendum No. 2 to a Request for Proposal issued by The City University of New York (CUNY) for an Economic Impact Study contract (Contract #UCO-1014), dated September 1, 2026. The addendum addresses clarifications and modifications to the original RFP based on questions submitted by prospective proposers. Key clarifications include: CUNY will administer background checks in accordance with applicable law and limited to personnel providing services under the awarded contract; proposers may submit a 40-page electronic file for their proposals; and CUNY has accepted a revised Section 26 regarding copyright and authorship of work products. The revised copyright language permits incorporation of third-party licensed economic modeling software output (such as IMPLAN) and content authored by CUNY-approved subcontractors while ensuring CUNY retains full ownership of all copyrightable works through works-made-for-hire arrangements or full assignment of rights.

All capitalized terms referenced in the addendum maintain their definitions from the original RFP. This addendum constitutes an integral part of the proposal submission and must be included with Volume I of proposer responses. Prospective bidders are required to sign and acknowledge receipt of Addendum No. 2, confirming understanding and incorporation of the modifications into their proposals and cost calculations. The university reserves the right to reject any proposal submitted without all addenda properly executed and included.

ADDENDUM No. 2

TO: Prospective Proposers

FROM: Caron Christian (caron.christian@cuny.edu) The City University of New York

RE: Contract #UCO-1014

Request For Proposal (RFP) Economic Impact Study

This Addendum No. 2 to the above-referenced RFP is being issued to respond to questions that were raised by prospective proposers. Please see below for list of questions and answers.

All capitalized terms used but not defined herein shall have the meaning set forth in the RFP.

Questions and Answers:

1. Regarding question #15, pertaining to Part 7, Terms and Conditions, section 13, (Page

19), would CUNY agree to administer the background checks in accordance with applicable law, including any required employee notice and authorization. In addition, please confirm that the background checks would be limited to personnel supporting the CUNY engagement?

Response: CUNY will administer background checks in accordance with all applicable laws. CUNY confirms that the background checks will only be limited to personnel who will be providing services under the awarded.

2. Regarding question #6, CUNY states that there is a 20 page limit (double-sided for a total of 40 pages). Since this is an email submission, per the RFP Part 1, item II, can you confirm if bidders can submit a 40-page electronic file?

Response: Yes, proposers can submit a 40-page electronic file. Please refer to Part 1 Section II Proposal Due Location for further information on submission requirements.

3. Section 26 requires Contractor to represent and warrant that it is the sole author of all

Copyrightable Works produced under the Agreement. Performing the Services described in Part 3 requires the use of third-party licensed economic modeling software (e.g., IMPLAN) to generate model outputs incorporated into deliverables, and may involve CUNY-approved subcontractors contributing authored content (e.g., statistical analysis, design and production work) to the final deliverables. As written, Contractor cannot accurately warrant sole authorship of Copyrightable Works that incorporate third-party licensed software output or subcontractor-authored content. Would CUNY consider the following clarifying revision, which preserves the University's full ownership of all Copyrightable Works while making the authorship warranty accurate to how such engagements are typically staffed and performed?

Section 26 (proposed revision, additions shown in bold):

"...Contractor represents and warrants that Contractor is and shall be sole author of any and all Copyrightable Works, and that they are and shall be original works not subject to any prior agreement, lien, or other rights, except that (i) Copyrightable Works may incorporate output generated using Contractor's third-party licensed economic modeling software, and

(ii) Copyrightable Works may include content authored by Contractor's CUNY-approved subcontractors performing services under this Agreement; in each case, Contractor represents and warrants that it holds or will hold all rights necessary to deliver such Copyrightable Works to the University as works made for hire or, to the extent not achievable by operation of law, to assign all right, title, and interest therein to the University as set forth in this Section 26. Contractor further represents and warrants that the Copyrightable Works do not and shall not contain libelous, plagiarized, injurious, or other unlawful matter, and that they do not and shall not infringe on copyright or violate any other right of any person or party whatsoever."

Response: Accepted.
