About this file

This is Addendum No. 2 to a Request for Proposal issued by the Oakland Police Department for comprehensive 24/7 towing, recovery, and secure storage services. The addendum modifies the original RFP documents and extends the proposal submittal deadline from Wednesday, August 12, 2026, to Monday, August 17, 2026, at 2:00 p.m. Pacific time. The successful contractor must assume full towing operations on January 1, 2027, with no transition period or extension granted for failure to secure required approvals. The contractor must provide storage capacity for a minimum of 3,000 vehicles, including storage for 50 large tractor-trailer or passenger bus-sized vehicles and indoor evidence storage for 500 vehicles designated for criminal investigations. The contractor must also dispose of up to 1,500 vehicles per month through licensed dismantlers, metal recyclers, or hazardous waste disposal facilities. Historical data indicates the City averages 13,000 to 15,000 police- and City-initiated tows annually, with potential authorization to tow and store up to 150 vehicles at any given time in connection with law enforcement matters.

The contractor is solely responsible for providing all required towing, storage, auction, and evidence-hold facilities, as well as obtaining all land use entitlements, permits, licenses, and regulatory approvals at its own cost and risk. The City will not provide any City-owned property or storage yards. Financial requirements include a gross revenue percentage fee beginning at 2.0% during Year 1, increasing by 0.5% annually to 4.0% in Year 5; annual reimbursement to the City of $172,000 for services, subject to annual Consumer Price Index adjustment; and a referral fee of not less than $54.00 for each towed vehicle. The contractor is responsible for developing, implementing, maintaining, and funding the Tow Vehicle Management System and all required system integrations. Award of the contract does not constitute approval of the proposed facility site, guarantee that required permits will be issued, or constitute an expedited permitting process; all applications will be reviewed through standard City procedures and applicable California Environmental Quality Act requirements.

Addendum No. 2 Page 2 of 5 August 12, 2026

Facilities and Operations

Q1. The sample Professional Services Agreement (Attachment A, Section 41) references a non-exclusive license for use of City-owned premises. Is the City intending to make any City-owned property or storage yard available to the successful proposer under this RFP? If so, please identify the location(s), approximate acreage, existing improvements, environmental condition, and whether use of such property is mandatory or optional. If not, please confirm that proposers are solely responsible for providing all required towing, storage, auction, and evidence-hold facilities.

A1. No. The City will not provide any City-owned property or storage yards to the Contractor(s). The successful Contractor(s) shall provide all required towing, storage, auction, and evidence-hold facilities in accordance with the requirements of the RFP.

Q2. Please identify the anticipated Notice to Proceed (NTP) date and the required date that the successful contractor must assume full towing operations. Will there be a transition period with the incumbent contractor? If so, how long is the anticipated transition period, and what assistance, if any, will the City provide during that process?

A2. The successful Contractor shall be prepared to assume full towing operations at the commencement of the contract on January 1, 2027. The Contractor is solely responsible for obtaining, at its own cost and risk, all land use entitlements, permits, licenses, and regulatory approvals necessary to operate its towing, storage, auction, evidence-hold, and disposal facilities by the commencement date. No extension of the commencement date will be granted on account of a Contractor’s failure to secure such approvals.

Q3. For purposes of demonstrating compliance with the facility requirements, will the City accept a Letter of Intent (LOI) or other contingent agreement from a property owner or landlord showing that a proposer has secured the right to lease or purchase a facility upon contract award? If so, what documentation is considered acceptable?

A3. Yes. The City will accept a letter of intent, option, or contingent lease or purchase agreement, provided the document is signed by the property owner or an authorized agent and identifies the site address and assessor’s parcel number, the jurisdiction in which the site is located, and the anticipated term. Proposers relying on a contingent property interest should also submit a statement identifying the current zoning designation of the site, the entitlements and permits required to conduct the proposed activities at that site, the status of any pending planning entitlement applications, and the proposer’s schedule for obtaining all necessary approvals in advance of the contract commencement date. Submission of such documentation does not relieve the proposer of the obligation to demonstrate that the proposed use may lawfully be established at the identified site.

Operational Data

Q4. Can the City provide historical towing data for the past five years, including annual tow volumes broken down by police impounds, abandoned vehicles, accident tows, parking enforcement, heavy-duty tows, and evidence-hold vehicles?

A4. Over the past five (5) years, the City has averaged approximately 13,000 to 15,000 police- and City-initiated tows annually. Additionally, the City may authorize and request the Contractor(s) to tow and store up to 150 vehicles at any given time in connection with law enforcement matters.

Q5. Can the City provide historical data regarding vehicle redemption rates, average storage duration, auction volumes, and the percentage of vehicles ultimately sold, junked, or released to owners?

A5. Vehicle storage durations vary significantly depending on the circumstances of the investigation and the owner's ability to redeem the vehicle. Storage periods may range from one day to multiple years.

The successful Contractor shall provide:

• Storage capacity for a minimum of 3,000 vehicles;

Addendum No. 2 Page 3 of 5 August 12, 2026

• Storage for 50 large tractor-trailer or passenger bus-sized vehicles at any given time; and

• Indoor evidence storage for 500 vehicles designated for criminal investigations.

Additionally, the Contractor shall have the capability to dispose of up to 1,500 vehicles per month that do not sell at auction through a licensed dismantler, licensed metal recycler, and/or hazardous waste disposal facility.

Financial Requirements

Q6. Can the City provide an example of the annual financial reconciliation under the current contract, including referral fees, administrative reimbursements, gross revenue sharing, and any other payments made to the City?

A6. The successful Contractor(s) shall be required to:

• Pay the City a gross revenue percentage fee beginning at 2.0% during Year 1, increasing by 0.5% annually to 4.0% in Year 5;

• Reimburse the City $172,000 annually for services, subject to annual adjustment based on the Consumer Price Index (CPI); and

• Pay the City a referral fee of not less than $54.00 for each towed vehicle.

Contract Performance

Q7. Are there any lessons learned or areas for operational improvement identified during the current contract that the City would like prospective proposers to address in their proposals? If so, please identify those priorities.

A7. The City has not identified any specific operational improvements under the current contract. However, the City's expectations remain unchanged. The successful Contractor shall comply with all applicable policies, procedures, contractual requirements, and performance obligations established under the resulting agreement.

Technology

Q8. Will the City provide access to the TVMS system and all necessary interfaces, APIs, and technical documentation, or is the successful proposer responsible for developing and funding all required system integrations?

A8. The City will not provide the Tow Vehicle Management System (TVMS). The successful Contractor(s) shall be solely responsible for providing, developing, implementing, maintaining, and funding all required system integrations necessary to satisfy the requirements of the contract.

Regulatory and Land Use Approvals

Q9. Is the successful Contractor responsible for obtaining land use entitlements and regulatory approvals for its facilities?

Addendum No. 2 Page 4 of 5 August 12, 2026

A9. Yes. The Contractor is solely responsible for obtaining and maintaining, at its own cost, all land use entitlements, building and fire permits, business licenses, and other regulatory approvals required for its facilities, in whatever jurisdiction those facilities are located, and for complying with all applicable local, state, and federal regulatory requirements for the duration of the contract.

Q10. Does award of the contract constitute approval of a proposer’s proposed facility site or guarantee that required permits will be issued?

A10. No. In issuing this RFP and awarding a contract, the City acts in its proprietary capacity as a contracting party. That action is separate and independent from the City’s regulatory authority. Award of a contract does not constitute a land use entitlement, does not confer any vested right, and does not represent that any proposed site is appropriately zoned or otherwise suitable for the proposed use. No City officer or employee is authorized to commit the City’s discretionary permitting authority in connection with this RFP, and all applications will be reviewed on their merits through the applicable process, including environmental review under the California Environmental Quality Act (“CEQA”) where required.

Q11. What approvals may be required for a facility located in Oakland?

A11. The required approvals depend on the specific site, its zoning designation, and the activities proposed. Towing, vehicle storage, auction, and vehicle dismantling or salvage are separately classified activities under the Oakland Planning Code, and one or more may require a conditional use permit, design review, or other discretionary approval in addition to building and fire permits. Facilities may also be subject to hazardous materials requirements administered through the Certified Unified Program Agency (“CUPA”) and to industrial stormwater permitting. Proposers are encouraged to contact the Bureau of Planning early, including through a zoning determination request or pre-application meeting, to confirm the requirements applicable to a proposed site. Proposers remain responsible for state licensing requirements, including applicable California Highway Patrol and Department of Motor Vehicles requirements for tow operators and licensed dismantlers.

Q12. Will the City expedite or prioritize permit review for the successful Contractor?

A12. No. Applications will be processed through the City’s standard review procedures. Proposers should account for entitlement and permitting timelines, including the possibility of appeals, in their implementation schedules.
