Justification for Other than Full and Open Competition Integrated Data Annotation, Recording and Mapping System (IDARMS) Training

1. Nature and/or Description of Action: The Defense Threat Reduction Agency (DTRA) contracting activity proposes to procure without using full and open competition Integrated Data Annotation, Recording and Mapping System (IDARMS) Training.

2. Description of Required Service: DTRA, On-Site Inspection and Building Capacity Directorate (OB), On-Site Inspection Department (OS), Open Skies Division (OSO) has a requirement to obtain training for its personnel on the IDARMS. The IDARMS equipment is installed on U.S. Air Force (USAF) aircraft used during international observation flights conducted by OSO under the Treaty on Open Skies. This effort is follow-on work to contract HDTRA114C0053 that expires 24-SEP-2019. The anticipated period of performance is a Base Year plus Four Option Years. The estimated total contract value is $454,071

3. Statutory Authority: The statutory authority for this non-competitive action is 10 United States Code (U.S.C.) 2304(c)(1), as implemented by FAR 6.302-1, Only One Responsible Source and no other supplies or services will satisfy agency requirements.

4. Applicability of Authority:

a. OB-OSO executes the inspection (observation flight) provisions of the Treaty on Open Skies for the U.S. Government (USG). The USAF aircraft used for these flights, the OC-135B, is equipped with an operator-driven, computer-assisted sensor suite used by the USG team to collect imagery that is properly annotated for treaty compliance.

b. Due to the specialized nature of the repair and sustainment of the sensor suite, Northrop Grumman currently holds the proprietary rights to the software which controls the sensor suite, and is the only source that can satisfy this requirement.

c. As the original integrator of the sensor suites, and the original manufacturer of IDARMS, Northrop Grumman is the sole source possessing the proprietary software for the mapping and utilities programs associated with IDARMS. Further, because these sensor suites are unique to the OC-135B Open Skies program and because the cameras associated with the available, except at Northrop Grumman. As a result, only Northrop Grumman possesses the equipment and software to construct the sensor suite replica, the hot bench, which provides the hands-on portion of the training to the students. The hands-on experience, working through the

Ft Belvoir, VA 22060-6201

Practical Exercises (PEs) of various mission scenarios, is judged by the Government to be the crucial, and most effective, component of the IDARMS training.

d. OB-OSO required IDARMS training for its personnel to familiarize them with the equipment and software to ensure proper, treaty-compliant operation during treaty flights. A 5-year training contract was awarded to Northrop Grumman, Contract # HDTRA1-14-C-0053, to provide this training from 25 September 2014 to 24 September 2019. This contract was awarded on a sole source basis under the authority of USC2304(c)(1), Only One Responsible Source.

e. Northrop Grumman possesses the knowledge associated with the Treaty on Open Skies, and provides this knowledge as advisors to the US Government at various Treaty meetings in Vienna, Austria. Therefore, it is essential this training be awarded to the developer and integrator of the sensor suite thereby providing continuity required for mission support and reducing the potential for mission impact. There is no other source that is currently familiar with the equipment and software, the use of the system during Open Skies missions, and the requirements and restrictions of the Treaty on Open Skies as applicable to imagery and data collection.

f. Failure to procure these training services in a timely manner would severely jeopardize OB- ability to successfully conduct its data collection activities during international observations flights in accordance with the provisions of the Treaty on Open Skies, risking mission failure and treaty violations.

5. Effort to Solicit Potential Sources: As noted above, Northrop Grumman is the only source that can satisfy this training requirement.

a. No other vendors were identified in searches performed on the internet under the following categories: operator-driven computer-assisted sensor suite used for gathering imagery by the Open Skies observation aircraft; IDARMS sensor suite;

OC-135B Open Skies aircraft equipment; aircraft sensor suite; IDARMS; Integrated Annotation Recording and Mapping System; and IDARMS training.

b. A description of the proposed acquisition will be synopsized on the FedBizOps web site in accordance with FAR 5.204.

No other vendor can replicate the functionality of the sensor suite/hot bench which provides the opportunity to work through - e high value of this training experience.

6. Fair and Reasonable Costs: The resultant cost/price of this contract action will be determined to be fair and reasonable based on the Independent Government Cost Estimate (IGCE), previous DTRA contracts for DARMS and IDARMS training classes, and current GSA schedule contracts with Northrop Grumman that provide various labor rates to determine that they are fair and reasonable. Major IDARMS course development costs were incurred under a previous 5-year contract (Contract # HDTRA1-07-C-0114) and (2) major course revisions were anticipated in the second and third year of the contract and were included in the pricing structure of cost per class. However, only presentation costs, as well as standard course maintenance fees are anticipated in the pricing for the life of this 5-year contract. The customer (OB-OSO) assures the COR there are no anticipated updates to the IDARMS software nor to the sensor suite over the next five years; Northrop Grumman needs to concur this will be the case in the submission of a NG cost proposal.

7. Market Research: IAW FAR 10.001(a)(2), market research has revealed that a commercial service suitable to meet the training requirement is not available. Further, the requirement cannot be modified and cannot be satisfied with a commercial training service, or a modified commercial training service because no other company possesses a complete knowledge of IDARMS and permission to access and use the software and the sensor suite. Also, no other organization or company can replicate the functionality of the sensor suite/hot bench that enables students to work through the - . This is a non-developmental service acquisition.

Market research was conducted using the worldwide web internet system. The following search parameters were conducted: operator-driven computer-assisted sensor suite used for gathering imagery by the Open Skies observation aircraft; IDARMS sensor suite; OC-135B Open Skies aircraft equipment; aircraft sensor suite; IDARMS; Integrated Annotation Recording and Mapping System; and IDARMS training. We were unable to obtain any information using the aforementioned criteria. Also, the engineering and Open Skies mission crew communities were asked if they had knowledge of companies capable of presenting IDARMS training incorporating from the engineering and the Open Skies mission crew did not know of any such companies to provide the IDARMS training.

8. Other Facts: Northrup Grumman holds the data rights to the software for IDARMS. All Open Skies mission equipment (sensor suites/hot bench) must be compliant with the Treaty on Open Skies. IDARMS is required per the Treaty on Open Skies, and as the single source of integration, sustainment and repair, Northrop Grumman is currently providing this capability.

Additionally, the framing and panoramic cameras were modified to comply with the Treaty on Open Skies, making those cameras Open Skies unique. The modifications to the cameras are also categorized as proprietary technical data and no other training vendor would be able to add important camera modification content to a new version of IDARMS training to explain the imagery parameters necessary to capture Open Skies mission data.

Development of new software is cost prohibitive. Since no other source possesses the necessary skills and expertise, or the proprietary data, to sustain these systems and support future changes, full and open competition is not possible. A sole source contract is necessary due to the unique services required. If this proposed training contract is not in place with Northrop Grumman, the Open Skies mission will be impacted due to the inability to comply with the Treaty on Open Skies.

9. Interested Sources: Northrop Grumman IS, 1800 Glenn Curtiss ST (Dominguez Hills), Carson, CA 90746. No others have expressed interest. However, to foster competition, a description of the proposed acquisition will be synopsized on the FedBizOpps web site IAW FAR 5.204. Any responses to that notice will be evaluated to determine capability.

10. Subsequent Actions: The Government anticipates a continued need for IDARMS training for OB-OSO personnel as long as this system is installed on the USAF Open Skies aircraft and the normal turnover of personnel occurs in the future. Currently, the Government is unaware of any other vendor with high level familiarity with the IDARMS system, expert level understanding of the Open Skies Treaty, and ownership of equipment that can replicate the functionality of the IDARMS sensor suite/hot bench used by Open Skies mission air crew.
