About this file

This document is a Third Amendment to a Laboratory Testing Services Contract between Quest Diagnostics Clinical Laboratories, Inc. and the State of Florida, Department of Health. The amendment modifies a previous agreement originally executed on February 4, 2013, with prior amendments made on February 29, 2013, and May 23, 2013.

The amendment specifically corrects pricing for two medical tests: "Hepatitis B Surface Ag with confirmation" and "HBSAG (Reflex) with confirmation". The price for the first test was adjusted from $0.90 back to the original bid price of $4.50, while the second test's price was corrected from $49.50 to $4.50. Additionally, Quest Diagnostics is required to issue a refund to the Department of Health for the price difference on the second test for all tests ordered and paid between February 4, 2013, and August 31, 2014. The amendment is effective September 1, 2014, and maintains all other original contract terms not specifically modified.

WHEREAS, the parties have previously entered into a Laboratory Testing Services Contract on the 4th day of February, 2013 (the "Agreement"), for services to be provided to the Department facilities by Contractor, which Agreement was previously amended through an amendment effective February 29, 2013 (the "First Amendment"), and a second amendment effective May 23, 2013 (the "Second Amendment"); and

WHEREAS, the parties, by this Amendment, desire to amend the Agreement as set forth below.

NOW, THEREFORE, for and in consideration of the covenants and agreements made herein and of the mutual benefits occasioned by the terms of this Amendment, the presence of which are mutually acknowledged and confessed, the parties each agree as follows:

1. The price for test "Hepatitis B Surface Ag with confirmation" (Quest Test Code 0000498; CPT Code 87340) was incorrectly adjusted from the original bid price of $5.00 to $0.90 in the First Amendment. Therefore, the price to be charged by Contractor and paid by the Department for test "Hepatitis B Surface Ag with confirmation" (Quest Test Code 0000498; CPT Code 87340) starting on the Etfective Date through the termination of the Agreement will be $4.50.

2. ln the Second Amendment, test "HBSAG (Reflex) with confirmation" (Quest Test Code 00230281 CPT Code 87340) was added to the Agreement at an incorrect price of $49.50. The correct price for the aforementioned test is $4.50. Therefore, the price to be charged by Contractor and paid by the Department for test "HBSAG (Reflex) with confirmation" (Quest Test Code 0023028; CPT Code 87340) starting on the Effective Date through termination of the Agreement will be $4.50. ln addition, Contractor shall issue a refund in the form of a check payable to the Department for the difference between the incorrect price of $49.50 and the corrected price of $4.50 for any "HBSAG (Reflex) with confirmation" (Quest Test Code 0023028; CPT Code 87340) tests ordered and paid to Quest Diagnostics by any Department facilities from February 4, 2013 (the effective date of the Agreement) to August 31, 2014.

All other terms of the Agreement, including the Attachment(s) thereto, not specifically modified by this Amendment, remain in full force and effect. ln the event of a conflict between the terms of this Amendment and the Agreement, the terms of this Amendment shall prevail.
