About this file

This document provides responses to questions from prospective respondents to Amendment One of Request for Quote (RFQ) No. 7200AA20Q00029. The RFQ seeks a subscription to access a comprehensive, quality-controlled database of cross-border mergers and acquisitions transactions dating back to approximately 2000, with close to real-time updates. The US Agency for International Development (USAID) Bureau for Management is the contracting agency. The amendment clarifies that over 10,000 USAID employees would have access to an internal dashboard displaying various cuts of the cross-border M&A data, though the majority would not be considered "beneficial users." It also states that USAID needs the database to capture deals where a German company owns a Mexican subsidiary acquired by a Mexican company. Quotes are due by June 26, 2020.

Amendment Number: One (1)

Issuance Date of Amendment Number One (1): Friday, June 19, 2020

RFQ Closing Date: Friday, June 26, 2020 (12pm EDT)

Subject: Amendment One (1) to Request for Quote (RFQ) No. 7200AA20Q00029

Dear Prospective Respondent:

The purpose of this Amendment One (1) to the Cross-Border Mergers and Acquisition Contract, RFQ No.

7200AA20Q00029 is to: (1) provide responses to questions from prospective respondents submitted by the “Questions to Cross-Border Mergers and Acquisition Contract RFQ Due Date” of 1pm EDT, Friday, June 19, 2020.

All other requirements of the solicitation for the RFQ referenced above remain unchanged.

The RFQ as described above is hereby amended as follows:

No. Section Page Questions (Q) and Answers (A)

1 N/A N/A Q: The PDF seems to be locked, is there an alternative format for the RFQ which would allow for more flexibility for respondents that can be released?

A: No, unfortunately the solicitation was built in one of our online systems and will not allow me to change the formatting. Apologies for the inconvenience but I am unable to release this

RFQ in any other format.

2 Section K –

Representations, Certifications, and other

Statements of

Bidders

30-32 Q: Where can we located an editable version of the reps, certs, and other statements required for the quote?

A: The certs and reps in Section K are required and can be found in the Federal

Acquisition Regulation online. The link provided should allow you the opportunity to copy and paste the required certs and reps for completion, just click on the number associated with the required certs and reps to copy, paste and complete.

3 C-Scope of Work 5 Q: How many beneficial users there will be?

A: A: USAID has over 10,000 employees, all of whom will have the possibility to access an internal Agency dashboard that displays various cuts of this cross-border M&A data.

The vast majority of these employees should not be considered “beneficial users” since they are clerical, administrative or other staff who have no need to access the dashboard.

Country Teams consist of approximately 10-15 people (sometimes fewer in smaller countries) and are present at every U.S. Embassy overseas. There are approximately 170 U.S.

diplomatic missions.

4 C-Scope of Work 5 Q: We would like to confirm whether USAID wants all cross border deals with no restrictions? Just as an FYI, we tag a deal as cross border when the target company or assets being sold are not located in the same country as the acquiror ultimate parent.

A: A: USAID is requesting all cross-border deals, but as the definition of a cross-border deal may vary among data providers, USAID https://www.acquisition.gov/content/part-52-solicitation-provisions-and-contract-clauses https://www.acquisition.gov/content/part-52-solicitation-provisions-and-contract-clauses

3 | P a g e recommends that offerors provide access to their complete database of global M&A deals.

The definition of a cross-border deal cited in the question may not be sufficient for USAID’s needs. For example, if a German company owns a subsidiary in Mexico, and a Mexican company acquires it as the ultimate acquiring parent, USAID needs to capture that deal.
