(a) Definitions. As used in this clause -

Covered contractor information system means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.

Federal contract information means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public Web sites) or simple transactional information, such as necessary to process payments.

Information means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on National Security Systems Instruction (CNSSI) 4009).

Information system means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C. 3502).

Safeguarding means measures or controls that are prescribed to protect information systems.

(b) Safeguarding requirements and procedures.

(1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:

(i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices (including other information systems).

(ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute.

(iii) Verify and control/limit connections to and use of external information systems.

(iv) Control information posted or processed on publicly accessible information systems.

(v) Identify information system users, processes acting on behalf of users, or devices.

(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.

(vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse.

(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.

(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.

(x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the information systems.

(xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks.

(xii) Identify, report, and correct information and information system flaws in a timely manner.

(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.

(xiv) Update malicious code protection mechanisms when new releases are available.

(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.

(2) Other requirements. This clause does not relieve the Contractor of any other specific safeguarding requirements specified by Federal agencies and departments relating to covered contractor information systems generally or other Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order 13556.

(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial items, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.

The Contractor agrees to comply with any provision or clause that is incorporated herein by reference to implement agency policy applicable to acquisition of commercial items or components. The provision or clause in effect based on the applicable regulation cited on the date the solicitation is issued applies unless otherwise stated herein. II.8 CONTRACT TYPE (OCT 2008)

This is a firm-fixed-price purchase order.

II.9 PACKAGING, PACKING AND MARKING (MAR 2003)

Material shall be packaged, packed and marked for shipment in such a manner that will insure acceptance by common carriers and safe delivery at destination.

Packages shall be clearly identified on the outer wrapping with the contract number and delivery /task order number, if applicable.

II.10 PERIOD OF PERFORMANCE (MAR 2003)

The period of performance of this contract shall be from the date of contract award through the 112th calendar day (16 weeks) following the date of contract award.

II.11 CONTRACTING OFFICER'S AUTHORITY (MAR 2003)

The Contracting Officer is the only person authorized to approve changes in any of the requirements of this contract. In the event the Contractor effects any changes at the direction of any person other than the Contracting Officer, the changes will be considered to have been made without authority and no adjustment will be made in the contract price to cover any increase in costs incurred as a result thereof. The Contracting Officer shall be the only individual authorized to accept nonconforming work, waive any requirement of the contract, or to modify any term or condition of the contract.

The Contracting Officer is the only individual who can legally obligate Government funds. No cost chargeable to the proposed contract can be incurred before receipt of a fully executed contract or specific authorization from the Contracting Officer.

II.12 ELECTRONIC INVOICING AND PAYMENT REQUIREMENTS - INVOICE PROCESSING PLATFORM (IPP) (JAN 2016)

Beginning April 11, 2016, payment requests for all new awards must be submitted electronically through the U. S.

Department of the Treasury's Invoice Processing Platform System (IPP). Payment terms for existing contracts and orders awarded prior to April 11, 2016 remain the same. The Contractor must use IPP for contracts and orders awarded April 11, 2016 or later, and must use the non-IPP invoicing process for those contracts and orders awarded prior to April 11, 2016.

"Payment request" means any request for contract financing payment or invoice payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in FAR 32.905(b), "Payment documentation and process" and the applicable Prompt Payment clause included in this contract. The IPP website address is: https://www.ipp.gov.

Under this contract, the following documents are required to be submitted as an attachment to the IPP:

- An invoice corresponding to the Schedule of Supplies/Services in Section I.1 of the contract. This attachment shall contain all of the information required by paragraph "g" of clause 52.212-4 - Contract Terms and Conditions;

and

- Any necessary supporting documentation, including any required by the contracting officer.

The IPP was designed and developed for Contractors to enroll, access and use IPP for submitting requests for payment.

If the Contractor is unable to comply with the requirement to use IPP for submitting invoices for payment, the Contractor must submit a waiver request in writing to the contracting officer.

II.13 GOVERNMENT CONSENT OF PUBLICATION/ENDORSEMENT (MAR 2003)

Under no circumstances shall the Contractor, or anyone acting on behalf of the Contractor, refer to the supplies, services, or equipment furnished pursuant to the provisions of this contract in any news release or commercial advertising without first obtaining explicit written consent to do so from the Contracting Officer

The Contractor agrees not to refer to awards in commercial advertising in such a manner as to state or imply that the product or service provided is endorsed or preferred by the Federal Government or is considered by the Government to be superior to other products or services.

II.14 HOLIDAYS AND ADMINISTRATIVE LEAVE (MAR 2003)

U.S. Customs and Border Protection (CBP) personnel observe the following days as holidays:

New Year's Day Labor Day Martin Luther King's Birthday Columbus Day Presidents' Day Veterans Day Memorial Day Thanksgiving Day Independence Day Christmas Day

Any other day designated by Federal statute, by Executive Order or by the President's proclamation.

When any such day falls on a Saturday, the preceding Friday is observed. When any such day falls on a Sunday, the following Monday is observed. Observance of such days by Government personnel shall not be cause for an extension to the delivery schedule or period of performance or adjustment to the price, except as set forth in the contract.

Except for designated around-the-clock or emergency operations, contractor personnel will not be able to perform on site under this contract with CBP on holidays set forth above. The contractor will not charge any holiday as a direct charge to the contract. In the event Contractor personnel work during a holiday other than those above, no form of holiday or other premium compensation will be reimbursed as either a direct or indirect cost. However, this does not preclude reimbursement for authorized overtime work.

In the event CBP grants administrative leave to its Government employees, at the site, on-site contractor personnel shall also be dismissed if the site is being closed. However, the Contractor shall continue to provide sufficient personnel to perform around-the-clock requirements of critical efforts already in progress or scheduled and shall be guided by the instructions issued by the Contracting Officer or her/his duly appointed representative. In each instance when the site is closed to Contractor personnel as a result of inclement weather, potentially hazardous conditions, explosions, or other special circumstances; the Contractor will direct its staff as necessary to take actions such as reporting to its own site(s) or taking appropriate leave consistent with its policies. The cost of salaries and wages to the Contractor for the period of any such site closure are a reimbursable item of direct cost under the contract for employees whose regular time is normally a direct charge if they continue to perform contract work; otherwise, costs incurred because of site closure are reimbursable as indirect cost in accordance with the Contractor's established accounting policy.

SECTION III: STATEMENT OF WORK

1. BACKGROUND

U.S. Customs and Border Protection (CBP) is responsible for protecting our Nation’s borders in order to prevent terrorists and terrorist weapons from entering the U.S. while facilitating the flow of legitimate trade and travel. The CBP San Diego Field Office manages over 2,200 federal employees at ports of entry in San Ysidro, Otay Mesa, Tecate, Calexico and Andrade as well as the federal inspection stations at the San Diego Seaport and International Airports.

The San Diego Field Office seizure vault has a requirement for one (1) electric wire-guided turret truck with swing-reach capability. The truck will service a 10,000 square foot warehouse with 72-inch wide aisles and 13-foot high shelving. There is currently a Raymond Handling Solutions swing-reach truck in place, which will be replaced by the truck furnished under this contract.

2. SCOPE OF WORK

The Contractor shall:

1. Deliver one (1) electric wire-guided turret truck meeting the specifications in Section 4;

2. Install the turret truck with the existing Raymond Intelliguide wire guidance system; and

3. Disassemble the existing Raymond turret truck and crate the disassembled components outside of the seizure vault.

3. APPLICABLE DOCUMENTS

Commercial standards shall be used wherever practicable

4. SPECIFIC TASKS

4.1 TRUCK SPECIFICATIONS

The Contractor shall deliver one (1) electric wire-guided swing-reach turret truck meeting the following specifications:

• It shall be fully compatible with the seizure vault’s existing wire guidance system.

o There is currently a Raymond Intelliguide wire guidance system in place, which is connected to a line driver. This system, which is embedded in the warehouse floor, provides direction and stability and prevents wear and tear on the vehicle. The replacement turret truck must be compatible with this system.

• It shall have swing-reach capability which allows the truck’s mast to pivot and

• It shall have auto traverse and rotate functions.

• It shall allow the operator to sit, stand, or lean.

• It shall be configured with a guided wire sensor that matches the existing system frequency of 6.25 Hz, 225 MA p-p.

• It shall have an alarm for reverse mode

• It shall have a lift and lower alarm.

• It shall have forks of at least 42” long.

• It shall have a power connection for charging

• It shall be able to accommodate the following capacities:

Weight Capacity: 3000 lbs. minimum Load Width: Up to 108 inch maximum and 40-inch minimum Load Height: 48-inch minimum

Aisle Width: 72-inch maximum (i.e., must be able to operate in 72-inch wide aisles)

Aisle Height: Highest shelf is 13 ft. high

• It shall have a power unit of 48 volts

• It shall be OSHA and ANSI/ITSDF compliant.

The truck shall include one (1) compatible charger/charging station with an installed battery.

4.2 DELIVERY AND INSTALLATION

The Contractor shall deliver the truck inside the seizure vault and assemble and install all components. Installation shall include connection to the existing Raymond Intelliguide wire guidance system. The truck shall be fully functional and ready for use following installation.

The Contractor shall test the equipment to ensure that it is functioning properly prior to acceptance by the Government

It is anticipated that any new system will not fit through the door in an assembled state and that the door frame will need to be removed prior to fitting any components through the door. As a result, the Contractor must provide advance notice of at least 60 calendar days prior to delivering and installing the truck. Strong coordination between the Contractor and the CBP Technical Point of Contact will be required. Even with these modifications the components must fit through a doorway that is 60 inches wide and 88 inches tall.

The Government, not the Contractor, is responsible for removing the door frame.

4.3 DISASSEMBLY OF EXISTING TRUCK

The Contractor shall disassemble the existing Raymond turret truck (model #537-CSR3OT).

The disassembled components shall be packaged into the crate that the replacement truck arrives in and placed outside the seizure vault in a space designated by the CBP technical point of

5. DATA

The Contractor shall provide copies of the documents listed below. One copy of the data shall be delivered in paper form and one copy in electronic form. The electronic form shall be in MS Word format or Adobe Acrobat. The documents are deliverables under the contract and shall be delivered to the technical point of contact no later than the date of delivery:

Only if that quote is found to be technically unacceptable will the evaluation proceed to the quote with the next lowest evaluated price. This process will continue until the lowest-priced technically acceptable quote is found.

The Government will award a order resulting from this solicitation to the responsible quoter whose quote conforming to the solicitation is the Lowest Priced Technically Acceptable (LPTA) quote.

V.10 52.212--3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (OCT 2018)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u)) of this provision.

(a) Definitions. As used in this provision--

Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

Forced or indentured child labor means all work or service--

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

Immediate owner means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

Inverted domestic corporation, means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

Place of manufacture means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

Predecessor means an entity that is replaced by a successor and includes any predecessors of the predecessor.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an…
