SECTION 2 – DESCRIPTION/SPECIFICATION/WORK STATEMENT
OVERVIEW
The U.S. Merchant Marine Academy (USMMA) is a federal service academy that educates and graduates licensed Merchant Marine officers of exemplary character who serve America’s marine transportation and defense needs in peace and war.
The U. S. Merchant Marine Academy (USMMA) requires off-site laundry/cleaning services for 800 midshipmen/students. The contractor will provide daily (Except: Sunday) professional off-site laundry/dry cleaning services for midshipmen/students, faculty and staff which consist of the following Laundry Service: Wash, dry, fold clothing or linen articles.
The USMMA faculty and staff (that is approximately 300) may participate in the laundry services.
Reasonable prices not invoiced under the contract shall be provided for faculty and staff (i.e.non-students). Any contractor revenue and expenses associated with the retail service shall be considered independent of this contract. Services provided to the midshipmen/students shall be at the contract price.
The Contractor gaining the award shall provide all equipment, personnel, management, and reports necessary to cover the services. The awarded contract shall cover a base period, from date of award through 12 consecutive months, and four (4) options that allow the Government to unilaterally extend the contract period for 12 months each.
Anticipated Contract Durations are as follows:
Base Period - July 01, 2018 to June 30, 2019
Option Year 1 - July 01, 2019 to June 30, 2020 Option Year 2 - July 01, 2020 to June 30, 2021 Option Year 3 - July 01, 2021 to June 30, 2022 Option Year 4 - July 01, 2022 to June 30, 2023
NOTE: If the Proposed due date is extended for any reason, then the performance period dates for the Base Period and Option years will be adjusted accordingly upon contract award.

(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims
pg. 12 arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.217-8 -- Option to Extend Services (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

52.217-9 -- Option to Extend the Term of the Contract (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 66 months.

52.237-3 -- Continuity of Services (JAN 1991)
(a) The Contractor recognizes that the services under this contract are vital to the Government and must be continued without interruption and that, upon contract expiration, a successor, either the Government or another contractor, may continue them.
The Contractor agrees to --
(1) Furnish phase-in training; and
(2) Exercise its best efforts and cooperation to effect an orderly and efficient transition to a successor.
(b) The Contractor shall, upon the Contracting Officer’s written notice,

(1) furnish phase-in, phase-out services for up to 90 days after this contract expires and
(2) negotiate in good faith a plan with a successor to determine the nature and extent of phase-in, phase-out services required.
The plan shall specify a training program and a date for transferring responsibilities for each division of work described in the plan, and shall be subject to the Contracting Officer’s approval. The Contractor shall provide sufficient experienced personnel during the phase-in, phase-out period to ensure that the services called for by this contract are maintained at the required level of proficiency.
(c) The Contractor shall allow as many personnel as practicable to remain on the job to help the successor maintain the continuity and consistency of the services required by this contract. The Contractor also shall disclose necessary personnel records and allow the successor to conduct on-site interviews with these employees. If selected employees are agreeable to the change, the Contractor shall release them at a mutually agreeable date and negotiate transfer of their earned fringe benefits to the successor.
(d) The Contractor shall be reimbursed for all reasonable phase-in, phase-out costs (i.e., costs incurred within the agreed period after contract expiration that result from phase-in, phase-out operations) and a fee (profit) not to exceed a pro rata portion of the fee (profit) under this contract.

However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. 52.212-2 Evaluation--Commercial Items Addendum
The Government will make a responsibility determination by analyzing the acceptability of the offer to the solicitation technical requirements. In order to be acceptable and eligible for evaluation, proposals must be prepared in accordance with Instructions and must meet all the requirements set forth in the other sections of this solicitation.

The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The Government reserves the right to trade off non-price factors with price. The following factors shall be used to evaluate offers:
• Factor 1 - Technical Qualifications/Experience
• Factor 2 - Price
Technical Qualifications/Experience is slightly more important than price.
The Price will be evaluated according to FAR 15.303. The totals for (all sub-line items, i.e. the product and required options, as well as the base and all options years) will be summed to determine the Governments estimated cost for the line item.
a) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
