(d) Comptroller General Examination of Record. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. MANAGEMENT. (JUL 2016)

(a) Definition. Information Resources Management (IRM) is defined as any planning, budgeting, organizing, directing, training, promoting, controlling, and managing activities associated with the burden, collection, creation, use and dissemination of information. IRM includes both information itself and the management of information and related resources such as personnel, equipment, funds, and technology. Examples of these services include but are not limited to the following:

(1) The acquisition, creation, or modification of a computer program or automated data base for delivery to EPA or use by EPA or contractors operating EPA programs.

(2) The analysis of requirements for, study of the feasibility of, evaluation of alternatives for, or design and development of a computer program or automated data base for use by EPA or contractors operating EPA programs.

(3) Services that provide EPA personnel access to or use of computer or word processing equipment, software, or related services.

(4) Services that provide EPA personnel access to or use of: Data communications; electronic messaging services or capabilities; electronic bulletin boards, or other forms of electronic information dissemination; electronic record-keeping; or any other automated information services.

(b) General. The Contractor shall perform any IRM-related work under this contract in accordance with the IRM policies, standards, and procedures set forth on the Office of Environmental Information policy Web site. Upon receipt of a work request (i.e. delivery order, task order, or work assignment), the Contractor shall check this listing of directives. The applicable directives for performance of the work request are those in effect on the date of issuance of the work request. The 2100 Series (2100-2199) of the Agency's Directive System contains the majority of the Agency's IRM policies, standards, and procedures.

(c) Section 508 requirements (accessibility). Contract deliverables are required to be compliant with Section 508 requirements (accessibility for people with disabilities). The Environmental Protection Agency policy for 508 compliance can be found at www.epa.gov/accessibility.

(d) Electronic access. A complete listing, including full text, of documents included in the 2100 Series of the Agency's Directive System is maintained on the EPA Public Access Server on the Internet at http://www2.epa.gov/irmpoli8/current-information-directives.

2-8 Local Clauses EPA-H-04-101 RETENTION AND AVAILABILITY OF CONTRACTOR FILES

(a) The contract contains the Federal Acquisition Regulation (FAR) Clause 52.215-2 ""Audit and Records - Negotiation (JUN 1999),"" wherein the contractor is required to maintain and make available to the Contracting Officer or representative of the Contracting Officer (in accordance with FAR Subpart 4.7, ""Contractor Records Retention"") at its office at all reasonable times the books, records, documents, and other evidence relating to this contract (including personnel utilization records, site records, and accounting procedures and practices sufficient to reflect properly all costs claimed to have been incurred under this contract). Such files shall be made available for examination, audit or reproduction.

(b) The contractor is advised that the Government may file suit against potential responsible parties for costs incurred relative to site-related response activities. In such proceedings, the contractor's cost and performance records may become an integral part of the Government's case.

(c) Accordingly, due to the extended nature of court proceedings and EPA audit requirements, the contractor shall make available to the Government, and only to the Government, the records described in (a) and (b) above for a period of ten (10) years after final payment under the contract (See FAR 4.703(b)(1)).

(d) In addition, the contractor shall make available to the Government, and only to the Government, the records relating to any appeals, litigation or the settlement of claims with third parties and which relate to this contract (i.e., cost recovery) until such appeals, litigation, or claims are disposed of.

(e) The contractor shall not destroy original records relating to the contract until (1) all litigation involving the records has been finally settled and approval is obtained from the Contracting Officer, or (2) ten (10) years have passed from the date of final payment, and no litigation involving the records has been instituted, and approval of the Contracting Officer is obtained. In no event should individual records be destroyed if litigation relating to such records is in-process or pending.

(f) From time to time, the Government may, in support of litigation cases, have the need for the contractor to research and make available such records in a form and manner not normally maintained by the contractor. Such effort shall be deemed to be within the scope of work under this contract. If this effort is required after performance of this contract, a separate negotiated procurement action may be instituted with the contractor.

2-9 Local Clauses EPA-H-13-101 BLANKET PURCHASE AGREEMENT TERMS AND CONDITIONS

(a) As provided in FAR 13.303-3(a) the following terms and conditions are included in this blanket purchase agreement:

(1) Description of agreement. The vendor shall furnish supplies and services, as described in the attached Request for Analytical Services, if and when requested, from the effective date through five years from the effective date.

Call orders will be made for specific requirements by authorized Government personnel. Prices to be paid for individual requirements will be established when calls are made; unless otherwise stated in this Agreement.

(2) Extent of obligation. The Government is not obligated to order any supplies or services under this Agreement.

The Government is obligated only to the extent of authorized calls placed against the BPA. The Government reserves the right to award agreements to other vendors for like supplies or services during the same performance period as this Agreement.

(3) Purchase limitation. Any call order placed under this Agreement shall not exceed the limit of the ordering officer’s authority as specified in paragraph 5b. The total amount of all calls placed against this Agreement shall not exceed $250,000 over a five-year period.

(4) Individuals authorized to purchase under the BPA.

(iv) Purchase number.

(v) Itemized list of supplies or services furnished.

(vi) Quantity, unit price, and extension of each item, less applicable discounts (unit prices and extensions need not be shown when incompatible with the use of automated systems, provided that the invoice is itemized to show this information).

(vii) Date of delivery or shipment.

(6) Performance and Delivery:

a. All supplies or services requested under this Agreement shall be delivered to the address as specified by each individual call order.

b. All deliveries shall be made within the time agreed upon by the vendor and the BPA caller when the call order is issued.

c. Delivery of all items under this Agreement shall be F.O.B. Origin and shall be shipped all transportation cost prepaid.

2-10 Local Clauses EPA-H-23-101 ENVIRONMENTALLY PREFERABLE PRACTICES

The contractor shall, to the greatest extent practicable, utilize environmentally preferable practices in its course of business. "Environmentally preferable" is defined as products or services that have a lesser or reduced effect on human health and the environment when compared with competing products or services that serve the same purpose.

This comparison may consider raw materials acquisition, production, manufacturing, packaging, distribution, reuse, operation, maintenance, or disposal of the product or service. Consideration of environmentally preferable practices must be consistent with price, performance, availability, and safety conditions.

4-3 FAR 52.212-2 EVALUATION - COMMERCIAL ITEMS. (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

TO-15 Analytical Services Contractors must provide documentation that demonstrates that their quote can meet or exceed criteria outlined below:

The EPA will issue multiple award BPAs to the contractors whose quote conforms to the Request for Quotation (RFQ), price and other factors considered. The following factors will be considered in order to determine whether a quote conforms to the RFQ.

1. The laboratory must demonstrate their ability to analyze for all the compounds in Table 1, as well as meet the required reporting limits, as stated, for both SCAN and Trace level/SIM analysis, for those compounds.

2. In addition to the compounds and reporting limits (RLs) specified in Table 1, the Contractor should provide a list of any additional compounds and the RLs that are able to be achieved by the laboratory through Method TO-15. This list will not be used to determine the Contractors eligibility to receive a BPA but will be utilized by to the Region to determine if special requests for additional compounds made on a project by project basis can be met. 1

The laboratory shall submit the table/list in showing their ability to analyze the compounds at the required QLs. In addition, annotate the lowest QLs that you can achieve, where applicable, for all compounds on the list. If there is a compound that has a NA for the SCAN and/or Trace analysis and your laboratory can analyze for that compound, please provide the achievable QLs for those as well.

3. The laboratory must be able to provide electronic data results in the Region 2 EDD format. An example of the EDD excel spreadsheet is provided. Valid value data definitions for the EDD can be found at https://www.epa.gov/superfund/region-2-superfund-electronic-data-submission, however, the format of the EDD must be a single spreadsheet/worksheet with each section separated by 'Break' columns as demonstrated in the attached Excel file. An example of the laboratory’s EDD spreadsheet must be provided with the quote.

4. The laboratory utilized shall be currently certified or accredited for the matrices and analyses which are to be conducted for any work performed under this contract. Certification or accreditation shall be:

1.) by one of the following accreditation/certification programs: National Environmental Laboratory Accreditation Program (NELAP), American Association for Laboratory Accreditation (AALA), another organization that accredits environmental data operations to an international consensus standard and is acceptable to the USEPA, a current certification issued by a program conducted, or approved, by a State and acceptable to USEPA, or the contracted laboratory is currently participating in the USEPA Contract Laboratory Program; and

2.) valid at the time of award and must be sustained through the life of the period of performance. If suspended or revoked at any time during the period of performance, the EPA project officer must be notified immediately to ensure any potential impact to the scope of work being performed is addressed accordingly.

Should accreditation or certification not be available for a field of analysis, the contractor shall contact the USEPA Project Officer for acceptance of an alternative demonstration of laboratory competence prior to performing such analysis and periodically throughout the life of the period of performance.

The laboratory shall provide a copy of any certifications (i.e., NELAC, etc.) you have for the TO-15 analysis.

5) Acceptable Past Performance

Send the Client Authorization Letter and Past Performance Questionnaire to at least 3 references for which you provided similar analysis and have them return the Past Performance Questionnaires to Sheri D. Powell via email at powell.sheri@epa.gov.

6) Price

The Government anticipates a quantity of SCAN or SIMS/Trace Analysis of at least 300 samples and no more than 1800 samples.

5) Contractors must submit a price for five years (period of performance 10/01/2019 - 09/30/2024).

Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

Predecessor means an entity that is replaced by a successor and includes any predecessors of the predecessor.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174).

Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate-

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology-

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically-

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

Service-disabled veteran-owned small business concern-

(1) Means a small business concern-

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

Small disadvantaged business concern, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that-

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by-

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

Subsidiary means an entity in which more than 50 percent of the entity is owned-

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

Successor means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

Veteran-owned small business concern means a small business concern-

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C.

101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

Women-owned business concern means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

Women-owned small business concern means a small business concern-

(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127), means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.

(b)(1) Annual Representations and Certifications. Any changes provided by the Offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM.
