AMENDMENT 0002 RFP 47PA0724R0001

Questions and Answers

Received as of 3:00 PM EST Wednesday January 17, 2024

NOTE: ALL CHANGES/UPDATES TO THE SOLICITATION ARE HIGHLIGHTED IN

YELLOW IN THE AMENDMENT 0002 VERSION OF THE SOLICITATION.

Q1: Can Pepco supplier support fees be passed through?

A1: Yes, any administrative fees and costs from PEPCO are to be passed through to the Government. See the updated Attachment 3 – Price Component Confirmation Table.

Q2: Does the pass-through component of “Scheduling” include supplier costs related to engaging a PJM licensed operator agent for the generator? If not, can such costs be passed through?

A2: No. Per Attachment 3, the full scope of services listed in Section A.19, which includes engaging a PJM licenses operation agent for the generator, are to be included in the fixed bid price per kWh (Supply Service Fee).

Q3: Can you please clarify the “Fuel Costs” line item that is listed in the table?

A3: The line item for Fuel Costs was related to retail supply price components and has been deleted in the updated Attachment 3 - Price Component Confirmation Table.

Q4: Can you please confirm that the $0.0007/kWh Enel X fee should be included in the supplier’s bid price?

A4: Confirmed. See Attachment 3 and Section A.19.

Q5: In A.19, under “The Energy Charge” In (c), can you please define/clarify “Buyer’s Transmission Charge?”

A5: Buyers Transmission Charge is defined as the PJM Network Integrated Transmission Service (NITS) tag times the applicable PJM zonal transmission rate.”

Q6: In A.19, under “The Energy Charge” in (d) Installed Capacity Charge, can you please define/clarify “Buyer’s Capacity Cost?”

A6: Amendment 2 includes the following revised language, “(d) Buyers Capacity Cost is defined as the PJM Peak Load Contribution (PLC) tag times the applicable PJM zonal capacity rate.”

Q7: In A.19, under “The Energy Charge” in (f) Supplemental Pricing, can you please define “Electricity Purchase Requirements?” Will the supplemental pricing be for blocks or load following blocks?

A7: “Electricity Purchase Requirements” is referencing contracted electricity load eligible to be enrolled in third party electric supply contracts. It has not been determined at this time what type of supplemental pricing GSA may request. Any supplemental pricing requests will be handled via bilateral modification.

Q8: In,A.19 under “The Energy Charge” in (f) Supplemental Pricing, will there be minimum volumes associated with the supplemental pricing requests?

A8: No. There are no established minimum or maximum import or export volumes for any of the included accounts. Any supplemental pricing requests, and the associated volumes for such requests, will be handled via bilateral modification.

Q9: With regard to the generation assets discussed in A19, please confirm there are real-time generation only and do not require day ahead bidding nor capacity auction services.

A.9: Generation is real time and Section A.19 Electricity Exports – Billing has been updated to reference Real-Time. In addition, GSA has confirmed that none of the included accounts are set up to bid into the PJM capacity market.

Q.10 With regard to the generation assets discussed in A19, please confirm the scope of expected services. Generator responsibilities may include ARR/FTRs, Telemetry, eDART, Energy Dispatch (during emergencies), Energy Scheduling and submitting a Fuel Cost Policy. As written it appears the winner will be obligated to house the generation entity to collect the settlements of any energy exported into the grid?

A.10 The scope of expected services includes the winning contractor working with the control room staff at each facility in the case of an emergency using EDART or other communication tools. Energy Dispatch, Energy Scheduling and submitting a Fuel Cost Policy to PJM may all be requirements in the event an emergency occurs.

Q11: With regard to the generation assets discussed in A19, please confirm if the winner will be performing PowerMeter submissions or is this currently under a third party?

A.11 GSA has confirmed a third party is handing PowerMeter submissions for the AOC CPP account. GSA’s understanding is that PEPCO may be handing PowerMeter submissions for the GSA HOTD and GSAWhite Oak accounts.

Q12: With regard to the generation assets discussed in A19, is there existing telemetry to PJM with the asset(s). Is this being moved or will that stay in place?

A.12 GSA’s understanding is that there is existing telemetry to PJM in place for all three accounts and it will stay in place under the new contract.

AMENDMENT 0002 - JANUARY 25, 2024

SECTION A: SCOPE OF WORK

A.1 GENERAL

The U.S. General Services Administration (GSA or Government) is requesting proposals for the supply of all electricity supply commodity components up to the Delivery Point as specified in Attachment 3 of this solicitation for Federal facilities located in the Potomac Electric Power Company (PEPCO) Local Distribution Utility (LDU) service territory within the District of Columbia and state of Maryland. The Delivery Point for such electricity shall be the independent system operator (ISO)/utility interconnect for the specific facilities identified in Exhibit 1 of this solicitation. The LDU will then distribute the electricity to the Government’s individual meters. Pricing is to the Delivery Point and shall include all cost components specified in Attachment 3 of this solicitation. The Contractor shall supply the full requirements of such electricity for a term of up to fifty-three (53) full monthly billing cycles for accounts included in this contract. The Contractor shall bill in accordance with Attachment 3 of this solicitation.

The Government has placed its requirements into three (3) Pricing Groups, as indicated in Exhibit 1. The service start date for all accounts shall begin with the first utility meter read date as specified by the utility for the month listed in Exhibit 1 for each account.

All quantities required to be supplied to facilities included in this contract shall be considered firm requirements (“firm” means electric supply that will not be interrupted except as permitted under this contract) for delivery by the Contractor to the Delivery Point. The Contractor shall be liable for all costs assessed to facilities arising out of or relating to the non-delivery of firm requirements. The electricity provided under this contract shall conform to the tariff of the interstate/intrastate transmitting utility and the LDU at the Delivery Point. The Government has organized its requirements for this solicitation in Exhibit 1, as described below.

Exhibit 1 includes: (1) LDU rate schedule, (2) LDU account number, (3) Agency/account holder, (4) General Service Location, (5) LDU, (6) Monthly consumption (kWh), (7) Registered monthly on-peak demand (KW) per LDU tariff definition, (8) Registered monthly maximum demand (KW) per LDU tariff definition, (9) Monthly on-peak KWH per LDU tariff definition, (10) Monthly interim KWH per LDU tariff definition, (11) Monthly off-peak KWH per LDU tariff definition, (12) Monthly billing days, (13) Monthly load factor, (14) Range of meter read dates throughout the year, and (15) Weather hourly interval data.

A.2 DEFINITIONS

For purposes of this contract, the following definitions apply to the contract and its attachments:

Balancing Authority: Also known as Control Area, is an electric power system or combination of electric power systems bounded by interconnection metering and telemetry to which a common generation control scheme is applied. For purposes of this solicitation, the Balancing Authority is the Midcontinent Independent System Operator (MISO).

Carbon Pollution-Free Electricity (CFE): means electrical energy produced from resources that generate no carbon emissions, including marine energy, solar, wind, hydrokinetic (including tidal, wave, current, and thermal), geothermal, hydroelectric, nuclear, renewably sourced hydrogen, and electrical energy generation from fossil resources to the extent there is active capture and storage of carbon dioxide emissions that meets Environmental Protection Agency (EPA) requirements. (See Sec. 603(d) of Executive Order (E.O.) 14057)

Energy Attribute Certificate (EAC): is any instrument that conveys information (attributes) about a unit of energy, including the resource used to create it and the emissions associated with its production and use. EACs provided under this contract must contain enough detail to satisfy the requirements of this contract.

RFP 47PA0724R0001 GENERAL SERVICES ADMINISTRATION

AMENDMENT 0002 - JANUARY 25, 2024

Kilowatt Hour or kWh: means 1,000-watt hours and represents one kilowatt of power expended for one hour of time.

Locational Marginal Price (LMP): is defined as the marginal price for energy at the location where the energy is delivered or received. For accounting purposes, LMP is expressed in dollars per megawatt-hour ($/MWh).

Megawatt or MW: means a unit for measuring power that is equivalent to one million watts (equivalent to one joule per second).

Renewable Energy Certificate or REC: means the technology and environmental (non-energy) attributes that represent proof that 1 megawatt-hour (MWh) of electricity was generated from an eligible renewable energy resource, and can be sold separately from the underlying generic electricity with which it is associated. (Sec. VII of M-22-06) These are unique certificates that represent all the environmental attributes or benefits of a specific quantity of renewable generation. RECs are created when a renewable energy facility generates electricity. A REC is a type of EAC and may fulfill the requirement to provide a CFE EAC where appropriate so long as all other contractual requirements are met.

Renewable Energy: means marine energy (as defined in 42 U.S.C. 17211), or electric energy produced from solar, wind, biomass, landfill gas, geothermal, municipal solid waste, or new hydroelectric generation capacity achieved from increased efficiency or additions of new capacity at an existing hydroelectric project.

Renewable Energy and biomass shall have the definitions as specified by the Energy Policy Act of 2005, currently codified at 42 U.S.C. 15852(b)(2).

A.3 NOMINATING AND BALANCING RESPONSIBILITIES

It is the Contractor’s responsibility to conduct all required nominations on behalf of the facilities specified in Exhibit

1. The Contractor shall be fully familiar with the imbalance, transmission grid loss and line loss policies of both the LDU and the interstate/intrastate transmission companies. The Contractor shall be liable for all costs arising out of or relating to these items.

A.4 CREDIT FOR DEFAULT SUPPLY SERVICE

If at any time, unless as a result of an Excusable Delay (see FAR 52.212-4(f)), an account covered by this contract is forced to switch to the LDU solely as a result of action/inaction by the Contractor, the Contractor shall be responsible for payment of any additional costs incurred.

A.5 RISK OF LOSS

Risk of loss of electricity supplied under this contract shall remain with the Contractor prior to the Delivery Point and shall pass to the Government at and after the Delivery Point specified for each facility.

A.6 PROTECTION OF CONTRACT INFORMATION

The Government will take the necessary and usual steps to maintain the confidentiality of information submitted by offerors prior to award of the contract. The Contractor is advised that the Government will make all contract prices publicly available for the full contract period.

A.7 PAYMENT AND BILLING

The Contractor expressly agrees and acknowledges that each Government facility to which supplies or services are provided pursuant to this contract will be separately responsible for and liable to pay for any such supplies or services. For the avoidance of doubt, GSA will be the responsible party for purposes of making payments for the accounts only where GSA is listed as the Agency on Exhibit 1.

RFP 47PA0724R0001 GENERAL SERVICES ADMINISTRATION

The Contractor will submit a monthly invoice to the Government facility for supplies and services rendered the previous month. A.8 REQUESTS FOR EXTENSION

The Government may request extension of performance, one or more times, in accordance with the existing contract terms and conditions, so long as the total additional performance period does not exceed twelve (12) months.

Pricing for the extension term will be in accordance with market movement comparing market prices on the day of contract award with settlement prices for the previous trading day to the day the Government requests a contract extension.

For purposes of this solicitation, the comparison will be based on the applicable pricing zones’ Around the Clock (ATC) settlement prices and term awarded for each pricing group on the day of the auction and settlement prices for the previous trading day to the day an extension price is requested by the Government for the same pricing group or groups. The applicable pricing zone for each included account will be included in the Exhibit 1 file.

The auction day settlement prices will be load weighted with the applicable pricing zones monthly contract volumes included in the Exhibit 1 for each pricing group the Government requests an extension for. The Government will provide a copy of the ATC settlement prices and monthly volumes for each pricing group in the fully executed contract.

The settlement prices will be load weighted with the applicable pricing zones extension volumes provided by the Government for each pricing group at the time of extension request.

Pricing for the extension term shall be determined by calculating the percentage difference between the load weighted auction day settlement prices for the previous day to the day an extension price is requested and applying that percentage difference to the original auction price under this Contract.

If the Contractor declines to extend, the contract will expire with the current performance period for the associated pricing group(s).

RFP 47PA0724R0001 GENERAL SERVICES ADMINISTRATION

Notice of request for extension will be furnished to the Contractor not later than thirty (30) days prior to the expiration of the contract or any extension thereof. However, nothing precludes the Contractor from agreeing to an extension of the contract if the Government fails to issue the notice prior to the thirty (30) days.

Notice of request for extension of this contract shall be considered to have been accomplished at the time the Government sends notice via email to the Contractor.

During the course of the year, the included electric accounts may export electricity. The Contractor for each respective Pricing Group will purchase 100% of the electricity exports from the accounts included in that Pricing Group. Electricity exports are defined as metered generation net of station service load. The electricity will be delivered by each facility to the Point of Receipt, which is the Pepco DC Zone for the AOC and HOTD electric accounts, and the Pepco MD Zone for the GSA White Oak electric account.

Electricity Exports – Billing In any hour where the included electric accounts are an exporter of electric energy, the Offeror shall pay the Government the applicable PJM Locational Marginal Price (LMP) multiplied times the hourly integrated export amount of megawatts, minus any associated PJM ancillary charges. In this case, the applicable LMP is the hourly PJM Real-Time LMP at the appropriate point of receipt for each included account as specified above.

The included electric accounts shall receive payment from the Contractor for all energy purchased by the Contractor pursuant to this contract. Payments shall be in the form of a credit on the monthly Contractor summary bill (see Section A.7 Payment and Billing) when the total monthly Electricity Export payments are less than the total monthly Electricity Import charges (i.e., total monthly Electricity Import charges minus total monthly Electricity Exports payments is a positive number). If total monthly Electricity Export payments are greater than the total monthly Electricity Import charges (i.e., total monthly Electricity Import charges minus total monthly Electricity Export payments is a negative number), the Contractor shall:

1. For the AOC facility, carry over the balance to the following billing month(s); or

2. For the GSA White Oak facility, carry over the balance to the following billing month(s); or

3. For the HOTD facility, carry over the balance to the following billing month(s).

GSA or AOC will provide electronic access to the export meter data log for billing and permit inspection of metering facilities upon the Contractor's request. Please note that for AOC’s facility, the Contractor must coordinate with PEPCO to assure that the Contractor’s infrastructure meets PEPCO’s cybersecurity standards and inspection of metering facilities is only possible via PEPCO and AOC permitted site access. Upon expiration of this contract, the Contractor and GSA or AOC will settle any amounts due from one party to the other as a result of credits received and charges paid for the accounts included in Pricing Groups one (1), two (2), and three (3). If applicable, within 60 days or another mutually agreed to reasonable period of time following expiration of the contract, the Contractor will present GSA or AOC with a final invoice.

Electricity Imports – Contractor Requirements During the course of the year, GSA White Oak’s, AOC’s, or HOTD’s accounts may import electricity. The Buyer, either GSA White Oak, AOC, or HOTD depending on the Pricing Group, will purchase from the Contractor, the Seller, at the Real Time Locational Marginal Price (LMP), as defined below, electric service to meet l00% of the facility's Electricity Purchase Requirements, where the Electricity Purchase Requirements are defined as the generation and transmission requirements to serve the facility’s electric load. The electricity will be purchased at the Point of Delivery, which is the Pepco DC Zone for AOC’s and HOTD’s facilities and the Pepco MD Zone for GSA White Oak’s facility.

The Energy Charge (see Section A.7 Payment and Billing) for electricity imports is defined as:

(a) Hourly On-Peak and Off-Peak load following electric service in the amount of Buyer's Electricity Purchase Requirements. Hourly Energy Service includes Real Time LMP. The default is Real Time LMP delivered to the Pepco DC Zone. Hourly Energy Service does not include the Ancillary Services, Transmission Service, and Installed Capacity.

RFP 47PA0724R0001 GENERAL SERVICES ADMINISTRATION

(b) Buyer shall pay for the Ancillary Services as set forth in Attachment 3 and incurred by Seller associated with the purchase of energy for Buyer. These charges will be passed through at cost and will be defined by PJM.

For any new PJM Ancillary Services, Seller reserves the right to pass the costs through to Buyer. Seller will provide supporting documentation for any new PJM Ancillary Services. These charges are defined by PJM and may include:

i. PJM & RTO Scheduling, System Control, and Dispatch Services Transmission Losses

ii. Regulation Operating Reserves Black Start Service

iii. Transitional Market Expansion Fee (otherwise known as Mid-Atlantic Area Council Region (MAAC) Fee)

iv. Reactive Supply and Voltage Control from Generation Sources Services

(c) Buyer shall pay Seller a Transmission Service charge equal to the prevailing PJM Open Access Transmission Tariff (OATT) for the applicable Pepco Zone (reference PJM Transmission Tariff Attachment H-9 Annual Transmission Rates -Pepco, Item #1) without any mark-up times the Buyer's Transmission Charge.

(d) Buyer’s Capacity Cost is defined as the PJM Peak Load Contribution (PLC) tag times the applicable PJM zonal capacity rate.

(e) In accordance with PJM's rules, Buyer agrees to not participate in demand response programs with PJM or with any other Load Serving Entity (LSE) without Seller's consent.

(f) Supplemental Pricing is defined as a fixed price per kWh of Buyer's Electricity Purchase Requirements.

The Buyer may, with written notice 30 days prior to the meter read date for each account, request Supplemental Pricing. Should Buyer request Supplemental Pricing, Buyer and Seller shall work to negotiate a new Confirmation that defines the Supplemental Pricing and its relationship to this contract, subject to bilateral modification.

Electricity Imports – Billing GSA White Oak, AOC, and HOTD will be separately dual billed for this service: one (1) bill for distribution charges from Pepco; and one (1) monthly contractor summary bill (see Section A.7 Payment and Billing). The monthly contractor summary bill must include information regarding both imported and exported power including volumes, settlement prices, amounts due for imports as well as credits owed for exports.

A backup billing Excel file, including a summary of the monthly payment credits, must be sent monthly to:
