2. CONTRACTOR REMITTANCE ADDRESS: All payments by the Government to the contractor will be made in accordance with:

3. INVOICES:
a. Invoices shall be submitted monthly in arrears in accordance with: 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS (NOV 2018)
b. Payments shall be made in arrears upon receipt of a properly prepared invoice
c. The VA has mandated electronic invoice submission to the Veterans Affairs Financial Services Center (VAFSC). VAFSC has partnered with Tungsten Network e-Invoicing network, for submissions of all electronic invoices to VA. Tungsten Network electronic invoicing is free to all VA vendors. In order to submit electronic invoices, all VA vendors must register with Tungsten Network by submitting an email to VA.Registration@Tungsten-Network.com or calling 1-877-752-0900 option 2 for Enrollment.
d. Contractor shall submit an electronic invoice by the tenth (10th) of the following month services were performed to the Veterans Affairs Financial Services Center (VAFSC) e-Invoice through the website at https://portal.Tungsten-Network.com/Login.aspx. For questions regarding the submission of VA electronic invoices, Tungsten Network customer service may be contacted at 1-877-489-6135.
e. All invoices shall reference the vendor name and address, customer name, contract number, appropriate obligation/funding order number, description of services provided, quantity, unit price, and total invoice amount (any additional info). Invoices shall also include any payment discount terms.
4. GOVERNMENT INVOICE ADDRESS (See SF1449 Block 18):
a. All invoices from the contractor shall be submitted electronically in accordance with 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS (NOV 2018)
b. Facsimile, e-mail, and scanned documents are not acceptable forms of submission for payment requests.
c. VA’s Electronic Invoice Presentment and Payment System – The Veterans Affairs Financial Services Center (VAFSC) uses a third-party contractor, Tungsten Network e-Invoice, to transition vendors from paper to electronic invoice submission. Please go to this website: http://www.tungsten-network.com/customer-campaigns/veterans-affairs-us/ to begin submitting electronic invoices, free of charge.
d. As of July 1, 2020, the VA10091 form has been eliminated and the VAFSC is requiring our vendors to update and add their information in the Customer Engagement Portal (CEP) at https://www.cep.fsc.va.gov/. This is for new vendors being added to FMS only.

5. ACQUISITION OF COMMERCIAL ITEMS:
This Request for Quote (RFQ) solicitation is issued under the authority of FAR Part 12 Acquisition of Commercial Items and FAR Part 13 Simplified Acquisition Procedures. FAR Part 15 will not be used. The procedures in Part 12 used in conjunction with Part 13 allow the Government to procure services resembling those in the commercial marketplace and streamline the procurement process. From this RFQ, the Government intends to award a fixed price contract where the contractor provides a price that is not subject to any adjustment on the basis of the contractor’s cost experience in performing the contract.
6. RFQ QUESTIONS:
In order to maintain integrity of this solicitation and subsequent award date, all offerors are advised that any question and answer requests must be submitted in a written form via e-mail to the Contracting Officer Brandon Harris at brandon.harris@va.gov no later than MONDAY AUGUST 9th, 11:00 AM LOCAL TIME. Contracting will issue a consolidated response via solicitation amendment to https://sam.gov Contract Opportunities.
7. CONTRACTING OFFICER AUTHORITY:
The Contracting Officer is the only person authorized to approve changes or modify any of the requirements under this contract. The Contractor shall communicate with the Contracting Officer on all matters pertaining to contract administration. Only the Contracting Officer is authorized to make commitment or issue changes that will affect price, quantity or quality of performance of this contract. In the event the Contractor effects any such change at the direction of any person other than the Contracting Officer, the change shall be considered to have been made without authority and no adjustment will be made in the contract price to cover any increase in cost incurred thereof.
8. IDENTIFICATION, PARKING, SMOKING AND VA REGULATIONS:
a. All VA property is considered Federal property and all Federal laws are applicable.
b. It is the responsibility of the Contractor to park in the appropriate designated parking areas. Information on parking is available from the VA Police Section. The VA will not invalidate or make reimbursement for parking violations of the Contractor under any conditions.
c. All VA facilities are drug free. Possession of drugs, to include Marijuana and all Marijuana bi-products are prohibited. Enclosed containers, including tool kits, shall be subject to search. Violations of VA regulations may result in citation answerable in the United States (Federal) District Court, not a local district, state, or municipal court.
d. All contractor personnel are required to adhere to all VA rules and regulations.
e. Smoking is prohibited on the entire campus, both inside and outside the VA Facility
f. Possession of weapons is prohibited. Enclosed containers, including tool kits, shall be subject to search. Violations of VA regulations may result in citation answerable in the United States (Federal) District Court, not a local district, state, or municipal court.
g. VHA DIRECTIVE 1192: This Veterans Health Administration (VHA) directive establishes policy and provides guidance for the prevention of seasonal influenza in VHA facilities through the vaccination or masking of health care personnel (HCP). AUTHORITY: Title 38 United States Code (U.S.C.) 7301(b), 7318(b). Contractor is responsible in ensuring that all aspects of this directive are implemented, including providing face masks and influenza vaccines for all employees working at a VA facility.
9. SECURITY & PRIVACY CONTROL:
The Authorization & Accreditation (A&A) requirements of VHA Handbook 6500.6 do not apply to this requirement, therefore, a Security Accreditation Package is not required. No A&A or MOU/ISA is required. Sensitive information exposure as part of this contract involves applicable security controls within the facility as part of the VA Information Security If there are any questions related to privacy, please have a member of your staff contact the VA Privacy Service at (202) 461-6309. If there are any questions related to the information security, please have a member of your staff contact the Office of Cyber Security at (304) 262-7733.
All Contractor FST’s (Field Service Technician(s)) shall obtain contractor ID badges from the COR. Identification shall be worn visible always by the Contractor and all FST’s while on premises. Contractor shall coordinate with COR to acquire said identification badges.
During normal working hours of operation, Monday through Friday, the contractor shall check in with the COR/Tomah VAMC (Veterans Affairs Medical Center) POC (Point of Contact) when arriving to perform work and check out with the COR/Tomah VAMC POC when work/workday is complete.
During other than normal hours of operation, the contractor shall sign in and out with the Fire Department located on the east end of B36.

B.3 STATEMENT OF WORK
Contractor shall provide all equipment, material, labor, travel costs and supervision, to inspect, service, test and calibrate the Reverse Osmosis (RO) unit system, located in B452 at the Tomah VA Medical Center (VAMC), according to the following statement of work.
1. SCOPE
A. Testing and calibration shall take place as follows in Table 1.

1) All probes to be calibrated and replaced per Table 1 above. Replacement as indicated in Table 1 above, or as needed.
B. Inspect and replace the following Reverse Osmosis (RO) system filters per manufacturer’s recommendations, or as needed. Tomah VAMC policy requires, at a minimum, that filter replacement shall be per manufacturers’ recommendations.
1) Holding tank atmospheric filter. Inspect and replace annually.
2) Carbon and sand bed filters/media.
3) System pre-filter.
4) Three (3) RO unit membranes.
C. Sanitization and backflushing of complete system.
1) This shall occur after service and when the system is opened for preventative maintenance or repairs.
2) Sanitization of entire system shall re-occur if water testing/sampling results are returned outside of acceptable limits, in accordance with Association for the Advancement of Medical Instrumentation (AAMI) Technical Information Report (TIR) 34. See Table 2 below for acceptable limits that testing should fall within.

D. Replace RO unit membranes on an annual basis.
E. Emergency Repairs.
1) Site Visits – Three (3) annually for emergency repairs.
a) Service shall occur within 24 hours of contact of the Contractor, by the Tomah VAMC. Coverage shall be 24/7/365 and shall include all labor, travel, and parts.
b) If notification occurs after normal working hours on weekend that could extend past the on-site 24-hour response timeframe, then work shall commence during the soonest available day during the hours of coverage. For example, notification on Friday evening would result in a response greater than 24 hours for an on-site response of Monday 8am.
c) Contractor shall call back within 8 hours of contact by Tomah VAMC Contracting Officers Representative (COR).
d) All emergency repair costs, per visit, shall have a “not to exceed” limit of $7,000.
i Contractor shall provide the contract COR/ACOR with an itemized quote that breaks out all labor, material and equipment needed for repairs.
ii Contractor shall coordinate with contract COR for all needed repairs and shall not commence repair work prior to COR approval.
iii After work completion, Contractor shall provide contract COR with an itemized list, in digital PDF format, of all repairs performed, with Contractors signature.
F. Any changes to this SOW shall be authorized and approved only through written modification of this contract from the CO (Contracting Officer) in coordination with the COR (Contracting Officers Representative). Costs incurred by the contractor through the actions of parties other than the Contracting Officer shall be borne by the contractor.
G. Notwithstanding, the Contractor shall perform no additional work without the prior written authorization of the Contracting Officer. Any additional work, which may be performed by the Contractor without this approval, will be performed by the Contractor at no additional cost to the Government.
Within fourteen (14) days of the award of this contract, the Contractor and the Government shall agree upon a date for work to take place.
2. SERVICE HOURS AND FEDERAL HOLIDAYS
A. Normal hours of coverage are Monday through Friday from 7:30 am to 4:30 pm, local time, excluding holidays. All work shall be performed during normal hours of coverage unless otherwise requested or approved by the COR or their designee.
B. All contract work shall be on a date and time mutually agreed upon between the Contractor and the COR.

3. GENERAL INFORMATION
A. Compliance with General Safety Regulations:
1) The Contractor shall coordinate all dates for service and testing with contract COR.
2) The contractor’s FST (Field Service Technician) shall contact the COR/POC prior to performing service at this location and shall communicate to the COR of their presence on the Tomah VA Medical Center campus.
3) Contractor is responsible to replace any items damaged by the contractor, sub-contractor, their employees, or equipment at no extra charge to the Government.
4) Contractor personnel must conduct their work in a manner that does not interfere with the normal functions of the facility and will stop work if asked by the CO/COR as required if interruptions do occur.
4. CONTRACTING OFFICER’S REPRESENTATIVE (COR)
A. Scheduling of work shall be arranged with at least one, or all the Point of Contacts below and in the following order: contract COR (Contracting Officers Representative) or contract ACOR (Alternate Contracting Officers Representative).

5. COMPETENCIES AND QUALIFICATIONS OF PERSONNEL SERVICING EQUIPMENT:
A. The Contractor shall perform the services defined in this statement of work per the AAMI, page 33, Section 9.3, Water maintenance personnel, and as follows;
1) Water maintenance personnel shall have received education, training, and competency certification, with verification, in the maintenance and monitoring of water treatment equipment.
i Contractor shall provide all education, training, and competency certificates at the time of solicitation bid.
2) All personnel training shall be specific to the functions performed in this contract.
3) Contractor shall provide documentation proving, at a minimum, three years of company experience, of all work indicated in this Statement of Work, at the time of quote submission.
6. ORIENTATION FOR CONTRACTOR EMPLOYEES:
A. Contractor will attend an orientation meeting as arranged by the Contracting Officer's Representative (COR). The VA will schedule this meeting and it will include discussion of the following topics: (VA will provide information to the contractor regarding these topics and will document the meeting)

· Infection control
· Disaster procedures - Other B. The Contractor will be responsible to ensure that Contractor employees coming to the work site will receive the information required above.
7. CONTRACT DELIVERABLES
Contractor shall provide, to the COR after completion of work, at the minimum, the following deliverables:
A. All service and inspection reports upon completion of scheduled maintenance, calibrations, notating deficiencies, repairs and scheduled and un-scheduled sanitization procedures.
B. All reports shall be in a digital PDF format.
8. RISK CONTROL
A. Performing work in some spaces within B452, Sterile Processing Services (SPS), shall require the Contractor to wear Personal Protective Equipment (PPE), such as hair/beard covers, mask, face shields, 360° wrap-around isolation gowns/jump suits and foot covering. This is for the safety of the individual/contractor entering the space and serves in the reduction of cross contamination. The facility will provide appropriate PPE when required in these spaces.
B. The Contractor shall take all necessary precautions to protect government property and shall repair any damage caused by their efforts.
C. All work affecting patients shall be coordinated in advance by the Government and the Contractor to have minimal impact on the patients.
9. COVID-19 REQUIREMENTS

11. Period of Performance.
A. Support and service, as defined in this SOW, is to occur as scheduled and as required during the period of performance.

C.2 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 5 days.

C.3 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 5 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 15 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.
(End of Clause) C.4 52.219-4 NOTICE OF PRICE EVALUATION PREFERENCE FOR HUBZONE SMALL BUSINESS CONCERNS (MAR 2020) (JUN 2020) (DEVIATION)
(a) Evaluation preference.
(1) Offers will be evaluated by adding a factor of 10 percent to the price of all offers, except—
(i) Offers from HUBZone small business concerns that have not waived the evaluation preference; and
(ii) Otherwise successful offers from small business concerns.
(2) The factor of 10 percent shall be applied on a line item basis or to any group of items on which award may be made. Other evaluation factors described in the solicitation shall be applied before application of the factor.
(3) When the two highest rated offerors are a HUBZone small business concern and a large business, and the evaluated offer of the HUBZone small business concern is equal to the evaluated offer of the large business after considering the price evaluation preference, award will be made to the HUBZone small business concern.
(b) Waiver of evaluation preference. A HUBZone small business concern may elect to waive the evaluation preference, in which case the factor will be added to its offer for evaluation purposes.

C.6 VAAR 852.212-72 GRAY MARKET AND COUNTERFEIT ITEMS (MAR 2020)
(a) No used, refurbished, or remanufactured supplies or equipment/parts shall be provided. This procurement is for new Original Equipment Manufacturer (OEM) items only. No gray market items shall be provided. Gray market items are OEM goods intentionally or unintentionally sold outside an authorized sales territory or sold by non-authorized dealers in an authorized sales territory.
(b) No counterfeit supplies or equipment/parts shall be provided. Counterfeit items include unlawful or unauthorized reproductions, substitutions, or alterations that have been mismarked, misidentified, or otherwise misrepresented to be an authentic, unmodified item from the original manufacturer, or a source with the express written authority of the original manufacturer or current design activity, including an authorized aftermarket manufacturer. Unlawful or unauthorized substitutions include used items represented as new, or the false identification of grade, serial number, lot number, date code, or performance characteristics.
(c) Vendor shall be an OEM, authorized dealer, authorized distributor or authorized reseller for the proposed equipment/system, verified by an authorization letter or other documents from the OEM. All software licensing, warranty and service associated with the equipment/system shall be in accordance with the OEM terms and conditions.
(End of Clause) C.7 VAAR 852.219-74 LIMITATIONS ON SUBCONTRACTING—MONITORING AND COMPLIANCE (JUL 2018)
(a) This solicitation includes FAR 52.219-4 Notice of Price Evaluation Preference for HubZone Small Business Concerns.
(b) Accordingly, any contract resulting from this solicitation is subject to the limitation on subcontracting requirements in 13 CFR 125.6, or the limitations on subcontracting requirements in the FAR clause, as applicable. The Contractor is advised that in performing contract administration functions, the Contracting Officer may use the services of a support contractor(s) retained by VA to assist in assessing the Contractor's compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. (d) Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the Contractor to protect proprietary information as required by FAR 9.505-4, Obtaining access to proprietary information, paragraph (b). The Contractor is required to cooperate fully and make available any records as may be required to enable the Contracting Officer to assess the Contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—
