6. CONTRACT MODIFICATIONS:

The Contractor is advised that only the Contracting Officer, acting within the scope of the contract and his/her duties and responsibilities and after advice and consultation with the Contracting Officer’s Representative (COR), has the authority to make changes that will affect contract prices, quantity, quality, delivery terms and conditions, or the term of the contract. In no event shall any understanding or agreement, modification, change order, or other matters in deviation from the terms of this contract between Contractor and a person other than the Contracting Officer be effective or binding upon the Government. All such actions must be formalized by the proper contractual document executed by the Contracting Officer.

7. CONTRACTING OFFICER’S REPRESENTATIVE:

Prior to award, the Contracting Officer will designate a Contracting Officer’s Representative (COR). All work coordination shall be made through the COR. The Contractor shall be provided a copy of the letter of delegation authorizing the COR at the commencement of the term of this contract. No other person shall be authorized to act in such capacity unless appointed in writing by the Contracting Officer.

8. SYSTEM FOR AWARD MANAGEMENT (SAM):

SAM Registration: Offeror must be registered in the System for Award Management (SAM). SAM includes the functionality of the previous Central Contractor Registration (CCR) and Online Representations and Certifications Applications (ORCA). No contract will be entered into with an unregistered contractor. Internet access allows registration by completing an electronic online registration application at http://www.sam.gov/.

The electronic record in the Online Representations and Certifications (ORCA) will serve as an alternative to completing provisions 52.212-3 Offeror Representations and Certifications – Commercial Items. However, offerors must read and complete 52.212-3(b) and any other sections of 52.212-3 as applicable to this procurement.

9. PROPOSAL DELIVERY:

Proposals are to be submitted in accordance with the instructions located in E.1 Addendum to 52.212-1 Instructions to Offerors. All questions should be directed to the Contract Specialist, James P. Vickerman, at james.vickerman@va.gov. All questions should be titled as follows: Vendor Name – 36C24219R0134 – Home Oxygen. If the message has an attachment, please note, that there is a 10 MB file size limit per e-mail message. If multiple messages are required, please send a summary message to the above email address stating how many messages there should be in total.

In order to be considered for award, the Offeror must fill out all applicable areas of the solicitation and submit a Technical Proposal and Price Proposal, as well as any additional requirements listed below. The Technical Proposal must provide sufficient information to demonstrate the corporate capabilities to satisfactorily perform the work detailed in the Performance Work Statement. The VA will not pay any costs incurred in preparation and submission of proposals.

10. TECHNICAL INQUIRIES:

Technical inquiries shall be made in writing via email to James P. Vickerman, Contract Specialist at james.vickerman@va.gov. Inquiries must be made by the question and answer deadline of August 27, 2019 5:00 pm EST. If warranted, responses to inquiries will be incorporated into a written amendment posted to the Federal Business Opportunities website at http://www.fbo.gov.

11. SOLICITATION/CONTRACT:

This solicitation and resulting contract adheres to the format defined in Federal Acquisition Regulation (FAR) Parts 12 and 15. An official copy of the FAR can be obtained at https://www.acquisition.gov/far/ .

12. CONTRACT PERFORMANCE:

The Contractor shall be required to begin services in all catchment areas under this contract upon award of this contract and completion of security requirements for personnel. Full implementation with all home oxygen patients is to be completed within 180 calendar days after award in such a way that the current RRT therapy visit schedule can be maintained by the new contractor.

Offeror should thoroughly review the specifications and become familiar with areas of coverage prior to submitting a proposal. Failure to understand the contract requirements shall not relieve the successful Offeror from performing in accordance within the strict meaning and intent of the specifications. Pricing shall include all equipment, supplies facilities, management, professionals, technical and labor necessary to perform specifications as outlined herein. The Government will not reimburse any costs not incorporated into the Offeror price.

13. POST AWARD ORIENTATION (Awards over $1M):

The Contracting Officer will schedule a post award orientation conference for contract orientation purposes as required by IL 003A3-12-04, which is available at http://www.va.gov/oal/docs/library/ils/il12-04.pdf.

14. STATUS AS INDEPENDENT ENTITIES:

None of the provisions of this contract are intended to create or shall be deemed or construed to create any relationship between VA and the Contractor other than that of independent entities contracting with each other solely for the purpose of effecting the provisions of this contract. Neither VA nor the Contractor, nor any of their respective agents, employees or representatives, shall be construed to be the agent employee or representative of the other.

15. NON-SOLICITATION:

Neither the Contractor nor any employee, agent or subcontractor of the Contractor shall solicit or attempt to convince or otherwise persuade any veteran not to participate or to discontinue participation in the services provided under this contract.

16. ALTERNATE SECURITY LANGUAGE IN LIEU OF UPDATED VAAR DATA SECURITY CLAUSE FEBRUARY 2012:

Any contractor and/or subcontractor retained to do work for VA under this IAA that requires the access, use, storage, modification, or transmission of VA Sensitive Personal Information (SPI) must follow and adhere to the security controls, enhancements, compensating controls, protocols, regulations, and VA directions as the Contracting Officer (CO) shall direct, including, but not limited to those derived from the Federal Information Security Management Act (FISMA), OMB Circular No. A-130 and VA Handbook 6500/6500.6. The contractor must report any data breach according to the protocols and timeframes in HB 6500.

If any contractor/sub-contractor retained to do work for VA under this IAA requires access, use, etc., of VA SPI as aforesaid, and if an actionable data breach occurs because of the contractor/subcontractor’s acts, omissions, or negligence in following the VA-directed security controls, enhancements, compensating controls, protocols, and/or measures, including, but not limited to the sources above, the contractor/subcontractor is further subject to the statutory requirement to assess liquidated damages against contractors and/or subcontractors under 38 U.S.C. §5725 in the event of a breach of Sensitive Personal Information (SPI)/Personally Identifiable Information (PII). Said liquidated damages shall be assessed at $37.50 per affected Veteran or beneficiary. A breach in this context includes the unauthorized acquisition, access, use, or disclosure of VA SPI which compromises not only the information’s security or privacy but that of the Veteran or beneficiary as well as the potential exposure or wrongful disclosure of such information as a result of a failure to follow proper data security controls and protocols.

17. PRIVACY AND CONFIDENTIALITY:

Contractors to the Department of Veterans Affairs may be exposed to sensitive information. Information may be overheard, seen on documents or electronic devices, or observed that could potentially violate the privacy and confidentiality of our Veterans, employees, volunteers and their families. Regulations such as, but not limited to the Health Insurance Portability and Accountability Act of 1996 (HIPAA), Freedom of Information (FOIA) and Privacy Act of 1974 have been enacted to protect sensitive information from being improperly disclosed. Information should not be divulged or released to anyone unless specifically authorized by this contracts or its attached documents accordance with the contracted services. Failure to comply with applicable statutes and regulation can result in the termination of this contract and civil and criminal penalties, including fines and imprisonment. All suspected or actual breeches of privacy and confidentiality should be reported immediately to the Contracting Officer, Contracting Officer’s Representative (COR) or the Facility Privacy Officer.

18. CONTRACTOR PERSONNEL SECURITY REQUIREMENTS:

All Contract employees who require access to the Department of Veterans Affairs’ computer systems, access to sensitive records or require access to the facility shall be the subject of a background investigation and must receive a favorable adjudication from the VA Office of Security and Law Enforcement prior to contract performance. This requirement is applicable to all subcontractor personnel requiring the same access. If the investigation is not completed prior to the start of the contract, the Contractor will be responsible for the actions of those individuals they provide to perform work for the VA.

a. Position sensitivity: The position sensitivity has been designated as Low Risk.

b. Background Investigation: The level of background investigation commensurate with the required level of access for Customer Service Representative/Scheduling Clerk (or similar) and Installation/Set-up/Repair Technician (or similar) is a National Agency Check with Written Inquiries (NACI). The minimum level of background investigation required for a contractor employee to begin work is a favorable National Criminal History Check (NCHC). However, the Contractor must then ensure he or she completes all required paperwork to initiate a NACI. Failure to complete the paperwork required to initiate a NACI will result in the contractor employee being removed from eligibility to provide any services under the contract. It is the Contractor’s responsibility to ensure that the required paperwork for NACI initiation is completed and submitted. If the NACI is adjudicated unfavorably, the individual’s eligibility to provide services under the contract may be removed.

c. The Contractor shall bear the expense of obtaining background investigations. If the investigation is conducted by the Office of Personnel Management (OPM), the Contractor shall reimburse VA within 30 days. The cost of a National Agency Check with Written Inquiries (NACI) background investigation is currently $400.00. If a federal background investigation has previously been completed and is able to be reciprocated, the Contractor shall reimburse the VA the cost of background investigation reciprocation, which is currently $75.00. These prices are subject to change.

d. The contractor shall review the packet of information provided by the VA regarding background investigations and complete and submit required forms within five (5) days of contract award, as directed in the instructions. Contractor personnel must visit a VA Medical Center to complete their fingerprints within five (5) days of contract award.

e. The contractor, when notified of an unfavorable determination by the Government, shall withdraw the employee from consideration from working under the contract.

f. Failure to comply with the contractor personnel security requirements may result in termination of the contract.

19. CONTRACTOR COORDINATOR: The Contractor shall identify in writing to the CO their contact person(s) who shall serve as liaisons between the Contractor and VA and who shall ensure that services are performed in accordance with the contract specifications. The Contractor’s contact person(s) shall be available during VA regular administrative work hours, exclusive of national holidays.

B.2 SCHEDULE OF SUPPLIES/SERVICES

INSTRUCTIONS FOR COMPLETION OF SCHEDULE OF SUPPLIES/SERVICES:

Offerors must complete all portions of the Schedule of Supplies/Services schedule below by entering an all-inclusive unit price for each CLIN or SUB-CLIN, along with the Total 12-Month Cost for each CLIN or SUB-CLIN. This is to be computed by multiplying the estimated quantity by the proposed unit price for CLINs/SUB-CLINs with a unit of EA (Each). CLINs/SUB-CLINs with a unit of MO (Month) must be multiplied by 12 to calculate the Estimated 12-Month Cost.
