ORDERING PERIOD
The ordering period of the basic IDIQ is five years from the effective date of the contract award.
ORDERING PROCEDURES
The following ordering procedures for task order awards were developed and will be implemented in accordance with FAR 16.505. The Fair Opportunity Process is distinct from the source selection procedures and requirements described in FAR Part 15; regulations and policies related to Part 15 do not inform or control the Fair Opportunity Process.
1. The contractor shall provide services under this contract only as directed in Task Orders issued by authorized individuals. In accordance with FAR 16.505, each order will include:

| (3) | Item number and description, quantity, and unit price. Corresponding line item number from the base contract. |
| (4) | Delivery or performance schedule; |
| (5) | Place of delivery or performance (including consignee); |
| (6) | Packaging, packing, and shipping instructions, if any; |
| (7) | Accounting and appropriation data; |
| (8) | Method of invoicing, payment and payment office, if not specified in the contract; |
| (9) | Scope of work |
(10) Any other pertinent information as appropriate (i.e., TO COR designation, Government Furnished Property, material or facilities to be made available for performance of the order; security requirements; etc.)
1. In accordance with FAR 52.216-18, Ordering , the following individuals (or activities) are authorized to place orders against this contract:
All warranted Marine Corps Installations Command (MCICOM) HQ Contracting Officers are considered designated ordering officials for this IDIQ.

The ombudsman is responsible for reviewing complaints from multiple award contractors and ensuring that all of the contractors are afforded a fair opportunity to be considered for orders in excess of $3,500, consistent with procedures in the contract. However, it is not within the designated ombudsman’s authority to prevent the issuance of an order or to disturb an existing order. Contractors are encouraged to settle their complaints through the Competition Advocate chain of command, seeking review by the Competition Advocate at MCICOM HQ Contracting [will be provided at award] before taking complaints to the Navy Competition Advocate General.
1. Ordering Process:
After contract award, individual task orders will be competed within the pool of established contracts. The labor rates are established in each contract awarded and shall apply to all task orders issued under this contract. Travel and ODCs shall be priced separately under each task order in accordance with Sections 15/16 of this PWS. All task orders issued under this contract shall be fixed-priced (travel and ODCs may be cost reimbursable). Contractors may offer discounts to their established ceiling rates when competing on individual task orders.
All MAC IDIQ contract holders will be provided a fair opportunity to be considered on task orders, in accordance with FAR 16.505(b)(1), unless exempted in accordance with applicable terms of the Federal Acquisition Regulation.
In the event issues pertaining to a proposed task cannot be resolved to the satisfaction of the Ordering Contracting Officer (OCO), the OCO reserves the right to withdraw and cancel the proposed task. In such event, the Contractor(s) shall be notified in writing of the OCO’s decision. This decision is final and conclusive and shall not be subject to the “Disputes” clause or the “Contract Disputes Act.”
The ordering procedures below are provided for informational purposes only. The actual procedures (including response times) may vary according to individual order circumstances.
(1) Multiple Award Contract (MAC) Ordering Procedures. It is anticipated that each competitive order will be placed in accordance with the following procedures:
(a) Requirements Documentation. Upon identification of a requirement, the cognizant technical office will develop a draft Performance Work Statement (PWS) and other requirements documents consistent with the technical requirements and scope of the base contract. Firm-Fixed-Price type orders may be issued under this contract.
(b) Task Order Request. The Government will issue a task order request which will contain the finalized requirements documents. All eligible MAC awardees will receive the RFQ and shall respond within the time allotted for the submission of proposals. The time allotted will typically be 10 to 15 business days (subject to change depending on requirement).
(c) Source Selection Procedures. For a given order, the selection procedures will be based on a best value basis, whether allowing for a tradeoff process or lowest price technically acceptable process. In accordance with FAR 16.505(b)(1)(ii), FAR 15.3 will not apply. Each RFQ will provide instructions to the MAC contractors as to the specific procedures for responding to the RFQ and describe what information shall be presented to the Government in order to be considered for award of the order. The Government may communicate with and/or seek proposal revisions from as many/as few offerors as it deems appropriate.
(d) Evaluation and Award. The Government will evaluate proposals and make award based on the evaluation criteria set forth in the RFQ. Once an the contractor’s quote has been selected for award, a SF 1449 will be executed by the Contracting Officer and sent to the contractor via e-mail as notice to begin work. The contractor is cautioned that no work is to be started prior to receipt of a properly signed and executed SF 1449 or other authorization by the Contracting Officer. Orders may be issued orally by the Contracting Officer; however, orally issued orders will be followed up with a written order within three (3) business days. Within a reasonable amount of time (usually within 1 business day) after order award, the name of the awardee and the total value of the order will be provided to all MAC contractors.
(e) Contractor Notification. The contractor is responsible for immediately notifying the Contracting Officer of any difficulties in performing in accordance with the terms of the order.
LABOR RATES
The Estimated Labor Hours by Labor Category values in Attachment 6 (Price Evaluation Templates) are for evaluation purposes only. While the hours are based on historical data and are indicative of the typical requirements for work expected under the respective task, the proposed labor rates in Attachment 2 (Labor Rate Card) will be the fixed ceiling rates for the entire period of performance under each CLIN regardless of how many hours are procured within that period/CLIN, up to the total ceiling under all contracts for all periods (there is no ceiling on any individual CLIN or contract.) The awarded CLINs will be awarded as "estimates."
IDIQ CONTRACT ADMINISTRATION
Contracting Officer:
Except as specified below, no order, statement, or conduct of Government personnel who visit the Contractor(s)’s facilities or in any other manner communicates with Contractor(s) personnel during the performance of this contract shall constitute a change under the Changes clause of this contract. The Contractor(s) shall not comply with any order, direction, or request of Government personnel unless it is issued in writing and signed by the Contracting Officer or is pursuant to specific authority otherwise included as a part of this contract. The Contracting Officer is the only person authorized to approve changes in any of the requirements of this contract and notwithstanding provisions contained elsewhere in this contract, said authority remains solely the Contracting Officer’s. In the event The Contractor(s) effects any change at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in the contract price to cover any increase incurred as a result thereof.

Contracting Officer’s Representative (COR):
The COR will represent the Contracting Officer in the administration of technical details within the scope of this contract and will perform inspection and acceptance of all deliverables. The COR is not otherwise authorized to make any representations or commitments of any kind on behalf of the Contracting Officer or the Government. The COR does not have the authority to alter the Contractor's obligations or change the specifications in the contract. If, as a result of technical discussions, it is desirable to alter contract obligations or statements of work, a modification must be issued in writing and signed by the Contracting Officer. The COR is responsible for reviewing the invoices submitted by the Contractor and informing the Contracting Officer of areas where exceptions are to be taken. The COR authority is non-delegable. The Contracting Officer will designate CORs for individual task orders over the simplified acquisition threshold that will be responsible for day-to-day coordination of task orders. The TO COR will represent the Contracting Officer in the administration of technical details within the scope of the task order. The TO COR is also responsible for the final inspection and acceptance of all task order deliverables and reports, and such other responsibilities as may be specified in the task order. The TO COR is not otherwise authorized to make any representations or commitments of any kind on behalf of the Contracting Officer or the Government. The TO COR does not have authority to alter the Contractor’s obligations or to change the task order specifications, price, terms, or conditions. CLAUSES INCORPORATED BY FULL TEXT
252.232-7007 LIMITATION OF GOVERNMENT'S OBLIGATION (APR 2014)
(a) Contract line item(s) [Completed at the Task Order Level] is/are incrementally funded. For this/these item(s), the sum of $[Completed at the Task Order Level] of the total price is presently available for payment and allotted to this contract. An allotment schedule is set forth in paragraph (j) of this clause.
(b) For items(s) identified in paragraph (a) of this clause, the Contractor agrees to perform up to the point at which the total amount payable by the Government, including reimbursement in the event of termination of those item(s) for the Government's convenience, approximates the total amount currently allotted to the contract. The Contractor is not authorized to continue work on those item(s) beyond that point. The Government will not be obligated in any event to reimburse the Contractor in excess of the amount allotted to the contract for those item(s) regardless of anything to the contrary in the clause entitled "TERMINATION FOR THE CONVENIENCE OF THE GOVERNMENT." As used in this clause, the total amount payable by the Government in the event of termination of applicable contract line item(s) for convenience includes costs, profit and estimated termination settlement costs for those item(s).
(c) Notwithstanding the dates specified in the allotment schedule in paragraph (j) of this clause, the Contractor will notify the Contracting Officer in writing at least ninety days prior to the date when, in the Contractor's best judgment, the work will reach the point at which the total amount payable by the Government, including any cost for termination for convenience, will approximate 85 percent of the total amount then allotted to the contract for performance of the applicable item(s). The notification will state (1) the estimated date when that point will be reached and (2) an estimate of additional funding, if any, needed to continue performance of applicable line items up to the next scheduled date for allotment of funds identified in paragraph (j) of this clause, or to a mutually agreed upon substitute date. The notification will also advise the Contracting Officer of the estimated amount of additional funds that will be required for the timely performance of the item(s) funded pursuant to this clause, for subsequent period as may be specified in the allotment schedule in paragraph (j) of this clause, or otherwise agreed to by the parties. If after such notification additional funds are not allotted by the date identified in the Contractor's notification, or by an agreed substitute date, the Contracting Officer will terminate any item(s) for which additional funds have not been allotted, pursuant to the clause of this contract entitled "TERMINATION FOR THE CONVENIENCE OF THE GOVERNMENT".
(d) When additional funds are allotted for continued performance of the contract line item(s) identified in paragraph (a) of this clause, the parties will agree as to the period of contract performance which will be covered by the funds. The provisions of paragraph (b) through (d) of this clause will apply in like manner to the additional allotted funds and agreed substitute date, and the contract will be modified accordingly.
(e) If, solely by reason of failure of the Government to allot additional funds, by the dates indicated below, in amounts sufficient for timely performance of the contract line item(s) identified in paragraph (a) of this clause, the Contractor incurs additional costs or is delayed in the performance of the work under this contract and if additional funds are allotted, an equitable adjustment will be made in the price or prices (including appropriate target, billing, and ceiling prices where applicable) of the item(s), or in the time of delivery, or both. Failure to agree to any such equitable adjustment hereunder will be a dispute concerning a question of fact within the meaning of the clause entitled "disputes."
(f) The Government may at any time prior to termination allot additional funds for the performance of the contract line item(s) identified in paragraph (a) of this clause.
(g) The termination provisions of this clause do not limit the rights of the Government under the clause entitled "DEFAULT." The provisions of this clause are limited to work and allotment of funds for the contract line item(s) set forth in paragraph (a) of this clause. This clause no longer applies once the contract is fully funded except with regard to the rights or obligations of the parties concerning equitable adjustments negotiated under paragraphs (d) or (e) of this clause.

The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in paragraph (c)(1) in the provision at 52.204-26, Covered Telecommunications Equipment or Services--Representation, or in paragraph (v)(2)(i) of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Products and Commercial Services. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Nothing in the prohibition shall be construed to--
(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. Nothing in the prohibition shall be construed to--

(a) Definitions. Inverted domestic corporation and subsidiary have the meaning given in the clause of this contract entitled Prohibition on Contracting with Inverted Domestic Corporations (52.209-10).
(b) Government agencies are not permitted to use appropriated (or otherwise made available) funds for contracts with either an inverted domestic corporation, or a subsidiary of an inverted domestic corporation, unless the exception at 9.108-2(b) applies or the requirement is waived in accordance with the procedures at 9.108-4.

(1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless an agency has considered suspension or debarment of the corporation and made a determination that suspension or debarment is not necessary to protect the interests of the Government; or
(2) Was convicted of a felony criminal violation under any Federal law within the preceding 24 months, where the awarding agency is aware of the conviction, unless an agency has considered suspension or debarment of the corporation and made a determination that this action is not necessary to protect the interests of the Government.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS - COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (DEVIATION 2023-O0002) (DEC 2022) The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.
(a) Definitions. As used in this provision - Covered telecommunications equipment or services has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
Forced or indentured child labor means all work or service -
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
Immediate owner means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
