Should the Contractor fail to proceed promptly in accordance with this guarantee, the County may have such work performed at the expense of the Contractor. This section does not relieve the Contractor from liability for defects that become known after one year.

12. TERMINATION:

12.1. For Cause: If, through any cause, the Contractor fails to fulfill its obligations under this Agreement in a timely and proper manner, or if the Contractor violates any of the covenants, conditions, or stipulations of this Agreement, the County shall thereupon have the right to immediately terminate this Agreement, upon giving written notice to the Contractor of such termination and specifying the effective date thereof.

12.2. For Convenience: The County may terminate this Agreement at any time by giving written notice as specified herein to the other party, which notice shall be given at least thirty (30) days prior to the effective date of the termination. If this Agreement is terminated by the County, the Contractor will be paid an amount that bears the same ratio to the total compensation as the services actually performed bear to the total services the Contractor was to perform under this Agreement, less payments previously made to the Contractor under this Agreement.

Agreement shall not be deemed a waiver, nor shall it prejudice the waiving party's right to require strict performance of the same provision, or any other provision in the future, unless such waiver has rendered future performance commercially impossible.

13.6. Force Majeure: Neither party shall be liable for any delay or failure to perform its obligations hereunder to the extent that such delay or failure is caused by a force or event beyond the control of such party including, without limitation, war, embargoes, strikes, governmental restrictions, riots, fires, floods, earthquakes, or other acts of God.

C.R.S. 24-73-101, from the County during the course of this Agreement, Contractor shall destroy or properly dispose of the information in a manner that is compliant with C.R.S. 24-73-101 when that information is no longer needed for the performance of this Agreement. Contractor shall also implement and maintain reasonable security procedures and practices that are appropriate to the nature of the personal identifying information obtained; and reasonably designed to help protect the personal identifying information from unauthorized access, use, modification, disclosure, or destruction.

15.2. In the event of a security breach, as defined in C.R.S. 24-73-103, that compromises computerized data that includes personal information subject to this Agreement, Contractor shall notify the County of the security breach in the most expedient time and without unreasonable delay following discovery of the security breach, if misuse of personal information about a Colorado resident occurred or is likely to occur; and cooperate with the County, including sharing with the County any information relevant to the security breach, except that such cooperation does not require the disclosure of confidential business information or trade secrets.

16. CONTRACTOR RECORDS:

16.1. Record Retention and Access: Contractor shall make, keep, maintain, and allow inspection and monitoring by the County of a complete file of all records, documents, communications, notes and other written materials, and electronic media files, pertaining in any manner to the Work or the delivery of Services (including, but not limited to the operation of programs) or Goods hereunder.

Contractor shall maintain such records for a period (the “Record Retention Period”) of five years following the date of submission to the County of the final financial report, or if this Award is renewed quarterly or annually, from the date of the submission of each quarterly or annual report, respectively. If any litigation, claim, or audit related to this Award is started before expiration of the Record Retention Period, the Record Retention Period shall extend until all litigation, claims, or audit findings have been resolved and final action taken by the County, State, or Federal Awarding Agency. The Federal Agency, the County, a cognizant agency for audit or indirect costs, or oversight agency for audit may notify Contractor in writing that the Record Retention Period shall be extended. For records for real property and equipment, the Record Retention Period shall extend five years following final disposition of such property.

16.2. Inspection: Contractor shall permit the County, the federal government, and any other duly authorized agent of a governmental agency to audit, inspect, examine, excerpt, copy and transcribe Contractor Records during the Record Retention Period. Contractor shall make Contractor Records available during normal business hours at Contractor office or place of business, or at other mutually agreed upon times or locations, upon no fewer than two Business Days’ notice from the County, unless the County determines that a shorter period of notice, or no notice, is necessary to protect the interests of the County.

16.3. Monitoring: The County will monitor Contractor’s performance of its obligations under this Agreement using procedures as determined by the County. The federal government and any other duly authorized agent of a governmental agency, in its discretion, may monitor Contractor’s performance of its obligations under this Agreement using procedures as determined by that governmental entity. 16.4. Final Audit Report: Contractor shall promptly submit to the County a copy of any final audit report of an audit performed on Contractor’s records that relates to or affects this Agreement or the Work, whether the audit is conducted by Contractor or a third party. Any revisions to such provisions or regulations shall automatically become a part of these federal provisions, without the necessity of either party executing any further instrument. The County, at its discretion, may provide written notification to Contractor of such revisions, but such notice shall not be a condition precedent to the effectiveness of such revisions.

18. SUSPENSION/DEBARMENT: The Contractor shall maintain the currency of its information in the System for Award Management (“SAM”), which may be found at http://www.sam.gov, until the Contractor submits any final financial report required under the Award or receives final payment, whichever is later.
