Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority):

Due to the COVID-19 national emergency and the need to rapidly expand our Tele Critical Care coverage to every medical center with intensive care beds, VHA must utilize the currently installed platform for support Tele Critical Care. The currently installed platform was supplied by Philips Healthcare. Philips Healthcare is the only vendor capable of providing rapid expansion of the highly specialized software platform via increased software licensing and providing the necessary hardware; audio/video (A/V) endpoint, which are approved for use with their platform, in the necessary and urgent timeframe required to provide adequate care to Veterans.

Philips is the original and sole manufacturer of the eCareManager software platform currently installed in VHA. VHA is currently provisioned for approximately five hundred A/V endpoints. The current infrasture has been reviewed and is capable of expanding to cover all one thousand seven hundred (1,700) intensive care beds throughout the VA. In order to meet the urgent requirement to provide coverage throughout all ICU beds in VHA, the current Philips platform must be utilized.

Philips Healthcare is the only vendor capable of providing the licenses and professional services to provide the current platform with the additional coverage in the timeframe required by the VA Tele Critical Care Program.

Philips Healthcare is the only vendor with the capability to provide all of the necessary components; including the eCareManager expansion provisioning, mobile A/V endpoints, installation services, professional services, and other require items, due to their current relationship with Caregility and ability to subcontract Caregility to provide all requirements for this

Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable:

The Government developed an Independent Government Cost Estimate (IGCE) of using pricing considered fair and reasonable from previously held government contracts for similar work with the same vendor. The vendor's quote came in at at $4,266,308.25. For these reasons, it is determined that Philips quote is fair and reasonable.

Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted:

Market research has been done over the course of the last fifteen months regarding the capabilities of the market to provide a Tele Critical Care solution which meets the needs of the VA. A thorough analysis of the market was completed as part of an Enterprise Tele ICU IDIQ procurement. Based on the research done, on Philips Healthcare is capable of rapidly expanding the current platform;

Philips eCareManager, to accommodate for the urgent needs of the VA during the COVID-19 national emergency. All other vendors in the Tele Critical Care market would require a full replacement of the entire platform and A/V equipment, as well as require clinical competency training on the new software. Based on the urgent need and rapid implementation required to provide care to Veterans during this national emergencys, Philips Healthcare is the only vendor capable of providing an full solution to expanding our current Tele Critical Care platform. IAW FAR 10.002(a)(1) The Contracting Officer may use market research conducted within 18 months before the award of any task or delivery order if the information is still current, accurate, and relevant. The CO has determined all information is still current, accurate, and relevant.

Any Other Facts Supporting the Use of Other than Full and Open Competition:

Full and open competition is not suitable for this procurement due to the overwhelming need to expand our Tele Critical Care capabilities in a minimal timeframe. (6-12 weeks) In order to accomplish this rapid expansion to provide care to Veterans safely and effectively, we must utilize the current platform installed in the VA; the Philips eCareManager Platform and approved A/V end points. Based on the funding provided in the emergent situation, we must award directly to Philips Healthcare.

Listing of Sources that Expressed, in Writing, an Interest in the Acquisition:

A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to Competition before Making subsequent acquisitions for the supplies or services required:

All actions that may be taken to overcome the barriers associated with this procurement; including but not limited to urgency of delivery, funding limites, and immediate expansion needs, are being considered in the Enterprise TeleICU IDIQ contract.
