SECTION A - GENERAL INFORMATION FOR OFFERORS

1. This part requires engineering source approval by the design control activity in order to maintain the quality of the part. Existing unique design capability, engineering skills, and manufacturing knowledge by the qualified source(s) require acquisition of the part from the approved source(s). The approved source(s) retain data rights, manufacturing knowledge, or technical data that are not economically available to the Government, and the data or knowledge is essential to maintaining the quality of the part. An alternate source must qualify in accordance with the design control activity's procedures, as approved by the cognizant Government engineering activity. The qualification procedures must be approved by the Government engineering activity having jurisdiction over the part in the intended application.

2. This item is classified as confidential. The DD254 provided as Attachment 2 to the solicitation is applicable to this requirement.

3. The purpose of this solicitation is to establish an indefinite-delivery type contract for the supplies listed in Section B, that will provide stock coverage for customers both overseas and in the United States, including Alaska and Hawaii, and our possessions.

4. Under this solicitation, the resulting contract(s) will be a Firm-Fixed-Price, Indefinite-Quantity Contract(s) issued under FAR Part 15, with three (3) one year base periods and two (2) one year option periods. The total contract period will be five years. The terms “year” or “contract year,” as used in this solicitation, means a period of 365 days beginning on the contract start date and every 365 days thereafter, except for a leap year, in which the contract year shall be 366 days.

5. The method used to place orders under this contract will be: Delivery Orders placed by DLA Maritime at Mechanicsburg (DLA-Mech). DLA-Mech will issue delivery orders with the awardee for the supplies cited in Section B. This contract is not obligating any funds. Funding will be provided on each delivery order placed under the contract.

6. The proposals received in response to this solicitation will be evaluated under “Best Value” procedures as described in Section M of this solicitation.

7. NOTE TO POTENTIAL OFFERORS: The Government anticipates making multiple awards (awards for the same NSN) as a result of this solicitation. Due to high quantity, repetitive demands on past buys, the Government may place a maximum of two awards. Offerors should be aware that the only guarantee upon award is the minimum dollar value delineated in paragraph 11 below. If there is more than one contract issued, the total minimum will be equally shared by each awardee.

8. If multiple awards are made, the contract minimum for each award during the contract period* will be an equal proportion of the overall minimum cited. For example, if two awards are made the Government is obligated to purchase half of the minimum from each awardee. Regardless of the number of awards made under this solicitation, the Government may order, and each awardee is obligated to deliver, up to the maximum cited above.

CONTINUED ON NEXT PAGE

Page 2B of 64

9. Delivery order placement procedures: (1) In the event of multiple awards, each awardee will be considered for placement of individual delivery orders unless an exception at FAR 16.505(b)(2) applies.

However, those awardees subject to testing and approval requirements, such as, but not limited to, First Article Testing, shall not receive orders until satisfactory completion of any testing requirements. Failure to successfully complete required testing will constitute grounds for contract termination for default by the Government. (2) The criteria used for evaluating offers for delivery orders under this contract are price, past performance, and delivery. Price and delivery are of equal importance and are determined to be more important than past performance. At the Contracting Officers discretion, price will be considered the most important when the urgent need for material does not exist. In instances where delivery is determined to be the most important factor, award will be made to the offeror providing for the best delivery. Past performance will include performance on orders previously placed under the contract and may include performance under other contracts. In evaluating performance under previous orders, consideration will be given to delivery, quality of supplies furnished, and success in implementing any socioeconomic support programs which may be applicable to the contract.

10. Some clauses/provisions may not appear in the correct section (D-M), due to system constraints.

11. The stated contract minimum and maximum is as follows:

a. Stated Contract Minimum: 10 units

b. Stated Contract Maximum: $12,892,500.00

The maximum value is calculated as seven hundred and fifty (750) percent of the estimated ADV.

Both the minimum and maximum value is the combined value of each contract issued. If two awards are placed, each offeror will be guaranteed ½ of the minimum as stated above and the total maximum value is the maximum value for a combination of awards under both contracts.

*Note: Contract period as defined in this clause means the extended contract shall be inclusive of any/all option periods.

When any change in design, material, servicing or part number is made to replace or substitute any item to be furnished on this contract/purchase order, the Contractor shall furnish, for the substituting/replacement item, a drawing and an explanation of the reason for the change, or a detailed description of the change, explaining the reason therefore.

If finished detail drawings are not available, shop drawings inthe form used by the manufacturer will be acceptable for Government evaluation. When notifying the Contracting Officer of the reasons for making substitutions, the type of change shall be indicated by code number in accordance with one of the following statements:

Code 1: PART NUMBER CHANGE/MINOR DESIGN CHANGE - If the Manufacturer's Part Number or item design indicated thereon has changed, but form, fit and function of the item is not affected thereby, and the design change meets the criteria for minor, by not effecting form, fit, function, reliability or safety , supply the item and advise SPCC immediately of the new part number, furnishing a detail drawing and/or a detailed description of the change, as applicable.

Code 2: Assembly (or set or kit) not furnished - Used following detail parts.

Code 3: Part not furnished separately - Use assembly.

Code 4: Part redesigned - Old and new parts are completely interchangeable.

Code 6: Part redesigned - Parts not interchangeable.

3.5 Mercury Free - The material supplied under this contract/purchase order is intended for use on

SPRMM1-19-R-WD95 PAGE 5 OF 64

submarines/surface ships and therefore shall contain no metallic mercury and shall be free from mercury contamination. Mercury contamination of the material will be cause for rejection.

If the inclusion of metallic mercury is required as a functional part of the material furnished under this contract, the Contractor shall obtain written approval from the Procurement Contracting Officer before proceeding with manufacture. The contractor's request shall explain in detail the requirements for mercury, identify specifically the parts to contain mercury, and explain the method of protection against mercury escape. Such a request will be forwarded directly to the Procurement Contracting Officer with a copy to the applicable Government Inspector. Upon approval by the Contracting Officer, the vendor will provide a "Warning Plate" stating that metallic mercury is a functional part of the item and will include name and location of that part.

The use of mercury, mercury compounds, or mercury-bearing instruments and/or equipment in a manner which might cause contamination in the manufacture, assembly, or test of material on this contract is prohibited. The most probable causes of contamination are direct-connected manometers, mercury vacuum pumps, mercury seals, or the handling of mercury in the immediate vicinity. Mercury switches, mercury in glass thermometers, standard cells and other items containing mercury may be used if they are located so as not to constitute a contamination hazard.

If external contamination by metallic mercury occurs or is suspected, the following test may be used to determine whether contamination by metallic mercury exists or whether corrective cleaning measures have been effective. Enclose the equipment in a polyethylene bag or close-fitting airtight container for eight hours at room temperature (70 degrees F minimum).Sample the trapped air and if mercury vapor concentration is 0.01 mg/cu meter or more, the material is mercury contaminated insofar as the requirements of this contract are concerned.

These requirements shall be included in any subcontract or purchase order hereunder and the Contractor shall insure SubContractor compliance with these requirements.

Technical questions pertaining to these requirements shall be referred to the Procurement Contracting Officer via the cognizant Administrative Contracting Officer. For background, the following information is provided:

Mercury is corrosive to gold, silver, nickel, stainless steels, aluminum and copper alloys. Stainless steels, nickel, and copper alloys are widely used in reactor plants and other submarine/surface ship systems. Accidental trapping of mercury in a component could cause serious damage to vital parts. Mercury is also toxic if inhaled, ingested, or absorbed through the skin. It is evident that grave consequences could result from small amounts of mercury vapor present in an unreplenished submarine/surface ship atmosphere.

3.6 Security Clearance Required - This contract/purchase order requires the Contractor to have a Government Security Clearance in accordance with the attached Contract Security Classification Specification (DD Form 254).

3.7 First Article Approval (Government Testing) - First Article Test (FAT) and approval is required.

3.7.1 <per ISEA, First Article Testing is required to determine quality of work for potential vendor qualification. FAT will be conducted at contractor expense.
