52.212-2 EVALUATION--COMMERCIAL ITEMS (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.

The Government reserves the right to make a selection based upon initial offer without discussions; therefore, the offeror should submit their best terms in their initial offer. The Government also reserves the right to enter discussions and request revised offers if needed and may also determine to make no award.

The following factors shall be used to evaluate offers:

The project will be awarded on a best value basis where technical and past performance are more important than price. The following technical factors are equal in importance to each other. The relative strengths, deficiencies, significant weaknesses, and risks supporting the proposal evaluation shall be documented in the Technical Evaluation Board report. Elements within each technical factor are also of equal importance within the factor.

Technical Capability (70%)- Understanding of the SOW- Contractor should demonstrate in their proposal an understanding of the scope of services. Past performance on projects of a similar size, scale, and related thematic topic will be evaluated as part of the technical factor.

Factor 1: Technical

Subfactor 1: Appropriate Methods: Does the offeror’s proposal identify acceptable and appropriate broadcasting and grass mixing methods and procedures to ensure the project areas will represent a more historically an appropriate battlefield setting? Does the offeror’s proposal retain public access to each are while work is being performed?

Subfactor 2: Materials & Equipment: Does the offeror’s proposal identify the appropriate type of equipment, materials, and herbicide supplies needed to accomplish the SOW requirements?

Subfactor 3: Safety & Debris Disposal: Does the offeror’s proposal identify safety measures that will be put in place during the project to protect the contractor, NPS staff, and visitors? Does the proposal identify an acceptable approach to dispose of material debris?

Adjectival Rating Description

Outstanding Proposal indicates an exceptional approach and understanding of the requirements and contains multiple strengths, and risk of unsuccessful performance is low.

Good Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength, and risk of unsuccessful performance is low to moderate.

Acceptable Proposal meets requirements and indicates an adequate approach and understanding of the requirements. and risk of unsuccessful performance is no worse than moderate.

Marginal Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high. Proposal is un-awardable without discussions.

Unacceptable Proposal does not meet requirements of the solicitation and thus contains one or more deficiencies, and/or risk of unsuccessful performance is unacceptable. Proposal is un-awardable without discussions.

Factor 2: Past Performance

The past performance assessment will assess the confidence in the offeror’s/joint venture member’s ability (which includes, if applicable, the extent of its critical subcontractors’ involvement) to:

• Understand the importance of conserving the historical battlefield area and its associated materials from further deterioration

• Successfully execute the project as outlined in the SOW.

• Thoroughly understand project restrictions.

The Government will evaluate the offeror’s/the critical subcontractors’ demonstrated record of contract compliance in supplying similar services to those outlined in the SOW. The recency and relevancy of the information, the source of the information, context of the data and general trends in the contractor’s performance will be considered. More recent and more relevant performance usually has a greater impact in the confidence assessment than less recent and less relevant performance. For purposes of this evaluation, recency is defined as active or completed efforts performed within the past three (3) years from the issuance date of this solicitation. The Government will perform an independent determination of relevancy of the data provided or obtained. A relevancy determination will be made for each of the recent four (4) submitted contracts. The Government is not bound by the offeror’s opinion of relevancy.

The following relevancy criteria apply and will be assigned to each effort identified in the offeror’s proposal:

Very Relevant – Has performed conservation on large-scale wood and metal objects of national significance at other historic sites or properties or National Park Service units.

Relevant – Has performed conservation of large-scale wood and metal objects in museum collections.

Somewhat Relevant - Has performed small-scale conservation of wood and metal objects in museum collections.

Not Relevant: Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

In assessing present and past performance, the Government will employ several approaches, including, but not limited to:

1. The Past Performance Team evaluation is not limited to review of the information provided in the offeror’s Present/Past Performance volume. Present/Past performance information shall be obtained from the Government’s Federal Awardee Performance and Integrity Information System (FAPIIS) and the Past Performance Information Retrieval System (PPIRS). The Government reserves the right to use performance information from other sources such as Defense Contract Management Agency (DCMA), Fee Determining Officials, or commercial sources. Data from previous source selections may be used if the data is recent and relevant.

2. Offerors/critical subcontractors shall be given an opportunity to address adverse past performance information if the offeror, or critical subcontractor has not had a previous opportunity to respond to the information. Recent contracts will be examined to ensure that corrective measures have been implemented. The confidence assessment will consider issues including but not limited to the number and severity of the problems, the appropriateness and/or effectiveness of any corrective actions taken (not just planned or promised), and the overall work record. Prompt corrective action in isolated instances may not outweigh overall negative trends.

3. For offerors/critical subcontractors that are newly formed entities (in existence less than three (3) years from the issuance date of this solicitation) who either have no prior contracts or do not possess relevant corporate past performance, but have key personnel with relevant past performance while employed by another company, the quality of such key personnel’s performance as verified by the Past Performance Team will be considered if the submitted contract involves the key personnel performing the same role currently being proposed on the instant acquisition and this performance occurred during the past three (3) years from the issuance date of this solicitation. The Government will take into account past performance information regarding predecessor companies, affiliates, other divisions, or corporate management if such was provided for evaluation and if the offeror’s past performance volume demonstrates the company, affiliate, or division will provide the offeror with resources for the instant proposed effort, such as workforce, management, facilities, or other capabilities demonstrating direct and meaningful involvement in the performance of the proposed instant effort.

4. The Government shall consider an offeror’s/critical subcontractor’s contracts in the aggregate should the present and past performance lend itself to this approach. That is, an offeror’s four (4) contracts may by definition represent only a rating less than very relevant when each contract is considered as a stand-alone effort. However, when these contracts are performed concurrently (in part or in whole) and are assessed in the aggregate, the work may reflect greater magnitude of complexities and/or magnitude of effort and such may be reflected in the confidence assessment.

A critical subcontractor’s two (2) contracts may by definition represent only a rating less than very relevant when each contract is considered as a stand-alone effort. However, when these contracts are performed concurrently (in part or in whole) and are assessed in the aggregate, the work may reflect greater magnitude of complexities and/or magnitude of effort and such may be reflected in the confidence assessment. The Government may consider a critical subcontractor’s submitted contracts in the aggregate in this same manner if their submitted efforts were performed concurrently (in part or in whole). Then considering the offeror’s/critical subcontractor’s respective role and their work in aggregate as well as the critical subcontractor(s) role and their work in aggregate, a confidence assessment rating will be assigned for the team as a whole.

As a result of the recency, relevancy and quality assessments of the contracts evaluated, one confidence assessment rating as described in the DoD Source Selection Procedures will be assigned to the Past Performance factor. The performance confidence assessment ratings are excerpted below.

Rating Definition

Substantial Confidence Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Limited Confidence Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

Unknown Confidence No recent/relevant performance record is available, or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonable assigned.

Offerors without a record of past performance or for whom information is so sparse that no confidence assessment rating can be reasonably assigned will not be evaluated favorably or unfavorably on past performance and, as a result, will receive an “Unknown Confidence” rating. A strong record of relevant past performance may be considered more advantageous to the Government than an “Unknown Confidence” rating.

Factor 3: Cost/Price

The offeror’s Cost/Price proposal will be evaluated for Reasonableness and Balance.

• Reasonableness. Adequate price competition is expected to support the determination of reasonableness. Price analysis techniques may be utilized to further validate price reasonableness. If adequate price competition is not obtained or if price reasonableness cannot be determined using price analysis of Government obtained information, additional cost data IAW FAR 15.4 will be required to support the proposed price.

• Balance. Unbalanced pricing is discussed in FAR 15.404-1(g). Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or underestimated as indicated by the application of analysis techniques. The Government shall analyze offers to determine whether unbalanced separately priced line items or sub-line items exist. Prices submitted will be compared and evaluated to assure a logical progression exists as related to price. Offers that are determined to be unbalanced may be rejected if the lack of balance poses an unacceptable risk to the Government.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS -- COMMERCIAL ITEMS (JAN

(h) Certification Regarding Responsibility Matters (Executive Order 12689). (Applies only if the contract value is expected to exceed the simplified acquisition threshold.) The offeror certifies, to the best of its knowledge and belief, that the offeror and/or any of its principals–

(1) □ Are, □ are not presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;

(4) □ Have, □ have not, within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds the threshold at 9.104-5(a)(2) for which the liability remains unsatisfied.

(i) Taxes are considered delinquent if both of the following criteria apply:

(A) The tax liability is finally determined. The liability is finally determined if it has been assessed.

A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(ii) Examples.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability.

Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability.

Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. §362 (the Bankruptcy Code).
