COMBINED SYNOPSIS AND SOLICITATION:
This is a Combined Synopsis/Solicitation and notice for commercial items prepared under the authority of and in accordance with the format in the Federal Acquisition Regulation (FAR) Subpart 12.6 – Streamlined Procedures for Evaluation and Solicitation for Commercial Items, as supplemented with additional information included in this notice. This notice constitutes the only solicitation; quotations are being requested, and a written solicitation document will not be issued. This solicitation is also issued under the authority of and in accordance with FAR Subpart 13.5 - Simplified Procedures for Certain Commercial Items.
This solicitation is a Request for Proposal (RFP). This RFP is an Unrestricted Competitive Solicitation. The solicitation and incorporated provisions and clauses are those in effect through the Federal Acquisition Circular 2020-04 effective 01/15/2020.
The Product Service Code (PSC) B510- Special Studies/Analysis- Environmental Assessments, is applicable to the requirement. The North American Industry Classification System (NAICS) Code 541620 –Environmental Consulting Services, with a small business size standard of $15M, is applicable to the requirement.
This solicitation is being issued by the United States Department of the Interior (DOI), Bureau of Safety and Environmental Enforcement (BSEE), on the behalf of the Bureau of Ocean Energy Management (BOEM). The purpose of this solicitation is to obtain competitive proposals in response to the Government’s requirement: Telemetry, Communications, and Engineering Support Services. As result of this solicitation, the Government anticipates issuing a single-award Indefinite Delivery Indefinite Quantity (IDIQ) type contract to satisfy the requirements.
Task Orders will be issued against the IDIQ as needed.

SECTION 1
PRICING
1.1 GENERAL
The United States Department of the Interior, Bureau of Safety and Environmental Enforcement (BSEE), on behalf of the Bureau of Ocean Energy Management (BOEM), anticipates awarding an Indefinite Delivery Indefinite Quantity (IDIQ) type contract. However, the Government reserves the right to not award a contract. The Government anticipates the Sample Task Order (Attachment 4) will be the first task order issued but reserves the right to not award the Sample Task Order.
Task orders issued under this IDIQ contract are anticipated to be Firm-Fixed-Price (FFP).
However, the government reserves the right to issue Time-and-Materials (T&M) or Labor hour (LH) orders. Task orders will be issued in accordance with the procedures set forth in Section 3, Terms and Conditions. The ordering period shall not exceed five (5) years from date of award.
The Contractor shall provide all labor, materials, equipment, services, logistical support, and supplies necessary to perform, in accordance with the Section 2, Statement of Work.
1.2 IDIQ CONTRACT PRICING
All task orders issued under this IDIQ contract shall be priced in accordance with Section 1.2.1.
The rates in Section 1.2.1 serve as the maximum rates the Contractor may propose on task orders for labor, materials, equipment, and any other costs. The Contractor may always provide lower rates and discounts in any future task order quotes. The categories are anticipated to be the primary sources necessary to perform services at the task order level. Other categories may be added if applicable and necessary to perform the scope at the task order level. The Government retains the right to negotiate with the Contractor and incorporate additional categories and rates when deemed necessary by the Contracting Officer.
1.2.1 CONTRACT LINE ITEM NUMBERS (CLIN) PRICING STRUCTURE

1.4 MINIMUM AND MAXIMUM AMOUNTS – IDIQ CONTRACT LEVEL
Both the Government and the Contractor agree that the minimum order consideration under this contract is $10,000.00 worth of task orders, in accordance with FAR Clause 52.216-22 entitled “Indefinite Quantity” and the maximum consideration under this Contract over a five-year period is estimated to be $2,800,000.00.

SECTION 2
DESCRIPTION/ STATEMENT OF WORK
Telemetry, Communications, and Engineering Support Services
2.1 BACKGROUND
The Environmental Studies Program (ESP) of the Bureau of Ocean Energy Management (BOEM) is engaged in several studies which incorporate ecological modeling, animal movement and acoustic ecology to better understand how they may potentially be impacted by energy or mineral extraction. These studies require support for procuring and customizing various types of animal telemetry tags, field testing, tag deployments as well as support for temporary animal holding, such as the provision of testing facilities as well as scientific communications in support of these objectives.
2.2 PURPOSE
The objective of this contract is to support ecological modeling, animal behavior and physiological studies in relationship to energy and mineral development, provide vessel, logistical and where applicable, observational, support in the field, and/or recovery and preliminary analysis of data. The contractor shall perform appropriate Quality Assurance (QA)/Quality Control (QC) and conduct preliminary analysis and interpretation of the data collected in support of the BOEM principal investigator as well as support strategic communications and technology development.
2.3 SCOPE OF WORK
Below is an overview of the Scope of the IDIQ contract for which task orders may be issued against.
BOEM requires technical, logistical and communications support services for ecological research and environmental assessments. To accomplish these diverse needs, BOEM requires the provision of science communication, systems modeling and engineering resources which may include logistical, technical and analytical support of animal telemetry and acoustic ecology projects to better understand the baseline and ecological impacts to the Outer Continental Shelf (OCS). Specifically, BOEM requires logistical support of field studies into the spatial and behavioral ecologies of various vertebrate species. This includes seawater systems, telemetry trials, several models of customized telemetry tags with acoustic recording abilities, oceanographic measuring, as well as logistical, communication and analytical support and customization.
This contract implements BOEM’s Outer Continental Shelf Lands Act mandate to monitor the marine environment adjacent to U.S. Outer Continental Shelf (OCS) operations. Understanding animal movement and ecological impacts in the OCS is required for everything under BOEM's purview. Information regarding the distribution, behavior and ecological impacts to various
Request for Proposal (RFP) No. 140M0121R0004 Amendment 0002 Page 8 of 48 species will allow BOEM to effectively evaluate the potential for impacts from offshore energy development and marine mineral extraction for beach renourishment.
Telemetry is an important tool to support animal movement and behavior studies to supplement the survey effort. Additionally, animal telemetry can be used to infer movements related to activities in the OCS, such as geophysical surveys, platform construction and demolition.
Animal telemetry can provide relevant information for NEPA, MMPA, ESA consultations across program areas such as wind and hydrokinetic placement locations, oil/gas leasing and even used in monitoring impacts of climate change.
BOEM requires support services and provisioning of equipment such as the purchasing of animal tags (tags) support for autonomous systems piloting and developing innovative research and communication methodologies which can increase the cost effectiveness of OCS science while improving stakeholder engagement.
2.3.1 Specifications for Required Service Areas
2.3.3.1 Service Area 1:
The contractor shall provide logistical support services. The contractor shall provide logistical support for BOEM studies incorporating acoustic and spatial telemetry. The services to be provided by the contractor include assisting in research study planning(s); providing all equipment necessary for conducting research; explore, identify and arrange all required platforms to conduct research; and, provide vessel support time in Massachusetts Bay as needed as well as off the North/Central Florida coast. (Any specific minimum and maximum will be included at the Task Order Level).
2.3.3.2 Service Area 2:
The contractor shall provide analytical support services. The contractor shall provide technical assistance in analytical support for data consolidation, analysis, and scenario analysis modeling, with direction from the BOEM principal investigator; assist in literature reviews to support BOEM reports from project data acquisition; and, provide communications support in dissemination.
2.3.3.3 Service Area 3:
The contractor shall provide support the development of innovative science communication, education, and outreach initiatives. Support the development of innovative communications strategies which advance the modernization of analysis and communication methodologies.
2.4 IDIQ TASK AREAS
Task orders may be issued including any of the following task areas depending on the specific needs of the task order being issued. Some or all of the requirements detailed in the below task areas may be included in task orders issued.

2.4.1 Task Area 1, Develop an Infographic Package
The Contractor shall develop an infographic package related to a BOEM study. This should graphically depict the importance of a scientific study conducted by the BOEM Division of Environmental Studies. The specific study will be determined at the task order level. Graphic designers should have documented expertise in successful science communication initiatives as well as background in both still and animated communications. Infographics should be delivered in both print and web formats as well as a format suitable for sharing on social media.
2.4.2 Task Area 2, Spatial Ecology Studies and Behavioral Research Planning
The Contractor shall complete any background research and shall assist in the development of a Draft Field Support Plan. The Contractor shall provide a draft project management plan for supporting fieldwork. Specific details will be provided at the task order level but may include a) identifying who (if not a specific individual then a general position and qualifier, i.e. Data manager with expertise in data quality) b) An outline of the methodology developed in concert with the BOEM principal investigator and c) a timeline as too when specific tasks will be accomplished. This document shall also contain any necessary equipment which will need to be procured to reach the needed objective. This task shall include the synthesis of available spatial, behavioral and geographic data by reviewing relevant publications, planning documents, and other materials from BOEM, partners, and researchers. Annotated Bibliography: Preliminary versions of the annotated bibliography will be provided for examination and discussion at scheduled interim meetings. The final annotated bibliography shall be submitted in a readable catalog-style format as a MS Word document, as well as in an electronic format agreed upon by BOEM that is compatible with commonly used bibliographic software, such as Endnote. The Contractor shall also provide a copy in PDF format of each reference that is not already in BOEM’s possession or are readily accessible from the internet or through the DOI’s interlibrary loan program (https://www.doi.gov/library).
2.4.3 Task Area 3, Vessel Support for Research Implementation
The Contractor shall provide vessel support for at-sea research. It is anticipated the contractor will provide a minimum of 12 days of support vessel time, but the specific support required will be provided at the task order level. The vessel shall be as adequately equipped for offshore use and able to spend extended days and possible overnights at sea. The contractor shall contain all equipment needed for tagging operations, including radio direction finding equipment for locating detached tags. Geographic areas of operation to include Massachusetts Bay to Block Island and well as Cape Canaveral Region, Florida. This shall include provision of any needed kinematic behavioral logging telemetry tags as well as satellite tags.
2.4.4 Task Area 4, Spatial Ecology Research Implementation
The Contractor shall provide geospatial, kinematic, and acoustic analysis support services related to animal physiological studies; provide technical assistance in analytical support; with direction https://www.doi.gov/library
Request for Proposal (RFP) No. 140M0121R0004 Amendment 0002 Page 10 of 48 from the BOEM principal investigator, assist in manuscript writing to support BOEM reports from project data acquisition as needed and specified under task orders.
The objective of several spatial ecological studies is to understand how ecological and behavioral drivers impact risk of mortality to various species; an ongoing and active issue in the offshore energy and mineral industry. Specifically, this task area aims to quantify the amount of time these large bodied, low trophic elasmobranchs spend within core BOEM activity areas.
To meet this objective, this task area may include collecting new, and synthesizing existing data on spatial and behavioral ecology of these species in the vicinity of both renewable and non-renewable energy operations to determine risk in relation to habitat use. Additional telemetry data will improve fine scale behavior and interaction risk. Animal-borne sensors which sample at rapid intervals, typically sub-second, collect information on pitch, roll, heading and depth as well as other oceanographic variables can be utilized to visualize an animal's behavior.
Anticipated analytical support time may be detailed at the task order level. Support will include data analysis, organization, and preparation of spatial and behavioral data. The contractor shall present data in an organized fashion that leads to manuscript authoring. The contractor shall collate and respond to feedback from coauthors and submit manuscript for peer review journal.
The contractor shall address any editor feedback from journal and BOEM editors.
It is estimated that this task area may compile approximately 300-400 hours sampled at 60-90hz of inertial measurement unit data from biologging sensors which will require analysis. Specific details will be provided at the task order level. Appropriate staff time should be attributed for analysis of data.
2.4.5 Task Area 5, Workshop Support
The contractor shall conduct up to an estimated six (6) planning meetings under this task area.
These planning meetings shall include the identification of a facilitator and should be held via video conference (contractor shall identify and provide a platform for video conferencing) The contractor shall review relevant publications, planning documents, and other materials from BOEM, partners, and researchers.
The contractor shall provide facilitation and workshop planning services using staff familiar with ecosystem-based management, science communications, strategic planning, ecosystem modeling, and a trained graphic facilitator for up to two (2) meetings or as otherwise detailed in the task order. This shall include meeting planning and preparations, agenda development, note-taking, and development of a final workshop report.
2.4.6 Task Area 6, Open Source Hardware Workshop
The contractor shall assist in the planning and execution of a collaboration/citizen science workshop using open source tools such as the OpenCTD or related open source technology of use for environmental monitoring citizen science initiatives. This shall include assembly, demonstration units, and communications/outreach support. The contractor shall provide a
Request for Proposal (RFP) No. 140M0121R0004 Amendment 0002 Page 11 of 48 minimum of 10 OpenCTD units as well as training, technical support, data management and data visualization unless otherwise detailed in the task order.
2.4.7 Task Area 7, Geospatial & Engineering Support for Animal Telemetry Studies
The contractor shall provide support for hardware customization services design of open-source telemetry tags that includes development of sensor types and software compression for transmission through the Argos or other type airborne asset. This shall include flexibility in species attachment for various tag types, as well as appropriate software compression for transmitting via satellite if needed. This may include integration of sensors such as heart rate, conductivity, and acoustic event sensing. Additionally, this may also include the need for a rechargeable recovery beacon.
The Contractor shall provide geospatial and engineering telemetry support services related to animal movement studies; provide equipment; with direction from the BOEM principal investigator, assist in manuscript writing to support BOEM reports from project data acquisition.
2.4.8 Task Area 8, Science Communication Support
The contractor shall develop Science Communication Video(s). The contractor shall provide video production support and all required equipment for one live action or animated video or as specified in the task order.
Videos shall feature a BOEM environmental study or assessment topic and must be of appropriate length and quality for engaging public dissemination such as on NOAA Ocean Today Kiosk and other media outlets. This task area may include travel to at least one BOEM study location if specified in the task order. This task area may include several days at sea, not exceeding an anticipated two (2) week. The contractor shall provide communications support including staff with a background in visual communications with experience working in the field, under adverse conditions, and able to work independently as well as supported by the project to complete concise, effective, and compelling visual products on the subject matter.
The contractor shall include use of data visualization or animation products when appropriate.
Contractor support under this task area must meet the following:
• Must be able to supply all recording equipment of a professional level.
• Possess proper general liability insurance.
• An extensive portfolio of natural history subjects is required
• Must be a capable pilot with expertise in a variety of difficult missions in adverse conditions. (For example, small boat operations in swells while underway in poor conditions to capture footage)
• Record of experience in visual communication using animation, motion graphics
• Knowledge of the subject matter such as marine mammal science, highly migratory and protected species identification and behavior as well as experience in basic maritime operations and first aid certificates.
• Personnel assigned to join fieldwork will be one of the team and shall contribute to the

• Must possess underwater videography capabilities with both pole-camera systems and/or housed camera units.
• The communications individual(s) shall have proven expertise meeting tight deadlines, be adaptable to shoot and storyboard with little notice and communicate effectively.
• Personnel shall be prepared for physically demanding long days at sea followed by efficient file management as well as managing large image libraries all while on expedition.
• Personnel shall work with the study’s communications coordinator to author necessary scripts or storyboards for BOEM approval.
• Able to provide/work with animation for effective science communication of concepts and subject matter than may not be easily filmed.
2.4.8.1 Task Area 8a, Science Communication Support- Development of Animated Gifs and/or Maps
The contractor shall develop animated gifs or infographics. The contractor shall develop an animated gif based on a scientific method, ecological concept, or environmental assessment need. This animated gif should be appropriately sized for use in social media and in presentations.
2.4.8.2 Task Area 8b, Science Communication Support- Animated Video
The Contractor shall develop Science Communication Video(s). The contractor shall produce an animated video. Videos shall feature a BOEM environmental study or assessment topic and must be of appropriate length, style, and quality for engaging public dissemination such as both on NOAA Ocean Today Kiosk and other media outlets. Communications support shall include contractor staff with a background in story development, visual communications, motion graphics/animation, and overall video production. The contractor must be able to work independently as well as collaborate with the project team to complete concise, effective, and compelling visual products on the subject matter. This will include the use of data visualization and animation products when appropriate. The contractor shall have experience in producing work with animation for effective science communication of complicated concepts and subject matter that may not be easily filmed.
2.4.8.3 Task Area 8c, Science Communication Support- Outreach Presentation Development
The contractor shall provide communications support for co-authoring and developing a concise presentation on a study subject or need. This should not exceed 15 minutes in length, unless otherwise specified in the task order, and will include development of key messages, content, scripting and developing animations/graphics to convey the key messages.
2.4.8.4 Task Area 8d, Science Communication Support- Development of Interactive PDF Document
The contractor shall develop a single interactive PDF report based on text provided by the Office of Environmental Programs that incorporates digitally rich media. This interactive pdf shall be

This may include links to BOEM supporting studies, videos, audio, forms, buttons, animated gif files embedded within the document to effectively communicate scientific content using multiple cognitive modalities.
2.4.9 Task Area 9, Improve User Engagement in Open-Source Participatory Science
The Environmental Studies Program (ESP) of the Bureau of Ocean Energy Management (BOEM) is engaged in several studies which incorporate machine learning to better understand marine mammal populations in the vicinity of energy and mineral development operations. These studies require the ability to ingest and analyze vast quantities of mark-recapture photo-identification data in little time on a number of species.
The contractor shall improve the usability of machine learning algorithms incorporated into an open-source distributed database. The Contractor shall perform appropriate quality assurance/quality control (QA/QC) and conduct preliminary analysis and interpretation of the data collected in coordination with the BOEM principal investigator. This may include a) quantitative assessment of user experience and user interface; b) Establish a baseline of distributed database usability and data-informed improvements; c) Detection model training: Create a deep learning model that will allow future photos to be curated without human intervention (finding animals in the image, removing background pixels, predicting viewpoint). This model is the precursor to second stage individual ID with algorithms and machine learning.
Data blending of legacy data, linking at least photos to IDs shall be imported into Flukebook.org where data can be secured for private access and wherein matching algorithms can be run. The contractor shall generate a final report of matching performance, user accessibility, and suggest avenues forward in scaling matching using computer video/machine learning. The contractor shall support the development of innovative educational materials which support ocean and climate literacy concepts.
2.4.10 Task Area 10, Literature Review and Data Collection
The contractor shall conduct a careful literature compilation of all relevant information on a subject area. Information sources consulted should include, but not necessarily be limited to:
technical reports from government agencies or scientific research groups, working papers from research groups or committees, white papers, pre-prints, published peer reviewed literature, gray literature, and conference proceedings. This review shall concentrate on study results that are relevant to impacts to resources commonly evaluated in BOEM’s NEPA analyses for oil and gas, renewable energy exploration, development, production, and decommissioning on the Outer Continental Shelf. As practicable, the BOEM COR may provide the Contractor with relevant references to studies and other information for potential incorporation into this analysis.
The Contractor shall also provide an annotated bibliography detailing results from the literature search in an electronic format. Incorporated information shall include, but not necessarily be limited to: Reference Type, Author(s), Primary Title, Journal Name, Cover Date, Publisher, International Standard Serial Number (ISSN), Subject, Start Page, End Page, Volume, Issue, Uniform Resource Locator (URL), Digital Object Identifier, Abstract, and Keywords. A list of standardized keywords shall be developed for this purpose in consultation with BOEM. The Contractor shall also provide a copy in Adobe portable document format (PDF) of references that

Reports or documents that are already in BOEM’s possession, are readily accessible from the internet or through the Department of the Interior (DOI) interlibrary loan program (https://www.doi.gov/library), or are subject to subscription or copyright restriction need not be provided.
The Contractor shall convene approximately two to four web-conferences with BOEM to discuss results of the literature review and refine the scope of the subsequent analysis. The goal of these meetings is to ensure that the literature search is providing the necessary information and mutual agreement regarding the analysis approach.
The Contractor shall analyze and synthesize the data collected to produce a summary of research collected and analysis. The Contractor shall identify any additional information needs pertinent to environmental impact analysis related to oil spills in this size range and offer a suggested approach to filling such needs, as appropriate.
2.4.11 Task Area 11, Systems Modeling to Support Decision-Making
The contractor shall provide Systems Modeling to Support Decision-Making of the relationship between coupled human-natural systems using a dynamic multiscale model to visualize decision scenarios. This should include the ability to incorporate observed complexities of real-world systems, as well as knock-on effects and feedbacks to assess the long-term sustainability of decisions.
2.5 MEETINGS, REPORTS AND OTHER DELIVERABLES
Each task order issued by the Government under the IDIQ contract shall specify deliverables, quantities, delivery location, and delivery schedules as applicable. The Contractor shall clearly mark all documents and correspondence with the task order and IDIQ contract number on the first page. All correspondence, including email, pertaining to this Contract shall include the task order and contract number on the subject line. The following deliverables shall be submitted and meetings held in accordance with the schedule provided at the task order level. The Contractor is responsible for editing and proofreading all material in order to prepare products as error free as possible prior to their delivery to the BOEM. The Contractor shall submit all manuscripts intended for publication in journals and all abstracts or summaries prepared for oral presentations, based on this study, to the BOEM COR for review and comment prior to submittal to the journal or conference authority.
2.5.1 Meeting Attendance
The Contractor shall attend meetings as required during performance of the contract and as specified under individual task orders. Meetings typically include a kickoff meeting, one or more progress meetings, and meetings to present final reports. Meetings may consist of webinars or conference calls in lieu of in-person meetings to reduce travel expenses.
2.5.2 Monthly Status Reports

These reports shall be in sufficient detail to describe all work accomplished and results achieved during the month and shall include a brief discussion of the planned actions for the succeeding month. These reports may be submitted via email. This requirement will end upon final acceptance of task order deliverables.
2.6 SCHEDULE AND DISTRIBUTION OF DELIVERABLES
Deliverable products shall be submitted to the addresses shown in Section 2.7 in accordance with the delivery schedule provided at the task order level. All deliverable products shall be provided in digital form and in hard copy when specified.

SECTION 3
TERMS AND CONDITIONS
3.1 TERM OF THE CONTRACT
The five (5) year IDIQ contract ordering period is as follows:
Contract Year 1 (Months 1 through 12): 6/11/2021-6/10/2022 Contract Year 2 (Months 13 through 24): 6/11/2022-6/10/2023 Contract Year 3 (Months 25 through 36): 6/11/2023-6/10/2024 Contract Year 4 (Months 37 through 48): 6/11/2024-6/10/2025 Contract Year 5 (Months 49 through 60): 6/11/2025-6/10/2026
The period of performance for individual task orders may extend beyond the IDIQ contract ordering period. However, no new task orders may be issued once the IDIQ contract order period has expired. The period of performance for any single task order shall not exceed five (5) years in duration.
3.2 PLACE OF PERFORMANCE/ DELIVERY ADDRESS
The primary place of performance will be detailed at the task order level.
3.3 AUTHORIZED USERS ORDERING PROCEDURES
Bureau of Safety and Environmental Enforcement (BSEE) Contracting Officers are authorized to issue task orders hereunder, on behalf of the Bureau of Ocean Energy Management (BOEM).
3.4 TYPE OF ORDERS
Firm-fixed-price type task orders are anticipated under this IDIQ. However, the government reserves the right to issue time-and-material (T&M) or labor hour (LH) type task orders.
3.5 ORDERING PROCEDURES
3.5.1 The Government estimates, but does not guarantee, that the total amount of task orders issued under the contract will be not to exceed approximately $3,500,000.00 for five (5) years.
Individual task orders shall clearly describe all services to be performed or supplies to be delivered so the full cost or price for the performance of the work can be established when the task order is placed. Task orders shall be within the scope, issued within the period of performance, and be within the maximum value of the contract.
3.5.2 All task orders will be issued in writing signed by an authorized Contracting Officer.
3.5.3 The Government will not reimburse the Contractor for the costs of preparing quotations

3.5.4 The Contracting Officer will request written technical and price quotations from the contract holder in accordance with FAR 16.505.
3.5.5 The Request for Quotation for each task order will specify the pertinent requirements and quotation instructions, such as the following:
• Deadline for submission of the quotation.
• Statement of Work (Background, Objectives, and Specific Tasking)
• Specifications for Deliverables
• Location of Performance
• Period of Performance
• Government Furnished Items, if available
• Detailed instructions for the quotation
• Evaluation Factors for task order award
3.5.6 The Contractor shall provide a written quotation based upon the established fixed rates incorporated in the IDIQ under Section 1.2, reduced by any additional discounts offered, no later than the deadline specified in the Task Order Request for Quotation.
3.5.7 The Government will evaluate the task order quotation based upon the Evaluation Factors specified in the Request for Quotations and issue a task order if determined to be in the best interest of the Government.
3.6 NO PAYMENT FOR UNAUTHORIZED WORK
No payments will be made for any unauthorized supplies and/or services, or for any unauthorized changes to the work specified herein. This includes any services performed by the Contractor of their own volition or at the request of an individual other than a duly appointed Contracting Officer. Only a duly appointed Contracting Officer is authorized to change the specifications, terms, and conditions under this effort.

3.8 PAYMENTS
3.8.1 DOI-AAAP-0028 V03 ELECTRONIC INVOICING AND PAYMENT
REQUIREMENTS—INVOICE PROCESSING PLATFORM (IPP) (APR 2013)
Payment requests must be submitted electronically through the U.S. Department of the Treasury’s Invoice Processing Platform System (IPP). ”Payment request“ means any request for contract financing payment or invoice payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions - Commercial Items included in commercial item contracts. Under this contract at the task or delivery order level, the following documents are required to be submitted as an attachment to the IPP invoice:

The Contractor must use the IPP website to register access and use IPP for submitting requests for payment. The Contractor Government Business Point of Contact (as listed in System for Award Management [SAM]) will receive enrollment instructions via email from the Federal Reserve Bank of Boston (FRBB) prior to the contract award date, but no more than 3–5 business days from the contract award date. Contractor assistance with enrollment can be obtained by contacting the IPP Production Helpdesk via email ippgroup@bos.frb.org or phone (866) 973- 3131.
If the Contractor is unable to comply with the requirement to use IPP tor submitting invoices for payment, the Contractor must submit a waiver request in writing to the CO with its proposal or proposal.
3.8.2 INVOICE FREQUENCY AND PAYMENTS

3.9 DIAR 1452.201-70 AUTHORITIES AND DELEGATIONS (SEP 2011)
(a) The Contracting Officer is the only individual authorized to enter into or terminate this contract, modify any term or condition of this contract, waive any requirement of this contract, or accept nonconforming work.
(b) The Contracting Officer will designate a Contracting Officer's Representative (COR) at time of award. The COR will be responsible for technical monitoring of the contractor's performance and deliveries. The COR will be appointed in writing, and a copy of the appointment will be furnished to the Contractor. Changes to this delegation will be made by written changes to the existing appointment or by issuance of a new appointment.
(c) The COR is not authorized to perform, formally or informally, any of the following actions:
(1) Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract;
(2) Waive or agree to modification of the delivery schedule;
(3) Make any final decision on any contract matter subject to the Disputes Clause;
(4) Terminate, for any reason, the Contractor's right to proceed;
(5) Obligate in any way, the payment of money by the Government.
(d) The Contractor shall comply with the written or oral direction of the Contracting Officer or authorized representative(s) acting within the scope and authority of the appointment memorandum. The Contractor need not proceed with direction that it considers to have been issued without proper authority. The Contractor shall notify the Contracting Officer in writing, with as much detail as possible, when the COR has taken an action or has issued direction (written or oral) that the Contractor considers to exceed the COR's appointment, within 3 days of the occurrence. Unless otherwise provided in this contract, the Contractor assumes all costs, risks, liabilities, and consequences of performing any work it is directed to perform that falls within any of the categories defined in paragraph (c) prior to receipt of the Contracting Officer's response issued under paragraph (e) of this clause.
(e) The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph (d) of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.
(f) The Contractor shall provide copies of all correspondence to the Contracting Officer and the
COR.
(g) Any action(s) taken by the Contractor, in response to any direction given by any person acting on behalf of the Government or any Government official other than the Contracting Officer or the COR acting within his or her appointment, shall be at the Contractor's risk.

3.10 CONTRACTOR PERFORMANCE ASSESSMENT REPORTING SYSTEM (JUL
2010) (DOI-AAAP-0050)
(a) FAR 42.1502 directs all Federal agencies to collect past performance information on contracts. The Department of the Interior (DOI) has implemented the Contractor Performance Assessment Reporting System (CPARS) to comply with this regulation. One or more past performance evaluations will be conducted in order to record your contract performance as required by FAR 42.15.
(b) The past performance evaluation process is a totally paperless process using CPARS.
CPARS is a web-based system that allows for electronic processing of the performance evaluation report. Once the report is processed, it is available in the Past Performance Information Retrieval System (PPIRS) for Government use in evaluating past performance as part of a source selection action.
(c) We request that you furnish the Contracting Officer with the name, position title, phone number, and email address for each person designated to have access to your firm’s past performance evaluation(s) for the contract no later than 30 days after award. Each person granted access will have the ability to provide comments in the Contractor portion of the report and state whether or not the Contractor agrees with the evaluation, before returning the report to the Assessing Official. The report information must be protected as source selection sensitive information not releasable to the public.
(d) When your Contractor Representative(s) (Past Performance Points of Contact) are registered in CPARS, they will receive an automatically-generated email with detailed login instructions.
Further details, systems requirements, and training information for CPARS is available at http://www.cpars.csd.disa.mil/. The CPARS User Manual, registration for On Line Training for Contractor Representatives, and a practice application may be found at this site.
(e) Within 60 days after the end of a performance period, the Contracting Officer will complete an interim or final past performance evaluation, and the report will be accessible at http://www.cpars.csd.disa.mil/. Contractor Representatives may then provide comments in response to the evaluation, or return the evaluation without comment. Comments are limited to the space provided in Block 22. Your comments should focus on objective facts in the Assessing Official’s narrative and should provide your views on the causes and ramifications of the assessed performance. In addition to the ratings and supporting narratives, blocks 1 – 17 should be reviewed for accuracy, as these include key fields that will be used by the Government to identify your firm in future source selection actions. If you elect not to provide comments, please acknowledge receipt of the evaluation by indicating “No comment” in Block 22, and then signing and dating Block 23 of the form. Without a statement in Block 22, you will be unable to sign and submit the evaluation back to the Government. If you do not sign and submit the CPAR within 30 days, it will automatically be returned to the Government and will be annotated: “The report was delivered/received by the contractor on (date). The contractor neither signed nor offered comment in response to this assessment.” Your response is due within 30 calendar days after receipt of the CPAR.

(f) The following guidelines apply concerning your use of the past performance evaluation:
(1) Protect the evaluation as “source selection information.” After review, transmit the evaluation by completing and submitting the form through CPARS. If for some reason you are unable to view and/or submit the form through CPARS, contact the Contracting Officer for instructions.
(2) Strictly control access to the evaluation within your organization. Ensure the evaluation is never released to persons or entities outside of your control.
(3) Prohibit the use of or reference to evaluation data for advertising, promotional material, preaward surveys, responsibility determinations, production readiness reviews, or other similar purposes.
(g) If you wish to discuss a past performance evaluation, you should request a meeting in writing to the Contracting Officer no later than seven days following your receipt of the evaluation. The meeting will be held in person or via telephone or other means during your 30-day review period.
(h) A copy of the completed past performance evaluation will be available in CPARS for your viewing and for Government use supporting source selection actions after it has been finalized.
