About this file

This is a Sole Source Justification document for a federal contract award by the Department of Homeland Security (DHS), Immigration and Customs Enforcement (ICE), Office of Acquisition Management on behalf of Homeland Security Investigations (HSI) San Antonio.

The acquisition seeks to procure one mission-critical 2-Band SHROUD 2-Unit Kit from Syndetix, Inc., located at 2820 N Telshor Boulevard, Las Cruces, New Mexico 88011-8230, on a non-competitive basis under a Firm Fixed-Price (FFP) contract type. The SHROUD system is a specialized operational tool designed to support high-risk warrants, law enforcement operations, and surveillance activities by managing risks associated with Wi-Fi-enabled technologies that could compromise officer safety, surveillance integrity, or mission objectives. The system provides capabilities to identify, acquire, and analyze evidence from smart home devices, wearables, and other IoT systems frequently encountered in HSI, U.S. Secret Service, and IRS investigations.

The justification invokes RFO FAR 8.401(b) exception for sole-source procurement, citing that only Syndetix, Inc., as the Original Equipment Manufacturer (OEM) and sole provider of the SHROUD product line and proprietary technology, is capable of providing the required system, maintenance, support, and upgrades at the necessary quality level. The document establishes that alternative commercial products would introduce unacceptable operational risks and cannot provide equivalent proprietary capability or OEM support. The absence of this equipment would negatively impact HSI San Antonio's ability to conduct secure law enforcement operations and could adversely affect broader homeland security and national security missions. Pricing details are redacted in the document, and no specific award or response date is provided.

effectively support high-risk warrants, law enforcement operations, and surveillance activities.

The SHROUD system provides HSI with a specialized operational capability that supports covert and safe mission execution in environments where Wi-Fi-enabled technologies may create officer-safety risks, compromise investigative activity, or interfere with mission objectives. The system supports HSI’s ability to manage risks associated with Wi-Fi-connected devices that may be encountered during law enforcement operations.

This equipment is required to enhance operational safety, protect the integrity of law enforcement surveillance, and support mission effectiveness during high-risk investigative activities.

The device capability to identify, acquire, and analyze evidence from smart home devices, wearables, and other IoT systems frequently encountered in HSI, USSS, and IRS investigations.

4. Identification of Regulatory Exception and Rationale.

RFO FAR 8.401(b) Only one source is capable of providing the products, services, or solution required at the level of quality required because the products, services, or solutions are unique or highly specialized

5. Identification of Exception to the Buy American Statute (Section is required to be completed when the J&A includes the exception listed under RFO 25.103(b)(2) or RFO 25.202(a)(2)). Identify the nonavailability exception listed under RFO 25.103(b) or RFO 25.202(a)(2).

This justification does not invoke a nonavailability exception under RFO 25.103(b)(2) or RFO 25.202(a)(2). The exception to the Buy American statute is not applicable for this acquisition.

6. Demonstration of the Proposed Contractor’s Unique Qualifications to Provide the Requirement. Include the following information:

HSI San Antonio requires a specialized system capable of supporting law enforcement operations in environments involving Wi-Fi-enabled technologies that may affect officer safety, surveillance integrity, and operational security. The required capability must be reliable, field-ready, and suitable for use in sensitive law enforcement operations.

surveillance activities. Without this capability, operational personnel may face increased risk from Wi-Fi-enabled technologies that can compromise surveillance, alert subjects, impede lawful operations, or create officer-safety concerns.

The absence of this equipment could disrupt law enforcement surveillance operations by limiting the Government’s ability to conduct secure, timely, and effective investigative activities. This could result in reduced situational awareness, increased operational risk, delayed enforcement actions, and degraded support to ongoing or future investigations.

Because HSI’s mission directly supports homeland security, public safety, and the investigation of serious criminal activity, any disruption to law enforcement surveillance capabilities may adversely affect mission readiness and could create broader national security impacts.

For these reasons, the requested Syndetix system is essential to HSI San Antonio’s operational requirements, and only Syndetix, Inc. is capable of providing the required product and associated support at the necessary level of quality.

9. Technical/Requirements Personnel Certification.

Pursuant to RFO FAR 8.401(b) and the ordering procedures at certify that this requirement meets the Government’s minimum need and that the supporting data, which forms a basis for the justification, is accurate and complete.

10. Contracting Officer’s Certification.

I certify that the data supporting the recommended use of other than full and open competition is accurate and complete to the best of my knowledge and belief.
