About this file

This is an Affidavit of Joint Venture form issued by the City of Little Rock, Arkansas, for use in responding to government solicitations including Requests for Supplier Qualifications (RFSQ), Requests for Proposals (RFP), and Statements of Qualifications (SOQ). The form must be submitted with all joint venture proposals and requires submission of a written joint venture agreement. The document defines a joint venture as two or more parties joining to carry out a single, for-profit business enterprise where each party contributes property, capital, efforts, skills, and knowledge, and each maintains responsibility for distinct, clearly defined portions of work while sharing capital contribution, control, management, risks, and profits commensurate with ownership interest. The form accommodates up to four parties and requires identification of each party's company information, contact details, role in the joint venture, ownership percentage, and minority or women-owned business status with third-party certification details if applicable.

The joint venture agreement must include specific details regarding capital and equipment contributions, work items to be performed by each party, and the commitment of management, supervisory, and operative personnel dedicated to project performance. All information provided must be accurate and complete, with affidavits signed by authorized representatives of each party and notarized. The City of Little Rock specifically encourages minority and women-owned business partnerships, with classifications defined by Arkansas Code Annotated Act 554 of 1977 for minority-owned businesses and Act 1080 of 2017 for women-owned businesses. Any material changes to the joint venture agreement after submission must be reported to the City, and material misrepresentation is grounds for contract termination and potential legal action under federal or state law.
