9.6 Additional Statement of Work 6 – Maintenance and Operations Pool of Hours SFY 26-27

9.6.1. Maintenance and Operations (M&O) consists of maintenance and operational activities performed to ensure ADAT is fully functional and performs optimally until the system reaches the end of the contract. M&O includes, but is not limited to, day-to-day and ongoing support 24/7/365, maintenance, operations upgrades, administration, data management testing, ADAT database loads, patches, repairs, monitoring system, identifying and correcting system defects and issues, testing the application after Merative or any other software upgrades and changes are made, adding/modifying configuration settings, tuning the release of hardware and software, optimizing performance, ensuring audit logs, programs, and documentation are current and similar work as defined in the Contract. M&O also includes work related to interactions, connectivity, interoperability, and functionality between and among ADAT and Ohio Department of Medicaid Enterprise Data Warehouse (ODM EDW), other OMES modules, managed care entities, State agencies, and other entities as defined in the Contract. Additional data will be sourced from ODM or other sources as mutually agreed upon utilizing the pool of hours defined in Section 9.6.3.4. Identification of Pool Hours below. M&O also includes two analytic consultants to support ADAT users, build and maintain standard reports for ADAT, review standard reports, communicate information about Ohio Medicaid data to users, and support specialized users in fields such as clinical quality; financial modeling; fraud, waste, and abuse; and analytic techniques.

9.6.2. Contractor must have in place a team that will handle all M&O responsibilities for ADAT:

9.6.2.1. This group of individuals from Contractor responsible for M&O are referred to herein as “the Ohio M&O Team”;

9.6.2.2. Contractor must identify the job titles, hourly rates, and job descriptions for each member of the Ohio M&O Team;

9.6.2.3. Contractor must identify whether each Ohio M&O Team member is dedicated full time or part time to M&O work for the ADAT;

9.6.2.4. Contractor must provide a table of organization for the Ohio M&O Team and update it bi-annually, including increasing or decreasing the number of team members or replacing team members. Contractor must notify ODM in writing within three business days of any changes in staffing or new staff additions to the Ohio M&O Team;

9.6.2.5. Consistent with Section 9.6.1. above, Contractor must provide two analytic consultants to support ADAT users, build and maintain standard reports for ADAT, review standard reports, communicate information about Ohio Medicaid data to users, and support specialized users in fields such as clinical quality; financial modeling; fraud, waste, and abuse; and analytic techniques; and

9.6.2.6. Contractor must provide data reloads as needed utilizing the pool of hours defined in

Section 9.6.3.4. Identification of Pool Hours below. A data reload may be necessitated by a defect identified by the Contractor or defect in the data received.

9.6.3. Resources for Completion of Change Requests

Completion of work for Change Requests shall be governed as follows:

9.6.3.1 Existing Contractual Obligations - Contractor agrees that the resources necessary to correct any system defects or work described in the M&O section above with ADAT shall be work at no additional cost to ODM.

International Business Machines Corporation 0A1260, Amendment 9 Page 4 of 7

9.6.3.2. Identifying Change Requests

a. If Contractor reasonably and in good faith believes that a specific project does not fall within the scope of Contractor’s existing contractual obligations, Contractor must submit the proposed work to ODM as a “Change Request” in the form and process prescribed by ODM and DAS. The request to ODM shall include: (a) a description of the work, (b) Contractor’s assessment of why it believes the proposed work is outside of existing contractual obligations, (c) the resources Contractor proposes for the work, and (d) the number of hours required to complete the work.

b. After receiving a Change Request, ODM shall assess the Change Request and determine whether ODM agrees or disagrees that the Change Request falls outside of Contractor’s existing contractual obligations. If ODM disagrees with Contractor and believes that the specific work falls within the scope of existing contractual obligations, ODM and Contractor shall meet and in good faith discuss the difference of opinions and attempt to reach alignment.

c. ODM shall have full discretion to make the final decision whether specific work falls within Contractor’s existing contractual obligations. ODM agrees to make reasonable decisions in good faith and in conformity with the Contract.

d. ODM shall instruct Contractor how to prioritize the Pool Hours or Ohio M&O Team hours and Contractor shall follow such instructions.

9.6.3.3. Change Orders

a. Change Requests that ODM determines fall outside of Contractor’s existing contractual obligations shall be referred to herein as “Change Orders.”

b. Contractor agrees to not begin the work on any Change Order unless the following has occurred:

1. Contractor receives written approval by ODM Leadership to begin work; and

2. A purchase order is issued.

c. ODM shall have final approval over the scope, resources, and hours used to complete Change Orders. Contractor cannot exceed the hours and cost amount approved by ODM for work on a Change Order, unless otherwise authorized in writing by ODM.

9.6.3.5. Identification of Pool Hours

a. There shall exist a “pool” of hours for the Contractor’s work on Change Orders during fiscal year 2026 (the “FY 2026 Pool Hours”).

b. The not-to-exceed amount of FY 2026 Pool Hours, shall be $1,700,000.00 at ODM-approved rates not to exceed the rates set forth in the Contract.

c. There shall exist a “pool” of hours for the Contractor’s work on Change Orders during fiscal year 2027 (the “FY 2027 Pool Hours”).

d. The not-to-exceed amount of FY 2027 Pool Hours shall be $1,700,000.00 at the ODM-approved rates set forth in Attachment Nine, Cost Proposal, of the Contract for FY2027.

e. The number of Pool Hours available for the FY26-FY27 biennium is approximately 10,200.

International Business Machines Corporation 0A1260, Amendment 9 Page 5 of 7

9.6.3.6. To complete each Change Order, ODM and the Contractor shall decide whether to use either (a) additional Contractor resources using Pool Hours; and/or (b) the Ohio M&O Team using Pool Hours. ODM shall instruct Contractor how to prioritize the Pool Hours and Contractor shall follow such instructions.

a. Pool hours are hours worked on Change Orders by Contractor’s resources. Pool hours can be applied to Contractor additional resources and/or the Ohio M&O Team only for hours that are not within the M&O work for ADAT. Thus, an Ohio M&O Team member who is fully dedicated to ADAT work cannot charge pool hours. Such an individual is already compensated through M&O payments. In contrast, an Ohio M&O Team member who is working 0.5 of each work day on ADAT would be eligible to charge pool hours for the other 0.5 of the work day.

b. Given ongoing operational obligations related to maintaining and operating the system, ODM acknowledges that Change Orders fulfilled by the Ohio M&O Team may take longer to complete than had ODM opted to use additional Contractor resources using pool hours. Notwithstanding the foregoing, Contractor agrees that its Ohio M&O Team will work efficiently and diligently on assigned Change Order work.

9.6.3.7. Compensation

a. The maximum potential total of Contractor’s payment for fiscal year 2026 (July 1, 2025 through June 30, 2026) shall consist of:

1. M&O compensation defined in the Contract, including all licensing and other fees; and

2. The total potential pool hours set forth in this Section.

b. The maximum potential total of Contractor’s payment for fiscal year 2027 (July 1, 2026 through June 30, 2027) shall consist of:

1. M&O compensation defined in the Contract, including all licensing and other fees; and

2. The total potential pool hours set forth in this Section.

c. For work on Change Orders by the Ohio M&O Team for hours that are within the time those individuals are required for M&O work for ADAT, Contractor shall not be entitled to additional compensation beyond the M&O compensation already set out in the Contract.

9.6.4 Miscellaneous

9.6.4.1. Unless otherwise specified in the Change Order, the Contractor must invoice pool hours monthly. The invoices must fully describe the resources and progress on each Change Order, and include resource names and hours completed by each resource.

ODM shall only pay for work that the Contractor completed, is accepted by ODM, and is invoiced as described herein.

9.6.4.2. Upon request by ODM, the Contractor must make available its books, records, and documentation related to work conducted by the Ohio M&O Team.

9.6.4.3. Upon request by ODM, the Contractor must make available to ODM its books, records, and documentation appropriate for a time and material contract and related to work

International Business Machines Corporation 0A1260, Amendment 9 Page 6 of 7 conducted by the Contractor for ODM’s resources other than Ohio M&O Team resources.

9.6.4.4. Contractor must identify the team members supporting ADAT work and provide monthly time sheets for the time and materials work. The Contractor must follow the following process to submit monthly time sheets:

On or before the close of business on the third day of each calendar month, Contractor must submit to ODM a time sheet for the preceding month including information related to all Contractor resources who conducted time and material work for ODM. This time sheet shall include, at minimum:

a. For each resource, by week:

1. The name of the resource;

2. The work conducted by the resource during each week or partial week of the preceding month; and

3. The hours worked for ODM for each week or partial week of the preceding month.

b. When describing the work conducted by each resource, Contractor must include sufficient information for ODM to be able to assess the work completed and productivity of the resource. Time sheets can be a summary of work but there must be sufficient detail for ODM to be able to understand and assess what work the resource completed each week.

c. The Contractor shall invoice ODM only for the hours that a resource actually worked for ODM. Breaks, time off, vacations, and down time shall not be included in the invoice.

d. The Contractor must submit time sheets to the ODM Contract Manager.

e. Upon request, the Contractor must make available applicable documentation and information supporting or validating the information in each time sheet.

9.6.5 New State Responsibilities. Without limiting the State’s responsibilities elsewhere under the Contract:

9.6.5.1. ODM shall review Change Requests submitted by Contractor.

9.6.5.2. ODM will determine if the Change Request falls under the Pooled Resource Hours or the Ohio M&O Team.
