In the event funds to finance this contract become unavailable, either in full or in part, due to such reductions, NCBVI may terminate the contract or reduce the consideration upon thirty (30) days written notice to the Contractor. Said notice shall be delivered by certified mail (return receipt requested) or in person (with proof of delivery).

• Estimated or actual impressions, when available.

The Contractor may make routine scheduling adjustments needed to execute the campaign. For campaigns tied to a specific registration, enrollment, event, or other deadline identified by NCBVI in writing, the Contractor shall obtain NCBVI approval before changing the schedule in a manner that would affect the deadline-related placement.

8. Proof of Performance and Invoicing Support Each invoice shall be supported by sufficient documentation for NCBVI to verify the services delivered during the billing period. Documentation should include, where available:

• Invoice number and billing period; contract number, if available; and a description of services provided.

• Monthly investment amount, cumulative amount billed to date, and remaining balance of the $42,560 maximum contract amount.

• For radio placements: station-generated broadcast logs or equivalent records showing actual station, date/time or daypart, and the number of paid spots delivered.

• Identification of make-good and bonus spots and separate identification of Husker football advertising, when applicable.

• For streaming/digital placements: performance data such as impressions delivered, reach when available, clicks when applicable, geographic distribution when available, campaign dates, number of placements delivered, and media cost.

9. Missed Spots, Preemption, and Makegoods If a paid advertisement is preempted or otherwise not delivered, the Contractor may provide an equivalent substitute placement (makegood). Makegoods should be documented in the monthly performance information. If NCBVI and the Contractor do not mutually agree to a replacement for a non-delivered paid placement, NCBVI will not be charged for that non-delivered placement. This section does not alter any more specific remedy or payment provision contained in the Contract.

10. Contract Value The total not-to-exceed investment for the services described in this Attachment D and Appendix A is $42,560.00. Production, copywriting, creative services, and revisions described in Appendix A are included in the quoted price. No additional services or costs are authorized unless approved in accordance with the Contract.

11. Appendix A Reference Appendix A: NCBVI Annual Radio Proposal 2027, presented by Anthony Santanasto, Broadcast House Media / NRG Media.
