3. All information relating to this RFP, including pertinent changes/amendments and information will be posted on web site: http://www.fbo.gov. For security reasons, all potential offerors are required to be registered in the GSA System for Award Management (SAM) database. Firms can register via the SAM internet site at https://www.sam.gov/portal/public/SAM/. Interested bidders are required to submit their representations and certifications at the same site.

4. A complete proposal package must contain the following:

(a) Offer, Standard Form (SF) 1449 front and back signed

(b) Section 00010 line Items- line 0001 is for funding and does not require a price, lines 000101-000106 must be priced using the SF 1449 continuation sheet. Each additional 12 month period will be evaluated for economic price adjustment 30 days to the start of the next 12 month period.

(c) Section 00600, representations and certifications, completed and return only additional certifications found in this section. In addition, the offeror must have entered current and complete data within the past year in online representations and certifications at www.sam.gov.

(d) When completing the “Offeror” portion of the SF 1449 (Blocks 30a – 30c), an official having the authority to contractually bind the company must sign the SF 1449 in accordance with FAR 4.102(a). Digital signature is acceptable on the SF1449.

5. Joint venture requirements - parties wishing to propose as a joint venture must submit, with the pro forma documents, an executed copy of the joint venture agreement. The joint venture agreement shall be executed in accordance with FAR 4.102(d). Each joint venture partner shall submit evidence satisfactory to the contracting officer that its board of directors has approved its participation in the joint venture or by an instrument of similarly binding character in the case of an unincorporated entity. Offerors are reminded that to obtain an award the awardee, to include a joint venture, must be registered in the System for Award Management (SAM) database.

Applicable to set-aside solicitations: Joint ventures must meet applicable size standards (See FAR Subpart 19.1).

Submit with the proposal any size determination for the Joint Venture entity received from the Small Business Administration. A Joint Venture where-in one party is not a small business may be referred to the Small Business Administration (IAW FAR 19.302 (b)) to determine eligibility. All questions regarding joint ventures must be directed to the Small Business Administration (SBA) and not the contracting officer.

Section 00100 - Bidding Schedule/Instructions to Bidders

SECTION 00100 INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS

Description of the Project: The contractor shall provide all personnel, equipment, tools, materials, supervision, and quality control necessary, to perform on- base and/or off-base injury prevention and mitigation, rehabilitation services, and human performance optimization services to rated personnel assigned to the 180 Fighter Wing (FW), Toledo Air National Guard Base (ANGB), Swanton, OH, USA. The contractor shall furnish consultation and reports, similar to the range of services found in a commercial facility, as well as services specialized to meet the needs of fighter pilots. Performance shall be in accordance with the PWS.

1. Instructions to Bidders:

1.1. You are invited to proposal in response to our request for proposal (RFP) entitled W91364-19-R-8001 titled Optimizing the Human Weapon System OHWS, at Toledo Air National Guard Base (TANGB), Swanton Ohio.

1.2. As a result of this solicitation, the Government intends to award a Firm Fixed Price (FFP) contract resulting from this solicitation to the responsible bidder whose proposal, conforming to the request for proposal, will be most advantageous to the Government, considering only price. This contract is expected to be awarded as a 5 year IDIQ.

1.3. The government may add funds to the base CLIN if we anticipate additional services are required.

1.4. This solicitation is total small business set-aside to qualified contractors.

2. NOTICE OF PRE-PROPOSAL CONFERENCE AND SITE VISIT:

2.1. A pre-proposal conference will be conducted April 15th, 2019 at 10:00 AM local time for the purposes of briefing on the proposal requirements and answering questions regarding this solicitation. This conference will be held at Toledo ANG Base, Bldg. 150, classroom room, 2660 South Eber Rd, Swanton OH 43558.

Interested Contractors are highly encouraged to attend the pre-proposal conference. The site visit will be held following the conference.

2.2. Due to security conditions, all offerors must register to attend this conference and site visit. Email the following information for all attendees to 180th Contracting Office at following address:

usaf.oh.180-fw.mbx.contracting@mail.mil.

2.3. This information must be provided in advance, 2 business days prior to the meeting, in order to ensure access to the military base and conference site and ensure adequate seating for the conference attendees.

Even if you have access to the base you must register to ensure adequate seating. The furnishing of the above information is voluntary; however, your failure to furnish all or part of the requested information may result in the Government’s denial of your access to the pre-proposal conference. This information will be provided to the Base Security Forces who will authorize your entrance to the site.

2.4. Visitors for the pre-proposal conference should arrive at the installation main gate at least 30 minutes prior to the meeting start time to ensure access to the installation prior to the meeting start. The main gate location is near the Intersection of Salisbury Rd and Eber, South of Toledo Express Airport, Swanton OH. All visitors for pre-proposal meeting will be escorted from the main gate to the pre-proposal conference location and to the project site.

Contractors will be permitted to drive their own vehicles on base assuming the individual has valid, (1) Current Vehicle Registration or Rental Car Agreement, (2) Valid Driver’s License. Any of the above information furnished by you is protected under the Privacy Act and shall not be released unless permitted by law and/or you have consented to such.

2.5. Information provided at this conference or site visit shall not qualify the terms and conditions of the solicitation and specifications. Terms of the solicitation and specifications remain unchanged unless the solicitation is amended in writing. If an amendment is issued, normal procedures relating to the acknowledgment and receipt of solicitation amendments shall apply.

2.6. A record of the conference shall be made and furnished to all prospective bidders via posting at http://www.fbo.gov.

3. FORMAL COMMUNICATION, OFFEROR EXPLANATIONS:

3.1. Submit all questions in the format shown below by email to the contracting office at the addresses show below. All questions must come through the Contracting Office. (See RFI template form attached in FBO for your convenience that includes the following information).

3.2. Any explanation desired by an offeror regarding the meaning or interpretation of the solicitation, or proposals, drawings, specifications, etc. must be requested in writing and with sufficient time allowed for a reply to reach bidders before the submission of their proposal.

3.3. All questions and requests for information (RFI) must be received NOT LATER THAN the Fifth (5) working day prior to ORIGIONAL proposal due date. OFFERORS ARE STRONGLY ENCOURAGED TO

SUBMIT QUESTIONS EARLY IN THIS PROCESS.

3.4. Any changes to the drawings, specifications, etc. will be issued in the form of an amendment. However, any answers that clarify or provide an interpretation to the drawings, specifications, etc. will NOT be posted via amendment but rather as a response to the RFI on FBO at http://www.fbo.gov

3.5. For security reasons, all technical and data related to this solicitation will be distributed using the Federal Business Opportunities (FedBizOpps.gov or fbo.gov) system. Interested bidders/offerors must register with FedBizOpps before accessing the system.

3.6. Amendments, if/when issued will be posted to http://www.fbo.gov for electronic downloading. This will normally be the only method of distributing amendments prior to closing; therefore, it is the offerors responsibility to check the website periodically for any amendments to the solicitation. Websites are occasionally inaccessible due to various reasons.

NOTE – For your convenience a request for information form (RFI) has been attached to the RFP via FBO.

4. PROPOSAL OPENING:

4.1. Late receipt of proposals may not be deemed excusable and the Contracting Officer may declare the proposal “late” and not be accepted in accordance with FAR 14.304.

4.2. The proposal opening will occur at the time and date specified in Block 8 of the SF1449. Vendors will be notified of the status of their proposal by email once the selection is complete.

5. WAGE DETERMINATION:

Service Contract Act (SCA) wage rates are applicable to this project are 2015-4741 revision 7 as shown in Section

00800.

6. PROPOSAL PREPARATION EXPENSES AND PRE-CONTRACT COSTS:

This RFP does not commit the Government to pay costs incurred in preparation and submission of proposals or for other costs incurred prior to award of a formal contract.

7. CLAUSES:

Clauses and provisions from the Federal Acquisition Regulation (FAR) and supplements thereto are incorporated in this document by reference and in full text. Those incorporated by reference have the same force and effect as if they were given in full text.

8. DISPOSITION OF UNSUCCESSFUL PROPOSALS:

In compliance with FAR Subpart 4.8, the Government will retain one copy electronically of all unsuccessful proposals.

9. OFFERORS QUALIFICATIONS:

To establish its responsibility, the apparent low offer may be requested by the Government prior to award, to submit a statement regarding their previous experience in performing comparable work, their business and technical organization, financial and bonding resources and plant available to be used in performing the work. This action may be requested to determine if the contractor is responsible.

Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. 52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (OCT 2018)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u)) of this provision.

(a) Definitions. As used in this provision --

“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except--

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

“Sensitive technology”--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern”, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name.

The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

“Veteran-owned small business concern” means a small business concern--

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern--

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; or

(2) Whose management and daily business operations are controlled by one or more women.

“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127)”, means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.
