INSTRUCTIONS TO OFFERORS
This is a requirement for the inspection and refurbishment of one set (12 shoes) of McNary Unit 13-14 English Electric thrust bearing shoes, one set (12 shoes) of McNary Unit 1-12 General Electric thrust bearing shoes, and one English Electric thrust bearing runner, including shipment between the McNary Project and the contractor's refurbishment workshop.

Completion of FAR 52.212-3 Offeror Representations and Certifications–Commercial Items – Alternate 1 (May 2014). Electronic completion is encouraged (see http://farsite.hill.af.mil to download Representations and Certifications).
An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically via https://www.acquisition.gov. If an offeror has not completed the annual representations and certifications electronically at the ORCA website, the offeror shall complete only paragraphs (b) through (i) of this provision.
In accordance with FAR Part 29.3 – State and Local Taxes, and per Title 4 of US Code 104-107, the Government is exempt from paying state and local taxes. Exempt tax identification number 91-0828090.
PRICES QUOTED MUST BE VALID FOR 30 DAYS. Solicitation shall result in a firm-fixed-price contract.
All pricing shall include shipping FOB destination (include shipping cost in price).
ADDENDUM TO FAR 52.212-1 INSTRUCTIONS TO OFFERORS – COMMERCIAL ITEMS
Submission of Price Quote – Contractor shall submit the following in 1 copy:
1. Signed and dated Standard Form 1449 (Solicitation/Contract/Order for Commercial Items)
2. Signed and dated Standard Form 30, if applicable, for any Amendments to the Solicitation
3. Completed schedule (pricing information) for all contract line item numbers
4. Completed Clause 52.212-3 and Alt I, “Offeror Representations and Certifications—Commercial Items” as noted above
5. Any information required to evaluate the quote, as stated in FAR Clause 52.212-2.
BUSINESS HOURS: The standard business hours for the Walla Walla District, Corps of Engineers are Monday through Friday from 8:00 a.m. to 4:00 p.m., excluding federal holidays.
BASIS FOR AWARD
The Government will award one contract resulting from this solicitation in accordance with FAR 13.106 to the responsible offeror meeting or exceeding all solicitation requirements and representing the best value based on price.

All inquiries regarding this solicitation are to be submitted via Bidder Inquiry. Telephone and email inquiries will not be accepted. Bidder Inquiry is a web-site that allows bidders to post questions regarding the solicitation and view all questions by other bidders and responses by USACE. Bidder Inquiry can be accessed through ProjNet at (https://www.projnet.org)
To submit and review inquiry items, prospective vendors will need to use the Bidder Inquiry Key presented below and follow the instructions listed below the key for access. A prospective vendor who submits a comment /question will receive an acknowledgement of their comment/question via email.
Another email to the same address will notify the prospective vendor once the reply is available for viewing.

Specific Instructions for ProjNet Bid Inquiry Access:
1. From the ProjNet home page linked above, click on Quick Add on the upper right side of the screen.
2. Identify the Agency. This should be marked as USACE.

5. Click Continue. A page will then open saying that a user account was not found and will ask you to create one using the provided form.

52.204-17 OWNERSHIP OR CONTROL OF OFFEROR (JUL 2016)
(a) Definitions. As used in this provision--
Commercial and Government Entity (CAGE) code means—
(1) An identifier assigned to entities located in the United States or its outlying areas by the Defense Logistics Agency (DLA) Commercial and Government Entity (CAGE) Branch to identify a commercial or government entity;
or
(2) An identifier assigned by a member of the North Atlantic Treaty Organization (NATO) or by the NATO Support and Procurement Agency (NSPA) to entities located outside the United States and its outlying areas that the DLA Commercial and Government Entity (CAGE) Branch records and maintains in the CAGE master file. This type of code is known as a NATO CAGE (NCAGE) code.
Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
Immediate owner means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (JULY 2013)
Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.
Federal contracts and grants with total value greater than $10,000,000 means--
(1) The total value of all current, active contracts and grants, including all priced options; and
(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).
Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

Therefore, the offeror shall compute the time available for performance beginning with the actual date of award, rather than the date the written notice of award is received from the Contracting Officer through the ordinary mails. However, the Government will evaluate an offer that proposes delivery based on the Contractor's date of receipt of the contract or notice of award by adding (1) five calendar days for delivery of the award through the ordinary mails, or (2) one working day if the solicitation states that the contract or notice of award will be transmitted electronically. (The term "working day" excludes weekends and U.S. Federal holidays.) If, as so computed, the offered delivery date is later than the required delivery date, the offer will be considered nonresponsive and rejected.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror(s) whose offer(s) conforming to the solicitation will be most advantageous to the Government, price and other factors considered.
The government intends to award one contract to the Offeror whose proposal meets all of the technical criteria and offers the lowest evaluated price. The following factors listed below shall be used to evaluate offers. The basis for award is lowest price technically acceptable offer.
The four non-price factors Experience, Shop Qualification and Capabilities, Schedule and Past Performance will be evaluated on an Acceptable or Unacceptable basis. In order to be considered technically acceptable, offers must be rated as Acceptable for all four non-price factors: Experience, Shop Qualification and Capabilities, Schedule and Past Performance.
Ratings: Those Offerors whose proposals meet the requirements of the specifications will be considered acceptable.
Those Offerors whose proposals do not meet the requirements of the specification will be considered unacceptable.
FACTOR 1 – REFURBISHMENT EXPERIENCE
Offeror’s will demonstrate their experience in the refurbishment and rebabbitting of thrust bearing shoes with an inside diameter (ID) of at least 30” and thrust runners of at least 120 inches outside diameter (OD). The evaluation will be based on detailed descriptions demonstrating experience in thrust bearing shoe refurbishment contracts that are relevant to this solicitation. Refurbishment shall have included cleaning of bearing, rebabbitting, and final machining. The offeror shall state the type of shoe refurbishment, quantity, and size in the proposal, along with the percent complete. There shall be at least one example of a spring bed type shoe.
Limit responses to 5 examples that best demonstrate the offeror’s experience and include the following evaluation criteria information:
1. Provide three (3) examples of the refurbishment/rebabbitting of thrust bearing shoes with an ID of at least 30” and two (2) examples of refurbishment of thrust runners of at least 120 inches that have been completed within the past six (6) years. Current experience where the project is at least 50% complete is acceptable.
2. Provide at least one (1) example of the refurbishment of spring bed type shoes.
Ratings: Ratings for this factor will be entered as: 1) Acceptable; or 2) Unacceptable Evaluation Standard:
A Rating of ACCEPTABLE will be given if the Proposal clearly meets the minimum requirements of the solicitation.
A Rating of UNACCEPTABLE will be given if the Proposal does not clearly meet the minimum requirements of the solicitation.
FACTOR 2 – SHOP QUALIFICATIONS AND CAPABILITIES
Offeror’s shall provide documentation that their shop has the qualifications and capabilities of refurbishing the thrust shoes. The evaluation will be based on detailed descriptions demonstrating the offeror has the machines capable of achieving the finish tolerances stated in the solicitation. The machine specs shall state the required tolerances or the proposal shall state those capabilities. The proposal must state where the shoes will be refurbished.
Submit the following documentation:
1. Machine specs or annotated photographs demonstrating the facility has a table capable of holding a thrust shoe measuring 40 inches ID by 128 inches OD while machining a thrust bearing pad to a flatness of 0.0005” or less. The information should state what tolerances are achievable by the machine tools.
2. Machine specs or annotated photographs demonstrating the facility is capable of machining and lifting a 128” thrust runner that weighs 27,300 lbs (FIO-004). The information should state what tolerances are achievable by the machine tools.
Ratings: Ratings for this factor will be entered as: 1) Acceptable; or 2) Unacceptable Evaluation Standard:
A Rating of ACCEPTABLE will be given if the Proposal clearly meets the minimum requirements of the solicitation.
A Rating of UNACCEPTABLE will be given if the Proposal does not clearly meet the minimum requirements
FACTOR 3 – SCHEDULE
Offerors shall demonstrate their capability to refurbish two sets of shoes and a thrust runner and deliver each set within a specified period. The proposal shall include a schedule showing the planned sequencing of major activities and phases for completing the entire project. The durations shown shall be the total calendar days from Award to the completion of all work for each shoe set and thrust runner and shall clearly distinguish which item is in that process.
The solicitation requires completion and delivery of the McNary sets of thrust bearing shoes and runner within 120 calendar days after Award. Detailing one schedule for a set of shoes and stating the second set will follow the same schedule is unacceptable. The proposed schedule should show the overlapping activities.
Submit the following information:
1. A schedule either in written form, a Gantt (bar) chart, excel, or utilizing a scheduling software program similar to MS Project converted to a pdf file.
Ratings: Ratings for this factor will be entered as: 1) Acceptable; or 2) Unacceptable Evaluation Standard:
A Rating of ACCEPTABLE will be given if the Proposal clearly meets the minimum requirements of the solicitation.
A Rating of UNACCEPTABLE will be given if the Proposal does not clearly meet the minimum requirements
FACTOR 4 – PAST PERFORMANCE
Offeror’s shall submit past performance on projects similar in scope to the McNary Thrust Bearing Shoe Refurbishment as identified in the Request for Proposal. The result of this review will either be an Acceptable or Unacceptable rating as described below. Past performance will be evaluated on work that is on-going (at least 50% complete) or recently completed (within the last 6 years) that is relevant, in terms of similarity and complexity, to the work described in the Statement of Work.
Other sources may include, but are not limited to, past performance information retrieved through the Past Performance Information Retrieval System (PPIRS), including Contractor Performance Assessment Reporting System (CPARS), using all CAGE/DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the Offeror’s proposal, inquiries of owner representative(s), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), and any other known sources not provided by the Offeror.
Ratings: Ratings for this factor will be either Acceptable or Unacceptable Evaluation Standard:
Acceptable – Based on the Offeror’s performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort, or the Offeror’s performance record is unknown (see note below).
Unacceptable – Based on the Offeror’s performance record, the Government has no reasonable expectation that the Offeror will be able to successfully perform the required effort.
Note – In the case of an Offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the Offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305(2)(iv)). Therefore, the Offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable”.
FACTOR 5 – PRICE
The Government will evaluate the price proposal for the project to determine whether the offered price is reasonable. The contract line items will also be analyzed to determine whether the prices are realistic and balanced for the work to be performed, reflecting a clear understanding of the Statement of Work requirements.
a. Reasonableness of an Offeror’s proposal is evaluated through cost or price analysis techniques as described in FAR Subpart 15.305(a)(1) and 15.404-1(b). For a Price to be reasonable, it must represent a price that provides the best value to the Government when consideration is given to prices in the market, (market conditions may be evidenced by other competitive proposals) and the technical and functional capabilities of the Offeror.
b. Price proposals that are unrealistically high or low in price when compared to the Government estimate and market conditions evidenced by other competitive proposals received may be indicative of an inherent lack of understanding of the solicitation requirements and may result in the proposal being considered unacceptable.
A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.
Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (JAN 2017)

The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site located at https://www.sam.gov/portal . If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u) of this provision.
“Administrative merits determination” means certain notices or findings of labor law violations issued by an enforcement agency following an investigation. An administrative merits determination may be final or be subject to appeal or further review. To determine whether a particular notice or finding is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.
“Arbitral award or decision” means an arbitrator or arbitral panel determination that a labor law violation occurred, or that enjoined or restrained a violation of labor law. It includes an award or decision that is not final or is subject to being confirmed, modified, or vacated by a court, and includes an award or decision resulting from private or confidential proceedings. To determine whether a particular award or decision is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.
“Civil judgment” means--
(1) In paragraph (h) of this provision: A judgment or finding of a civil offense by any court of competent jurisdiction.
(2) In paragraph (s) of this provision: Any judgment or order entered by any Federal or State court in which the court determined that a labor law violation occurred, or enjoined or restrained a violation of labor law. It includes a judgment or order that is not final or is subject to appeal. To determine whether a particular judgment or order is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.
“DOL Guidance” means the Department of Labor (DOL) Guidance entitled: ``Guidance for Executive Order 13673, `Fair Pay and Safe Workplaces' ''. The DOL Guidance, dated August 25, 2016, can be obtained from www.dol.gov/fairpayandsafeworkplaces.
“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
“Enforcement agency” means any agency granted authority to enforce the Federal labor laws. It includes the enforcement components of DOL (Wage and Hour Division, Office of Federal Contract Compliance Programs, and Occupational Safety and Health Administration), the Equal Employment Opportunity Commission, the occupational Safety and Health Review Commission, and the National Labor Relations Board. It also means a State agency designated to administer an OSHA-approved State Plan, but only to the extent that the State agency is acting in its capacity as administrator of such plan. It does not include other Federal agencies which, in their capacity as contracting agencies, conduct investigations of potential labor law violations. The enforcement agencies associated with each labor law under E.O. 13673 are--
(1) Department of Labor Wage and Hour Division (WHD) for--
(i) The Fair Labor Standards Act;
(ii) The Migrant and Seasonal Agricultural Worker Protection Act;
(iii) 40 U.S.C. chapter 31, subchapter IV, formerly known as the Davis-Bacon Act;
(iv) 41 U.S.C. chapter 67, formerly known as the Service Contract Act;
(v) The Family and Medical Leave Act; and
(vi) E.O. 13658 of February 12, 2014 (Establishing a Minimum Wage for Contractors);
(2) Department of Labor Occupational Safety and Health Administration (OSHA) for--
(i) The Occupational Safety and Health Act of 1970; and
(ii) OSHA-approved State Plans;
(3) Department of Labor Office of Federal Contract Compliance Programs (OFCCP) for--
(i) Section 503 of the Rehabilitation Act of 1973;
(ii) The Vietnam Era Veterans' Readjustment Assistance Act of 1972 and the Vietnam Era Veterans' Readjustment Assistance Act of 1974; and

“Forced or indentured child labor” means all work or service—
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
“Labor compliance agreement” means an agreement entered into between a contractor or subcontractor and an enforcement agency to address appropriate remedial measures, compliance assistance, steps to resolve issues to increase compliance with the labor laws, or other related matters.
“Labor laws” means the following labor laws and E.O.s:
(1) The Fair Labor Standards Act.
(2) The Occupational Safety and Health Act (OSHA) of 1970.

“Labor law decision” means an administrative merits determination, arbitral award or decision, or civil judgment, which resulted from a violation of one or more of the laws listed in the definition of ``labor laws''.
“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and
(10) PSC 9630, Additive Metal Materials.
“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
Sensitive technology—
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
“Service-disabled veteran-owned small business concern”—
(1) Means a small business concern—
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

“Subsidiary” means an entity in which more than 50 percent of the entity is owned—
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
“Veteran-owned small business concern” means a small business concern—
(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.
“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
“Women-owned small business concern” means a small business concern --
(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and
(2) Whose management and daily business operations are controlled by one or more women.
“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127),” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.
Note to paragraph (a): By a court order issued on October 24, 2016, the following definitions in this paragraph (a) are enjoined indefinitely as of the date of the order: ``Administrative merits determination'', ``Arbitral award or decision'', paragraph (2) of ``Civil judgment'', ``DOL Guidance'', ``Enforcement agency'', ``Labor compliance agreement'', ``Labor laws'', and ``Labor law decision''.
