In accordance with FAR 12.302, Tailoring of Provisions and Clauses for Acquisition of Commercial Items, FAR Clause 52.212-4 is tailored as follows to reflect special contract terms and conditions that are unique for this contract.
Para (a) Inspection and Acceptance is revised to add the following:
a. Place of Inspection and point of acceptance of the services performed under this contract shall be at destination.
b. Inspection and acceptance of services under this contract shall be performed by the designated Contracting Officer's Representative (COR) of the Receiving Activity.
In addition to FAR 52.212-4 (i) “Payment” the following shall apply: Partial payments are authorized.

COMMERCIAL WARRANTY:
The Contractor agrees that supplies or services furnished under this contract shall be covered by the most favorable commercial warranties the Contractor gives to any customer for such supplies or services and that the rights and remedies provided herein are in addition to and do not limit any rights afforded to the Government by any other clause of this contract.
Para (t) Central Contractor Registration (CCR). Contractors shall be registered in the System for Award Management (SAM), URL: https://www.sam.gov/portal/public/SAM/ prior to contract award.
ELECTRONIC PAYMENT AND PROCESSING OF INVOICES:
a. The contractor shall submit invoices electronically through Invoicing, Receipt, Acceptance, and Property Transfer (iRAPT, formerly WAWF). See clause 252.232-7006, WAWF Payment Instructions, incorporated herein in this contract.
b. The contractor shall designate an Electronic Business (EB) point of contact in the Central Contractor Registration site at www.sam.gov to be able to use iRAPT. Contractors shall be registered in SAM prior to award and are urged to begin the registration process as early as possible to ensure registration can be activated at time of award.

CONTRACTOR PERFORMANCE EVALUATION:
In compliance with FAR Subpart 42.15 “Contractor Performance Information”, an evaluation of Contractor performance may be conducted at contract completion. Interim performance evaluations may be conducted at least annually for contracts with a period of performance, including options, exceeding one year. As a minimum, if completed, the evaluation shall include the information in FAR 42.1501 “General”.

The following Workers’ Compensation Insurance clauses apply if the Contractor employs any of the following any tier: (a) a United States citizen; (b) a permanent resident of the United States; or (c) an individual, regardless of nationality, hired in the United States.
CLAUSES INCORPORATED BY FULL TEXT
52.228-3 WORKERS' COMPENSATION INSURANCE (DEFENSE BASE ACT) (JUL 2014)
(a) The Contractor shall--
(1) Before commencing performance under this contract, establish provisions to provide for the payment of disability compensation and medical benefits to covered employees and death benefits to their eligible survivors, by purchasing workers' compensation insurance or qualifying as a self-insurer under the Longshore and Harbor Workers' Compensation Act (33 U.S.C. 932) as extended by the Defense Base Act (42 U.S.C. 1651, et seq.), and continue to maintain provisions to provide such Defense Base Act benefits until contract performance is completed;
(2) Within ten days of an employee's injury or death or from the date the Contractor has knowledge of the injury or death, submit Form LS-202 (Employee's First Report of Injury or Occupational Illness) to the Department of Labor in accordance with the Longshore and Harbor Workers' Compensation Act (33 U.S.C. 930(a), 20 CFR
702.201 to 702.203);
(3) Pay all compensation due for disability or death within the time frames required by the Longshore and Harbor Workers' Compensation Act (33 U.S.C. 914, 20 CFR 702.231 and 703.232);
(4) Provide for medical care as required by the Longshore and Harbor Workers' Compensation Act (33 U.S.C. 907, 20 CFR 702.402 and 702.419);
(5) If controverting the right to compensation, submit Form LS-207 (Notice of Controversion of Right to Compensation) to the Department of Labor in accordance with the Longshore and Harbor Workers' Compensation Act (33 U.S.C. 914(d), 20 CFR 702.251);
(6) Immediately upon making the first payment of compensation in any case, submit Form LS-206 (Payment Of Compensation Without Award) to the Department of Labor in accordance with the Longshore and Harbor Workers' Compensation Act (33 U.S.C. 914(c), 20 CFR 702.234);
(7) When payments are suspended or when making the final payment, submit Form LS-208 (Notice of Final Payment or Suspension of Compensation Payments) to the Department of Labor in accordance with the Longshore and Harbor Workers' Compensation Act (33 U.S.C. 914(c) and (g), 20 CFR 702.234 and 702.235); and
(8) Adhere to all other provisions of the Longshore and Harbor Workers' Compensation Act as extended by the Defense Base Act, and Department of Labor regulations at 20 CFR Parts 701 to 704.

(c) The Contractor shall insert the substance of this clause, including this paragraph (c), in all subcontracts to which the Defense Base Act applies.

52.228-4 WORKERS' COMPENSATION AND WAR-HAZARD INSURANCE OVERSEAS (APR 1984)
(a) This paragraph applies if the Contractor employs any person who, but for a waiver granted by the Secretary of Labor, would be subject to workers' compensation insurance under the Defense Base Act (42 U.S.C. 1651, et seq.).
On behalf of employees for whom the applicability of the Defense Base Act has been waived, the Contractor shall
(1) provide, before commencing performance under this contract, at least that workers' compensation insurance or the equivalent as the laws of the country of which these employees are nationals may require, and (2) continue to maintain it until performance is completed. The Contractor shall insert, in all subcontracts under this contract to which the Defense Base Act would apply but for the waiver, a clause similar to this paragraph (a) (including this sentence) imposing upon those subcontractors this requirement to provide such workers' compensation insurance coverage.
(b) This paragraph applies if the Contractor or any subcontractor under this contract employs any person who, but for a waiver granted by the Secretary of Labor, would be subject to the War Hazards Compensation Act (42 U.S.C.
1701, et seq.). On behalf of employees for whom the applicability of the Defense Base Act (and hence that of the War Hazards Compensation Act) has been waived, the Contractor shall, subject to reimbursement as provided elsewhere in this contract, afford the same protection as that provided in the War Hazards Compensation Act, except that the level of benefits shall conform to any law or international agreement controlling the benefits to which the employees may be entitled. In all other respects, the standards of the War Hazards Compensation Act shall apply;
e.g., the definition of war-hazard risks (injury, death, capture, or detention as the result of a war hazard as defined in the Act), proof of loss, and exclusion of benefits otherwise covered by workers' compensation insurance or the equivalent. Unless the Contractor elects to assume directly the liability to subcontractor employees created by this clause, the Contractor shall insert, in all subcontracts under this contract to which the War Hazards Compensation Act would apply but for the waiver, a clause similar to this paragraph (b) (including this sentence) imposing upon those subcontractors this requirement to provide war-hazard benefits.

252.201-7000 CONTRACTING OFFICER'S REPRESENTATIVE (DEC 1991)
(a) "Definition. Contracting officer's representative" means an individual designated in accordance with subsection 201.602-2 of the Defense Federal Acquisition Regulation Supplement and authorized in writing by the contracting officer to perform specific technical or administrative functions.
(b) If the Contracting Officer designates a contracting officer's representative (COR), the Contractor will receive a copy of the written designation. It will specify the extent of the COR's authority to act on behalf of the contracting officer. The COR is not authorized to make any commitments or changes that will affect price, quality, quantity, delivery, or any other term or condition of the contract.
252.225-7043 ANTITERRORISM/FORCE PROTECTION POLICY FOR DEFENSE CONTRACTORS
OUTSIDE THE UNITED STATES (JUN 2015)
(a) Definition. United States, as used in this clause, means, the 50 States, the District of Columbia, and outlying areas.
(b) Except as provided in paragraph (c) of this clause, the Contractor and its subcontractors, if performing or traveling outside the United States under this contract, shall--
(1) Affiliate with the Overseas Security Advisory Council, if the Contractor or subcontractor is a U.S. entity;
(2) Ensure that Contractor and subcontractor personnel who are U.S. nationals and are in-country on a non-transitory basis, register with the U.S. Embassy, and that Contractor and subcontractor personnel who are third country nationals comply with any security related requirements of the Embassy of their nationality;
(3) Provide, to Contractor and subcontractor personnel, antiterrorism/force protection awareness information commensurate with that which the Department of Defense (DoD) provides to its military and civilian personnel and their families, to the extent such information can be made available prior to travel outside the United States; and
(4) Obtain and comply with the most current antiterrorism/force protection guidance for Contractor and subcontractor personnel.
(c) The requirements of this clause do not apply to any subcontractor that is--
(1) A foreign government;
(2) A representative of a foreign government; or
(3) A foreign corporation wholly owned by a foreign government.
(d) Information and guidance pertaining to DoD antiterrorism/force protection can be obtained from HQDA-AT;
telephone, DSN 222-9832 or Commercial (703) 692-9832.
252.229-7001 TAX RELIEF (SEPT 2014) - ALTERNATE I (SEPT 2014)
(a) Prices set forth in this contract are exclusive of all taxes and duties from which the United States Government is exempt by virtue of tax agreements between the United States Government and the Contractor's government. The following taxes or duties have been excluded from the contract price:

(b) The Contractor's invoice shall list separately the gross price, amount of tax deducted, and net price charged.
(c) When items manufactured to United States Government specifications are being acquired, the Contractor shall identify the materials or components intended to be imported in order to ensure that relief from import duties is obtained. If the Contractor intends to use imported products from inventories on hand, the price of which includes a factor for import duties, the Contractor shall ensure the United States Government's exemption from these taxes.
The Contractor may obtain a refund of the import duties from its government or request the duty-free import of an amount of supplies or components corresponding to that used from inventory for this contract.
(d) Tax relief will be claimed in Germany pursuant to the provisions of the Agreement Between the United States of America and Germany Concerning Tax Relief to be Accorded by Germany to United States Expenditures in the Interest of Common Defense. The Contractor shall use Abwicklungsschein fuer abgabenbeguenstigte Lieferungen/Leistungen nach dem Offshore Steuerabkommen (Performance Certificate for Tax-Free Deliveries/Performance according to the Offshore Tax Relief Agreement) or other documentary evidence acceptable to the German tax authorities. All purchases made and paid for on a tax-free basis during a 30-day period may be accumulated, totaled, and reported as tax-free.
252.232-7006 WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (MAY 2013)
(a) Definitions. As used in this clause--
Department of Defense Activity Address Code (DoDAAC) is a six position code that uniquely identifies a unit, activity, or organization.
Document type means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).
Local processing office (LPO) is the office responsible for payment certification when payment certification is done external to the entitlement system.
(b) Electronic invoicing. The WAWF system is the method to electronically process vendor payment requests and receiving reports, as authorized by DFARS 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(c) WAWF access. To access WAWF, the Contractor shall--
(1) Have a designated electronic business point of contact in the System for Award Management at https://www.acquisition.gov; and
(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this Web site.
(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the “Web Based Training” link on the WAWF home page at https://wawf.eb.mil/.
(e) WAWF methods of document submission. Document submissions may be via Web entry, Electronic Data Interchange, or File Transfer Protocol.
(f) WAWF payment instructions. The Contractor must use the following information when submitting payment requests and receiving reports in WAWF for this contract/order:
(1) Document type. The Contractor shall use the following document type(s).

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph
(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records--Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

Secure Facility Accreditation
Part 1
General Information
1. GENERAL: This is a non-personal services contract to procure equipment / materials and install an Electronic Security System (ESS) upgrade at USAREUR HQ G2 and USAG-WI Directorate of Emergency Services on Clay Kaserne, Wiesbaden Germany and BLDG 6257 on McCully Sustainment Center, Wackernheim Germany.
1.1 Description of services/Introduction: This is a non-personnel services contract to provide an Electronic Security System (ESS) Upgrade to facilitate Secure Facility Accreditation for USAREUR G2. The Contractor shall provide the primary supplies and services for an Intrusion Detection System (IDS), Access Control System (ACS), Telecommunications System (TS), and TEMPEST modifications at the above listed locations. The Government will not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn, is responsible to the Government.
1.2 Background: The requirements to upgrade the specific Electronic Security System (ESS) were identified in Department of Defense Manual 5105.21 Vols 1-3, Intelligence Community Directive 705 Technical specs, and from a DIA staff assessment visit conducted in December 2017. The requirements are as follows: a functional Intrusion Detection System, a fully Access Control System, Close Circuit Television modification, foil shielding repair, Portal Electronic Devices detection, and monitoring station installation at the Wiesbaden Directorate of Emergency Services. All of the requirements together meet DIA's physical and technical security measures. There is a limited amount of time and procedures associated with the accreditation process of a building that requires ICD 705.
Therefore, key steps must be taken in order and by the correct personnel. If not, the accrediting official will not grant the required accreditation needed to support the Government’s mission. If the accreditation is not granted, then other units scheduled to move due to base closures and realignment will not be able to do so.
1.3. Scope: The Contractor shall provide non-personal intelligence technical support services for USAREUR Army G2 operations, as defined in this PWS, at specified Government facilities with Contractor furnished equipment (as approved by the Contracting Officer Representative) throughout the identified areas requiring support. The Contractor shall perform to the standards of work specified in this PWS. The Contractor shall provide all personnel, management, and other supplies and services required for the successful performance of the contract.
Contractor shall provide the primary supplies and services for an Intrusion Detection System (IDS), Access Control System (ACS), Telecommunications System (TS), and TEMPEST modifications. In accordance with the Intelligence Community Directive 705 and Intelligence Technical Specification for Construction and Management of Sensitive Compartment Information Facilities, the IDS, ACS, TS, and TEMPEST upgrades and modifications require only US cleared personnel to physically perform the work.
1.4 Objectives: The Contractor shall provide the primary supplies and services for an Intrusion Detection System (IDS), Access Control System (ACS), Telecommunications System (TS), and TEMPEST modifications. The Contractor shall perform all related administrative actions required to provide services or perform work such as material requisitioning, quality control (QC), financial control, meetings, and correspondence. The Contractor shall also maintain accurate and complete records, files, and libraries of documents to include all U.S., German, and local regulations, standards, provisions, codes, laws, technical manuals, and manufacturers’ instructions and recommendations that are necessary and related to the functions being performed. The Contractor shall compile historical data, prepare required reports, and submit information as specified by the Deliverable List presented in this PWS.
1.5 Period of Performance: The period of performance shall be for one hundred and twenty (120) days.
1.6 General Information:
1.6.1 Quality Control Plan (QCP): The Contractor shall develop and maintain a Quality Control Plan (QCP) to ensure services are performed in accordance with this PWS. The Contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The Contractor's QCP is the means by which it assures that the work provided complies with the requirements of the contract. At a minimum, the QCP must include the following to be acceptable:
a. A chart showing the organizational structure and lines of authority, the names, qualifications, duties, responsibilities, and classification of each member of the Contractor's Quality Control Team.
b. How the Contractor will monitor work to ensure that performance complies with all timelines, deadlines, and goals.
c. How the Contractor will monitor work to ensure that performance complies with all specifications and requirements of the contract, including clauses.
d. How the Contractor will monitor and ensure staff qualifications remain current and valid throughout contract performance.
e. How the Contractor will ensure all keys issued will remain controlled items (See 1.4.xx Key Control)
f. How the Contractor will inventory and track maintenance of all Government Provided Equipment /
Materials.
g. How the Contractor will identify, investigate, and correct any non-conforming performance and prevent similar deficiencies in the future
h. How the Contractor will file and save all Quality Control related documents for the life of the contract plus 5 years.
An analysis of quality control and timeliness reports shall be sent to the COR within 10 calendar days after the end of the contract. A final QCP shall be submitted to the KO through the COR for review and acceptance within 10 calendar days after date of contract award. After acceptance of the QCP, the Contractor will receive the KO’s acceptance in writing. Any changes to the accepted QCP will be required to be resubmitted for acceptance within 5 calendar days. The Contractor shall bring identified issues or potential problems that might affect future performance to the attention of the COR as soon as possible. Verbal reports will be followed up by written reports within 5 calendar days.
1.6.2 Quality Assurance: The Government will evaluate the Contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan. This plan is primarily focused on what the Government must do to ensure that the Contractor has performed in accordance with the performance standards. It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable defect rate(s).
1.6.3 Recognized Holidays: The Contractor is NOT required to provide services on U.S. Holidays, but is required to provide services outlined in the PWS on any and all German Holidays that occur during the contract Period of Performance.

1.6.3.2 Host Nation Holidays: Work shall be performed on local Host Nation holidays occurring during the normal workweek unless otherwise directed by the Contracting Officer.
1.6.4 Hours of Operation: The Contractor is responsible for conducting business, between the hours of 0800 to 1700 Monday thru Friday except U.S. Federal holidays or when the Government facility is closed due to local or national emergencies, administrative closings, or similar Government directed facility closings. The Contractor will not be reimbursed when the Government facility is closed for the above reasons. The Contractor must at all times maintain an adequate workforce for the uninterrupted performance of all tasks defined within this PWS when the Government facility is not closed for the above reasons. When hiring personnel, the Contractor shall keep in mind that the stability and continuity of the workforce are essential.
