CENWO-CT PERFORMANCE WORK STATEMENT (PWS)
Omaha District Leadership Development Program
PART 1
GENERAL INFORMATION
1. General: This is a non-personnel services contract for an accredited academic institution to develop and administer a Leadership Development Program that presents a framework for effective leadership concepts and fundamentals critical to building organizational teams. The
Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn is responsible to the Government.
1.1 Description of Services/Introduction: The contractor shall provide all personnel, equipment, supplies, facilities, tools, materials, supervision, and other items and non-personal services necessary to develop and administer the District’s Leadership Development Program as defined in this Performance Work Statement except for those items specified as government furnished property and services. The contractor shall perform to the standards in this contract.
1.2 Background: The U.S. Army Corps of Engineers, Omaha District, is seeking an accredited academic institution to develop and administer a part-time leadership development program for 12
Corps of Engineers employees each year who are typically college educated, and who are mostly at, or early to mid-career employees with high potential to be future leaders. Each program/option year, a new group of employees will be selected to participate. Disciplines represented include science, engineering and administration. The overall objective of this program is to help these employees learn, grow and develop so they can be effective leaders & managers within the Omaha District and
Northwestern Division of the U.S. Army Corps of Engineers. The base contract period is for the period beginning in March 2016 for a 12-month period, with four optional years. The contractor will be paid in accordance with the schedule on a per enrollee basis for each student accepted and enrolled in the program by separate orders (SF 182)
1.3 Objectives: The overall objective of this program is to prepare our future leaders. To that end we will form a partnership with an accredited academic institution to develop and administer a part-time leadership development program that produces graduates prepared to lead people and lead change in a complex environment.
1.4 Scope: The contractor shall:
1.4.1 The contractor shall furnish all necessary personnel and facilities, materials, supplies and equipment to develop the curriculum, instruct/facilitate and administer, a part-time, leadership development program for 12 Corps of Engineers employees who are typically college educated, and who are mostly at, or near mid-career. The curriculum or class cycle is Mar through Feb.
The course is described in 3 parts; the 2 day Retreat/Off Site to kick off the class, the classroom/lab component and it conclude with the graduation ceremony. Each contract or LDP program year, a new group of employees will be selected to participate. Disciplines represented include science, engineering, project management and administration. The overall objective of this program is to help these employees learn, grow and develop so they can through direct or indirect influence create the conditions for sustained organizational success in the Omaha
District and Northwestern Division.
1.4.2 The Leadership Development Curriculum should “simultaneously develop” on three levels;
(1) Internal to the person, (2) Interpersonal among classmates and project teammates and (3)
Organizational perspective required to convert the Omaha District Vision into action.
1.4.3 The learning objectives from the above 3 levels should be (1) a heightened awareness of students’ strengths and weaknesses as they pertain to leadership and management. (2) development and refinement of skills necessary to be an effective leader-manager, such as critical thinking, interpersonal communication, conflict resolution, motivation, stress management, values and ethics, management of change and related topics, (3) enhanced knowledge of how to be an effective team member, often called followership by the Army, (4) greater insight into how leadership, vision, values, missions, and culture fuel an organization.

1.4.4 The program should be graduate level sessions which provide a variety of contemporary leadership and management concepts presented by leading professionals in their field. (see Attachment/Technical Exhibit 1, Performance Requirements Summary (PRS) #2).
1.4.5 Contractor shall conduct a course kick-off Leadership Retreat. A two day, overnight, retreat held for reflection, introspection, individual development planning, team exercises/problem solving sessions for the purpose of orienting students on topics of leadership and start the class bonding process. A minimum of six speakers, from outside the Corps of
Engineers shall address the LDP Class Retreat, providing a variety of points of view from successful leaders. We are particularly interested in the mix of representatives from business, government, industry and universities, as well as the specific backgrounds of the selected individuals. The cost of the Leadership retreat shall be included in the total cost in the proposal.
1.4.6 Facilitate a LDP Classroom/Lab phase of 80 hours (normally scheduled in monthly 8 hour blocks), of formal graduate-level leadership and management instruction. Classes shall be scheduled during duty hours, previous courses were scheduled from 8:00 a.m. to 5:00 p.m.
Classes will not be scheduled in the month of June to allow students, staff and faculty to schedule leave. LDP participants may not be scheduled into regularly scheduled university classes. Length of formal classroom modules may vary depending on subject coverage, time required for mastery, beneficial mix of developmental and methodologies. Identify the names of instructors to be used for each classroom session with a brief (one paragraph) bio-sketch/overview on each.
1.4.7 A graduation ceremony shall be conducted at the end of the program. The purpose is to recognize the achievements of the LDP participants, and to celebrate the success of the year's activities. LDP students, their significant others, LDP Committee members, mentors and supervisors, and executives may be invited to participate in this activity which includes a pre-event gathering with light refreshments followed by a short ceremony with speeches and presentations of graduation certificates by a representative of the academic institution and the
District Commander or his representative.
1.5 Period of Performance: The period of performance shall be for one (1) Base Year of 12 months and four (4) 12-month option years. The Period of Performance reads as follows:

1.6 General Information
1.6.1 Quality Control: The contractor shall develop and maintain a quality control program to ensure services are performed in accordance with this PWS. The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The contractor’s quality control program is the means by which a contractor assures the work complies with the requirements of the contract. The Quality Control Plan is to be delivered within 30 days after contract award. After acceptance of the quality control plan the contractor shall receive the contracting officer’s acceptance in writing of any proposed change to his QC system.
1.6.2 Quality Assurance: The government shall evaluate the contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan. This plan is attached as
Technical Exhibit #1 and will be applied quarterly or annually as stated in the plan. The minimum acceptable defect rate is also listed in the plan.
1.6.3 Recognized Holidays: Contractor is not required to perform services on holidays.

1.6.4 Hours of Operation: The contractor is responsible for proposing and obtaining approval of the LDP dates and class hours from the District Training Coordinator, prior to the start of each
LDP School year. Training days are normally scheduled for 8 hours of instruction but actual training should be task orientated rather than time orientated. Previous class days have run from
8 a.m. to 5 p.m. with an hour for lunch. LDP class dates should not be scheduled the 2 nd full week of each month. The 1 st full week is when Mon thru Fri. are all in the same month and it is followed by the 2 nd full week of the month. The second full week is referred to as PRB Week
(Project Review Board). If the governments or contractors facilities are closed due to local or national emergencies, administrative closings, or similar government directed facility closings, the contractor can reschedule to meet the hours of instruction requirement or request exemption.
The Contractor must at all times maintain an adequate workforce for the uninterrupted performance of all tasks defined within this PWS.
1.6.5 Place of Performance: The place of performance is the contractor’s facility.
1.6.6 Type of Contract: The government will award a Firm Fixed Price Service Contract, with lump sum payment.
1.6.7 Security Requirements: All work performed under this contract shall be “unclassified”
1.6.7.1 Physical Security. Contractor personnel required to physically access government facilities and projects for the purposes of site visitation, supervisory/quality evaluation or meeting attendance will comply with the latest security requirements applicable to the government facility/project.
1.6.7.2 Key Control: not applicable
1.6.8 Special Qualifications: must be a 4-year academic institution, accredited by the Higher
Learning Commission of the North Central Association of Colleges and Schools or equivalent.
1.6.9 Post Award Conference/Periodic Progress Meetings: The Contractor agrees to attend any post award conference convened by the contracting activity or contract administration office in accordance with Federal Acquisition Regulation Subpart 42.5. The contracting officer, Contracting Officers Representative (COR), and other Government personnel, as appropriate, may meet periodically with the contractor to review the contractor's performance. At these meetings the contracting officer will apprise the contractor of how the government views the contractor's performance and the contractor will apprise the Government of problems, if any, being experienced. Appropriate action shall be taken to resolve outstanding issues. These meetings shall be at no additional cost to the government.
1.6.10 Contracting Officer Representative (COR): The (COR) will be identified by separate letter. The COR monitors all technical aspects of the contract and assists in contract administration The COR is authorized to perform the following functions: assure that the
Contractor performs the technical requirements of the contract: perform inspections necessary in connection with contract performance: maintain written and oral communications with the
Contractor concerning technical aspects of the contract: issue written interpretations of technical requirements, including Government drawings, designs, specifications: monitor Contractor's performance and notifies both the Contracting Officer and Contractor of any deficiencies;
coordinate availability of government furnished property, and provide site entry of Contractor personnel. A letter of designation issued to the COR, a copy of which is sent to the Contractor, states the responsibilities and limitations of the COR, especially with regard to changes in cost or price, estimates or changes in delivery dates. The COR is not authorized to change any of the terms and conditions of the resulting order.

1.6.11 Key Personnel: The following personnel are considered key personnel by the government: The Contract Manager. The contractor shall provide a contract manager who shall be responsible for the performance of the work. The name of this person and an alternate who shall act for the contractor when the manager is absent shall be designated in writing to the contracting officer. The contract program manager/or alternate shall have full authority to act for the contractor on all contract matters relating to daily operation of this contract. The contract manager or alternate shall be available between 9:00 and 4:30, Monday thru Friday, except for
Federal holidays or when the government is closed for administrative reasons. Qualifications for all key personnel are listed below: Experience and credentials for managing long term graduate-level training programs for mid-career adults along with experience and credentials for addressing leadership and management.
1.6.12 Identification of Contractor Employees: All contract personnel attending meetings, answering Government telephones, and working in other situations where their contractor status is not obvious to third parties are required to identify themselves as such to avoid creating an impression in the minds of members of the public that they are Government officials. They must also ensure that all documents or reports produced by contractors are suitably marked as contractor products or that contractor participation is appropriately disclosed. LDP training is provided at the contractor’s facility so contract personnel will not be require to obtain and wear badges in the performance of this service.
1.6.13 Contractor Travel: Contractor will not be required to travel during the performance of this contract. The Class will travel to the Washington DC for a week, departing on Monday return on Friday, to visit the USACE Hqs. and other Federal Offices/ Officials to discuss and better understand leadership at different levels of the Federal Government. The contractor is welcome to accompany the class but at the contractors expense. The class will also visit one
Omaha District Project/Field Office a year. The contractor is also welcome to accompany the class to a Project/Field Office at the contractor’s expense. If the class is being provided government transportation to the Project/Field Office, the contractor is authorized to travel at no cost if space is available.
1.6.14 Other Direct Costs: This category includes time involved in developing , planning and administering all phases of the LDP Program, Consulting time with the Army Corps of
Engineers Corporate Board, time involved in providing coaching, counseling and advising to
LDP Program participants and mentors, classroom space, facility fees, any catering, lodging, meals and facility fees for the initial two day retreat, material books, diagnostic tools and training aids, mailing costs clerical, telephone reproduction, and any other overhead expenses associated with instruction/execution of the program.
1.6.15 Data Rights: not applicable.
1.6.16 Organizational Conflict of Interest: Contractor and subcontractor personnel performing work under this contract may receive, have access to or participate in the development of proprietary or source selection information (e.g., cost or pricing information, budget information or analyses, specifications or work statements, etc.) or perform evaluation services which may create a current or subsequent Organizational Conflict of Interests (OCI) as defined in FAR
Subpart 9.5. The Contractor shall notify the Contracting Officer immediately whenever it becomes aware that such access or participation may result in any actual or potential OCI and shall promptly submit a plan to the Contracting Officer to avoid or mitigate any such OCI. The
Contractor’s mitigation plan will be determined to be acceptable solely at the discretion of the
Contracting Officer and in the event the Contracting Officer unilaterally determines that any such OCI cannot be satisfactorily avoided or mitigated, the Contracting Officer may affect other remedies as he or she deems necessary, including prohibiting the Contractor from participation in subsequent contracted requirements which may be affected by the OCI.

2. DEFINITIONS AND ACRONYMS:
2.1. DEFINITIONS:
2.1.1 AFTER ACTION REVIEW is the immediate "after-action" discussions and evaluations of performance following an exercise or training session for the purpose of analyzing what happened, why it happened, and how it can be done better by the participants and those responsible for the project or event. Comments are consolidated into one short document.
Brevity and content are more important than formality.
2.1.2. CONTRACTOR. A supplier or vendor awarded a contract to provide specific supplies or service to the government. The term used in this contract refers to the prime.
2.1.3. CONTRACTING OFFICER. A person with authority to enter into, administer, and or terminate contracts, and make related determinations and findings on behalf of the government.
Note: The only individual who can legally bind the government.
2.1.4. CONTRACTING OFFICER'S REPRESENTATIVE (COR). An employee of the U.S.
Government appointed by the contracting officer to administer the contract. Such appointment shall be in writing and shall state the scope of authority and limitations. This individual has authority to provide technical direction to the Contractor as long as that direction is within the scope of the contract, does not constitute a change, and has no funding implications. This individual does NOT have authority to change the terms and conditions of the contract.
2.1.5. CORPORATE BOARD. A board of Division Chiefs, appointed by the Commander to recommend mechanisms, processes and relationships by which the Omaha District is controlled and directed. The Board recommends District goals and objectives that align with those of
USACE, our customers and stakeholders. The Board also recommends the distribution of authorities and responsibilities within the organization.
2.1.6. DEFECTIVE SERVICE. A service output that does not meet the standard of performance associated with the Performance Work Statement.
2.1.7. DELIVERABLE. Anything that can be physically delivered, but may include non-manufactured things such as meeting minutes or reports.
2.1.8. KEY PERSONNEL. Contractor personnel that are evaluated in a source selection process and that may be required to be used in the performance of a contract by the Key Personnel listed in the PWS. When key personnel are used as an evaluation factor in best value procurement, an offer can be rejected if it does not have a firm commitment from the persons that are listed in the proposal.
2.1.9. PHYSICAL SECURITY. Actions that prevent the loss or damage of Government property.
2.1.10. QUALITY ASSURANCE. The government procedures to verify that services being performed by the Contractor are performed according to acceptable standards.
2.1.11. QUALITY ASSURANCE Surveillance Plan (QASP). An organized written document specifying the surveillance methodology to be used for surveillance of contractor performance.
2.1.12. QUALITY CONTROL. All necessary measures taken by the Contractor to assure that the quality of an end product or service shall meet contract requirements.
2.1.13. SUBCONTRACTOR. One that enters into a contract with a prime contractor. The
Government does not have privity of contract with the subcontractor.
2.1.14. WORK DAY. The number of hours per day the Contractor provides services in accordance with the contract.
2.1.15. WORK WEEK. Monday through Friday, unless specified otherwise.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
Preparation of Proposals. Bidders shall submit a proposal spelling out their curriculum for the 2016 Leadership
Development Course. The curriculum should have 3 components
1. An itinerary for the 2 day course kick-off retreat/off-site, stating the subject/topic, learning objective, names of presenters, a one paragraph profile on each presenter/speaker, and student logistics for the 2 days.
2. A course schedule for the 80 hours of graduate level classes/lab sessions/case study discussions which provides a variety of contemporary leadership and management concepts presented by leading professionals. This schedule as a minimum should list the subject/topic, the learning objective, and a one paragraph profile of the instructor/facilitator.
3. Graduation ceremony outline. The outline can be in general terms, in that facilities, names of speakers are not known at this time.
The following criteria will form the basis of the evaluation and are listed in descending order of importance:
1. The subjects/topics and learning objective for the 2 days retreat/off site and 80 hour graduate level class/lab sessions/case studies (neither the 2 day or 80 hour class list of subjects is weighted over the other)
2. The profiles of the instructors or facilitators for the 2 day retreat/off site and 80 hour graduate level class/lab sessions/case studies. (neither the 2 day or 80 hour class list of subjects is weighted over the other)
3. Price.
Item 1 Subjects/Topics and Learning Objectives will be evaluated to determine if the subjects are current, and the learning objectives are rigorous and measurable.
Item 2 Profiles of the instructors or facilitators for the 2 day retreat/off site and 80 hour graduate level class/lab sessions/case studies will be evaluated to determine educational qualifications and professional accomplishments
Item 3 Price will be evaluated for reasonableness and responsiveness. The evaluation may include labor rates, overhead, inclusion of annual escalation pursuant to the Service Contract Act for example.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
