SPECIAL CONDITIONS

GENERAL TERMS AND CONDITIONS

The Pinellas County School District (District) “General Terms and Conditions” School Board Adopted

12/08/09 Revised 3/20/12, 7/24/12 can be found at the following link:

https://www.pcsb.org/cms/lib/FL01903687/Centricity/Domain/187/General%20Terms%20and%20Condit ions%2011%2015%2024.pdf

By submitting a proposal, Proposer agrees to abide by all District Terms and Conditions.

CONTRACT PERIOD

The Contract Period shall commence on May 13, 2025, and end May 12, 2026. Prices and discounts shall remain firm for this period and shall include ALL freight and handling charges.

RENEWAL OPTION

By mutual consent of the School Board of Pinellas County, Florida, and the successful Bidders, this contract may be renewed for Two (2) additional one (1) year periods.

SUPPLEMENTAL UNILATERAL RENEWAL PERIODS

The District, through its Director of Purchasing, has the option and reserves the right to unilaterally extend the original contract term or any renewal term for up to three (3) additional thirty (30) day periods, at the same terms and conditions. Notice of the District’s intent to renew shall be provided by the District in writing to the Contractor Supplier prior to the expiration of the contract, or the renewal period if the contract has been previously renewed.

PRICE ESCALATION/DE-ESCALATION

The District will allow a price escalation/de-escalation provision within this award. The original bid prices shall remain firm for the first term of the agreement. A price escalation/de-escalation will be allowed at each renewal period, provided the Awardee notifies the District, in writing, of the pending price escalation/de-escalation a minimum of 60 days prior to the final day of the current term. The price escalation percentage change shall not exceed the previous 1-year’s percentage change of the Consumer

Price Index for All Urban Consumers (CPI-U) published by the U.S. Department of Labor’s Bureau of

Labor Statistics. If bidding discounts from list price, discounts offered may not change. Failure to comply with these instructions shall be grounds for disallowance of a price escalation as allowed herein.

If, at the point of exercising the price escalation provision, market media indicators show that the

Consumer Price Index for All Urban Consumers (CPI-U) has decreased, and that the Awardee has not passed the decrease on to the District, the District reserves the right to place the Awardee in default, cancel the award, and remove the Awardee from the District’s Bidders List for a period of time deemed suitable by the District. In the event of this occurrence, the District further reserves the right to utilize any and/or all options as stated herein.

ADJUSTMENTS TO CONTRACT TERMS & CONDITIONS NECESSITATED BY

VOLATILITY OF THE MARKETPLACE

The District may, in its sole discretion, make an equitable adjustment in the contract terms and/or pricing if pricing or availability of supply are affected by extreme and unforeseen volatility in the marketplace, that is, by circumstances that satisfy all of the following criteria:

1. The volatility is due to causes wholly beyond the Supplier’s control https://www.pcsb.org/cms/lib/FL01903687/Centricity/Domain/187/General%20Terms%20and%20Conditions%2011%2015%2024.pdf https://www.pcsb.org/cms/lib/FL01903687/Centricity/Domain/187/General%20Terms%20and%20Conditions%2011%2015%2024.pdf

Bid# 25-JG-040

2. The volatility affects the marketplace or industry, not just the particular Supplier’s source of supply

3. The effect on pricing or availability of supply is substantial

4. The volatility so affects the Supplier that continued performance of the contract would result in substantial loss or financial hardship

The determination as to whether a situation represents “extreme” volatility of the marketplace and/or whether the effect on pricing or availability is “substantial” shall be solely at the discretion of the District.

Requests for adjustments will not be considered more than once in a one-year period. Adjustments and renewal escalation may not be exercised in the same term.

PRE-BID CONFERENCE

For the purposes of calculating the amount of a protest bond, this contract is valued at approximately

450,000.00, excluding renewal options. This is only an estimate and the actual amount could vary up or down. The District will not be held responsible if actual purchases are less than this amount.

AWARD VENDOR(S) WILL BE REQUIRED TO SUBMIT PROOF OF INSURANCE PRIOR TO

COMMENCEMENT OF CONTRACT. See enclosed insurance guidelines for details.

The vendor must furnish a company representative OR security guard at each location while the structure is tented during the fumigation operation, as well as during the aeration of the structure, until the atmosphere within the structure is deemed safe for human occupancy. Security personnel will be instructed to contact vendor AND School Board representative in the event of an emergency (blow-down, unauthorized entry, etc.).

The Pest Control Department will supply phone numbers of all School Board employees involved in each job, to the vendor and security personnel. The District will deduct (25) percent of the total cost of fumigation if a company representative or security guard is not present during the entire time that the structure is undergoing fumigation/aeration and is unsafe for human occupancy.

Payment will be made to the vendor only after the premises have been inspected by school personnel. All work is to be approved by the School Board's designated representative, the Supervisor of Pest Control. If any live infestation is discovered, no payment will be made until the entire building has been tented and fumigated again, according to the bid specifications and at the convenience of the School Board. Re-fumigation work cannot be done while school is in session. No portion of the fumigation service may be subcontracted, Bid# 25-JG-040 including installation and removal of tarpaulins without prior approval from the Pinellas County

Schools Pest Control Representative. The Pinellas County Schools Representative reserves the right to cancel any scheduled work for any reason they deem necessary, such as inclement weather, unforeseen circumstances, or potential failure of the contractor to accomplish the work in a timely manner.

Vendors are expected to examine the specifications, drawings, and all special and general conditions. No plea of ignorance by the vendor of conditions that exist or that may hereafter exist as a result of failure or omission on the part of the vendor to make the necessary examinations and investigations, or failure to fulfill in every detail the requirements of the contract document, will be accepted as a basis for varying the requirements of the District or the compensation to the vendor.

Vendors will be responsible for measuring buildings and submitting all required items pertaining to specification checklist. The information used to determine pricing, to include but not be limited to total cubic footage of all structures, amount of gas to be introduced and exposure period in hours. The information can be in the same format as will be submitted in the Fumiguide calculator. This information will be used at the time of actual gas introduction (specifically cubic footage and exposure period).

The Douglas products FUMIGUIDE* calculator(s) shall be used to determine that a correct ounce/hour relationship has been accomplished prior to aeration.

PRE-FUMIGATION

All work shall be performed between Friday at 6:00 PM and Monday 6:00 AM or during regular school

Holidays. All work dates and times are to be coordinated through the Pest Control Supervisor. Five (5) days prior to the starting date the vendor shall provide the Pest Control Supervisor the following information:

A. Specific written instruction for preparations by school personnel prior to fumigation.

B. The proposed written schedule for the setup, tarpaulin installation, fumigant introduction, monitoring, tarpaulin removal, aeration of the structure and security measures.

C. A graph of the structure to be fumigated indicating proposed location of shooting fans, circulatory fans, and sampling points (monitoring lines.) The sample point locations will be coded on the graph and given to the Pest Control Supervisor prior to monitoring.

SAMPLING POINTS:

District Pest Control Department will determine number and placement of monitoring lines. Monitoring lines shall be supplied by vendor, at a rate of at least 2 lines per structure under 100,000 cubic feet, and one (1) per every 100,000 cubic feet thereafter. The vendor is responsible for supplying power at all sampling points.

All food, feed, and medicinals (including items in refrigerators and freezers) which cannot be removed from the fumigation site must be sealed in highly resistant containers such as glass, metal, or double bagging with nylon polymer bags such as Nylofume. Cost of these products shall be included in the bid. Items in original, factory sealed, airtight containers may remain.

No gases (Vikane) or liquids (Choropicrin) shall be introduced into the building until after a complete walkthrough of the building has been accomplished by the Vendor AND a representative of the Pest Control

Department.

FUMIGATION

During fumigation, Electronic analysis using a FUMISCOPE, and Spectros Instruments SF400/SF-ReportIR

/1012 or other approved Douglas Products monitoring devices will be used to determine the ounces of

Vikane per thousand cubic feet, and thus, the establishment of a proper ounce/hour relationship. Monitoring equipment must be placed in a location assessable to Pinellas County School Board Pest Control

Bid# 25-JG-040

Representative. When two (2) Fumiscopes or listed monitoring devices are used, the average of the readings will determine ounces to be entered for calculating. Using the Fumiscope to determine the exact exposure period, an additional 10% of exposure period will be added (110% total exposure period) to ensure that the recommended exposure periods will be exceeded. Any deviation from this procedure will be at the sole discretion of the PCSB Pest Control Representative.

The fumigation company must provide documentation that the Fumiscope(s) used to test the fumigated structure have been calibrated within the calendar year.

After introduction of fumigant, the vendor shall provide the Pest Control Supervisor or his assigned representative with the schedule for sampling fumigant. The first sampling will be taken one or more hours after introduction of Vikane Ô is completed. At least two additional sampling intervals will be conducted. The exposure period will not be considered to start until equilibrium has been obtained. Equilibrium will be when all sampling points are within two (2) ounces from the lowest to the highest reading obtained during monitoring. Fumiscope readings should document that the appropriate number of oz-hours have accumulated in all areas sampled to control target pests. When using calculator to determine exposure, the lowest ounce readings will be used to determine the need for more gas, or if exposure period is sufficient. Should the above test samples indicate a need for additional fumigant, or additional time, or both to accomplish a correct ounce/hour relationship, then additional fumigant, or additional time, or both shall be affected at no additional cost.

All seams of tarp shall have warning signs. In addition, all sides of structure shall have a minimum of one (1) warning sign. After tarp is removed, all doors shall have warning signs until structure is cleared for occupancy. The fumigation company is responsible for providing visual security at all times for any open doors or windows on the first floor of all buildings during the aeration period.

AERATION PROCEDURES

All structures must remain posted until cleared for re-entry.

The building shall be designated as completely aerated no fewer than twelve hours (12) prior to occupancy by students and school personnel.

The fumigation company must provide documentation that the Spectros Instruments SF-ExplorIR, Interscan(s) MIRAN Saphire or other Douglas Products approved gas analyzer used to test the fumigated structure for clearance have been calibrated per Vikane label and manufacturers requirements.

AERATION PROCEDURE 1

Step (1) - Aerate structure with operable windows and doors open, aided by the use of one or more fans, for a minimum of one hour. Each fan shall be capable of displacing 5,000 cubic feet per minute.

Step (2) - Secure structure and do not allow reentry for a minimum of eight (8) hours from the start of aeration

(first opening of the seal). During this time structure must remain posted.

Step (3) - After the minimum eight (8) hour waiting period, measure the sulfuryl fluoride (Vikane) concentration in breathing zones of each room on each floor. In addition, measure Vikane concentrations in at least three (3) smaller rooms on each floor such as restrooms or small offices or rooms that have more absorptive materials (such as stuffed furniture, storage containers) than other rooms. If sulfuryl fluoride concentration is greater than 1 ppm, ventilate structure with operable doors open for a minimum of 1 hour. Close operable doors and windows and proceed to Step 4.

Step (4) – After a minimum of thirty (30) minutes with operable doors and windows closed, take another reading of the Vikane concentration from the same rooms used in Step 3. If the Vikane concentration is more than 1 ppm wait another thirty (30) minutes and retest the same rooms tested in Step 3. If the

Vikane concentration is greater than 1 ppm in any room tested, ventilate the structure by opening doors and windows for at least thirty (30) minutes and repeat Steps 3 & 4. Confirm concentrations are 1 ppm or less before the structure is reoccupied.

Bid# 25-JG-040

THE STRUCTURE IS CLEARED FOR RE-ENTRY WHEN VALIDATION STEPS 1 – 4 ARE

COMPLETED, AND THE VIKANE™ CONCENTRATION IS 1PPM OR LESS AND HAS NOT

INCREASED BY MORE THAN 1 PPM IN ANY ROOM TESTED OVER A MINIMUM THIRTY (30)

MINUTE WAITING PERIOD.

POST FUMIGATION

The fumigation company shall provide all information listed on the standard Fumigation Log. This information includes:

1. The volume of structure in thousand cubic feet.

2. Slab or sub-area soil temperature in degrees Fahrenheit measured immediately prior to fumigant introduction.

3. Estimated HLT.

4. Date and time of fumigant introduction.

5. Total pounds of fumigant introduced.

6. Date and time first seal was opened for aeration.

7. Fumiscope readings of all sampling locations and intervals.

8. Total oz-hours accumulated and actual HLT at each sampling location.

The information shall also include the aeration procedure used.

This specification shall be used for all tent fumigation’s, regardless of size of job. Any variations or changes must be submitted in writing and approved by the Pest Control Department.

PORTABLE CLASSROOMS
