SECTION A
SOLICITATION
A.1 INTRODUCTION
A.1.1 Defense Logistics Agency (DLA) Aviation is seeking a holistic, performance based support solution to improve the availability of Unison manufactured aerospace products via the Captains of Industry (COI) initiative. Based on the circumstances described herein a performance based supply chain management and logistics support solution is being sought for products manufactured by Unison.
A.1.2 This solicitation is for award of an umbrella Supplier Capability Contract (SCC) with overarching terms and conditions for potentially multiple product specific subsumable contracts (Phases To Be Determined) for repairable and consumable material end items and support to weapons system maintenance to include both material and services, including potential repair or remanufacturing of repairables. Additionally, this solicitation contains the consumable parts identified herein as Phase 1, for the initial subsumable contract. Any resulting subsumable contract shall potentially be a Fixed Price (i.e. Firm Fixed Price, Fixed Price with Prospective Price Redetermination, Fixed Price Incentive – Firm Target, etc.) Requirements contract. The period of performance for any resulting subsumable contract including the base period and any option periods shall be identified in the solicitation for that subsumable requirement. The total period of performance for any subsumable contract shall not exceed ten years. The total period of performance for the umbrella contract shall not exceed fifteen years.
A.2 OVERVIEW
A.2.1 This solicitation will be a sole source negotiated acquisition with Unison. To meet the objectives specified in Section C, Unison will perform the following logistics management functions by applying their Original Equipment Manufacturer (OEM) based engineering and technical expertise to improve: depot maintenance turnaround times, supply support, material management, reliability, engineering support and sustainment elements, obsolescence management, packaging, storage, transportation and field engineering support of products manufactured by Unison. This level of support shall be provided for any subsumable contract with product specific requirements.
A.2.2 The logistics solution being acquired is a comprehensive supply chain management program to support Unison manufactured aircraft products. Unison aircraft components pose significant engineering, technical, diminishing manufacturing sources and raw material acquisition challenges. DLA has determined that real-time access to the engineering expertise, technical data and understanding of the manufacturing processes offered by the OEM is essential to successfully provide supply support for the maintenance of these products. As such, the acquisition has been approved for Other than Full and Open Competition as prescribed by FAR 6.302-1.
A.2.4 The solicitation requires Unison to provide a holistic support solution, with potentially primary support to any identified military services customer to possibly include Foreign Military Sales (FMS) customers. Any future separate specific requirement shall be subject to its own distinct acquisition coordination for that separate phase and subsumable contract action.
A.2.5 Section C herein identifies the Government’s objectives for the all-encompassing performance based effort. Phase 1 includes sole source consumable items listed in Unison’s commercial catalog and is included herein as Attachment 1. Any future separate specific

requirement (Phases To Be Determined) may be subject to its own distinct Performance Work Statement (PWS) or Statement of Work (SOW).
SECTION B
SUPPLIES OR SERVICES AND PRICES/COSTS
B.1 Unison shall submit proposed pricing for any potential future requirements and subsumable contract types when solicited (Phases TBD).
B.2 Unison is required to submit Certified Cost or Price Data in accordance with FAR 15.403-4 unless an exception from certified cost or pricing data requirements applies. If an exception applies then Unison will be required to provide Other than Cost or Price Data in accordance with
FAR 52.215-20
B.3 Unison shall submit proposed pricing for each pricing period in accordance with the solicited pricing structure for any potential future requirements. Unison shall provide “bottoms up” detail of the aforementioned proposal methodology in full, transparent detail to ensure a fair and reasonable price determination can be made.
B.4 Any subsumable contract option periods shall be subject to the separate option provisions contained in each subsumable contract action.
SECTION C
DESCRIPTION/SPECIFICATIONS
The intent of the SCC is to improve material support for Unison products while decreasing DLA’s inventory position and material costs. This could include performance based supply chain management, logistics support and spare parts requirements in support of multiple aircraft engines, including but not limited to; F100, F101, F110, T-56 and FF-33. The all-encompassing goal is to improve engine availability for these and other Unison supported platforms. Each subsumable contract may include a separate PWS or SOW which will provide a general framework for that contract. Phase I NIINs include sole-source consumable items only.
SECTION D
PACKAGING AND MARKING
D.1 Commercial packaging in accordance with American Society for Testing and Materials (ASTM), ASTM D-3951 is acceptable; however, packages shall be prepared in accordance with labeling requirements of MIL-STD-129P.
D.2 Radio Frequency Identification (RFID) requirements shall apply consistent to the requirements at DFARS 252.211-7006 is incorporated herein, as applicable.
SECTION E
INSPECTION AND ACCEPTANCE
Inspection & Acceptance (I&A) terms are incorporated for both Destination and Origin as applicable. Certain individual requirements under the umbrella SCC may establish alternate Government Contract Quality Assurance (GCQA) processes that allow for modified I&A terms.
As appropriate, those requirements will be set forth in the applicable subsumable contract PWS or SOW.

SECTION F
DELIVERIES OR PERFORMANCE
F.1 FOB terms for both Destination and Origin are included. As appropriate, those requirements will be set forth in the applicable subsumable contract for each individual requirement.
F.2 While balancing priorities and shipping schedules, the contractor shall consolidate shipments to the maximum extent practicable.
F.3 The contractor shall maintain comprehensive records of all shipments including the transportation control number, the date of shipment, weights, destinations, order number, and transportation contract shipped against.
SECTION G
CONTRACT ADMINISTRATION DATA
Notwithstanding the Contractor’s responsibility for overall contract management during the performance of the contract, the administration of the contract will require maximum coordination between the Government and the Contractor. Data requirements shall be determined for each applicable subsumable contract.
SECTION H
SPECIAL CONTRACT REQUIRMENTS
H.1 DEFENSE CONTRACT MANAGEMENT AGENCY (DCMA)
The solicitation provides for the utilization of DCMA for inspection & acceptance, transportation coordination, monitoring of contract performance, and other functions delegated by the Contracting Officer, as appropriate.
H.2 GOVERNMENT FURNISHED TOOLING
H.2.1 In accordance with FAR 45.201(c), Unison shall include the following in its proposal for each specific subsumable contract solicitation:
H.2.1.1 A list or description of all Government property that the offeror or its subcontractors propose to use on a rent-free basis. The list shall identify the accountable contract under which the property is held and the authorization for its use (from the contracting officer having cognizance of the property);
H.2.1.2 The dates during which the property will be available for use (including the first, last, and all intervening months) and, for any property that will be used concurrently in performing two or more contracts, the amounts of the respective uses in sufficient detail to support prorating the rent;
H.2.1.3 The amount of rent that would otherwise be charged in accordance with FAR 52.245-9, Use and Charges; and H.2.1.4 A description of the offeror’s property management system, plan, and any customary commercial practices, voluntary consensus standards, or industry-leading practices and standards to be used by the offeror in managing Government property.
4.2.2 Unison shall flow-down to its suppliers, all Government Furnished Property and Tooling clauses when tooling is used in supply of material for SCC performance and any resulting subsumable contract. Unison, as the prime contractor, is ultimately responsible for any Government tooling utilized in support of contract performance.

SECTION I
CONTRACT CLAUSES
Note: The solicitation contains provisions and clauses that may be self-deleting / not applicable based on the strategy of each subsumable. Any resulting contract will be a stand-alone document and include the award clauses and provisions applicable to the negotiated contract.
I.1 INCORPORATED BY REFERENCE
I.1.1 Except for provisions and clauses prescribed in FAR 52.107, any provision or clause that can be accessed electronically is incorporated by reference to include DLA Directive (DLAD Procurement Notes and DLA Aviation Acquisition Notices (DAANs). However, upon request, the contracting officer shall provide the full text of any provision or clause incorporated by reference.

I.2 ORDER OF PRECEDENCE
I.2.1 Provisions and clauses contained in the umbrella SCC shall take precedence over any potential future subsumable contracts’ provisions and clauses, unless specifically stated otherwise in a subsumable contract. Any umbrella SCC provisions or clauses not applicable to any potential subsumable contract shall be self-deleting. Umbrella SCC provisions and clauses applicable to each separate subsumable contract shall be identified in an attachment to that subsumable contract.
I.2.2 Any Government or contractor clause fill-in sections identified with an asterisk (*) in the umbrella SCC shall be definitized in each separate subsumable contract with the full text of the fill-in section of the applicable clause.

52.207-4 -- ECONOMIC PURCHASE QUANTITY—SUPPLIES (AUG 1987)
(a) Offerors are invited to state an opinion on whether the quantity(ies) of supplies on which bids, proposals or quotes are requested in this solicitation is (are) economically advantageous to the Government.
(b) Each offeror who believes that acquisitions in different quantities would be more advantageous is invited to recommend an economic purchase quantity. If different quantities are recommended, a total and a unit price must be quoted for applicable items. An economic purchase quantity is that quantity at which a significant price break occurs. If there are significant price breaks at different quantity points, this information is desired as well.

52.209-7 -- INFORMATION REGARDING RESPONSIBILITY MATTERS (JUL 2013)
(a) Definitions. As used in this provision— “Administrative proceeding” means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.
“Federal contracts and grants with total value greater than $10,000,000” means—
(1) The total value of all current, active contracts and grants, including all priced options;
and
(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).
“Principal” means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.
(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.
(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management database via https://www.acquisition.gov (see 52.204-7).
52.212-2 -- EVALUATION—COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
Technical capability of the item offered to meet the Government requirement, Price, Past performance
Technical and past performance, when combined, are approximately equal , when compared to price.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
52.212-3 -- OFFEROR REPRESENTATIONS AND CERTIFICATIONS—COMMERCIAL ITEMS

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) website located at https://www.sam.gov/portal. If the Offeror has not completed the https://www.acquisition.gov/ https://www.acquisition.gov/sites/default/files/current/far/html/52_200_206.html#wp1137850 https://www.sam.gov/portal annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u) of this provision.
(a) Definitions. As used in this provision— “Administrative merits determination” means certain notices or findings of labor law violations issued by an enforcement agency following an investigation. An administrative merits determination may be final or be subject to appeal or further review. To determine whether a particular notice or finding is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.
“Arbitral award or decision” means an arbitrator or arbitral panel determination that a labor law violation occurred, or that enjoined or restrained a violation of labor law. It includes an award or decision that is not final or is subject to being confirmed, modified, or vacated by a court, and includes an award or decision resulting from private or confidential proceedings. To determine whether a particular award or decision is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.
“Civil judgment” means–
(1) In paragraph (h) of this provision: A judgment or finding of a civil offense by any court of competent jurisdiction.
(2) In paragraph (s) of this provision: Any judgment or order entered by any Federal or
State court in which the court determined that a labor law violation occurred, or enjoined or restrained a violation of labor law. It includes a judgment or order that is not final or is subject to appeal. To determine whether a particular judgment or order is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.
“DOL Guidance” means the Department of Labor (DOL) Guidance entitled: “Guidance for Executive Order 13673, ‘Fair Pay and Safe Workplaces’”. The DOL Guidance was initially published in the Federal Register on August 25, 2016, and significant revisions will be published for public comment in the Federal Register. The DOL Guidance and subsequent versions can be obtained from www.dol.gov/fairpayandsafeworkplaces.
“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
“Enforcement agency” means any agency granted authority to enforce the Federal labor laws.
It includes the enforcement components of DOL (Wage and Hour Division, Office of Federal Contract Compliance Programs, and Occupational Safety and Health Administration), the Equal Employment Opportunity Commission, the Occupational Safety and Health Review Commission, and the National Labor Relations Board. It also means a State agency designated to administer an OSHA-approved State Plan, but only to the extent that the State agency is acting in https://www.acquisition.gov/sites/default/files/current/far/html/www.dol.gov/fairpayandsafeworkplaces its capacity as administrator of such plan. It does not include other Federal agencies which, in their capacity as contracting agencies, conduct investigations of potential labor law violations.
The enforcement agencies associated with each labor law under E.O. 13673 are–
(1) Department of Labor Wage and Hour Division (WHD) for–
(i) The Fair Labor Standards Act;
(ii) The Migrant and Seasonal Agricultural Worker Protection Act;
(iii) 40 U.S.C. chapter 31, subchapter IV, formerly known as the Davis-Bacon Act;
(iv) 41 U.S.C. chapter 67, formerly known as the Service Contract Act;
(v) The Family and Medical Leave Act; and
(vi) E.O. 13658 of February 12, 2014 (Establishing a Minimum Wage for Contractors);
(2) Department of Labor Occupational Safety and Health Administration (OSHA) for–
(i) The Occupational Safety and Health Act of 1970; and
(ii) OSHA-approved State Plans;
(3) Department of Labor Office of Federal Contract Compliance Programs (OFCCP) for–
(i) Section 503 of the Rehabilitation Act of 1973;
(ii) The Vietnam Era Veterans’ Readjustment Assistance Act of 1972 and the Vietnam
Era Veterans’ Readjustment Assistance Act of 1974; and

“Forced or indentured child labor” means all work or service—
(6) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(7) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following:
ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
“Inverted domestic corporation”, means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Labor law decision” means an administrative merits determination, arbitral award or decision, or civil judgment, which resulted from a violation of one or more of the laws listed in the definition of “labor laws”.
“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.
“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

“Sensitive technology”—
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
“Service-disabled veteran-owned small business concern”—
(1) Means a small business concern—
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.
