Continuation of Blocks 19 through 24 (Schedule of Services):
Provide all management, supervision, labor, supplies, materials, and equipment (except as otherwise specified herein); and plan, schedule, and coordinate as necessary to ensure effective performance of all services as specified herein. The Contractor shall be fully responsible for providing the Services/Products as indicated herein for the location listed below:

Prices shall be based on the attached Wage Determination. The Contractor shall not include any contingencies for increased labor costs for which adjustments are provided through FAR 52.222-44, Fair Labor Standards Act and Service Contract Labor Standards – Price Adjustment clause.
Contractor personnel will perform all work required in the Performance Work Statement (PWS) for the amounts agreed to below, excluding Federal holidays. Provision of services must comply with PWS requirements and performance schedules shall be agreed by the Government.

LOCAL CLAUSES
Unilateral Deobligation of Unexpended Funds
The contractor shall submit all invoices under the award no later than 90 calendar days after the period of performance has expired unless a request for extension has been submitted to the Contracting Officer. After 120 days has passed since the expiration of the performance period, the government reserves the right to issue a unilateral modification deobligating any unexpended funds, and to initiate closeout procedures.

AUTHORITIES AND DELEGATIONS (SEPT 2011)
(a) The Contracting Officer is the only individual authorized to enter into or terminate this contract, modify any term or condition of this contract, waive any requirement of this contract, or accept nonconforming work.
(b) The Contracting Officer will designate a Contracting Officer's Representative (COR) at time of award. The COR will be responsible for technical monitoring of the contractor's performance and deliveries. The COR will be appointed in writing, and a copy of the appointment will be furnished to the contractor. Changes to this delegation will be made by written changes to the existing appointment or by issuance of a new appointment.
(c) The COR is not authorized to perform, formally or informally, any of the following actions:
(1) Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract;
(2) Waive or agree to modification of the delivery schedule;
(3) Make any final decision on any contract matter subject to the Disputes Clause;
(4) Terminate, for any reason, the contractor's right to proceed;
(5) Obligate in any way, the payment of money by the Government
(d) The contractor shall comply with the written or oral direction of the Contracting Officer or authorized representative(s) acting within the scope and authority of the appointment memorandum.
The contractor need not proceed with direction that it considers to have been issued without proper authority.
The contractor shall notify the Contracting Officer in writing, with as much detail as possible, when the COR has taken an action or has issued direction (written or oral) that the contractor considers to exceed the COR's appointment, within 3 days of the occurrence. Unless otherwise provided in this contract, the contractor assumes all costs, risks, liabilities, and consequences of performing any work it is directed to perform that falls within any of the categories defined in paragraph. (c) prior to receipt of the Contracting Officer's response issued under paragraph (e) of this clause.
(e) The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph (d)of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.
(f) The contractor shall provide copies of all correspondence to the Contracting Officer and the COR.
(g) Any action(s) taken by the contractor, in response to any direction given by any person acting on behalf of the Government or any Government official other than the Contracting Officer or the COR acting within his or her appointment, shall be at the contractor's risk.

DIAR 1452.228-70 Liability Insurance (JUL 1996)
(a) The contractor shall procure and maintain during the term of this contract and any extension thereof liability insurance in form satisfactory to the Contracting Officer by an insurance company which is acceptable to the Contracting Officer. The named insured parties under the policy shall be the contractor and the United States of America. The amounts of the insurance shall be not less than as follows:
Employer’s Liability $100,000 General Liability $500,000 Automotive Liability o Per person - $200,000 o Per occurrence for bodily injury (other than passenger liability) - $500,000 o Per occurrence for property damage - $20,000
(b) Each policy shall have a certificate evidencing the insurance coverage. The insurance company shall provide an endorsement to notify the Contracting Officer 30 days prior to the effective date of cancellation or termination of the policy or certificate; or modification of the policy or certificate which may adversely affect the interest of the Government in such insurance. The certificate shall identify the contract number, the name and address of the Contracting Officer, as well as the insured, the policy number and a brief description of contract services to be performed. The contractor shall furnish the Contracting Officer with a copy of an acceptable insurance certificate prior to beginning the work.

Electronic Invoicing and Payment Requirements - Invoice Processing Platform (IPP) (April 2013)
Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice Processing Platform System (IPP).
"Payment request" means any request for contract financing payment or invoice payment by the contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions - Commercial Items included in commercial item contracts. The IPP website address is: https://www.ipp.gov.
Under this contract, the following documents are required to be submitted as an attachment to the IPP invoice:

The contractor must use the IPP website to register access and use IPP for submitting requests for payment. The contractor Government Business Point of Contact (as listed in SAM) will receive enrollment instructions via email from the Federal Reserve Bank of St. Louis (FRBSTL) within 3 - 5 business days of the contract award date.

If the contractor is unable to comply with the requirement to use IPP for submitting invoices for payment, the contractor must submit a waiver request in writing to the Contracting Officer with its proposal or quotation.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph
(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.217-7 Option for Increased Quantity-Separately Priced Line Item (MAR 1989)
The Government may require the delivery of the numbered line item, identified in the Schedule as an option item, in the quantity and at the price stated in the Schedule. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days of contract expiration. Delivery of added items shall continue at the same rate that like items are called for under the contract, unless the parties otherwise agree.

Performance Work Statement
1.0 GENERAL
Catoctin Mountain Park (CATO) in Thurmont, MD is soliciting arboreal services to perform hazard tree mitigation in targeted areas of the park. These services will include felling, removing, and pruning trees identified along three roads, within the Round Meadow public use area, and the Chestnut picnic area. The roads include Park Central Road, Manahan Road, and State Route 77. Considering the park is a second growth forest, and the recreational utilization of the park’s amenities is increasing, there is a need to continue maintaining public safety via hazard tree mitigation. For the past several years, the park has identified, felled, removed, and pruned trees that have posed a threat to life, neighbor’s property, and Government property. In addition to the base requirement, this requirement has several options, all of which are subject to available funds.
Felling trees is not permitted between June 1, 2021 and July 31, 2021 to protect the habitat of the Northern Long Eared Bats, which are listed as a threatened species under the Endangered Species Act – quote accordingly.
The portion of Park Central Road containing tree tag numbers 501-590 and 667- 699 (123 trees total) and all of Manahan Road containing 4 total trees will be closed to traffic between December 1, 2021 and March 1, 2022, therefore flagging operations will not be required during that time on Park Central Road or Manahan Road.

2.0 TASKS
****The numbers associated with all trees is an estimation for information only**** ****Contractors are responsible for verifying all trees in need of service****
The contractor shall:
2.1 BASE - Remove – one hundred seventy-nine (179) trees along Park Central Road, four (4) trees along Manahan Road, twenty-two (22) trees in Chestnut picnic area, and twenty-two (22) trees in Round Meadow as identified in Exhibits 1 & 2.
Logs and brush must be either removed from park boundaries or chipped and broadcast onto the natural forest floor only.
o Logs and brush under twelve (12) inches in diameter may be chipped.
o Logs and brush over twelve (12) inches in diameter shall not be chipped. They shall be removed from park boundaries.
Chipped materials o Can be broadcast onto the natural forest floor only; however, broadcasted chips shall not exceed three (3) inches in depth in any one location.
o Shall not be dispersed in areas that impact managed public use such as streams, trails, picnic areas, and campsites o If the landscape prohibits broadcasting chipped materials, the chips may be piled at a designated area known as the Ballfield, which is adjacent to Park Central Road. No more than three (3) dump truck loads of chips generated from this contract will be stored at the Ballfield. This pile is not required to be removed by the contractor, however, written authorization from the COR is required to deliver chips to this location. If the COR does not authorize chips to be stored at the Ballfield, then the contractor SHALL remove them from the park at no additional cost to the Government, and disposed of in accordance with all applicable local, state, and federal laws.
Cut all stumps flush with grade – stumps shall not exceed three inches above grade.
Repair all ground damage incurred during the performance of operations to the satisfaction of the COR (i.e. ruts, holes, etc.).

2.2 BASE - Prune – one (1) tree in Round Meadow and three (3) trees along Park Central Road identified in Exhibits 1 & 2.
Cut deadwood three (3) inches in diameter and larger from trees.
