This requirement is being procured in accordance with FAR Part 12, Acquisition of Commercial Items and an award will be made in accordance with FAR Part 13, Simplified Acquisition Procedures. Buyer intends to issue award using a purchase order or delivery order. Quotes from Sellers unable to accept purchase orders or delivery orders will not be considered for award.
This is a Small Business Set-Aside Request for Quote (RFQ).
1. Solicitation Number 140F0621Q0053 is issued as an invitation for request for quote (RFQ).
2. This procurement is Janitorial Services for National Key Deer Refuge, Big Pine Key, Florida.
3. This is a combined synopsis/solicitation for commercial items prepared in accordance FAR 13 and with the format in Subpart 12.6, “Streamlined Procedures for Evaluation and Solicitation for Commercial Items as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.
4. This action is being solicited as a Small Business Set-Aside. A Firm-Fixed Price commercial order will be issued. NAICS Code: 561720 Janitorial Services, Size Standard $19.5M.
5. Offerors are cautioned that a warranted Contracting Officer is the only authorized Government representative to make any contractual changes once an award is made. No oral statement of any person whomsoever shall, in any manner or degree modify or otherwise affect the terms of this Purchase Order.
In the event the Contractor effects any such change at the direction of any person other than the Contracting Officer, the change shall be considered to have been made without authority and no adjustment shall be made in the Purchase Order price to cover any increase in costs incurred as a result thereof. 7. Prior to submitting an offer, Offerors must be actively registered in System for Award Management.

By submitting an offer, the offeror acknowledges the requirement to be registered in the SAM database prior to award, during performance, and through final payment of any contract resulting from the solicitation. d. Technical Capability with Quality Control Plan: Provide a plan, which includes a spill response plan, to ensure environmental compliance. This plan should also include a description of scheduled control measures that will be incorporated to ensure that a high level of quality is maintained during performance period.
e. Price Proposal: Including breakout for all four sites for base and option years.
The Government will evaluate the reasonableness of pricing submission based on other quotes received.

Commercial Clauses:
a. The provision at Federal Acquisition Regulation (FAR) 52.212-1 – Instructions to Offerors – Commercial Items apply to this acquisition and are incorporated by reference.

b. The provision at FAR 52.212-2 - Evaluation – Commercial Items applies to this acquisition. The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered in accordance to the source selection procedures in FAR 15.101-1 Tradeoff Process. The following factors are listed in descending order of importance and shall be used to evaluate offers:

3. Past Performance
4. Price
Evaluation factors other than cost or price, when combined, are more important than price.
A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
c. Offerors must include a completed copy of the provision at FAR 52.212-3 – Offerors Representations and Certifications – Commercial Items, with their quote. A print out of SAM website reps and certs is acceptable, as long as the SAM reps and certs are up to date on the SAM website. Per Paragraph (b)(1) of this provision, any changes provided by the vendor in paragraph (b)(2) of this provision do not automatically change the representation and certifications posted on the SAM website. It is the vendor’s responsibility to ensure their SAM registration is up to date prior to any contract awards.

ASSUMPTIONS, CONDITIONS, OR EXCEPTIONS
Contractors must submit, under separate cover, all (if any) assumptions, conditions, or exceptions with any of the terms and conditions of this RFP including the Performance Work Statement. If not noted in this section of your proposal, it will be assumed that the contractor proposes no assumptions for award and agrees to comply with all of the terms and conditions set forth herein.
OFFEROR ACCEPTANCE PERIOD
Proposals in response to this solicitation must be valid for no less than 60 calendar days.
QUESTIONS
Offerors must submit all questions concerning this RFP in writing via email to Monica_Faulk@fws.gov. FWS must receive the questions no later than 48 hours prior to quote closing. At that time all questions will be answered via an amendment to the solicitation, without reference as to the originating sources. Offerors shall thoroughly read this RFP in its entirety and ensure timely submittal of questions by the designated date and time above as this timeline will be strictly enforced and no further questions will be accepted after this time. Phone calls will not be accepted.
EXCHANGES WITH OFFERORS
The Government reserves the right to establish this contract without exchanges with offerors. Consequently, offerors are highly encouraged to offer their best technical and pricing proposals in their initial submissions.
However, the Government reserves the right to discuss submissions with any or all offerors submitting a technical and price proposal, if it is determined in the best interest of the Government to do so. This statement is not to be construed to mean that the Government is obligated to conduct exchanges. Also, note that offerors may be eliminated from consideration without further exchanges if its technical and/or pricing proposals are not complete or do not comply with the requirements set forth in this solicitation.
TYPE OF CONTRACT
It is the intent of the Government to establish one firm fixed price contract.

EXCLUSION OF LATE PROPOSALS
Offerors are advised of the late proposal exclusion provision. Proposals must be received by the time and date specified on Page 1 in the Request for Proposal. Any proposals received after the closing time and date will NOT be considered.
ADDENDUM TO 52.212-2 – Evaluation – Commercial Items
BASIS FOR AWARD
This is a competitive selection subject to FAR 15.101-1, Tradeoff Selection Process. The Government intends to award a firm fixed price contract resulting from this solicitation to the responsible offeror whose offer conforms to the solicitation and is evaluated as being the most advantageous to the Government. The Government reserves the right to make an award without discussions. For this solicitation, non-priced factors when combined, are significantly more important than price. As the non-priced factors of Offerors’ proposals become more equal, the evaluated cost or price may become the determining factor. The Contracting Officer shall determine what tradeoff between non-priced factors and price promises the greatest value to NPS.
EVALUATION PROCESS
The evaluation procedures in FAR 15.101-1 Tradeoff Source Selection Process will be utilized to select the “Best Value” offer. For this solicitation, non-cost factors when combined, are significantly more important than price. This process permits tradeoffs among cost or price and non-cost factors and allows the Government to accept other than the lowest priced proposal.
TECHNICAL PROPOSAL RATINGS
The following ratings shall be used to evaluate Factor 1 Technical Capabilities:
Rating Definition Outstanding The technical capability significantly exceeds most or all solicitation requirements, containing no deficiency or only a very few and very minor weaknesses. The Offeror has clearly demonstrated an understanding of all aspects of the requirements to the extent that timely performance and service of the highest quality are anticipated.
Better The technical capabilities fully meets all solicitation requirements and significantly exceeds many of the solicitation requirements, containing no deficiency and only a few minor weaknesses that do not require discussions.
The areas in which the Offeror exceeds the requirements are anticipated to result in a high level of efficiency or productivity or quality.
Acceptable The technical capability meets all solicitation requirements, containing no deficiency and some weaknesses. The Offeror demonstrated complete and comprehensive understanding of the scope and depth of the task requirements and satisfactory service is anticipated.
Marginal The technical capability contains at least one deficiency and some significant weaknesses. However, given an opportunity for discussions, and major changes are made to the proposal, it has a reasonable chance of becoming at
Page 9 of 21 – 140F0621Q0053 least acceptable (areas of a proposal which remain to be marginal after best and final offers will not be subject to further discussion or revision).
Unacceptable The technical capability has many deficiencies and/or gross omission; failure to understand much of the scope of work necessary to perform the required tasks; failure to provide a reasonable; logical approach to fulfilling much of the Government’s requirements; and failure to meet many personnel requirements in the solicitation. (When applying this adjective to a proposal as a whole, the technical proposal would have to be so unacceptable in one or more areas that it would have to be completely revised in order to attempt to make it other than unacceptable.)
The following ratings shall be used to evaluate Factor 2 Relevant Experience:

The following ratings shall be used to evaluate Factor 3 Past Performance:

Based on the offeror’s performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Based on the offeror’s performance record, the Government has a low expectation that the offeror will successfully perform the required effort.
No Confidence Based on the offeror’s performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.
Unknown Confidence (Neutral)
No past performance record is available, or offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.
EVALUATION OF PRICE
A price evaluation will be performed to determine the reasonableness of the proposed total price including all options. Reasonableness will be determined considering other offered prices received, comparison to the Independent Government Cost Estimate and any other means available to the Government.

Addendum to 52.212-1 Instructions to Offerors
PLEASE REVIEW THESE INSTRUCTIONS ON SUBMITTING PROPOSALS CAREFULLY
Offeror shall be required to submit a written proposal. Written proposals shall be comprised of two volumes.
Volume I – Technical Proposal (1 electronic copy). Volume I shall address each technical factor/sub-factor and past performance. Volume I is limited to a maximum of 15 pages, excluding past performance questionnaires. Volume I shall not contain any pricing data. Each of the factors below shall be contained in Volume I, identified, and discussed separately.
Factor 1: Technical Capability: The offeror shall submit a narrative response that clearly demonstrates its understanding of and the approach to accomplishing the service requirements set forth in the Performance Work Statement. The offeror shall also list the proposed key personnel and their experience in this section.
Factor 2: Relevant Experience: The Offeror shall submit a minimum of three (3) relevant projects, but no more than five (5) relevant projects completed in the past five (5) years that are similar in scope and complexity to the project requirements specified in this solicitation. The contracts may include those entered into with Federal, State, and local governments, and commercial businesses. For all submitted projects, the description of the project shall clearly describe the scope of work performed and the relevancy to the project requirements of this solicitation. Each project shall list a reference.
Factor 3: Past Performance: The attached past performance questionnaire will be used to evaluate past performance for each of the projects listed under Factor 2 – Experience. These forms should be filled out and sent directly from the listed reference of each project to the contract specialist via email prior to the closing of this solicitation.
Offerors will be provided an opportunity to comment on adverse past performance if it has not already been afforded that opportunity by the Government agency providing adverse past performance information.
The Government may also include data obtained independently from other Government and commercial sources.
Volume II – Price Proposal (1 electronic copy). All Volume II documents shall be combined into one document for successful delivery. There is no page limitation for the price proposal.

Electronic Invoicing and Payment Requirements - Invoice Processing Platform (IPP)
Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice Processing Platform System (IPP).
"Payment request" means any request for contract financing payment or invoice payment by the Contractor.
To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions - Commercial Items included in commercial item contracts. The IPP website address is:

Under this contract, the following documents are required to be submitted as an attachment to the IPP invoice: Invoice should also be submitted electronically to COR.
The Contractor must use the IPP website to register, access and use IPP for submitting requests for payment. The Contractor Government Business Point of Contact (as listed in SAM will receive enrollment instructions via email from the Federal Reserve Bank of Boston (FRBB) within 3 - 5 business days of the contract award date. Contractor assistance with enrollment can be obtained by contacting the IPP Production Helpdesk via email ippgroup@bos.frb.org or phone (866) 973-3131.

AUTHORITIES AND DELEGATIONS (MAY 2010)
(a) The Contracting Officer is the only individual authorized to enter into or terminate this contract, modify any term or condition of this contract, waive any requirement of this contract, or accept nonconforming work.
(b) The Contracting Officer will designate a Contracting Officer's Representative (COR) at time of award. The COR will be responsible for technical monitoring of the contractor's performance and deliveries.
The COR will be appointed in writing, and a copy of the appointment will be furnished to the Contractor.
Changes to this delegation will be made by written changes to the existing appointment or by issuance of a new appointment.
(c) The COR is not authorized to perform, formally or informally, any of the following actions:
(1) Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract;
(2) Waive or agree to modification of the delivery schedule;
(3) Make any final decision on any contract matter subject to the Disputes Clause;
(4) Terminate, for any reason, the Contractor's right to proceed;
(5) Obligate in any way, the payment of money by the Government.
(d) The Contractor shall comply with the written or oral direction of the Contracting Officer or authorized representative(s) acting within the scope and authority of the appointment memorandum. The Contractor need not proceed with direction that it considers to have been issued without proper authority.
The Contractor shall notify the Contracting Officer in writing, with as much detail as possible, when the COR has taken an action or has issued direction (written or oral) that the Contractor considers to exceed the COR¿s appointment, within 3 days of the occurrence. Unless otherwise provided in this contract, the Contractor assumes all costs, risks, liabilities, and consequences of performing any work it is directed to perform that falls within any of the categories defined in paragraph (c) prior to receipt of the Contracting Officer's response issued under paragraph (e) of this clause.
(e) The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph (d) of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.
(f) The Contractor shall provide copies of all correspondence to the Contracting Officer and the
COR.
(g) Any action(s) taken by the Contractor, in response to any direction given by any person acting on behalf of the Government or any Government official other than the Contracting Officer or the COR acting within his or her appointment, shall be at the Contractor’s risk.

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 15 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years and 6 months.
