GENERAL INFORMATION

INFORMATION TO CONTRACTORS

MULTIPLE QUOTE/ALTERNATIVE SOLUTIONS

Contractors shall not submit, nor will the Government accept or evaluate, multiple quotes offering alternative solutions. Contractors shall not submit, nor will the Government accept or evaluate, multiple solutions within one quote.

PERIOD OF ACCEPTANCE OF OFFERS

Contractors shall agree, if the quote is accepted within 90 calendar days (unless a greater period is inserted by the contractor) from the date specified in the solicitation for receipt of quote, to furnish any or all of the requirements upon which prices are proposed at the price set opposite each item, performed and/or delivered at the designated point(s) within the time specified.

SCOPE

The vendor shall provide ALL items stated under this RFQ.

TYPE OF CONTRACT

This is a firm-fixed price, single award contract. No additional sums will be payable on account of any escalation in the cost of materials, equipment or labor, or because of the Contractor’s failure to properly estimate or accurately predict these prices or difficulty of achieving the results required by this contract.

Nor will the contract price be adjusted on account of fluctuations in the currency exchange rates.

ACQUISITION METHOD

The Government contemplates awarding a single award Firm-Fixed Price contract to a responsible vendor who is lowest price technically acceptable meeting the Governments requirement.

The Solicitation procedures are in accordance with (IAW) FAR Part 12 Acquisition of Commercial Items and 13.5 – Test Program for Certain Commercial Items.

EFFECTIVE PERIOD OF CONTRACT

This contract shall be effective on the date of the Contracting Officer's signature and shall remain valid until all commodities are received, inspected and accepted by the Government.

SUPPLIES AND PRICES

The Contractor shall provide to the U.S. Government the new products as described in the specifications for the stated firm fixed price. Further, the Contractor shall properly perform the pre-delivery inspection on the products and deliver them to the location set forth under Place of Delivery, of this contract. The firm fixed price shall include the products pre-delivery inspection, certificates of origin, operator’s manuals, warranty certificates and any other documentation mandated by the Government under NAICS code 334511 Search, Detection, Navigation Guidance, aeronautical and nautical system and instrument manufacturing.

PLACE OF PERFORMANCE

The installation will be conducted at the Colombian Navy Aviation Facilities, located in the Aviation Zone, Gate 6, El Dorado Airport, Bogotá Colombia.

PERIOD OF PERFORMANCE

The contractor shall provide and deliver the licenses with maintenance and support for one year period and four (4) one (1) year option periods.

SECTION 2

1. BACKGROUND.

U.S. Embassy Bogota International Narcotics and Law Enforcement Section (INL) assists the Colombian Navy Intelligence in counter narcotics operations and has determined a need for an aerial data collection system in order to provide support to COLNAV planning.

Colombian Navy requires this system due to the lack of capability to gather images in coastal and riverine areas where the counter narcotics operation will be performed; this will substantially increase the probability of success of the operations.

2. SCOPE OF WORK. The contractor shall provide an aerial data collection system, the additional equipment needed for installation and training in the operation of the system according to the specifications detailed bellow in item “Detailed description for the aerial data collection system” in order to provide support to intelligence activities to the Colombian Navy Intelligence.

The contractor shall provide warranty and customer service in order to guarantee an adequate customer support in Colombia.

3. SPECIFIC SUPPORT SERVICES.

3.1 CONDITIONS FOR THE PERSONNEL

The contractor must have qualified staff to perform the entire scope of the contract.

The contractor shall send to Colombian Intelligence Navy a list of the personnel named by the company to accomplish the scope of the contract and for purposes of security and permits. It must be sent to the Navy Point of Contact: TBD and to the INL Section of the United States Embassy Point of Contact in Bogotá with at least five (5) business days prior to initiating activities:

The list of the personnel must contain complete names and normal size photocopy of the ID to be completed after completed after award is made.

3.2 WORK RESTRICTIONS The INL Section of the United States Embassy in Bogotá or Colombian Navy reserve the right of admission or removal of the personnel participating in the training due to security matters if identified as a potential threat for the security or health of the INL or Colombia Naval Intelligence mission or of its population and/or due to its quality of work.

3.3 SECURITY AUTHORIZATIONS

Upon obtaining the corresponding permits, the individuals designated by the contractor only will be authorized to enter to the military unit where the training will be conducted. The personnel carrying out the work will not be allowed in unauthorized areas within the military units. Colombian Navy could require other security authorizations.

3.4 PHYSICAL SECURITY

The contractor must safeguard all the elements, materials, aircrafts and equipment owned by the Navy that are to be used during the delivery and installation of the data collection system and while the training is being conducted. Neither the INL Section of the United States Embassy in Bogotá nor the end user will be responsible for their security. Likewise, security of equipment and machinery provided by the contractor for the execution of the scope of the contract is the responsibility of the contractor.

The contractor will adopt all the security measures to control those factors that may affect the community’s health and welfare.

3.5 PUBLIC DISTURBANCES In case of public disturbances, operators and personnel working for the contractor and who are conducting the delivery and installation of the data collection system and the training must to abide the instructions issued by the military personnel at the Colombian Navy Intelligence in Bogotá Neither the INL Section of the United States Embassy in Bogotá nor the Navy assume responsibility for the consequences derived from the situation arising.

3.6 INDUSTRIAL SAFETY, ENVIRONMENT, SOCIAL SECURITY, AND OCCUPATIONAL

HEALTH It is the contractor’s responsibility and obligation to make sure that all personnel designated to deliver, install and conduct the training wear the adequate garments and protection elements abiding the legal dispositions in effect from the Colombian Ministry of Labor related to Industrial Safety and Occupational Health for the different activities to be carried out, which may affect the personnel and the civilians near the working area.

3.7 TECHNICAL CONDITIONS

The contractor must ensure that the data collection system will be installed and operated in a Cessna 208 B Grand Caravan Aircraft, so must foresee all the elements needed to install and deliver the data collection system fully operational to the Colombian Navy Intelligence.

The contractor must provide all the inputs, elements, parts, equipment, spare parts, materials, labor, transportation, food and lodging for the personnel who will carry out the installation and training to the Colombian Navy personnel.

The contractor shall present an individual chronogram of the activities of installation and training in order to coordinate with Colombian Navy the availability of an operational aircraft for these purposes. This chronogram shall specify the time needed to comply with the object of this contract, bearing in mind among others: requirements from the INL Section of the United States Embassy in Bogotá, activities prior to the installation and training (inspections, personnel access permits), time to execute the installation and the training, the final approval for this chronogram shall come from INL in coordination with COLNAV and the contractor.

3.8 INTELLECTUAL PROPERTY

According to regulations regarding intellectual property and copyright, all shop drawings, calculations, and designs produced by the contractor will be used by the INL Section of the United States Embassy in Bogotá partially or totally for future projects with the Navy for equivalent aircrafts, without requiring authorization from the designer or contractor. The contractor will be obligated to adopt the necessary measures to maintain the reserve and confidentiality of the information, documents and other matters related to the activities developed within the contract, abstaining from reproducing this information or using such partially or totally without authorization from the INL Section of the United States Embassy in Bogotá.

3.9 QUALITY ASSURANCE

According to the Federal Acquisitions Regulations (FAR), Inspection of Services clause, the INL Section of the United States Embassy in Bogotá will evaluate the contractor’s performance under this contract.

Any action taken by INL related to monitoring will be according to the terms cited in the contract.

The contractor will be the only one responsible regarding the good quality of the delivery, installation and training included in the contract.

Quality must comply with specifications and technical standards considered to perform the installation, training and to those belonging to the corresponding Colombian standards for each of the activities. It is

3.10 CHANGES DURING THE DEVELOPMENT OF THE CONTRACT All changes made during the installation and training process must be sent to the INL Contracting Officer.

3.11 GENERAL ASPECTS THAT MUST BE INCLUDED IN THE DELIVERY, INSTALLATION

AND TRAINING PROCESS OF THE DATA COLLECTION SYSTEM. The installation, training and final acceptance from INL shall be conducted within 210 working days from the day the award is signed.

Estimated dates of installation: Considering the timeline from the start of procurement process to the award, the installation is estimated to be performed from March 1, 2016 to August 31, 2016.

The contractor shall provide a plug and play sensor, therefore the installation of the sensor will not generate any structural modifications to the aircraft, meaning it will not require installation of an optical glass in the aircraft fuselage.

The sensor must be installed on the aircraft floor rails, so that through an extensor the sensor can be free to extend and collect images.

The sensor must be fully retractable for use in other aircrafts.

The Colombian Navy will provide five (5) operational flight hours to test the system and to train the operators; only after these flight hours, and the technical acceptance of each component by COLNAV, the INL Section will accept the System as successfully received.

The contractor shall complete the DoS Contract Closing Forms provided by INL, these forms shall be signed by the contractor’s legal representative.

The INL Section of the United States Embassy in Bogotá will only consider additional time (not additional costs) for the delivery, installation and training in case of proven problems of law and order disturbances and/or duly substantiated extreme meteorological conditions.

The contractor shall provide training for all system components including the planning, operation, maintenance and safety of the aerial hardware, software, and ground processing components.

The contractor shall perform two different types of trainings:

• IPS Training Ground production and data processing (up to 5 students and 5 days of training) will be conducted in United States of America at the provider’s facilities.

Estimated date for this training considering the timeline from the start of procurement process to the award, is estimated to be February 1, 2016 to February 5, 2016

The contractor shall cover the following expenses for the students:

- Flight tickets Colombia – US – Colombia

- Lodging during the period of the training

- Meal expenses

- Transportation expenses

• Onsite Aerial Training for the flight crew (up to 2 students and 5 days of training) will be conducted in the facilities of “Grupo Aeronaval de Transporte Fluvial” (GATAF) located in Gate 6 of the International Airport “El Dorado” located in Bogota, Colombia

Estimated dates for this training considering the timeline from the start of procurement process to the award and the installation is estimated to be August 1, 2016 to August 5, 2016

The contractor shall cover the following expenses for the instructors:

- Flight tickets US – Colombia - US

- Lodging during the period of the training

- Meal expenses

- Transportation expenses

The contractor shall bear in mind, for effects of coordination and verification, the recommendations made by a Colombian Navy Intelligence accompanying expert during the installation process in Colombian Navy Aircrafts.

The materials and equipment used in the installation process must be of prime quality, designed for air operation conditions, harsh treatment, and a long life.

All hardware (screws, nuts and bolts), ironwork, and other metallic elements necessary to install the data collection system must comply with MIL SPECS for this purpose.

The data collection system shall be tested while functioning under the supervision and acceptance of the Colombian Navy Intelligence accompanying expert.

4. ADMINISTRATIVE CONDITIONS FOR THE INSTALLATION. The contractor shall cover all costs of administration, unforeseen issues, sales taxes, utility and other expenses of transportation, food, lodging for people and use of equipment and tools during the installation/training site.

In case of meteorological conditions hindering the installation and training processes, any extreme change must be reported as soon as it occurs to the Navy accompanying expert, to the International Narcotics and

Law Enforcement Section of the Embassy of the United States in Bogotá (Hugo Ortiz email:

ortizhm@state.gov), and to the INL Contracting Officer and must provide a complete report of the situation from the IDEAM meteorological station closest to the site where the installation of the data collection system and training will be conducted.

The contractor shall have the necessary insurance to cover risk situations that may emerge like damage to equipment or facilities owned by the Navy due to the installation, accidents with machinery, parts or equipment that need to be transported outside the Navy facilities, theft, assaulted, or law and order situations that may arise during installation, among others. For this purpose, the contractor shall establish and cancel policies covering risks specifically requested by the Contracting Officer.

4.1 WORK DAYS. The established work week is from Monday to Friday.

4.2 WORK SCHEDULES. The contractor shall comply with the tasks and activities within the regular work schedule from 08:00 to 17:00 established by the Colombian Navy Intelligence.

Vicinity areas. In case of damages made by the contractor in the vicinity areas, the contractor will be responsible for the corresponding repairs.

4.3 DETAILED DESCRIPTION FOR THE AERIAL DATA COLLECTION SYSTEM. The following are detailed features that the contractor shall deliver in order to obtain a successful acceptance from the Colombian Navy Intelligence and INL:

6. Roll out mechanism for external collection.

Power supply: 24 – 28 VDC, plug and play to opérate in aircraft.

Additional batteries to operate the system without aircraft power for two hours.

4.5 SPECIAL REQUIREMENTS AND CONCERNS

4.6 TAX AND DELIVERY PROCEDURES

All goods and services shall be provided with tax exemption, under no circumstance INL/DOS will be paying VAT, income, entrance or any other related tax for this order.

4.7 DELIVERY

4.9 PERIOD OF PERFORMANCE OR DELIVERY DATE The contractor shall complete performance according to the following schedule:

• Installation of equipment and complete system delivery, (no later than 180 working days)

• Trainings both Onsite Aerial and IPS Training (Ground production and data processing), (no later than 30 working days).

4.10 TRAINING

IPS Training (Ground production and data processing) will be conducted in United States of America at the provider’s facilities.

Onsite Aerial Training for the flight crew (up to 2 students and 5 days of training) will be conducted in the facilities of “Grupo Aeronaval de Transporte Fluvial” (GATAF) located in Gate 6 of the International Airport “El Dorado” Bogota, Colombia

4.11 PROJECT MANAGEMENT

The contractor shall provide INL with a detailed list of deadlines for project delivery. The list shall include serial numbers, so that the donation Letter can be prepared by INL.

The contractor shall deliver the equipment to the locations provided by the INL COR.

The contractor shall provide INL with a report of the students who attended the training and certifications.

The contractor shall provide INL the letter/s signed by COLNAV, stating that the equipment was installed and tested in a satisfactory manner.

4.12 AFTER SALES SERVICE

The contractor shall provide a point of contact who will commit to answer the requirements and claims during the execution of the contract and the warranty of the services of installation and start up in Colombia.

5.1 BASIS FOR AWARD

This acquisition will utilize the Lowest Priced Technically Acceptable (LPTA) procedure to award to the successful offeror. A decision on the technical acceptability of each offeror’s proposals will be made.

For those offerors, which are determined to be technically acceptable, award will be made to that vendor with the lowest overall price. The Government intends to make an award based solely on the initial proposals. If further questions are required, the contracting officer may contact the offeror or offerors for clarifications.

Award will be made to the responsible offeror whose proposal conforms to the Solicitation requirements and past performance (I.e. see Appendix A for template), such as terms and conditions, representations and certifications and technical requirements.

The Department reserves the right to make award without clarifications. However, clarifications will be in the form of written questions, to which the offerors will be required to respond. As part of the evaluation, DOS reserves the right to hold oral presentations and/or complete a tour of Guest rooms and Classroom/Training space.

5.1 VOLUME I: GENERAL/TECHNICAL QUOTE

TECHNICAL: ACCEPTABLE / UNACCEPTABLE:

5.2 PAST PERFORMANCE:

The offeror shall provide a minimum of two (2) and a maximum of three (3) Past Performance Contract Profiles that are directly relevant to the required effort and are of similar size (I.e. dollar value), scope (I.e. substantially similar services) and complexity (I.e. degree of difficulty). (See Appendix A for Past Performance instructions).

Acceptable

Demonstrates understanding of requirements as outlined in Section Two of the Solicitation; meets performance/capability standards; may have strengths; have no significant weaknesses and no deficiencies; and demonstrates good understanding of requirement.

Unacceptable

Demonstrates a lack of understanding of Section Two of the Solicitation;

fails to meet performance/capability standards; has major weakness or deficiencies, which cannot be corrected without major changes to the quote.

The offeror shall substantiate in accordance with (IAW) Appendix A that they have the recent experience within 36 months in performing the required work and demonstrate how their past and present experience validates that it will provide expected performance and customer satisfaction.

Confidence

Contractor provides at least 2 Past Performance Contract Profiles that are directly relevant to the requirement, clearly cover the majority of the required service, and performed within the last 36 months.

Additionally, based on the contractor’s past experience and customer past performance, little and/or no doubt exists that the contractor will successfully perform the required effort.

No Confidence

Contractor does not have the minimum of 2 relevant Past Performance Contract Profiles and/or the Contractors past performance record provides extreme doubt that the Contractor will successfully provide the service that meets the requirement.

5.3 Volume II Price

The contractor shall provide:

• Complete Pricing Matrix and dollar values carried out to two decimal places

• Any assumptions and/or exceptions made in preparing the Price Quote, by CLIN, if applicable

Quote submitted in response to this RFQ shall include the following information:

• Product information that demonstrates compliance with all specifications in Section 2

• Itemization of all products and services offered

• Description of special features, testing procedures and any value-added services

• Identification of any non-contract items (i.e. open market items)

• Delivery schedule

• Shipping Services terms and conditions

• Payment terms

• Firm fixed prices for all offered items and services

• Standard warranty offered

• Past performance

• Proof of representation in Colombia.

This request for quotations uses procedures under FAR Part 12-13. The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.

Basis for award will be to the vendor providing the lowest price technically acceptable quote determined to meet the minimum requirements.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

5.4 SOLICITATION CONSIDERATIONS

The seller certifies that it is an authorized distributer of the similar product being sold to the Department of State and that it has the certification/specialization level required by the manufacturer, to support both the product sale and product pricing, in accordance with applicable manufacturer certification/specialization requirements. Unless otherwise specified, Seller warrants that the products are new and in their original box(es).

The Seller confirms to have sourced all products submitted in this Quote from manufacturer-approved channels for Federal sales, in accordance with all applicable laws and manufacturer’s current applicable policies at the time of purchase. Seller must be able to support both the product sale and product pricing, in accordance with applicable manufacturer certification / specialization requirements.

Pursuant to the Trade Agreements Act (19 U.S.C. 2512(a)) (TAA), Federal acquisitions of supplies may be made only from offerors that will supply products of an eligible country under any of the free trade agreements entered into pursuant to the TAA. An article is considered a product of a country only if it is wholly a product of that country or if it has been, substantially transformed, in that country into a new and different article of commerce with a name, character, or use distinct from that of the original article(s). Note that any item that is a discreet article as it is sold in commerce, regardless of its ultimate function or use, cannot be considered, substantially transformed, and based solely on its integration into IT or other systems

The Contractor and its employees shall exercise the utmost discretion concerning all matters relating to their duties and functions. They shall not communicate to any person any information known to them by reason of their performance of services under this contract, which has not been made public, except in the necessary performance of their duties or upon written authorization of the Contracting Officer.

All documents and records (including photographs) generated during the performance of work under this contract shall be for the sole use and become the exclusive property of the U.S Government. Furthermore, no article, book, pamphlet, email, recording, broadcast, speech television appearance, film or photograph concerning any aspect of work performed under this contract shall be published or disseminated through any media without the prior written authorization of the Contracting Officer. These obligations do no cease upon the expiration or

APPENDIX A

PAST PERFORMANCE PROFILE

The offeror(s) shall provide client references capable of documenting the offerors’ performance on similar contracts – similar to the complexity and scope of services of this procurement. The offeror(s) shall submit three references which shall consist of present or past clients within the last 36 months years. Client Reference must be as a Prime Contractor.

The offeror(s) shall provide the following information for each client reference:

1. Contract title.

2. Contract number.

3. Total contract value.

4. Contract start date, end date, and any options exercised.

5. Contracting Officer’s name, address, and telephone number.

6. Program Manager’s name, address, and telephone number.

7. A brief description of the attributes of the contract demonstrating the degree of relevance of the scope of work in this acquisition.

8. Percent and type of work performed by subcontractors.

9. Information on problems encountered on the contracts and subcontracts and the corrective actions taken to resolve those problems.
