There is no page limit and under no circumstances will electronic copies be acceptable. Offerors are advised that an offer in response to this solicitation is subject to physical examination, x-ray, or other inspection prior to acceptance at the location designated for re-ceipt of offers.

Inspection may be conducted by Government personnel or others acting on behalf of the Government. Any offer received at the ad-dress designated for receipt of offers after the date and time specified elsewhere in this solicitation for receipt of offers shall be pro-cessed in accordance with the late offers provision of this solicitation.

All postal mail will be scanned before it is delivered to this office. In order for your correspondence to be received in a timely manner, the offeror must allow sufficient time (3-4 days) to accommodate inspection by designated security personnel. The Foreign Service Institute, Department of State, anticipates the award of multiple fully loaded firm-fixed priced Blanket Purchase Agreements that establishes the terms and conditions applicable to future acquisition of presenter/instructor services in accordance with the Performance Work Statement.

This solicitation and subsequent award(s) will follow FAR 12 (commercial items) and FAR 13 (Simplified Ac-quisition Procedures) utilizing the trade-off method for best value. This solicitation is set aside to 100% small businesses.

2. Services Parameters

The services shall be performed in accordance with the Performance Work Statement and the additional para-meters described within this document.

3. Services and Prices

The Contractor shall provide a fully loaded firm-fixed price session rate to support the Foreign Service Institute’s Transition Center Division as outlined in Section C.

1. MQ911 Security Overseas Seminar_ Personal Security & Hostage Survivor Presenters: Background

The George P. Shultz National Foreign Affairs Training Center of the Department of State is the federal govern-ment’s primary training facility for personnel of the foreign affairs community. The Foreign Service Institute (FSI) is the Department bureau that provides training for employees of the Department of State and other agen-cies at the Shultz Center.

The Transition Center offers security awareness training to foreign affairs agency personnel and their eligible family members in the form of the Security Overseas Seminar (SOS) program. Over two thousand participants attend per year, from many U.S. Government agencies. Classes range from 30 to 170 with average class size being around 80. Their level of experience in the Foreign Service varies from newcomers in the overseas en-vironment to veterans with twenty years or more of service and their family members and members of house-hold. This variance is both a benefit and a challenge. Newcomers appreciate the firsthand experiences related by veterans, but presenters must be careful to avoid an elementary approach that will bore those with more ex-perience. It is important to acknowledge this varied spectrum of experience present among the audience mem-bers and allow them to share their acquired knowledge through interactive and engaging activities.

2. Purpose

The Foreign Service Institute is actively seeking contractors to instruct the sessions on “Managing Your Person-al Security” and “Hostage Survival” for the Security Overseas Seminar (SOS). The overall aim of the SOS is to motivate individuals to identify the likely security risks overseas and to develop a plan for dealing with the risks. The two-day program is offered approximately thirty (30) times a year, and utilizes a variety of presenta-tion formats in order to maximize the efficiency of the program. The SOS program requires the services of qualified and experienced contractors to provide the presentations on personal security in the overseas environ-ment and hostage survival sessions.

3. Scope

The personal security session occurs on the first day of the seminar, typically Mondays. The session is 75 minutes long plus an additional 10 minutes for a question and answer period. The schedule on each session is subject to change and a specific date and time will be determined by the assigned Contracting Officer Repres-entative (COR). The presentation titled, Managing Your Personal Security, will contain, but is not limited to the following topics: elements of situational awareness; role of the Regional Security Officer; Bureau of Diplomatic Security initiatives; and, overview of current criminal trends and applicable deterrence.

The hostage survival session occurs on the second day of the seminar, typically Tuesdays. The session is 60 minutes long plus an additional 10 minutes for a question and answer period. The schedule on each session is subject to change and a specific date and time will be determined by the assigned Contracting Officer Repres-entative (COR). The presentation titled, Hostage Survival, will contain, but is not limited to the following top-ics: U.S. Government position and general procedures during an isolation or abduction; actions to prepare and respond to different types of captivity; stages of hostage taking and captivity, factors to consider relating to es-cape from captivity; post-recovery support process/reintegration; and common psychological responses in the aftermath of being held captive.

While it is understood that increased training time could be helpful, the course blocks are not flexible and are set to the designated times listed above. Therefore all instruction is encouraged to be innovative but to also re-main compliant with the time blocks associated with each course. The session period is subject to change, if course requirements change through the life of the Blanket Purchase Agreement (BPA).

4. Definitions

Here forward Contractor will refer to the contractor/company who will ultimately be responsible for services rendered and billing. Furthermore, Presenter will be the actual professional tasked with presenting the sessions for the MQ911 Security Overseas Seminar (SOS). We recognize that in many cases the Contractor will be the same individual as the Presenter. Differences between the personal security presenter and hostage survival presenter will be delineated as necessary. If no differentiation is made, the contract clause applies to both.

5. Qualifications

The Contractor shall showcase the expertise, knowledge and experience of their proposed Presenter(s) in the areas of personal security/hostage survival overseas in the post September 11th 2001 environment.

The Presenter(s) shall have travel experience in foreign countries, familiarity with foreign policy issues, and possess a working knowledge of the current structure, policies, regulations and operational mechanisms of U.S.

foreign affairs government agencies, in particular U.S. Embassy security measures.

The Presenter(s) shall have training and/or public speaking experience in classroom or seminar setting.

Presenter(s) with professional familiarity of Foreign Affairs agencies are highly preferred.

6. Requirements

* An approved Presenter must personally deliver the presentation. In the case a Contractor will be unavail-able to provide a presenter to deliver the presentation they must notify the Contracting Officer’s Representative (COR) and/or Government Technical Monitor (GTM) as soon as possible but no less than two business days prior to presentation time barring an emergency.

* Contractor/Presenter will be required to submit a session outline, lesson plan, presentation files and presenter notes to the course coordinator at least five working days prior to the course

* The Presenter must arrive 10 minutes prior to the start of the class and respond to follow-up questions at the end of the class.

* The Presenter(s) must employ adult experiential learning methods, including but not limited to: group ex-ercises, case studies, open discussions, and coaching, to allow students ample opportunities to discuss strategies presented in class. Activities must pertain to current, real-life situations faced by US government employees overseas.

* The Presenter(s) will prepare and use top-quality visual aids compatible with the Foreign Service Insti-tute’s audio-visual technology. Handouts may be provided by Contractor if desired, subject to the approval of the course coordinator. New handouts must be submitted for approval and reproduction at least 5 business days prior to next course offering

* The Contractor and Presenter(s) will be required to attend an initial post-award orientation meeting with the COR/GTM. The awardee must also attend at least one meeting per quarter with the COR to review student evaluations, objectives, and structure of the course.

* The Contractor/Presenter must work with the COR/GTM to address any issues with the presentation and content of the course, in response to evaluations from students and staff, and/or updates to security procedures or State Department policies. The contractor will maintain minimum average rating of 4.0 out of 5.0 from parti-cipants in courses.

* The Contractor/Presenter will contribute subject matter toward course materials, including the personal security/hostage survival portions of the Security Overseas Seminar Guidebook.

* After the initial award of BPA, if the Contractor would like to use a new/different Presenter each must be announced by the Contractor and vetted by the COR and technical team before presenting them.

* Upon award of BPA, the Contractor and each Presenter will be provided the session objectives and the Security Overseas Seminar guidebook to use as a resource and reference. Any future updates to the internal/ SOP documents will be submitted in a timely fashion.

* The Contractor/Presenter will be contacted via email by the program office COR/GTM to determine availability for upcoming Security Overseas Seminars.

* The total number of courses offered will range between 10-30 sessions per fiscal year; however, there will be no minimum guaranteed.

* The Contractor is responsible for maintaining and updating DUNS numbers and Sam.gov registration in-cluding Representations and Certifications and in ensuring their accuracy and validity. It is also the responsibil-ity of the contractor to update FSI with any changes in financial information for proper billing and payment.

* The Contractor/Presenter will refrain from promoting one’s business services and references to parti-cipants becoming clients of presenters’ firms.

* The contractor must supply a key program manager, who will be responsible for all correspondence, scheduling and billing. The duties of the program manager are not limited to the responsibilities stated above.

This position shall not be billable to the Foreign Service Institute.

7. Performance Metrics

All BPA Calls issued off of this BPA will be closely monitored by the COR/GTM throughout the BPA base/ option year and will be reported upon at a minimum one time annually at the conclusion of each base/option year period. This evaluation will be considered in determining if an option year will be exercised. Listed below are the performance metrics by which the Contractor will be evaluated in addition to the contractor’s adherence to Performance Work Statement (PWS) requirements.

The Contractor must be considered successful in fulfilling the contract requirements in order to continue to be considered for future opportunities. To be considered successful the Contractor will provide Personal Security/ Hostage Survival Presenter(s) who score a minimum of four (4) in all categories listed below. Personal Secur-ity/Hostage Survival Presenter(s) will be evaluated using a scale (Poor 1- Superior 5).

WEIGHT RATING DESCRIPTION

5 Superior Presenter routinely demonstrates outstanding understanding of per-sonal security session require-ments and significantly exceeds performance standards. Presenter has exceptional strengths that sig-nificantly benefit the Government.

4 Excellent Presenter demonstrates excellent understanding of personal security session requirements and exceeds performance standards. Presenter has one or more strengths that sig-nificantly benefit the Government.

3 Acceptable Presenter demonstrates acceptable understanding of personal security session requirements and has an approach that meets performance standards. Presenter is an accept-able solution and has few or no strengths that benefit the Govern-ment.

2 Fair Presenter routinely demonstrates shallow understanding of personal security session requirements and approach.

1 Poor Presenter routinely fails to demon-strate understanding of personal security session requirements and approach.

Quality:

The Personal Security/Hostage Survival Presenter must adhere to the requirements as outlined in the PWS and facilitate a high quality educational session reflecting up-to-date security mitigation techniques. Multiple meas-urements will be used to formulate a rating between 1-5 including student feedback, observations of Transition Center and Diplomatic Security personnel, as well as those of the COR/GTM. The Personal Security/Hostage Survival Presenter will maintain minimum rating of 4.0 out of 5.0 from participants in courses.

Timeliness of Performance:

The Personal Security/Hostage Survival Presenter must adhere to session time parameters and respond to pro-gram coordination emails within 24 hours. The rating between 1-5 will be formulated by the COR/GTM based on his/her observation and input from the Security Overseas Seminar coordination team.

Business Relations/Customer Satisfaction:

The Personal Security/Hostage Survival Presenter must provide effective customer service to the internal FSI clients of this contract COR/GTM, Transition Center staff and students - per their duties in the PWS. The COR/GTM will use his/her expertise and general observance of interactions and customer service with FSI staff, and students. The rating between 1-5 will be formulated by the COR/GTM based on his/her observation and input from the Security Overseas Seminar coordination team.

8. Data Rights

All materials developed by the Contractor and their associated Presenter(s) become the property of the Govern-ment; and the Contractor/Presenter(s) may not copy or reproduce them in any way for use outside of an FSI class, share them by any means outside of the Foreign Service Institute, or publish them in any fashion without the express permission of the Director of the Transition Center.

9. Quality Assurance

The COR/GTM (Contracting Officers Representative/Government Technical Manager) determines acceptability of services according to the Performance Work Statement (PWS) and performance metrics. The Government has the right to inspect and approve all services called for in orders issued under the BPA.

If the Contractor fails to perform the required services at an acceptable level as determined by the Supervisor/ GTM, either from a performance or professionalism standpoint, the Government reserves the right to terminate the BPA.

10. Technical Direction

The COR/GTM shall provide guidance regarding the interpretation of the PWS and the Security Overseas Sem-inar guidebook and session objectives.

The contractor is expected to carry out instructions received from the COR/GTM in a professional and timely manner. The Government will not provide extensive counseling to the contractor on their performance. It is as-sumed that once the Contractor/Presenter receives instructions and/or feedback about how to perform the duties that they will implement the instructions. Should contractor performance not be adequate, the Government may terminate the agreement without discussion.

11. Government Provided Property

The Government will provide all necessary supplies to perform the duties listed above. Supplies are considered computer, projector, slide advancer, microphones, etc… The contractor will be providing the actual subject mat-ter content and any materials associated with that. The contractor can bring in visual aids or any material that is in support of an interactive learning environment or innovative learning environment, however, this will all be under the supervision and approval of the COR/GTM.

12. Description of Agreement

This will be a Blanket Purchase Agreement (BPA) of a base and four (4) option years. This solicitation may res-ult in a pool of external trainers and consultants contracted via multiple award agreements. This solicitation is not for United States Government Civil Service jobs. Performance of these services will occur only as author-ized by specific BPA Calls detailing dates, tasks and schedules. The government may issue orders requiring ser-vices at multiple locations.

Offerors are welcome to submit solicitation offers to be considered for both the Personal Security Presenter as well as the Hostage Survival Presenter. Companies will have the ability to obtain a contract for both positions but must provide separate instructors to teach each of the two different sessions. Sole proprietors could submit offers for both sessions, but will only be awarded to one session even if qualified in both sessions. The separa-tion in instructors will help support FSI’s intent to provide diversification of knowledge and instructor shared experiences. The FSI will evaluate all offers and determine if an Offeror is capable of providing both forms of instruction, or if multiple awards will provide the best possible product for the instruction required by these courses.

No part of the services to be performed under this agreement may be subcontracted, and no obligation or duty arising out of the individual order may be transferred, or assigned, without the prior authorization of the Con-tracting Officer.

13. Purchase Limitation

There will be no limit to the number of Calls issued under the BPA; however, the individual BPA Calls will not exceed the Simplified Acquisition Threshold (SAT).

14. Extent of Obligation

There is no specific commitment by either party, until dates, task and schedule are mutually negotiated. BPA Calls will be issued under a BPA based upon the government's need and according to FSI's determination of what is most advantageous to the Government. FSI does not guarantee any minimum level of work under any resultant BPA.

15. Individuals authorized to purchase under the BPA

Only an FSI Contracting Officer may enter into agreement with the contractor through the issuance of a BPA Call. Only an FSI Contracting Officer can make modifications to the BPA or BPA Call through a modification.

Prior approval by the Contracting Officer and the technical representative of the program office for subcontract-ing is required and must be documented.

Neither the COR/GTM have the authority to make changes in this Performance Work Statement or in the terms and conditions of this agreement; any necessary changes are only made by the Contracting Officer in the form of a bilateral agreement. The Contractor is forewarned that the Government will not compensate any additional work by the contractor if it is not authorized in the BPA.

16. Contractors

Awarded offerors under this solicitation understand that they are self-employed contractors and not Government employees. As such, the Contractor is responsible for managing their taxes, health insurance, social security payments, etc. The Government will pay the Contractor based on the fully loaded firm-fixed price per session rate; the Contractor is responsible for paying their personal expenses. The government will pay no benefits un-der this agreement. Contractors will be issued a BPA Call that will detail the period of performance their ser-vices may be required. The award of a BPA does not necessarily mean that the government will make a BPA Call of services.

17. Other

Should it be necessary to cancel or postpone one or more of the Security Overseas Seminars, every effort will be made to give the Contractor and Presenter a minimum of one week’s notice prior to the scheduled start of the session in question.

By mutual agreement, and depending on the availability of funds, the contractor could be contacted to provide additional sessions, throughout the period of the BPA.

18. Termination of BPA Calls

If the government determines that the terms and conditions of the BPA or BPA Call are not adequately met, the government reserves the right to terminate for cause. GTMs are responsible for monitoring contractor perform-ance. Should they observe that a contractor is failing to follow guidance, is unable to complete designated tasks, cannot work collegially with colleagues, or is demonstrating any other unprofessional behavior; the GTM will advise the contractor and also notify the COR. The government may also terminate for convenience as de-termined by the government’s needs.

52.246-4 Inspection of Services - Fixed-Price (Aug 1996)

1. Inspection and acceptance of the services

Inspection and acceptance of the services to be provided hereunder shall be made by the Contracting Officer’s Representative (COR) or the Government Technical Monitor (GTM).

2. The Role of Government Personnel and Responsibility for Contractor Administration

Contracting Officer (CO): The CO has the overall responsibility for administering this contract. He/she alone, without delegation, is authorized to take actions on behalf of the Government to: amend, modify, or deviate from the contract terms, conditions, requirements, specifications, details and delivery schedules; make final de-cisions on disputed deductions from contract payments for non-performance or unsatisfactory performance; ter-minate the contract for convenience or default; and issue final decisions regarding contract questions or matters under dispute. Additionally, he/she may delegate certain other responsibilities to authorized representatives.

Contracting Officer's Representative (COR): The COR is responsible for promptly notifying the Contracting Officer in writing of any noncompliance or deviation in performance or failure to make progress; knowing and understanding the terms and provisions of the contract; knowing the scope and limitations of your authority; us-ing good judgment, skill and reasonable care in the exercise of authority; protecting privileged and sensitive procurement information. If questions arise which are not clearly answered in the contract or if disputes with the Contractor occur, prepare a written report to the Contracting Officer setting forth the problem(s) encountered.

Government Technical Monitor (GTM): The GTM will assist the COR in discharging responsibilities. The re-sponsibilities of the GTM include, but are not limited to: monitoring and inspecting the Contractor's progress and performance; evaluating contractor performance with the terms and conditions of this contract; acting as the Government's representative at the work site; advising the contractor of proposed deductions for non-performance or unsatisfactory performance; preparing receiving reports and/or approving invoices for payment;

and advising the COR of any factors which may cause delay in work performance.

3. Quality Standards

All work performed under this Blanket Purchase Agreement shall be of the highest quality standards, consistent with best industry practices, to assure timely provision of services, optimum Department of State satisfaction, and adequate protection of Government assets.

Section F- Deliveries or Performance

52.242-15 Stop-Work Order (Aug 1989)

The BPA period anticipated is for a base year with the tentative opportunity for four (4) one-year options.

Estimated BPA award will be on or about June 2014. Actual BPA Calls for services may be issued on or about September 01, 2014 through August 31, 2015 and subsequent option years.

2. Place of Performance

Services under this BPA will be performed primarily at the Government's facility located at:

If the session is scheduled to occur at a different location, it will be agreed upon prior to issuing a BPA Call.

3. Government Closure

Should the Federal Government or the Department of State, Foreign Service Institute, close for any reason (e.g., snow storm, terrorist threat, emergency situation, etc.) and the contractor is unable to perform services, the con-tractor shall not be paid for that day. If the course is rescheduled, the contractor will be given an opportunity to provide services on a new date.

4. Cancellation

Should it be necessary to cancel any session after the dates have been agreed in writing with the Contractor, every effort will be made to give the Contractor a notice of 5 business days prior to the scheduled session. The contractor will be paid only for actual costs incurred in the performance of agreed upon session.

5. Termination for Excusable Nonperformance

BPA Calls issued under this agreement may be terminated by the Government in whole or in part without prior notice if the Contractor is unable to perform due to illness, family emergencies, or other causes beyond the Con-tractor’s control. Contractor shall not be liable for re-procurement costs, but shall receive no payment of unper-formed services, and funds may be de-obligated from the BPA Call to the extent of the nonperformance and used to fund replacement BPA Calls to other Contractors for substitute services.

Section G- Contract Administration Data

652.242-70 CONTRACTING OFFICER'S REPRESENTATIVE (COR) (AUG 1999)

1. Contract Administration and Funding

The Contracting Officer shall issue a written BPA Call to the Contractor providing the necessary funding and authorizing the Contractor to begin work.

The Government shall not be obligated to pay the Contractor any amount in excess of the total BPA Call funded amount, and the Contractor shall not be obligated to continue performance if to do so would exceed the total BPA Call funded amount. The contractor shall not perform work beyond the period of performance unless a modification is issued by the Contracting Officer.

The Government reserves the right to terminate for convenience of the Contractor BPA Call/BPA, upon written notice from the Contracting Officer.

2. Invoicing Instructions

Contractor shall submit invoices to one of the following address:

The invoice must include the following information:

* Contractor name and address to which payment is to be made;

* DUNS number and tax identification numbers (for individuals this is your SSN);

* Order numbers in Blocks 3 and 4;

* Amount owed by FSI;

* Time payment discount, even if 'net';

* Itemized billing;

* Show ordering office in block 10;

* Cite contract number (Block 2) as well as requisition number (Block 4) in all correspondence;

* Unique vendor invoice number;

* Contact name and telephone number;

* Invoice date;

* Description, price, and quantity of goods/services;

* Date of period of performance (rendered services), delivery and/or shipment of goods.

Failure to submit an invoice with all required information will result in invoice being returned for proper submission. The resubmitted invoice should state the resubmitted date not the original invoice date.

Payment will be due on the 30th calendar day after either (1) the date of receipt of proper invoice in the designated office, or (2) the date the services are accepted by the Government.

Section H- Special Contract Requirements

652.204-70 DEPARTMENT OF STATE PERSONAL IDENTIFICATION CARD ISSUANCE PROCEDURES (MAY 2011)

1. Non-Payment for Unauthorized Work

No payments will be made for any unauthorized services or for any unauthorized changes to the work specified herein. This includes any services performed by the contractor of his own volition or at the request of an indi-vidual other than a duly appointed Contracting Officer. Only a duly appointed Contracting Officer is authorized to change the specifications, terms, and/or conditions of this BPA/BPA Calls.

2. Smoke Free Workplace Notice

(a) The Department of State has been designated a smoke free workplace.

(b) Definitions: “Smoking” means a lighted cigar, cigarette, pipe or other tobacco product. “Smoking areas” means those designated exterior spaces where the smoking of tobacco products is permitted.

(c) Applicability: The Smoke-Free Workplace Policy applies to all occupants of the Shultz Center complex;

as well as all Department of State occupied space in other domestic buildings, whether owned, rented or leased, and to all Department of State owned, rented, or leased vehicles.

(d) Policy: It is the policy of the Department of State to promote a healthy environment. Accordingly, the De-partment has adopted a policy prohibiting smoking in the interior of all domestic buildings and facilities effect-ive August 1, 1993.

3. Removal from Duty

The Government may direct that a contractor be removed immediately from the work site(s) should it be de-termined that the person is unfit for the job. A determination of unfitness may be made from, but not limited to, incidents involving the most immediate identifiable types of misconduct or delinquency as set forth below:

*Falsification or unlawful concealment, removal, mutilation or destruction of any official documents or records, or concealment of material facts by willful omissions from other documents or records;

*Disorderly conduct, use of abusive or offensive language, quarreling, intimidation by words or actions, or fighting. Also participation in disruptive activities which interfere with the normal and efficient operations of the Government;

*Theft, vandalism, or any other criminal actions;

*Selling, consuming or being under the influence of intoxicants, drugs or substances which product similar ef-fects;

*Improper use of communications equipment or government property;

*Violations of security procedures or regulations;

*Unacceptable performance

The Contractor shall be responsible for maintaining satisfactory standards of conduct and integrity. The Con-tracting Officer, acting on the advice of the COR, will make all determinations regarding the removal of any employee from the work site(s).

4. Contractor Self-Identification

All contractor personnel attending meetings, answering Government telephones, and/or working in other situ-ations where their contractor status is not obvious to third parties are required to identify themselves as such to avoid creating an impression in the minds of members of the public, of other government personnel or Congress that they are Government officials. Contractor personnel must also ensure that all documents or reports pro-duced by them are suitably marked as contractor products or that contractor participation is appropriately dis-closed. This direction shall be adhered to unless otherwise waived, in writing, by the cognizant Contracting Of-ficer.

At no time will any contractor utilize letterhead for any correspondence between the contractor and any other entity depicting or intimating that the Contractor is a member/employee of the U.S. Government, either as an in-dividual or as a company/corporation. Example: Using the Department of State Seal (or any other Govern-ment's agency seal) in their letterhead.

5. Parking and Government Facility Entry

All parking and government facility entry requirements will be given to the awarded contractor and updated as Department and Bureau policy is issued. Contractors shall obey all motor traffic regulations, posted speed limit and stop signs, designated drop off locations and parking rules. Contractors shall follow all gate identification and entry requirements.
