IDIQ Terms and Condit io n s

1) Scope

a. All orders placed agains t the IDIQ are subject to the terms and conditions of the IDIQ. No terms of the Order may contradic t or dilute the terms secure d by the IDIQ, inclusive of attachm e n t s . The Order may only enhance the terms of the IDIQ if they are more favorable to the Governme n t and are specifically defined and agreed to in writing by the parties. Orders beyond the minimum will be dete rmine d by Governm e n t needs. The Governm e n t has no obligation to issue orders beyond the minimum. Actual ordering depends on business need and availability of funds.

2) Offerings

a. Changes to the Contrac to r’s produc ts shall only be effective upon receipt of an approved modification from the IDIQ Contrac t ing Officer.

b. Technology Refreshm e n t / Products Improveme n t b.i. New Produc ts . The Contrac to r shall inform the Governme n t of changes to the produc ts offered under this IDIQ as they become commercially available. Quotes shall be submitt ed within thirty (30) days by the Contrac to r and include a descrip tion of the produc ts and an elect ronic copy of the pricing tables. Discounts shall be at the same or grea t e r discount level as provided under the original IDIQ produc t prices.

b.ii. Update , Improveme n t or Replacem e n t . If at any time during the life of this IDIQ, Apple schedules the originally offered produc ts for discontinua t ion, improvem en t and/or replacem e n t , the Contrac to r shall provide a quote to include the new or revised product s on the IDIQ under the approp ria t e line items. Discoun ts shall be at the same or grea te r discoun t level as provided under the original IDIQ produc t prices. Proposals shall be submit ted to the Contrac t ing Officer within seven (7) days of the Contrac to r’s awarene s s of Apple’s intent to discontinue, improve, and/or replace its originally offered produc t s . Improvem e n t of produc t includes new release s , update s , and upgrad es including additional featu re s and functionality, and successor or upgrade produc t s .

3) Ordering

a. Any Contrac t ing Officer for the US Depar t m e n t of Educa tion with an official warran t is authorized to order under this IDIQ.

b. All orders under this IDIQ shall be firm- fixed priced. No Order can be formulat ed based on rates exceeding the IDIQ prices. IDIQ prices are inclusive of all costs including domes tic shipping. The

Governm e n t may secure additional discount s at the time of placing an Order .

c. The Contrac to r shall submit copies of all signed orders placed agains t the IDIQ to the Depar t m e n t COR via email within 5 business days of the order award.

d. Orders will be issued by elect ronic commerc e (email).

4) Information Manage m e n t Contrac t Requirem e n t s

a. The purpose of this section is to impar t requirem e n t s for managing and ensuring accessibility to Federa l records (on any medium such as paper , systems, applica tions, etc.) that is made or received in connec tion with the transac t ion of Depar t m e n t business as part of a contrac t . The following require m e n t s are divided into two sections , which are manda to ry: Records and CUI, Accessibility require m e n t s related to Section 508 of the Rehabili ta tion Act.

b. Records And Controlled Unclassified Informa tion (CUI) b.i. "Federa l record" as defined in 44 U.S.C. § 3301 , includes all information, made or received by a Federa l agency in connec tion with the transac t ion of public business . ED owns rights to all records produced as par t of this contrac t . Any Contrac to r rights must be identified as required by FAR 52.227- 11 through FAR 52.227- 20.

b.ii. Federa l records must be managed according to the applicable records manage m e n t laws and regula t ions , to include the Federa l Records Act (44 U.S.C. chs. 21 , 29 , 31 , 33 ), 36 CFR Chapte r XII Subchap te r B, and the Privacy Act of 1974 (5 U.S.C. 552a ).

b.iii. Federa l records which are CUI must additionally be manage d in accordanc e with any applicable laws, regula tions and governm e n t- wide policies (LRGWP) to include EO 13556 , 32 CFR Part 2002 , ED Directive OCIO 3-113, and NIST- 800- 171 Revision 2 (or curren t version).

b.iv. Applicabili ty : This clause applies to all Contrac to r s and sub-contrac to r s (hereaf te r refer re d to as “Contrac to r s”) and must be incorpora t e d into all subcont r a c t s .

b.v. Training Requirem e n t s : All Contrac to r s are required to take the annual Information Manage m e n t Require m e n t s training.

If the contrac t includes CUI, the CUI Identification and Marking Training is required . Additional Category or POC specific trainings may be assigned. Contrac to r will maintain completion cer tifica tes and provide upon reques t .

b.vi. Elect ronic Informa tion System Requirem e n t s : Any elect ronic information system should address at minimum the following regula t ions in 36 CFR 1236.10 . Agencies must incorpora t e controls into the system or integra t e them into a recordkee ping system that is external to the informat ion

system itself (see 36 CFR 1236.20 for recordkee ping system functionalities) . Information systems that process , store, or trans mi t CUI must fulfill the require m e n t s outlined in 32 CFR 2002.14(g) .

b.vii. Marking Requirem e n t s : The Contrac to r shall mark CUI as outlined in Depar tm e n t training.

b.viii. Handling and Safegua rding Requirem e n t s : The Contrac to r shall ensure that CUI is manage d approp ria t e ly. The require m e n t s include safegua rding, controlled environme n t s , shipping and mailing or transpor t ing protec t ions , and reproduc t ion protec tions (see 32 CFR 2002.14(a- e) ).

b.ix. Contrac t Completion Requirem e n t s : Removal or dest ruc t ion of records must be in accorda nc e with assigned ED records schedule and must include written concur r e nc e from the CO/COR. If records are removed or dest royed the Contrac to r must repor t the inciden t to ED immedia te ly. Dest ruc t ion or removal of records without the above require m e n t s is subject to fines and penalties imposed by 18 U.S.C. 2701.

b.x. Compliance with Informat ion Protect ion Requirem e n t s : ED reserves the right to verify compliance with information securi ty require m e n t s established by this contrac t . The Contrac to r will fully comply with all ED- initiated inspections as permissible by law.

b.xi. Information Securi ty Inciden ts (ISI) Requirem e n t s :

Contrac to r s must immediat ely repor t any and all suspec t ed securi ty incidents , breaches , and events involving ED information to ED’s Compute r Incident Response Cente r (EDCIRC) and ED’s Securi ty Opera t ions Cente r (EDSOC);

EDCIRC@ED.GOV; EDSOC voice: 202- 243- 6550, regardles s of whethe r the ISI is suspec t ed , known, or determined to involve IT systems opera t ed in suppor t of this contrac t . In the event of an ISI, ED must be provided immedia te access to all IT systems used in suppor t of this contrac t for inspec tion and analysis.

c. IT Accessibility Requirem e n t s (Section 508 of the Rehabili ta tion Act) c.i. Section 508 of the Rehabilita t ion Act, as amende d by P.L.

105- 220, requires that when Federal agencies develop, procure , maintain, or use informat ion and communica t ion technology (ICT), it shall be accessible to people with disabilities. Services delivered as par t of this work statem e n t that are or contain ICT, must conform to the Revised 508 Standa rd s , at 36 C.F.R. § 1194.1 & Apps. A, C & D.

c.ii. Applicable Functional Perform anc e Criteria : When using an alterna t ive design or technology that achieves substan t ially equivalent or great e r accessibility and usability by

individuals with disabilities than would be provided by conforma nc e to one or more of the require m e n t s in Chapte r s 4-6 of the Revised 508 Standa r ds , or when Chapte r s 4-6 do not address one or more functions of ICT. – All require m e n t s apply c.iii. Applicable suppor t services and documen t a t ion : All require m e n t s apply.

c.iv. Reporting of Data Securi ty Breaches: If there is a suspec t e d or known breach/disclosure of PII due to lost, theft, intercep te d transfe r , or other, the Contrac to r must ensure that this breach is repor t ed to the agency as soon as the Contrac to r has knowledge of it. Per Office of Manage m e n t and Budget Memora nd u m M-06- 19, Federa l agencies have a require m e n t to repor t breaches of PII securi ty to a federal inciden t response cente r . The Contrac to r must notify the Depar t m e n t within 30 minutes of discovering the incident (and the agency should not distinguish betwee n suspec t e d or confirmed breaches) . The data securi ty plan must be written to reflect this require m e n t , and the Contrac to r must provide sufficient notification and documen t a t ion of the suspec t e d loss, as it is unders tood at the time of notification to the agency for this require m e n t to be met. Follow- up repor t s of the final status of loss events shall also be prepa r e d by the Contrac to r within a reasonable period of time as advised by the COR.

The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in paragraph (c)(1) in the provision at 52.204-26, Covered Telecommunications Equipment or Services--Representation, or in paragraph (v)(2)(i) of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Products and Commercial Services. The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it "does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services" in paragraph (c)(2) of the provision at 52.204-26, or in paragraph (v)(2)(ii) of the provision at 52.212-3.

(a) Definitions. As used in this provision- Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

(b) Prohibition. (1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system.

Nothing in the prohibition shall be construed to--

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. Nothing in the prohibition shall be construed to--

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) (https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services."

(d) Representations. The Offeror represents that--

(B) A description of all covered telecommunications equipment offered (include brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and

(C) Explanation of the proposed use of covered telecommunications equipment and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(ii) For covered services--

(A) If the service is related to item maintenance: A description of all covered telecommunications services offered (include on the item being maintained: Brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable);

or

(B) If not associated with maintenance, the Product Service Code (PSC) of the service being provided; and explanation of the proposed use of covered telecommunications services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(2) Disclosure for the representation in paragraph (d)(2) of this provision. If the Offeror has responded "does" in the representation in paragraph (d)(2) of this provision, the Offeror shall provide the following information as part of the offer:

(i) For covered equipment--

(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).

(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.

(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror`s responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.

(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.

(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.

52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (OCT 2018)

(a) Definitions. As used in this provision-- "Administrative proceeding" means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

"Federal contracts and grants with total value greater than $10,000,000" means--

(1) The total value of all current, active contracts and grants, including all priced options;

and

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (DEC 2022) The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision-- "Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Economically disadvantaged women-owned small business (EDWOSB)concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300.

It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

"Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

"Immediate owner" means an entity, other than the offeror, that has direct control of the offeror.

Indicators of control include, but are not limited to, one or more of the following: ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

"Predecessor" means an entity that is replaced by a successor and includes any predecessors of the predecessor.

"Reasonable inquiry" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L.

110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate-

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

"Sensitive technology"

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically-

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

"Service-disabled veteran-owned small business concern"

(1) Means a small business concern

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern"--

The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

"Veteran-owned small business concern" means a small business concern
