(viii) 52.212-1 Instructions to Offerors – Commercial Products and Commercial Services (NOV 2021) (Provision)

Addenda to provision 52.212-1:

Addenda to paragraph (b) Submission of Offers:

1) Offerors must have an active entity registration in the System for Award Management in order to submit an offer. https://www.sam.gov/SAM/

2) Offers submitted in response to this solicitation shall include a technical proposal, a price proposal, and contractor representations and certifications.

a) Technical – The technical proposal shall address the evaluation factors in 52.212-2. At a minimum technical proposal shall include:

i) Past Performance – provide a list of similar projects completed by your firm over the past three years. Include a brief description of the project, dollar amount, year completed, and project owner contact information (name, phone, and email). The government may use past performance information from any available source. If a company does not have past performance information available, information may be provided for predecessor companies, key personnel, or subcontractors. In the event that there is no past performance information available, the offeror will receive a neutral rating in this factor.

b) Price – Include the following: 1) completed, signed SF-1449 from Section A of this solicitation, 2) Acknowledge any amendments issued on sam.gov for this solicitation by completing and signing the posted SF-30, and 3) Include the completed price schedule contained in Section B of this solicitation.

2) Submit offer by email to arthur.courtney@usda.gov so that it is delivered into this inbox by January 25, 2021.

(ix) 52.212-2 Evaluation – Commercial Products and Commercial Services (NOV 2021) (Provision)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Factor I – Technical – Experience the Technical Acceptability evaluation provides an assessment of the offeror’s capability to satisfy the Government’s requirement. The evaluation will focus on whether the offeror’s proposal meets or does not meet the Government’s requirements.

The Technical Acceptability factor will receive one of the adjectival ratings defined below in Table 1. Sub- factors will not be rated separately, rather they will be evaluated together in order to derive an overall Technical Acceptability factor rating.

Offerors must receive an “Acceptable” rating for the Technical Acceptability factor in order to be considered for award.

Table 1 - Technical Acceptable/Unacceptable Ratings Rating Description

Acceptable Quote clearly meets the minimum requirements of the solicitation.

Unacceptable Quote does not clearly meet the minimum requirements of the solicitation.

Initially, the Government technical evaluation team will evaluate the technical proposals using ratings of “Acceptable,” or “Unacceptable.” Failure to meet all requirements may result in an offer being determined technically unacceptable.

The technical proposal shall be evaluated against the following sub factors, and address the following:

Subfactor 1 – Minimum 3 years’ experience

Factor II – Past Performance - Past performance will be evaluated based on the following

Recency Assessment. An assessment of the past performance information will be made to determine if it is recent. To be recent, the effort must be ongoing or must have been performed during the past three (3) years from the solicitation issuance date. Recent past performance is defined as not more than 3 years from the RFQ release date; relevant in terms of similar nature of work, size and complexity.

Relevancy Assessment. To be relevant, the effort must be similar in nature of work, size, and complexity. The Government will conduct an in-depth evaluation of all recent performance information obtained to determine if it is the same or similar in nature of work, size, and complexity to the services being procured under this solicitation.

Assigning Rating. The Past Performance Factor will be assigned one of the ratings defined below.

Table 2 - Past Performance Evaluation Ratings Rating Description

Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown

Unacceptable Based on the offeror’s performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.

The evaluation team will perform a Factor II Past Performance evaluation on each offeror’s proposal. The Government will use past performance information from Government databases such as CPARS Database and the Federal Awardee Performance and Integrity Information System (FAPIIS), etc., which is available using the Offerors DUNS number submitted with 52.212-1 Instructions to Offerors. An offer will be determined to be acceptable under Factor II Past Performance in accordance with the following procedures:

1) The Government will use your past three (3) years performance from

CPARS for that assessment.

2) If the Offeror does not have at least three (3) CPARS records, the Offeror will be required to provide three (3) but no more than five (5) recent and relevant, in magnitude and scope, Past Performance Questionnaires. (see Attach 3, Past Performance Questionnaire) The Offeror will be required to have these sent to the Contracting Officer directly from the organization completing the questionnaire.

3) Offerors without a record of relevant past performance or for whom information on past performance is not available or so sparse that there is no meaningful past performance rating can be reasonably assigned; the offeror may not be evaluated favorably or unfavorably on past performance.

Therefore, the offeror shall be determined to have unknown past performance.

In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable

Once all offerors are evaluated under both Factor I Technical and Factor II Past Performance award will be made to the Offeror who has the lowest price with acceptable ratings in both Factor I Technical and Factor II Past Performance.

Factor III – Price

(1) Price evaluation will be performed on all Offerors Pricing Proposals in accordance with 52.212-1 Instructions to Offerors. Proposals will be ranked from lowest to highest price based on the Total Evaluated Price (TEP). The TEP is the total of the base year and all option years including the option to extend

IAW FAR 52.217-8.

Offeror’s cost/price proposal for realism, reasonableness, and completeness.

Reasonableness of the proposed cost/price using the analysis techniques defined in FAR 15.404.

The Government will also determine if the Offeror’s proposed cost, in nature and amount, do not exceed those which would be incurred by a prudent company in the conduct of competitive business.

(2) Reasonableness: Prices are reasonable in comparison to estimates, prior prices paid, and competition and can be supported by suitable estimating techniques.

If a price is unreasonably low to realistically perform the work for the proposed price, the offer will be not considered in the competitive range and will not be considered for contract award.

(3) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(4) As part of price evaluation, the Government will evaluate its option to extend services (see FAR Clause 52.217-8) by adding one-half of the offeror’s final option period price to the offeror’s total price. Thus, the offeror’s total price for the purpose of evaluation will include the base period, first option, second option, third option, fourth option, and one-half of the fourth option. Offerors are not required to enter a price for the six-month extension period.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced.

Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
