L.4 SPECIAL INSTRUCTIONS

NOTE: This request for proposal consists of a request for two (2) technical proposals and two

(2) business proposals as follows:

A. Technical Questions

All technical questions concerning this Request for Proposal shall be submitted in writing no later than 10am local prevailing time December 4, 2013 to the Contract Specialist at APP131181@cms.hhs.gov. All questions will be answered in writing and posted to the Federal procurement website Federal Business Opportunities, www.fedbizopps.gov. Offerors will not be notified individually. All offerors are responsible for checking the website for additional information and amendments that may be issued to the solicitation. Questions submitted by telephone or verbally will not be honored.

Submission of questions shall include a minimum: Company Name, Address, Point of Contact, and Phone Number. The Offeror shall provide the Statement of Work section number/title or solicitation section being referenced.

All organizations that intend to submit a proposal in response to this solicitation are requested to advise the Contract Specialist, via e-mail to APP131181@cms.hhs.gov by no later 10am local prevailing time, Baltimore, MD December 18, 2013.

C. Availability of Funds

Funds are not presently available for the minimum obligation stated in Subsection B- 3 of this RFP.

No legal liability on the part of the Government for any payment may arise until funds are made available to the Contracting Officer, and until the Contracting Officer receives notice of such availability, to be confirmed in writing by the Contracting Officer.

D. Subcontracting Goals

The Subcontracting Goals for this requirement are as follows:

33 percent for small businesses;

5 percent for small disadvantaged businesses;

5 percent for women-owned small businesses;

3 percent for HUBZone small businesses;

3 percent for service-disabled veteran-owned small businesses.

E. Number of Proposals in the Competitive Range for the RMADA

Pursuant to FAR Subpart 15.306(c)(2) and FAR Clause 52.215-1 (f)(4), the Government may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.

L.5 General Instructions

This solicitation includes instructions for submission of a proposal for a multiple award Indefinite Delivery Indefinite Quantity (IDIQ) contract award. There are two task orders included with this solicitation and each offeror is required to submit a proposal response for BOTH of the orders to be considered for a base award under the umbrella IDIQ.

Task Order 0001- “Project Management Plan” is applicable to all offerors and must be included with your proposal submission and will be a part of the overall evaluation for the base IDIQ award. Sample Task Order - “Functional Improvement to Reduce Healthcare Costs (FIRHC) Demonstration” is a representative sample of the types of work envisioned to be performed under this contract and not intended to indicate the full breadth of services required. Submission of a technical proposal for this task is also applicable to all offerors and must be included with your proposal submission and will be a part of the overall evaluation for the base IDIQ award.

Submission of the entire proposal package will consist of:

Volume I - Technical Proposal – IDIQ and Task Order 000001, “Project Management Plan”

Volume II - Business Proposal - IDIQ and Task Order 000001, “Project

Volume III - Technical Proposal – Sample Task Order - “Functional Improvement to Reduce Healthcare Costs (FIRHC) Demonstration”

Proposal Format and Content

Volumes I and III must not contain reference to cost; however, resource information such as data concerning labor hours and categories, subcontracts etc. shall be contained in the technical proposal. The technical proposals must disclose your organization’s technical solution in sufficient detail to provide a clear and concise presentation that includes, but is not limited to, the requirements of the technical proposal instructions.

A. Offerors must submit 1 hardcopy original, 1 copy, and 1 electronic copy of both the technical and business management proposals. The original of the technical and business proposals must be signed by an official authorized to bind the offeror. The proposal submission shall be delivered to the following address no later than 10:00 AM, Local Prevailing Time, on January 14, 2014.

While they should be identical, the hard copy version marked “original” shall take precedence over the electronic submission. Offerors are responsible for submitting proposals, so that it is reached at the proper location by the time specified above. Based upon the size of the electronic submissions, offerors are advised that the Agency often holds transfer of large documents to after core work hours, so as not to disrupt the normal flow of business. Therefore, it is recommended that offerors account for possible delay and provide additional transmission of time.

B. The Government will evaluate proposals in accordance with the evaluation criteria set forth in Section M of this request for proposal.

C. This request for proposal does not commit the Government to pay any costs associated with the preparation and submission of a proposal. Additionally, the Contracting Officer is the only person who can legally commit the Government to the expenditure of public funds in connection with the proposed acquisition.

D. CMS reserves the right to amend or cancel the RFP as necessary

L.6 Technical Proposal Instructions for IDIQ and Task Order 000001, “Project

A. Technical Proposal Format

4. Past Performance

The four (4) sections combined shall be no more than sixty (60) single-spaced one-sided pages. The 60 pages may be allocated across the various sections at the offeror’s discretion. Detailed vitae for key personnel, project summaries, and past performance may be included in separate Appendices without page limitations.

B. Technical Approach

The offeror shall make a clear and concise presentation of the technical approach chosen for the proposed Task Order. This approach should demonstrate an understanding of all aspects of the requirement. The offeror shall provide sufficient detail in the proposal to indicate a technical understanding of, and capability for performing all aspects of the SOW.

Included in the Technical Approach will be the Executive Summary. Please include the following in your submission:

Executive Summary

Offerors must demonstrate that they are capable of performing all tasks that are listed in Section C of this RFP. The offeror shall address the following:

a) If the offeror has existing contracts with the Centers for Medicare and

Medicaid Services or other private or Government Agencies for the same or similar services described in Section C of this RFP:

What are the common difficulties that your organization has faced with performing these types of tasks?

How has your organization worked proactively from one effort to another to avoid these problems?

What is your plan of action for any unforeseen obstacles that may arise?

b) If your organization were to be awarded one of the IDIQ contracts, what would be your organization’s position on which task orders to submit proposals in consideration of resources, conflicts of interest, etc.

c) Based on your organization’s understanding of Section C of the RFP, what are the outcomes that CMS is looking to achieve at a global level under this

RMADA.

C. Key Personnel

The offeror should identify its proposed key personnel to be utilized under the proposed Task Order; to include educational background, professional experience, and special qualifications directly related to the requirement. The information should also state if the key person is an employee of the prime contractor, employee of a proposed subcontractor, or a consultant; and how they will be integrated organizationally, their proposed responsibilities, and the percentage of time dedicated to the requirement.

1. Project Director

The Project Director shall be employed by the prime Contractor. The project Director must ensure the following contract requirements are met:

a. IDIQ requirements are met including quality of product and services, cost control, timeliness and business relations;

b. Staffing is appropriate;

c. Ensure an adequate quality assurance program and process are in place and strictly adhered to for all products and services;

d. Business relations with all other stakeholders and partners are consistently maintained at the highest level;

e. Monthly cost reports are submitted timely and accurately, including a plan to correct any cost variances or projected rate adjustments;

f. All IDIQ and TO deliverables and ad hoc requests are submitted in accordance with timeliness requirements;

g. Overall management of the TO Plan;

h. Ensure there is no duplication of effort between Contractor staff and

CMS; and

i. Maintain a clear communication channel with TO staff.

This work may require the expertise of multi-disciplinary staff including, but not limited to, economists, actuaries, statisticians and biostatisticians, epidemiologists, health policy analysts, health services researchers, and other social scientists; physicians, pharmacists, and other clinical professionals; and systems analysts and programmers.

Provided below are examples of types of work that may be performed at the task order level and the skillset necessary to complete the tasks;

• Research Methods and Design o Capacity to develop and execute high-quality, complex, multisite evaluation designs

• Primary Data Collection o Ability to design, develop, and administrate data collection instruments o Capacity to conduct surveys, focus groups, interviews, environmental scans, case studies and to process and analyze the data obtained from these data collection methods

• Secondary Data Collection o Capacity to process and analyze Medicare/Medicaid administrative, claims and encounter data, o Knowledge of the capabilities and limitations of these data, and experience computing measures and deriving samples relevant to a project o Ability to use Medicare and Medicaid claims data to characterize expenditures and patterns of care among beneficiaries

• Statistical Analysis o Extensive knowledge of relevant methodologies and statistical design including the creation of subsamples, comparison groups, and case mix groups o Capacity to conduct qualitative and quantitative analyses, including complex multivariate analysis, using software packages such as SAS and STATA.

• Information Technology o Knowledge of web design, business intelligence tools, and other information technologies o Knowledge of development of applications in compliance with federal requirements, including experience with CMS requirements and lifecycle processes

• Subject matter Expertise o Knowledge of CMS policies, regulations, and governing statutes o Knowledge of the Medicare and Medicaid programs and their current and historical coverage policies and payment mechanisms o Familiarity with the organization, structure, operations, and resources of primary care practices in general and specific to health care design practices o Capacity to provide technical assistance or training for demonstration sites and/or other groups or individuals

• Communication o Knowledge in participating in the development of conferences, seminars, or workshops and making presentations at these events o Capable of effectively communicating with individuals representing various professional disciplines and service providers

• Report writing and Synthesis o Ability to develop options or issue papers with interim and final reports

• Learning Networks o Ability and experience to develop shared learning activities for award recipients, research participants, and stakeholders o Skilled in improvement science and tools

D. Project Management Plan

This section shall describe how the offeror will organize and manage the project, how tasks will be sequenced, in what time frames, and what management control and coordination tools will be used to assure the timely and successful conduct of the proposed Task Order. The plan should also address the process to handle tasks that may occur simultaneously. It should include: resource allocations, milestone measures by task, and a designation of what tasks will be performed by the prime, by a subcontractor, or by a consultant. The plan should also describe the lines of communication among all of the responsible partners.

E. Past Performance

Offerors shall submit summaries of recent contracts, subcontracts, task orders, or purchase orders with CMS, other Department of Health and Human Services agencies, other U.S. Government organizations, and/or commercial firms for the same or similar services required by this solicitation. The projects included should be ongoing or should have been completed in the last three years. Three to five references should be submitted.

Each listing should include:

• Project title and contract number (for subcontracts, provide the prime contract number and the subcontract number);

• Period of performance;

• Total contract value;

• Description of project, emphasizing components that relate to the work required by this solicitation;

• Specific duties of the offeror;

• Key project staff;

• Names of sponsoring agency and COR or Government Task Lead

(GTL);

• COR/GTL’s contact information (current email address and phone number).

Past performance summaries should be submitted for the prime contractor only.

L.7 Business Management Proposal Instructions for IDIQ and Task Order 000001, “Project Management Plan”

I. Business Management Proposal

The business management proposal shall contain the following information:

Administrative Business Data Subcontracting Plan Section K, Representations and Certifications (copy from website)

We are expecting the project management task to be a firm fixed price and to cover the contract minimum for the entire period of performance.

A. Administrative Business Data

1. Financial Capability – The offeror must indicate whether it has adequate financial capability, working capital, and other resources necessary to compete and perform task orders without assistance from any outside source.

2. Financial Statement – Provide a copy of the audited financial statements for the most current completed fiscal year.

3. Disclosure Statement – Offerors shall provide a Disclosure Statement in accordance with FAR Subpart 30.202, if applicable.

4. Approved Accounting and Estimating Systems – Offerors shall certify that they have approved accounting and estimating systems that are in compliance with applicable contract cost principles and procedures of FAR Part 31 as well as FAR Appendix A, Cost Accounting Standards (CAS) in order to be considered for award of cost type contracts/task orders. Offerors shall state if their practices used in estimating cost are consistent with their cost accounting practices used to accumulate, segregate, and report costs.

B. Additional Cost and Pricing Data Considerations

1. Labor Rates – Offerors shall provide labor rates for key labor categories that are expected to be used in the performance of proposed task orders under the RMADA. Such labor rates shall be projected out for five (5) years. If the labor rates are escalated, the rationale for the proposed escalation rate should be included in the submission. CMS often uses Global Insights rates to project escalation. Any deviation from Global Insights rates should be explained and could result in an upward cost realism adjustment. The proposed labor rates should be supported with payroll information, letters of intent or salary survey information. The appropriate fringe benefits, overhead, and G&A rates should be applied to the labor category and identified.

2. Indirect Rates –

a. An offeror with a current Government-approved indirect rate agreement should provide a copy of the forward pricing rate agreement with the proposal.

b. An offeror without a current forward pricing rate agreement needs to provide the following:

i. The last two years of actual indirect rates with a rate schedule showing both the pool (by cost centers) and base of allocation for each indirect rate.

ii. Provide budgeted out year indirect rates with sufficient detail to support the basis of estimate for each cost center in the overhead pool. The indirect bases should be in line with anticipated future work.

4. Independent Research & Development (IR&D) – In accordance with the Health and Human Services Acquisition Regulations (HHSAR) 352.216-72, the cost of independent research and development, including its proportionate share of indirect costs are unallowable. Any Independent Research & Development (IR&D) is required to be excluded from indirect rate calculations.

5. Facilities Capital Cost of Money – Pursuant to HHSAR 315.404-4, when facilities capital cost of money (cost of capital committed to facilities) is included as an item of cost, a reduction in the profit objective shall be made in an amount equal to the amount of facilities capital cost of money allowed in accordance with the Facilities Capital Cost-of Money Cost Principle. This effectively makes the inclusion of cost of money in a proposal as an element of cost irrelevant.

6. Uncompensated Overtime – The offeror is required to include a copy of the policy on “uncompensated overtime” with its proposal (FAR 52.237-10).

Uncompensated overtime is defined as “hours worked without additional compensation in excess of an average of 40 hours per week by direct charge employees who are exempt from the Fair Labor Standards Act.”

C. Subcontracts Proposal

1. A statement as to the adequacy of the subcontractor’s accounting system, with supporting documentation. Include what agency made the determination of adequacy, and provide supporting documentation of the determination. If a subcontractor does not have an adequate accounting system, the subcontractor will be unable to be awarded cost reimbursement subcontracts until their accounting system is deemed adequate.

2. A representative sample of the average labor rates for the various categories that are anticipated to be used under this IDIQ and how they are calculated with supporting documentation.

3. Proposed indirect forward pricing rates with supporting documentation detailing how the rates are calculated. Provide schedules for each indirect rate pool proposed showing expenses by general ledger account, as well as the related allocation base for each pool.

4. If the subcontractor is required to submit a disclosure statement has this been done and has the submitted disclosure statement been reviewed for adequacy and compliance? Please identify the agency that made the determination and copy of the adequacy and compliance determination.

5. Provide a statement as to whether the proposed subcontractor is on the List of Parties Excluded from Federal Procurement and Non-procurement Programs.

6. Extent to which adequate price competition was obtained, or justification for its absence.

D. Consultant Agreements

The Offeror shall furnish information concerning the need for such consultant services, copy of the consultant agreement, a description as to how the consultant was selected and the reasonableness of the fees to be paid.

E. Small Business and Small Disadvantaged Business Subcontracting Plan

a. If the proposed contract exceeds a total estimated cost of $650,000 for the entire period of performance, the apparent successful Offeror shall be required to submit a subcontracting plan in accordance with the terms of the clause entitled "Small Business and Small Disadvantaged Business Subcontracting Plan" FAR Clause No. 52.219-9, incorporated herein by reference in the Solicitation." See Attachment J.6 to this solicitation as an example of such a plan.

b. THIS PROVISION DOES NOT APPLY TO SMALL BUSINESS CONCERNS

c. The term "subcontract" means any agreement (other than one involving an employer-employee relationship) entered into by a Federal Government prime Contractor or subcontractor calling for supplies or services required for the performance of the original contract or subcontract.

d. CMS recommends the following goals for subcontracting opportunities:

Of the total dollars subcontracted, 33% should go to small businesses.

Small Business 33% Small Disadvantaged Business 5% Women-Owned Small Business 5% HubZone 3% Service Disabled Veteran Owned Small Business 3%

e. The Offeror understands that:

1. No contract will be awarded unless and until an acceptable plan is negotiated with the Contracting Officer which plan will be incorporated into the contract, as a material part thereof.

2. An acceptable plan must, in the determination of the Contracting Officer, provide the maximum practicable opportunity for small business concerns and small business concerns owned and controlled by socially and economically disadvantaged persons to participate in the performance of the contract.

3. If a subcontracting plan acceptable to the Contracting Officer is not negotiated within the time limits prescribed by the contracting activity and such failure arises out of causes within the control and with the fault or negligence of the Offeror, the Offeror shall be ineligible for an award. The Contracting Officer shall notify the Contractor in writing of the reasons for determining a subcontracting plan unacceptable early enough in the negotiation process to allow the Contractor to modify the plan within the time limits prescribed.

4. Prior compliance of the Offeror with other such subcontracting plans under previous contracts will be considered by the Contracting Officer in determining the responsibility of the Offeror for award of the contract.

5. It is the Offeror's responsibility to develop a satisfactory subcontracting plan with respect to both small business concerns and small business concerns owned and controlled by socially and economically disadvantaged individuals and that each such aspect of the Offeror's plan will be judged independent of the other.

6. The Offeror will submit, as required by the Contracting Officer, subcontracting reports in accordance with the instructions thereon, and as further directed by the Contracting Officer. Subcontractors will also submit these reports to the Government's Contracting Officer or as otherwise directed, with a copy to the prime Contractor's designated small and disadvantaged business liaison.

L.8 Technical Proposal Instructions, Sample Task Order - “Functional

Improvement to Reduce Healthcare Costs (FIRHC) Demonstration”

The proposal shall be prepared in two parts – written technical information and a business proposal (including attachments).

The offeror must respond to all aspects of the scope of work as presented in the Request for Task Order Proposal. To facilitate proposal review and evaluation, the offeror shall submit as part of the proposal, a separate enclosure entitled “Technical Proposal” which encompasses chapters 1-2, as specified below.

Chapter 1 Technical Approach Chapter 2 Personnel Qualifications

The two (2) sections combined shall be no more than sixty (60) single-spaced one-sided pages. The 60 pages may be allocated across the various sections at the offeror’s discretion. Detailed vitae for key personnel, project summaries, and past performance may be included in separate Appendices without page limitations.

Chapter 1 Technical Approach

The proposal shall provide a statement of the problem, in the offeror’s own words, and must indicate, in some detail, how the contractor would approach the principal research questions that are defined in the SOW.

The offeror shall make a clear and concise presentation of its technical approach chosen for this task order.

Chapter 2 Personnel Qualifications/Experience with Work of a Similar Scope

This section shall identify all personnel proposed to be involved in the project, describe their qualifications, and provide an estimate of the number of hours their services that will be required. The offeror also shall illustrate the manner in which the personnel will be organized.

This section is open as to how the offeror will demonstrate the right mix of staff at both key and non-key positions.

Topics to be addressed in this chapter include:

• Personnel’s employer;

• A description of the anticipated functions and duties of each individual to be involved in the project;

• Estimates of the number of hours their services will require, by task and subtask;

• A brief description of relevant education, training, experience, publications, and other qualifications;

• Anticipated availability of each individual during the time period their services will be required, indicating any other work that might interfere with their ability to carry out their tasks in a timely manner;

• Relationship between the individual and the contractor (e.g., employee of contractor, employee of subcontractor, consultant).

L.9 Business Proposal Instructions, Sample Task Order - “Functional Improvement to

Reduce Healthcare Costs (FIRHC) Demonstration”

The offeror must submit a cost reimbursement Business Proposal adequate for the Government to allow for cost realism and for a determination of cost reasonableness. It should be broken down as follows:

• Cost and labor hours should be broken down by task and subtask for the one-year base period.

• For tasks under each optional year, cost and labor hours should be broken down by task and subtask.

Budget items should include:

• Labor categories for each individual, their rates, and expected hours;

• Indirect cost rates (e.g., fringe, general and administrative);

• Travel, broken out into number of trips, types and purposes of trips, number of travelers, and duration of trip for each destination;

• Subcontractor/consultant costs and rates - documentation must be provided to support single-line item subcontractor/consultant costs and rates. If necessary, the details justifying any single-line item subcontractor/consultant costs may be submitted by the subcontractor/consultant in a sealed envelope instead of detailed in the Business Proposal.

• Other direct costs.
