BR2-17-001Reply to Attn of:

TO: PROSPECTIVE OFFERORS

FROM: BR/Contracting Officer

SUBJECT: Request for Proposal (RFP) NNJ17588818R – Neutral Buoyancy Laboratory (NBL) Operations Contract (NOC)

The National Aeronautics and Space Administration (NASA) Lyndon B. Johnson Space Center (JSC) is hereby issuing the RFP for qualified firms that meet the classification described below for the NOC acquisition. This RFP replaces the Draft RFP in its entirety.

NOC is a full and open competition and has been assigned the North American Industry Classification System (NAICS) code 541712 – Research and Development in the Physical, Engineering, and Life Science (except Biotechnology). The Small Business Size Standard in number of employees is 1,000 under this NAICS code and its applicable exception.

Offerors are advised to read all requirements contained herein and in the RFP.

ACQUISITION FEATURES

The NOC is a single award Cost-Plus-Award-Fee (CPAF) contract. The contract includes a Performance Based Core, and an Indefinite-Delivery/Indefinite-Quantity (IDIQ) element with the ability to issue CPAF and Firm Fixed Price (FFP) Orders. The Government may issue IDIQ orders at any time after contract start, in accordance with the procedures set forth in Sections B and I.

The Government anticipates a 7-year period of performance comprised of a 2-year base period, followed by a 1-year option, and two 2-year options. The Phase-In period will be 45 days.

Phase-In:08/16/2017 – 09/30/2017
2-year base period:10/01/2017 – 09/30/2019
Option 1 (1 year):10/01/2019 – 09/30/2020
Option 2 (2 years):10/01/2020 – 09/30/2022
Option 3 (2 years):10/01/2022 – 09/30/2024

NASA intends to award IDIQ Orders in accordance with NFS 1852.216-80 “TASK ORDERING PROCEDURE.” The core requirements and IDIQ requirements shall be priced utilizing the labor categories and proposed rates referenced in Section B, Clause B.7 “Firm Fixed Price Order Estimating,” and Clause B.9 “Cost Reimbursement Order Estimating.”

The Government will update Clause B.8, “CONTRACT FUNDING” prior to contract award.

Throughout the RFP the Government uses “TBD” to designate a Government Fill-in and “OFI” to designate an Offeror Fill-In.

The Government reserves the right to award a contract without discussions.

Offerors are encouraged to ensure that their company is listed in the following on-line databases:

· System for Award Management (SAM): https://www.sam.gov

· Data Universal Numbering System (DUNS): http://fedgov.dnb.com/webform

· The Office of Federal Contract Compliance Programs’ (OFCCP) National Pre-award Registry: http://www.dol-esa.gov/preaward/ (Note: The Contracting Officer will request clearance from the appropriate OFCCP regional office before award of any contract, and all first-tier subcontracts, of $10 million or more in accordance with Federal Acquisition Regulation (FAR) 22.805.)

· VETS-4212 Federal Contractor Reporting: https://www.dol.gov/vets/vets4212.htm (Note: Before a contract can be awarded, the Contracting Officer will verify that the Offerors in the Competitive Range, or the apparent Successful Offeror only has submitted their VETS-4212 report).

This RFP has been updated to include additional requirements from the Federal Information Technology Acquisition Reform Act (FITARA).

The Department of Labor (DOL), Wage and Hour Division, Prevailing Wage Resource Book can be found at: http://www.dol.gov/whd/recovery/pwrb/toc.htm. Offerors are encouraged to review this book as part of their responsibilities to comply with contractual labor statues and regulations.

Odd-Numbered Wage Determinations

Please note that this contract incorporates an odd-numbered service wage determination revised on 12/30/2016. When an even-numbered wage determination applies, the per hour health and welfare benefit is an average cost fringe benefit requirement computed on the basis of “all hours worked” by service employees on the contract.

The term “all hours worked” includes overtime hours and is not limited to 40 hours per week or 2,080 hours per year for each employee; the term “all hours worked” does not include paid leave hours, such as for vacations, holidays, or sick leave. Also, it does not include unpaid leave time, such as that provided under the Family and Medical Leave Act.

Under the average cost concept, the fringe benefits provided by the contractor may vary among individual service employees, and compliance is achieved when the actual cost of these benefits divided by the total hours worked by service employees in a payment period equals or exceeds the amount required by the wage determination.

The NOC RFP has been updated to incorporate FAR clause 52.222-62, Paid Sick Leave Under Executive Order 13706.

ELECTRONIC ACCESS

An electronic Technical Reference Library (TRL) is available for various types of historical data and other pertinent applicable documents and information regarding this procurement and its requirements. Composite Labor Rate data will be available in the TRL. The NOC electronic library is available at http://procurement.jsc.nasa.gov/nbl/.

PROPOSAL SUBMISSION

The RFP does not commit the Government to award a contract nor does it obligate the Government for costs incurred in the preparation and submittal of proposals in anticipation of a contract or comments in response to this RFP. In the event of a discrepancy between this letter and the NOC RFP, the NOC RFP shall govern.

It is anticipated that from time to time additional funds will be allocated to the contract in accordance with the following schedule, until the total price of said items is allotted:

SCHEDULE FOR ALLOTMENT OF FUNDS

Date
Amounts
TBD
$TBD

(b) The Contractor agrees to perform or have performed work on the items specified in paragraph (a) of this clause up to the point at which, if this contract is terminated pursuant to the Termination for Convenience of the Government clause of this contract, the total amount payable by the Government (including amounts payable for subcontracts and settlement costs) pursuant to paragraphs (f) and (g) of that clause would, in the exercise of reasonable judgment by the Contractor, approximate the total amount at the time allotted to the contract. The Contractor is not obligated to continue performance of the work beyond that point. The Government is not obligated in any event to pay or reimburse the Contractor more than the amount from time to time allotted to the contract, anything to the contrary in the Termination for Convenience of the Government clause notwithstanding.

(c)(1) It is contemplated that funds presently allotted to this contract will cover the work to be performed in accordance with Clause F.4, Period of Performance.

(2) If funds allotted are considered by the Contractor to be inadequate to cover the work to be performed until that date, or an agreed date substituted for it, the Contractor shall notify the Contracting Officer in writing when within the next 60 days the work will reach a point at which, if the contract is terminated pursuant to the Termination for Convenience of the Government clause of this contract, the total amount payable by the Government (including amounts payable for subcontracts and settlement costs) pursuant to paragraphs (f) and (g) of that clause will approximate 75 percent of the total amount then allotted to the contract.

(3)(i) The notice shall state the estimate when the point referred to in paragraph (c)(2) of this clause will be reached and the estimated amount of additional funds required to continue performance to the date specified in paragraph (c)(1) of this clause, or an agreed date substituted for it.

(ii) The Contractor shall, 60 days in advance of the date specified in paragraph (c)(1) of this clause, or an agreed date substituted for it, advise the Contracting Officer in writing as to the estimated amount of additional funds required for the timely performance of the contract for a further period as may be specified in the contract or otherwise agreed to by the parties.

(4) If, after the notification referred to in paragraph (c)(3)(ii) of this clause, additional funds are not allotted by the date specified in paragraph (c)(1) of this clause, or an agreed date substituted for it, the Contracting Officer shall, upon the Contractor's written request, terminate this contract on that date or on the date set forth in the request, whichever is later, pursuant to the Termination for Convenience of the Government clause.

(d) When additional funds are allotted from time to time for continued performance of the work under this contract, the parties shall agree on the applicable period of contract performance to be covered by these funds. The provisions of paragraphs (b) and (c) of this clause shall apply to these additional allotted funds and the substituted date pertaining to them, and the contract shall be modified accordingly.

(e) If, solely by reason of the Government's failure to allot additional funds in amounts sufficient for the timely performance of this contract, the Contractor incurs additional costs or is delayed in the performance of the work under this contract, and if additional funds are allotted, an equitable adjustment shall be made in the price or prices (including appropriate target, billing, and ceiling prices where applicable) of the items to be delivered, or in the time of delivery, or both.

(f) The Government may at any time before termination, and, with the consent of the Contractor, after notice of termination, allot additional funds for this contract.

(g) The provisions of this clause with respect to termination shall in no way be deemed to limit the rights of the Government under the default clause of this contract. The provisions of this Limitation of Funds clause are limited to the work on and allotment of funds for the items set forth in paragraph (a) of this clause. This clause shall become inoperative upon the allotment of funds for the total price of said work except for rights and obligations then existing under this clause.

(h) Nothing in this clause shall affect the right of the Government to terminate this contract pursuant to the Termination for Convenience of the Government clause of this contract.

B.7 FIRM FIXED PRICE ORDER ESTIMATING (Applicable only to FFP IDIQ)

(a) Fully Burdened Rates inclusive of profit – The purpose of this clause is to set forth the rates to be utilized in the subsequent negotiation of FFP IDIQ orders in accordance with clause I.14, Task Order Procedure. The bottom of the table allows indirect rates to be applied to any non-labor resources, except for travel, as required by task order, if applicable. Pricing of all FFP IDIQ orders shall be in accordance with the negotiated rates set forth below. Under no circumstances shall the rates used to price out task orders exceed the agreed-upon rates (including labor, indirect, and profit rates) in the Fully Burdened Rate Table shown below. The labor rates are fully-burdened composite team rates (prime and all subcontractors); these composite labor rates include wages, overhead, and G&A, but includes prime profit. The rates in this table are maximum rates which may be proposed or negotiated for individual task orders during contract performance, for any place of performance, and will be used for evaluating task orders/revisions and determining price reasonableness. The Contractor may propose lower rates on individual orders. The parties agree that the fully burdened labor rates established below shall not be subject to any equitable adjustment (upwards or downwards), regardless of actual rates incurred during contract performance with exception of those required by statute.

Foreword: Neutral Buoyancy Laboratory Operations Contract Overview

The foreword serves as an information-only introduction to the Statement of Work (SOW).

The Neutral Buoyancy Laboratory (NBL) is a key Agency asset that supports human spaceflight training and operations. The facility supports the International Space Station (ISS), Orion, and other future space programs. The NBL is operated by JSC’s Flight Operations Directorate (FOD).

The NBL Operations Contract (NOC) specifies technical, managerial, and administrative work needed to ensure the availability, integrity, and reliability of the facility supporting NASA human spaceflight programs. For this contract, “facility” is defined as the systems and subsystems of integrated hardware and software used in the preparation for and performance of mission operations. The term “facility” does not refer to “brick and mortar” buildings or building functions. A memorandum of understanding (MOU) between FOD and the Center Operations Directorate (JSC-27049, MOU and Standard Interface Plan between COD and MOD for Support of MCC Operations and NSOC Operations) is contained in the technical library. This MOU outlines the responsibilities of the COD contractor and the eventual NOC contractor with respect to the building proper.

The objectives of this contract are to:

· Acquire support (labor and expertise) to ensure the continuing safe operation of the facility and support all required events.

· Increase opportunities for synergy across all functions, processes and systems. NASA will collaborate with the Contractor on developing technical and procedural innovations that improve safety, enhance quality, ensure user satisfaction, and reduce cost.

· Develop external customer utilization of current and future excess capacity in the facility.

Description of NBL

a. The NBL is a part of the Sonny Carter Training Facility (SCTF), located approximately five miles from the Johnson Space Center (JSC). The NBL (Buildings 920N, 920L and 925) provides a unique environment to simulate micro-gravity using underwater neutral buoyancy techniques. It provides capabilities for astronaut training, real-time mission trouble-shooting, extravehicular activity (EVA) procedure development and verification, flight hardware development and verification, water survival training, and support of external users. The NBL has high visibility to agency management and the general public due to its importance to NASA’s mission and the highly hazardous operations performed there. The NBL also includes a Logistics & Mockup Facility (LMF) that provides fabrication, repair, and upgrade of mockups for the NBL. In addition, the NBL uses Building 925 as a mockup storage building. Throughout this SOW, the reference to the NBL includes buildings 920N, 920L and 925. Additionally, the term “system” refers not only to the hardware used to provide a product or service (e.g. the Breathing Gas System manufactures and delivers Nitrox for use at the NBL) but also includes the tooling, spares, and software used to operate, repair, and maintain it.

b. The NBL contains a 202-foot long, 102-foot wide, and 40-foot deep-water tank. The tank has standard filtering, chlorinating, and pumping subsystems as a part of its water treatment system. Additional NBL systems include an environmental control system, a breathing gas system, a closed circuit television system, a communications system, multiple crane systems, a robotic manipulator system, scuba, surface-supplied diving systems, and an underwater diver communication system. The NOC Contractor is responsible for providing all consumables for operating and maintaining these systems. The NBL also contains a hyperbaric treatment chamber and hypobaric chamber that are owned by the Human Health and Performance Directorate.

c. The building contains administrative space for the NOC Contractor’s management, technical, and dive support functions. Space for NBL civil service personnel and other organizations’ contractors such as EVA suit support functions, EVA tool support functions, test control room support, utility support, test safety support, quality assurance support, and medical support are also provided for in the facility. The facility also contains a clean area for servicing hardware that must maintain a cleanliness level for oxygen operation. This clean area is available for use by the Contractor.

d. The facility has in its inventory over 100 separate mockups, representing various past and future program flight hardware. The NOC Contractor is responsible for maintaining the configuration of the mockups as well as conducting their preventive and repair maintenance. The mockups used in the NBL are full-scale (1:1) models of spacecraft or spacecraft components. Depending on their purpose, mockups can vary from “low fidelity”, which models the basic volume and shape of the spacecraft/component, to “high fidelity” which very closely matches the “look and feel” of the spacecraft/component. Mockups can be built to last for short-term purposes or for many years. NBL mockups are usually made from stainless steel, composites and plastics.

e. The NBL supports customers from organizations outside of FOD. These include other JSC Directorates (e.g., Engineering, Human Health and Performance, Public Affairs), other NASA centers, other government agencies (e.g., U.S. Coast Guard) and commercial companies. Examples of this type of support include use of the NBL for submerged operations or water survival training, and the use of the facility for media and educational events.

Activities Performed at the NBL

NOC personnel provide facility operational support, including scheduling, configuration, set-up, anomaly resolution, and tear-down for each activity listed below. Sections 2 and 3 describes the detailed NOC requirements in contrast, the actual activity (e.g., training) may be performed by non-NOC personnel. For example, for a suited NBL training event, NOC personnel will: configure the mockups prior to the event, provide the required safety and utility divers and associated support personnel, provide system operators, and resolve any real-time anomalies. The actual event will be performed by suited subjects (e.g., Astronauts) and Test Conductors (NASA or non-NOC contractors). Additionally, the event will be supported by non-NOC personnel from Safety, Quality, Medical and EVA tools and suits.

a.Astronaut and Cosmonaut Training – The NBL is used to train personnel to conduct EVA and intra-vehicular activities (IVA), either as crewmembers or members of the ground team.
The NBL supports training for planned EVAs, contingency EVAs, and their associated robotic operations (e.g., remote manipulation of crewmembers and hardware). Astronauts and Cosmonauts receive EVA training operations using underwater mockups while wearing pressurized Extravehicular Mobility Units (EMUs) or scuba. Suited water events are generally four to six hours in length. Other EVA-related training conducted at the NBL is performed “unsuited” and uses 1-G mockups located on the pool deck or in the high bay.
b.Real-time mission support – The NBL is used to provide real-time support within hours of a request to support troubleshooting of on-orbit anomalies (e.g., equipment malfunction requiring EVA).
c.Mission development – The NBL is used to develop approaches and products for future mission activities. For example, a scuba evaluation of EVA hardware or preliminary procedures might be performed. Work performed under this category may require work to be performed at locations other than the NBL (i.e. underway recovery training for Orion).
d.Timeline/Procedure development and verification – The NBL is used to develop timelines and procedures to be used by crewmembers and ground personnel to accomplish on-orbit tasks and objectives.
Developers of flight hardware, training organizations, flight controllers and astronauts utilize mockups and capabilities in the facility to test out and verify the flight procedures necessary to accomplish tasks on orbit.
e.Vehicle and flight systems development – The NBL is used to support development of new or modified equipment for existing flight vehicles and systems.
f.Developmental engineering analysis – The NBL provides tools, facilities, and personnel for conducting engineering tests. The NBL is used to provide a neutrally buoyant and 1-G environment for evaluating EVA and IVA capabilities.
g.Mockup design and fabrication – The NBL utilizes mockups and trainers to accomplish their functions. These mockups are built/modified “in-house” by NOC or sourced from external suppliers.
h.Mockup and System Maintenance – The LMF and the NBL’s Highbays are the primary locations where mockup and systems are maintained or modified. The LMF is an extensive machine shop that contains metal fabrication machines, wood shop tools and supporting equipment for fabrication, assembly and repair of mockups.
i.Laydown yard – Building 925 and the exterior areas around the NBL are used as mockup storage areas.
j.External Customers – The NBL is used to support external customers’ needs, as appropriate, within available capacity and priorities.
k.Public Affairs – The NBL is used to facilitate communication of the NASA mission to the public. This public affairs function includes tours, media events, education events, and public outreach.
