1 INTRODUCTION

Background 1.1

The United States Marine Corps (USMC) Amphibious Vehicle Test Branch (AVTB) is a

Department of Defense (DoD) certified test facility that offers year-round testing of amphibious vehicles. AVTB supports the Marine Corps in the development and acquisition of amphibious and combat vehicles by providing decision makers timely and accurate information regarding the effectiveness and suitability of platforms under test. AVTB is the responsible test organization under Marine Corps Systems Command (MCSC) concerning the AAV Survivability Upgrade

Program (SUP), Amphibious Combat Vehicle (ACV 1.1, ACV 2.2) and Hydrodynamic Test Rig

(HTR).

Scope 1.2

This important project requires contractors to support water testing of the AAV SUP, ACV 1.1, and ACV 2.1 at Camp Pendleton, California, as well as other locations as assigned. Amphibious testing requires watercraft to support different elements of each test. AVTB’s watercrafts are used for multiple test activities to include command and control, safety, towing, and dive platforms. The contractor shall provide a team of small craft operators/maintainers to support all waterborne activities that fall under the responsibility of AVTB.

2 APPLICABLE DOCUMENTS

Compliance Documents 2.1

The following documents are applicable to this Performance Work Statement (PWS) to the extent specified herein:

The AVTB Test and Evaluation Standard Operating Procedures (AVTB TE SOP V1.1) is provided as guidance and may be helpful to the contractor in performing the work described in this PWS. The contractor shall use the latest version available.

3 PERFORMANCE REQUIREMENTS

The contractor shall provide technically proficient and otherwise qualified personnel to operate and maintain Government owned small watercrafts in support of AVTB’s test and evaluation efforts. The contractor shall provide maritime training to ensure safe and incident free boat operations.

Boat Operation 3.1

The contractor shall provide boat operation support and boat maintenance for the AVTB in support of AAV SUP, ACV 1.0, ACV 2.0, and HTR testing. The tasks shall include boat operation, maritime training, and maintenance of AVTB Rigid Hull Inflatable Boats (RHIBs), 27-ft Boston Whaler, and 64-ft workboat. The boat operation and maintenance support tasks include but it’s not limited to boat operations and boat ancillary equipment operations. The contractor shall operate Government owned watercrafts without accidents or incidents 99.99 percent of the time.

3.1.1 Boat Operations

The contractor shall provide boat operation personnel to operate and navigate AVTB watercraft in support of military maritime operations and testing. The contractor shall execute all boat movements with respect to weather, sea conditions, boat conditions, Test Plans and schedules, and comply with the AVTB TE SOP V1.1. These services shall include launching and recovering RHIB’s from Naval ships out to a distance of 50 nautical miles from shore and providing watercraft operations in close proximity to other craft and waterborne structures at speeds less than one knot and speeds up to 45 knots, and carry up to 15 passengers safely.

3.1.2 Boat Ancillary Equipment Operation

The contractor shall be required to operate radar, Global Positioning Systems (GPS), Night

Vision Electro Optic equipment and pyrotechnical signing and be able to understand military communications. The contractor shall provide operator support on a marine platform for emergency salvage operations, to include towing, and perform marine surveyor services.

Boat Maintenance 3.2

The contractor shall participate in developing an effective boat maintenance program to include labor hours, supervision, and services necessary to inspect, conduct maintenance, and repair of

AVTB watercraft in support of maritime testing operations. The contractor shall plan on performing maintenance operations in a manner not to interfere with scheduled daily operations.

The contractor shall perform all maintenance in accordance with best commercial practices. The contractor shall perform all maintenance to ensure that at least 80 percent of the AVTB boats are in a seaworthy operational condition. For the purposes of this effort, “maintenance” is defined as

“maintenance able to be performed by the user or operator of the equipment.” It includes the proper care, use, operation, cleaning, preservation, lubrication, and such adjustment, major repair, testing, and parts replacement as may be prescribed by pertinent technical publications, tools and parts allowances. Maintenance requirements that are beyond the skill set of the operator shall be referred to the Government Operations Officer.

3.2.1 Material Replacement

The contractor shall provide the Government a rough order magnitude (ROM) that includes the parts and costs required to effect maintenance. The ROM shall be provided in a Boat Shop

Supply Request form provided by the government. The Government will purchase repair and replacement parts and provide them to the contractor to complete the repairs and return watercraft back to an operational condition. The contractor shall clean-up of all materials and scrap remaining from maintenance and repair work performed on the AVTB watercraft, and the removal shall be coordinated with AVTB, Camp Pendleton, and Hazardous Material

(HAZMAT) personnel.

3.2.2 Preventive Boat Maintenance

The contractor shall conduct scheduled preventive boat maintenance to ensure the watercrafts are in a seaworthy condition to support current operations. The contractor shall implement a planned preventive maintenance schedule to help prevent and correct deficiencies in the AVTB watercraft. The contractor shall develop and maintain a watercraft specific preventive maintenance plan for the AVTB RHIBs using applicable guidance documents identified in

Section 2.1 above. The contractor shall develop a written management plan for the operation and maintenance of all AVTB watercraft. The contractor shall track on a monthly report, high failure rate parts by watercraft and provide AVTB a life cycle maintenance costs for each watercraft.

3.2.3 Corrective Boat Maintenance

The contractor shall perform corrective boat maintenance, which includes the hull, electronics, engines, and propulsion units on all AVTB watercraft in order to return them to full operational condition. Corrective maintenance service is defined to include service, including parts replacement to restore equipment that is in an inoperable or degraded condition to normal operating effectiveness. The contractor shall use best commercial practices for all corrective maintenance and repairs. The contractor shall notify the AVTB Operations Officer within twenty four (24) hours of corrective maintenance completion and watercraft is fully operational and ready for support of testing.

4 DELIVERABLES

Prior to the first submission of any deliverable, the contractor shall provide the Contracting

Officer’s Representative (COR) a copy of the formatted deliverable for format approval, unless otherwise stated herein.

Weekly Status Report 4.1

Weekly Status Report: The contractor shall prepare and submit a Weekly Status Report to the

COR. The report shall be delivered in MS Office format by close of business every Monday.

The report shall include the operational condition of each watercraft, number awaiting maintenance/parts and number of hours that the watercraft was operated. The report shall provide a status of the condition of each of the watercraft/boat operators.

Delivery Instructions 4.2

Deliverables associated with the above specified tasks will be subject to the performance standards and acceptable quality levels specified in the Quality Assurance Surveillance Plan, Enclosure (1).

5 PERFORMANCE LOCATION

Performance of work associated with this project will be performed primarily at the AVTB and surrounding open ocean waters off the cost of Camp Pendleton. The contractor shall be expected to work on-site at AVTB 100% of the time.

6 INSPECTION OF DELIVERABLES

The COR will inspect all deliverables at the place of delivery (AVTB).

Inspection and acceptance of the contract deliverables are the responsibility of the COR, unless otherwise specified in the contract. The COR will make official acceptance notification to the contractor on all final deliverables via signature of acceptance. Rejection of deliverables will be provided to the contractor via written correspondence. Minor corrections required to deliverables will be verbally discussed with the contractor and noted on deliverable products. A revised deliverable shall be resubmitted to the Government within 3 working days, unless a different schedule is agreed to between the Government and contractor because of the scope of required modifications.

All deliverables shall be submitted to the COR electronically via email. All deliverables shall be in the current version of Microsoft Office® suite of products in use by AVTB. The COR will approve in writing any agreed to changes in deliverable formats in advance of submission.

7 PERIOD OF PERFORMANCE

The contract period of performance for this task is anticipated to be one year in duration from date specified in the award, with 3 one-year option periods.

8 GOVERNMENT FURNISHED EQUIPMENT AND

FACILITIES

Government Furnished Equipment 8.1

The Government will provide work space in the boat maintenance facility (bays) and all tools required to perform preventive and corrective maintenance related to the boat maintenance tasks described within this PWS.

Access to Government Property 8.2

A designated Boat House/Maintenance Shop will be provided under this PWS. Access to

Government telephone services is not available in the boat house work space. There is no internet access in the boat house or boat maintenance area. MCEN internet access may be provided in a designated area as may be required to support the boat maintenance and reporting.

Access to Government Facilities 8.3

The Government will provide access to the required facilities located at AVTB as needed for the performance of the tasking within this PWS during normal working hours, 0700 to 1700, Monday through Friday. The contractor must seek prior approval of the COR for access to

AVTB during Government holidays.

Government Furnished Material 8.4

No Government Furnished Material will be provided under this PWS.

The Government will not reimburse the contractor for cell phone charges or commercial internet service under this PWS.

Government Furnished Information 8.5

The Government will provide the contractor access to the following information and automated services in support of this PWS:

a. The technical information required for the performance of the tasking within this PWS.

The contractor shall submit a written request at least two (2) calendar days in advance to the COR for specific information.

b. A user and email account on the MCEN to include a CAC card to support PKI access and Marine Corps Web Services if determined by the Government to be necessary for the performance of the tasking within this PWS.

9 SECURITY REQUIREMENTS

There are no security requirements for this PWS. The contractor will not need to access classified areas at AVTB.

Base Security 9.1

Contractor shall comply with Marine Corps Base (MCB) Camp Pendleton, California security regulations and policies. The contractor’s staff shall be U.S. or naturalized citizens, whose military duty was not terminated by a dishonorable or bad conduct discharge, who are not subject to an outstanding criminal warrant, have no felony conviction, and no more than three criminal misdemeanor convictions within the last seven years, and no criminal misdemeanor or felony conviction for crimes of a sexual nature, crimes of violence, crimes related to gang activity or hate crimes, or crimes resulting from the possession or distribution of any illegal drug.

All contractor personnel aboard MCB Camp Pendleton, with the exception of emergency personnel, shall wear a properly issued badge at all times. Contractor employees shall comply with all emergency rules and procedures established for MCB Camp Pendleton. All personnel aboard MCB Camp Pendleton are subject to random inspections of their vehicles, personal items and of themselves. Consent to these inspections is considered to have been given when personnel enter MCB Camp Pendleton, CA.

RAPIDGATE 9.2

The Government has implemented the RAPIDGATE program on MCB Camp Pendleton and the contractor shall obtain employee passes for base access by contacting (877) 727-4342. Failure to participate in the RAPIDGATE program will restrict access to the base and that restriction may not be used as a reason for late or non-performance of services.

OPSEC Requirements 9.3

The practice of OPSEC prevents the inadvertent compromise of sensitive unclassified and classified activities, capabilities, or intentions at the tactical, operational, and strategic levels.

The contractor’s staff must adhere to all Government OPSEC measures currently in place at the

Government facility. The contractor shall provide OPSEC training to all contractor personnel supporting this effort. Taking pictures from cameras or cell phones is not allowed while aboard the compound or in the test areas.

10 PERSONNEL

The contractor shall provide personnel with the experience and qualifications listed in 10.1 and

10.2 below.

Senior Watercraft Operator 1 1870 hrs / operator / year

Small Watercraft Operators 5 1870 hrs / operator / year

Small Watercraft Operators 10.1

The contractor’s small watercraft operators shall possess the following qualifications:

a. Current Coast Guard license or have a minimum of 10 years military experience operating and maintaining small boats.

b. Working knowledge of military maritime operations and testing.

c. Experience at maintaining watercraft that are the same or similar to AVTB watercraft, (10/11-meter RHIBs, 27-ft Boston Whaler, and 64-ft work boat).

d. Proficient in the operation of radar, Global Positioning Systems (GPS), Night Vision

Electro Optic equipment, and pyrotechnical signaling.

e. Extensive experience and skill at coordinating multiple craft operations.

f. Extensive experience and skill at 10/11-meter RHIB operations in close proximity to other craft and waterborne structures at both speeds under one knot and speeds up to 45 knots.

g. Experience at supporting military and emergency SCUBA diving operations, to include

“live boating” (maintaining boat stable while divers are in the water under the test vehicle).

h. Complete understanding of emergency procedures, including communications with civilians and military Search and Rescue personnel and helo/stokes medical evacuation at sea.

i. Demonstrated skills in “Over the Horizon Navigation” to support launches from amphibious shipping out to a distance of 50 nautical miles from shore.

j. Familiar with procedures to conduct passenger transfer from AVTB watercraft to

Naval shipping using either a Jacobs’s ladder or the stern gate.

Senior Small Craft Operator 10.2

The Senior Small Watercraft operator shall possess the qualifications listed above for small watercraft operators and possess the following additional qualifications:

a. Experience training/instructing others in boat operation and maintenance.

b. Experience developing and maintaining a comprehensive boat preventive maintenance program.

c. Leadership experience managing personnel and coordinating multi-craft operations.

d. Administrative skills for the purpose of providing: Boat status reports, personnel availability reports, lessons learned following major test events, and any recommendations to improve daily boat operational and rescue procedures.

e. Proficient at planning and conducting maritime operations and understand military communications.

Key personnel shall not be substituted without the permission of the Contracting Officer. During the term of the contract performance, no personnel substitutions will be permitted unless such substitutions are necessitated by an individual’s sudden illness, death, or termination of employment. Request for approval of substitutions shall be made in writing with a detailed explanation of the circumstances along with a resume of the proposed individual. Proposed substitutions shall, at a minimum, have the equivalent qualifications of the person being replaced.

11 TRAVEL REQUIREMENTS

There is no travel anticipated for the Base Year, however, the contractor may be required to travel to the locations listed below in support of this PWS when notified by the COR for each option year. If additional travel is required, the contract will be so modified by the Contracting

Officer. Authorized travel shall be in accordance with DoD Joint Travel Regulations. Actual travel required will vary depending on the Test requirements and schedules as they evolve throughout the period of performance.

12 INVOICING

The contractor shall submit an electronic-copy of an invoice and any necessary supporting documentation not more often than once a month via Wide Area Workflow (WAWF).

The contractor shall be required to implement the DFARS process to submit an electronic payment request. To implement DFARS 252.232-7003, “Electronic Submission of Payment

Requests (March 2008),” the United States Marine Corps (USMC) utilizes WAWF-RA to electronically process vendor requests for payment. This process allows DoD vendors to submit and track Invoices and Receipt/Acceptance documents electronically. The contractor shall be required to utilize this system when processing invoices and receiving reports. The contractor shall (i) ensure an Electronic Business Point of Contact is designated in Central Contractor

Registration at http://www.ccr.gov and (ii) register to use WAWF-RA at the https://wawf.eb.mil site, within ten (10) calendar days after award of this contract or modification. Step by step procedures to register are available at the https://wawf.eb.mil site.

13 ADMINISTRATIVE AUTHORITY

Contracting Officer 13.1

Only the Contracting Officer has the authority to authorize deviations from the terms and conditions of this contract, including deviations from the specifications and requirements stated herein. In the event the contractor does deviate, without the issuance of a duly executed contract modification, such deviation shall be at the risk of and any costs related thereto, shall be borne by the contractor.

Contracting Officer Representative (COR) 13.2

The COR is limited to providing program specific clarification to the contractor's Task Leader for this contract, and does not have the authority to take any action, either directly or indirectly, that would change the pricing, quality, place-of-performance, delivery schedule, or any other terms and conditions of this contract or to direct work that goes beyond the scope of this contract’s PWS. If the contractor perceives that the COR or any other Government personnel is requesting an effort outside the existing scope of this contract, the contractor shall promptly notify the Contracting Officer in writing. No action shall be taken by the contractor under such direction until the Contracting Officer has issued a contractual change or otherwise resolved the issue. The Contracting Officer’s Representative will be appointed at the time of contract award.

The Government reserves the right to reassign the COR position.

14 ORGANIZATIONAL CONFLICT OF INTEREST

(a) “Organizational Conflict of Interest” means that because of other activities or relationships with other persons, a person is unable or potentially unable to render impartial assistance or advice to the Government, or the person’s objectivity in performing the contract work is or might be otherwise impaired, or a person has an unfair competitive advantage. “Person” as used herein includes Corporations, Partnerships, Joint Ventures, and other business enterprises.

(b) The contractor warrants that to the best of its knowledge and belief, and except as otherwise set forth in the contract, the contractor does not have any organizational conflict of interest(s) as defined in paragraph (a).

(c) It is recognized that the effort to be performed by the contractor under this contract may create a potential organizational conflict of interest on the instant contract or on a future acquisition. In order to avoid this potential conflict of interest, and at the same time to avoid prejudicing the best interest of the Government, the right of the contractor to participate in future procurement of equipment and/or services that are the subject of any work under this contract shall be limited as described below in accordance with the requirements of FAR 9.5.

(d) (1) The contractor agrees that it shall not release, disclose, or use in any way that would permit or result in disclosure to any party outside the Government any proprietary information provided to the contractor by the Government during or as a result of performance of this contract. Such information includes, but is not limited to, information submitted to the

Government on a confidential basis by other persons. Further, the prohibition against release of

Government provided information extends to cover such information whether or not in its original form, e.g. where the information has been included in contractor generated work or where it is discernible from materials incorporating or based upon such information. This prohibition shall not expire after a given period of time.

(d) (2) The contractor agrees that it shall not release, disclose, or use in any way that would permit or result in disclosure to any party outside the Government any information generated or derived during or as a result of performance of this contract. This prohibition shall expire after a period of one year after completion of performance on this contract.

(d) (3) The prohibitions contained in subparagraphs (d)(1) and (d)(2) shall apply with equal force to any affiliate of the contractor, any subcontractor, consultant, or employee of the contractor, any joint venture involving the contractor, any entity into or with which it may merge or affiliate, or any successor or assign of the contractor. The terms of paragraph (f) of this

Special Contract Requirement relating to notification shall apply to any release of information in contravention of this paragraph (d).

(e) The contractor further agrees that, during the performance of this contract and for a period of one year after completion of performance of this contract, the contractor, any affiliate of the contractor, any subcontractor, officers of the company participating in the contract, any joint venture involving the contractor, any entity into or with which it may subsequently merge or affiliate, or any other successor or assign of the contractor, shall not furnish to the United States

Government, either as a prime contractor or as a subcontractor, or as a consultant to a prime contractor or subcontractor, any system, component or services which is the subject of the work to be performed under this contract. This exclusion does not apply to any re-competition for those systems, components or services furnished pursuant to this contract. As provide in FAR

9.505-2, if the Government procures the system, component, or services on the basis of work statements growing out of the effort performed under this contract, from a source other than the contractor, subcontractor, affiliate, or assign of either, during the course of performance of this contract or before the one year period following completion of this contract has lapsed, the contractor may, with the authorization of the cognizant Contracting Officer, participate in a subsequent procurement for the same system, component, or service. In other words, the contractor may be authorized to compete for procurement(s) for systems, components or services subsequent to an intervening procurement.

(f) The contractor agrees that, if after award, it discovers an actual or potential organizational conflict of interest; it shall make immediate and full disclosure in writing to the Contracting

Officer. The notification shall include a description of the actual or potential organizational conflict of interest, a description of the action, which the contractor has taken or proposes to take to avoid, mitigate, or neutralize the conflict, and any other relevant information that would assist the Contracting Officer in making a determination on this matter. Notwithstanding this notification, the Government may terminate the contract for the convenience of the Government if determined to be in the best interest of the Government.

(g) Notwithstanding paragraph (f) above, if the contractor was aware, or should have been aware, of an organizational conflict of interest prior to the award of this contract or becomes, or should become, aware of an organizational conflict of interest after ward of this contract and does not make an immediate and full disclosure in writing to the Contracting Officer, the

Government may terminate this contract for default.

(h) If the contractor takes any action prohibited by this requirement or fails to take action required by this requirement, the Government may terminate this contract for default.

(i) The Contracting Officer’s decision as to the existence or nonexistence of an actual or potential organizational conflict of interest shall be final and is not subject to the clause of this contract entitled “DISPUTES” (FAR 52.233-1).

(j) Nothing in this requirement is intended to prohibit or preclude the contractor form marketing or selling to the United States Government its product lines in existence on the effective date of this contract; nor, shall this requirement preclude the contractor from participating in research and development or delivering any design development model or prototype of any such equipment. Additionally, sale of catalog or standard commercial items are exempt from this requirement.

(k) The contractor shall promptly notify the Contracting Officer, in writing, if it has been tasked to evaluate or advise the Government concerning its own products or activities or those of a competitor in order to ensure proper safeguards exist to guarantee objectivity and to protect the

Government’s interest.

(l) The contractor shall include this requirement in subcontracts of any tier, which involve access to information, or situations/conditions covered by the preceding paragraphs, substituting

“subcontractor” for “contractor” where appropriate.

(m) The rights and remedies described herein shall not be exclusive and are in addition to other rights and remedies provided by law or elsewhere included in this contract.

(n) Compliance with this requirement is a material requirement of this contract.
