52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The
Government intends to award a single award contract. The award will be made on the basis of the Best Value quote.
The Government intends to evaluate quote and awards without discussions. Best Value is defined as follows:
i. Technical Capability: Technical Capability of the items offered must meet the Government requirement as reflected in the PWS of this RFQ in accordance with the following subfactors. The combination of the ratings of below subfactors shall result in an overall Technical Capability rating of
“Acceptable” or “Unacceptable.”
1) Subfactor 1: Technical Acceptability. Supplies and services provided in the offeror’s quotations shall be clearly defined and meet or exceed all specifications that are requested in this RFQ. If any items are missing, are unclearly quoted, or do not meet specifications in this
RFQ, then this Subfactor shall be rated “Unacceptable.”
2) Subfactor 2: Delivery. The required delivery date of the Subscriber Identifier Module (SIM)
Cards to and in the possession of the TPOC shall be no later than 1 April 2021 and service plans shall start no later than 1 April 2021. A delivery date and service plan start beyond 1
April 2021 shall receive an “Unacceptable” rating.
3) Subfactor 3: Business Origin. Services in accordance with the PWS shall require offeror’s employees to enter PSAB, KSA for performance. Per Host Nation (KSA) guidelines, business entities and employees from the following origins are not permitted onto PSAB and shall not be awarded the follow on contract: Iraq, Syria, Yemen, Turkey, Iran, Lebanon, and
Bengal region. See paragraph 2.3.1 of the PWS.
The offeror must be deemed “Acceptable” in all three Subfactors in order to receive an
“Acceptable” for Technical Capability. An “Unacceptable” in any Subfactor will deem the offeror’s quote as “Unacceptable” for Technical Capability. For example, the offeror is deemed
“Acceptable” for Subfactors 1 and 3 but is deemed “Unacceptable” for Subfactor 2, then the
Technical Capability is rated as “Unacceptable.”
ii. Price: Price shall be evaluated based on the lowest offered price meeting or exceeding the Technical
Capability. Offerors shall be ranked in order of the lowest price to highest price. The lowest price offeror shall be evaluated first; if that offeror is deemed Technically Acceptable, then no other offers will be evaluated. If all offers are found to be with a Technical Capability of “Unacceptable,” then the evaluator will re-evaluate offers with Technical Capability Subfactors 1 and 3. All offered pricing shall be in USD, with a maximum of two (2) decimal points.
iii. Past Performance: Per DFARS 213.206(2)(b)(i), an evaluation of each offeror’s past performance history in the Supplier Performance Risk System (SPRS), for the FSC and PSC of the supplies being purchased, is required in the case of competitive procurements for supplies using SAP. In the case of an offeror without a record of relevant past performance history in SPRS for the FSC and PSC of the supplies being purchased, the offeror may not be evaluated favorably or unfavorably for its past performance history.
Technical and past performance, when combined, are of the same importance when compared to price.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options sh all not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

PERFORMANCE WORK STATEMENT
MOBILE PHONES SERVICES AT PRINCE SULTAN AIR BASE
SECTION I
1.0 DESCRIPTION OF SERVICES
1.1 Scope. The contractor shall provide all personnel, equipment, tools, materials, vehicles, supervision, and other items necessary to provide Subscriber Identification Module (SIM) cards with cellular service for U.S. Government personnel in the Kingdom of Saudi Arabia (KSA) and internationally in accordance with the requirements outlined in this Performance Work Statement (PWS). The commercial cellular service shall include voice calling, messaging, data services and customer support. The commercial cellular service shall provide complete coverage inside and outside of buildings located in KSA, especially on Prince Sultan Air Base (PSAB). The contractor shall perform to the standards in the Performance Work Statement (PWS) as well as all local, and federal regulations.
1.2 Government Point of Contact. The following individuals shall be the sole points of contact between the government and the contractor. Only the Contracting Officer (KO) has the authority to obligate the government on any contractual matters.

1.3 Description of Services.
1.3.1 Subscriber Identifer Module (SIM) Cards. SIM Cards available for usage on any mobile device.
1.3.2 Tier One. The Contractor shall provide prepaid SIM cards with service and a minimum per month of 1,000 local voice minutes per SIM card, 25 GB of 4G data service per SIM card, unlimited local send and receive texting, and 100 international voice minutes per SIM card.
1.3.3 Tier Two. The Contractor shall provide prepaid SIM cards with service and a minimum per month of 1,000 local voice minutes per SIM card, unlimited local send and receive texting, and 100 international voice minutes per
SIM card.
1.3.4 International Surge Minutes. 1500 international dialing minutes per month, able to be added in increments of
100 minutes at any time to a Tier 1 and Tier 2 service plan for the remainder of the billing period (month)
**NOTE** This CLIN is not an automatic accrual of charges . It will only be used in the event of an overage of Tier
1 and Tier 2’s prepaid SIMS cards. Cost under this services requires billing provided to the KO or the TPOC.
SECTION II
2.0 TASK DESCRIPTIONS
The Contractor shall provide SIM cards with cellular service to PSAB (Prince Sultan Air Base), KSA (Kingdom of
Saudi Arabia). The mobile cell phone service provided will include local voice minutes, 4G data service, and unlimited local send and receive texting capabilities per month of service, as well as additional options for international minutes. Contractor shall also provide international calling for select phones. The mobile telephone service provider shall provide technical support with qualified personnel who are able to provide onsite hardware and software support 24 hours day, 365 days a year. Support personnel must be fluent in English to include technical jargon associated with the service. The Contractor shall have three (3) calendar days to resolve any significant issues, unless otherwise coordinated with the KO. The Contractor shall also provide an industry standard trouble tracking system at no further cost to the Government. Already existing internal tracking systems may be used. Records shall be kept in English to help facilitate trouble resolution. The Contractor shall provide an electronic copy of all trouble calls at the time they are opened and when updated, via email to the SPMAGTF Helpdesk, SPMAGTF_CR_CC_HELPDESK@me.usmc.mil. SPMAGTF personnel shall have access to the trouble tickets, via a vendor provided secure web interface.
2.1 All deliverable documents shall be in English. An English speaking person shall be provided during visits, meetings, reviews, audits and other similar activities to facilitate communications and ensure mutual understanding.
The Contractor is required to take notes and provide meeting minutes to the KO within five (5) business days.
2.2 The commercial cellular service shall provide complete coverage inside and outside buildings located in the
Kingdom of Saudi Arabia and internationally. If additional antenna towers are required on PSAB, they must be provided and installed by the Contractor at no additional cost to the U.S. Government. In the event that an antenna(s) are required, it will be installed and 100% operational no later than 30 calendar days from notification by the KO to the contractor.
2.3 The Contractor shall respond to emergency repair calls to all applicable equipment and hardware within 24 hours of notification. The Contractor shall provide a dedicated service call number for this purpose. The Contractor shall have a minimum of two technicians who have valid base access and red badge to enter PSAB for emergency and scheduled repairs as required. The Contractor shall submit an application for passes to PSAB within 10 days of award of the contract.
2.3.1 Per Host Nation (KSA) guidelines, the following business entities and employees are not permitted to enter or receive passes onto PSAB: Iraq, Syria, Yemen, Turkey, Iran, Lebanon, and Bengal region. Employees of the above origins tasked to perform services in accordance with this PWS shall not be authorized access onto PSAB. It is the
Contractor’s responsibility to ensure employees of the above origins are not performing or entering PSAB for performance. Any delays to the contract caused from PSAB access denial due to failure to adhere to the above origins shall be the liability of the Contractor.
2.4 In the event that the Contractor's installed equipment interferes with the base's/camp's communication system, SPMAGTF will provide the Contractor with justification through technical data of the suspected interference being caused by the Contractor's equipment. The Contractor shall then turn off their system within 2 hours of this notification. Additionally, if the base has a need to use the tower real estate, the Contractor shall be required to remove or relocate the equipment within 14 days of notification. If the Contractor does not remove or move the equipment as directed, SPMAGTF may remove the equipment and will not be responsible for damages incurred during the removal.
2.5 Contractor personnel shall be locally certified to perform work as necessary. The Government shall be held harmless for any accidents or injuries incurred by Contractor personnel working on the Government installation.
2.6 The Contractor shall follow existing security procedures and instructions applicable to PSAB. The Contractor shall be responsible for the physical security of all materials, supplies and equipment, including property that is being utilized. The Contractor shall be responsible for obtaining all vehicle and personnel passes authorizing entry to
PSAB. The Contractor will work with the appointed Technical Point of Contact (TPOC) to obtain all entry authorizations required for performance in accordance with this Performance Work Statement. Vehicles, materials and personnel are subject to search prior to entering PSAB.
2.7 Normal work hours at PSAB are from 7:30am to 5:00 pm, 7 days a week, including holidays. Access to work sites may be restricted to these hours and days. The KO must approve work during hours outside of the above mentioned normal work hours. Requests must be submitted in writing 72 hours in advance and shall include proposed work hours, number of employees requiring access to the installation and outline specific work to be performed. The 72 hours advance notification is not needed in response to emergency repair calls.
2.8 The Government shall provide all electric power and grounding services to Contractor provided equipment and shelter structures. Any required power and/or grounding services will be coordinated with SPMAGTF.
2.9 The Contractor shall provide all antennas, cabling, labor, tools and other equipment required for fulfillment of the contract.
2.10 The service provider shall have technically qualified personnel ready to provide customer support 24 hours a day, 365 days a year. This support shall include network operations and security issues. The Contractor shall provide the ability to remotely "suspend" phones and other wireless devices/cellular phones in the event of theft or loss.
Once a wireless device/cellular phone is reported lost or stolen to the Contractor, the U.S. Government will not incur additional charges for service to that cellular phone. Support personnel must be able to address any concern within
24 hours of notification and be fluent in English to include technical jargon associated with cellular services.
2.11 The service provider shall ensure that the connection through its network is of the highest quality possible
(clear and with no static) and shall have minimal interruptions. Provider must also ensure the maximum possible coverage throughout the Kingdom of Saudi Arabia (especially on PSAB) and internationally.
2.12 The Contractor shall prohibit and block ‘Fun Text’. All phone numbers in the calling group will be prohibit/blocked from selectable 'Fun Text' third party services. ‘Fun Text’ services are defined as: ring tones, music, news/sports services, or other entertainment or informational services. The Government or the cell phone user will not be held accountable nor will they pay any charges, fees or rates for ‘Fun Text’. If the contractor or his authorized service provider allows these services, they bear the full responsibility for all costs associated with any of these ‘Fun Text’ services and cannot charge the US Government or the cell phone user.
2.13 The service provider will have a mass notification system to all users. Provide SPMAGTF the capability to notify all users on the account through SMS (i.e. Mass text message to cellular phones and other devices on the account) of local conditions, when entering a roaming area and other notifications as necessary.
2.14 The Contractor is required to provide basic security for all network services, network management, information systems and databases to support those network services. Such basic security shall include protecting all network services, information, Contractor infrastructure and information processing resources against threats, attacks and/or failures of systems
2.15 The Contractor shall report any breach, or incident reasonably believed to have been a breach, which may have exposed U.S. Government data to the SPMAGTF Help desk at SPMAGTF_CR_CC_HELPDESK@me.usmc.mil .
Reasonable belief that a breach has occurred arises when: someone has received unauthorized access to data
(including, but not limited to: non-public mail/email to an unauthorized person, incorrect network access settings which are reasonably believed to have resulted in intrusion, inadvertent posting of information in electronic format or other non-hacking incidents); data acquisition has occurred (including, but not limited to, lost or stolen electronic equipment including PDAs, laptops, desktop computers, storage media); hacking (to be defined as a successful intrusion of computer systems via the network where it is indicated that U.S. Government data may have been downloaded, copied or otherwise accessed); any other unauthorized/inappropriate access of U.S. Government data stored by the Contractor in any form; or access to the network, which could create a denial or degradation of service of Department of Defense (DoD) capabilities (e.g., spam or traffic overload).
2.16 The Government desires all of the products and cellular services provided under this agreement to remain up-to-date with commercial equivalents. Accordingly, the Government expects that the cellular services and solutions available shall be increased, enhanced, and upgraded as these improvements become available to commercial customers. If this results in increase of costs, the contractor shall inform the KO prior to any upgrades.
2.17 The Contractor shall provide upgrades to its commercial support systems, including, but not limited to, systems for billing and invoicing, service ordering and tracking, trouble and complaint handling and spend management and administrative reporting at no additional cost to the Government as these upgrades become available to commercial customers.
2.18 COVERAGE: The commercial cellular service shall provide complete 4G coverage inside and outside of buildings within the Kingdom of Saudi Arabia and especially on PSAB.
2.19 OVERAGES: If a cell phone user exceeds their 4G data limit, international minutes limit, local minutes limit, or SMS Messaging limit, additional charges will not be applied to the government but the service for that month will not be available for that user. The KO or its representative will inform the Contractor if additional international minutes is needed for the month, in accordance with paragraph 1.3.3.
2.20 SIM CARD REPAIR/REPLACEMENT: The Contractor will replace/repair broken or unserviceable SIM cards if determined to be defective by the U.S. Government. The Contractor will be notified within 72 hours of operator use in any event of a defective SIM card. They will be replaced at no cost to the government.
2.21 SIM CARD COMPATIBLITY: Must be compatible with all devices/cellular phones regardless of vendor.
2.22 SIM CARD DELIVERY: Replacement SIM cards shall be delivered to the installation within 14 calendar days of the KO’s request for serviced devices. The KO reserves the right to pick up SIM cards from the Contractor. All
SIM cards shall be the property of the US Government upon delivery.
2.23 INTERNATIONAL MINUTES: International minutes are defined as voice minutes capable of being used to call outside of the Contractor's local network.
CLIN STRUCTURE
CLIN Performance Objectives
1. SIM Cards – 100 SIM cards available for usage on any mobile devices – paragraph 1.3.1.
2. Tier 1 - 55 prepaid SIM cards with service and a minimum per month of 1,000 local voice minutes, 25 GB of 4G data service, unlimited local send and receive texting, and 100 international voice minutes – paragraph 1.3.2.
3. Tier 2 - 45 prepaid SIM cards with service and a minimum per month of 1,000 local voice minutes, and unlimited local send and receive texting, and 100 international voice minutes – paragraph 1.3.3.
4. International Surge Charges – 1,500 international dialing minutes per month, able to be added in increments of
100 minutes at any time for the remainder of the billing period – paragraph 1.3.4.
SECTION III
3.0 SERVICE SUMMARY (SS)
3.1. The Contractor service requirements are summarized into performance objectives that relate directly to mission essential items. The performance threshold briefly describes the minimum acceptable levels of service required for each requirement and will be assessed on an "Acceptable" or "Unacceptable" basis. These thresholds are critical to mission success.
3.1.2. This lists performance objectives for the required services the Government will surveil. The absence of any contract requirement from the SS shall not detract from its enforceability nor limit the rights or remedies of the
Government under any other provision of the contract including the clauses entitled "Inspection of Services" or
"Inspection" or "Default" in Section E and Section I of the contract.
3.1.3. Components. The SS states the performance objective (required service), and threshold [performance standard, accept, and reject points (if applicable)] in either a qualitative or quantitative fashion for each critical success factor.
3.1.4. Right to Surveil. The Government reserves the right to surveil all services and requirements called for in this
PWS IAW FAR Part 52.246-4 to determine whether the Contractor is meeting performance objectives and goals.
Note: The government reserves the right to inspect or test services that have been tendered for acceptance. The government may require performance of any non-conforming services at no increase in contract price. If performance will not correct the performance issue or is not possible, the government may seek an equitable price reduction or contractual processes will begin to terminate the contract.

All minute/data/text requirements will be provided on a monthly basis on the first day of each monthly billing cycle.
After GB data limits have been met, 4G service will no longer be user guaranteed. Overage limits will be controlled by service provider; contract holder and/or user will be notified before data limits are reached.
SECTION IV
5.0 KEY PERSONNEL/QUALIFICATIONS
5.1 Base Access. If Contractor work is required on PSAB to provide this service, Contractor will be able to procure base access for their technicians.
SECTION V
6.0 GOVERNMENT FURNISHED PROPERTY OR SERVICES
6.1 Phones. The government will be provided phones for this, the Contractor will not be required to provide any phones.
6.2 Loss or Damage. If a SIM card is lost or damaged, the Contractor shall replace the SIM card in accordance with sections 2.22 and 2.24.
SECTION VI
7.0 SECURITY
7.1. Physical Security. The Contractor shall safeguard all Government property, documents and controlled forms provided for Contractor use and adhere to the Government property requirements contained in this contract. At the end of each work day, all Government facilities, equipment and materials shall be secured.
7.1.2. Pass and Identification Items. It should be noted to the Contractor that access to PSAB is strictly controlled.
Furthermore, all access must be coordinated well in advance of any visit and conducted in accordance with the
Royal Saudi Air Force (RSAF) authorities and the 378th Air Expeditionary Wing base access policies. The
Contactor shall be responsible for obtaining authorization and access to PSAB and must coordinate directly with the
RSAF.
The Contractor shall follow existing security procedures and instructions applicable to PSAB, Kingdom of Saudi
Arabia. The Contractor shall submit the driver and employee documentation to the KO to include front and back of the driver's license and resident cards. The Government shall not be liable for delays caused by inaccessibility through the gates of PSAB.
7.1.3. Retrieving Identification Media. The Contractor shall retrieve all identification media, including vehicle passes, from employees who depart for any reason before and/or when the contract expires, e.g., terminated for cause, retirement, etc.
7.1.4. Traffic Laws. The Contractor and its employees shall comply with base traffic regulations.
7.1.5. Weapons, Firearms, and Ammunition. Contractor employees are prohibited from possessing weapons, firearms, or ammunition, on themselves or within their Contractor-owned vehicle or privately-owned vehicle while on any Government installation or any other military facility.
7.1.6. Reporting Requirements: Contractor and its employees shall report to an appropriate authority (i.e., KO, TPOC) any information or circumstances which they are aware of that may pose a threat to the security of DoD personnel, Contractor personnel, resources and classified or unclassified defense information. Contractor employees shall be briefed by their company's immediate supervisor upon initial on-base assignment.
7.1.7. Contractor Employees. The Contractor shall not employ persons for work on this contract if such employee is identified to the Contractor by the TPOC as a potential threat to the health, safety, security, general well-being or operational mission of the installation and its population. Contractor personnel shall present a neat appearance and be easily recognized as Contractor employees. Identification shall be worn or attached to outer garments at all times.
The Contractor shall provide the TPOC a list of personnel working under this PWS five (5) calendar days after contract award date and updated as changes occur or upon request by the contracting officer.
SECTION VII
8.0 GENERAL INFORMATION
8.1 QUALITY CONTROL: The Contractor shall provide commercial quality control program to ensure services are performed in accordance with this PWS. The Contractor shall develop and implement procedures to identify and prevent defective services from recurring. As a minimum, the Contractor shall develop quality control procedures that address the areas identified in Sections 1 and 2. The Contractor shall appoint a quality control inspector for the government evaluator to notify in case of unacceptable performance.
8.2 QUALITY ASSURANCE: The government will evaluate the Contractor's performance periodically in accordance with this performance work statement.
8.3 CONTRACTOR POINT OF CONTACT: The Contractor shall provide, in writing, the name and phone number of a point of contact, available 24-hours a day, 7-days a week to respond to the requirement.
8.4 GOVERNMENT REMEDIES: In the event of unacceptable performance, the Government may require the
Contractor to correct the unacceptable service at no cost to the Government until it is acceptable.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (MAR 2020)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision --
“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
"Forced or indentured child labor" means all work or service-
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
“Inverted domestic corporation” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except--
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and
(10) PSC 9630, Additive Metal Materials.
“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.
“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
“Sensitive technology”--
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act
(50 U.S.C. 1702(b)(3)).
“Service-disabled veteran-owned small business concern”--
(1) Means a small business concern--
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
“Small disadvantaged business concern”, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and
(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.
“Subsidiary” means an entity in which more than 50 percent of the entity is owned--
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term
“successor” does not include new offices/divisions of the same company or a company that only changes its name.
The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.
“Veteran-owned small business concern” means a small business concern--
(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.
"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
“Women-owned small business concern” means a small business concern--
(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least
51 percent of its stock is owned by one or more women; or
(2) Whose management and daily business operations are controlled by one or more women.
