Question:
Could you kindly clarify the description and the quantity of:
2001 Option - X-ray Maintenance & Support:
a. Is the quantity definition in years? I/E each Clin is asking for a price for an additional year of
Service?
Answer: Yes, a subscription to be provided for a year or completed within that period of performance.
2002 Option - X-ray Screener Training
a. Is this for an optional day’s worth of training
b. If so, when would be the anticipated time of training
i. Same as install or later date with separate travel
Answer: Yes – within that period of performance. Will add that the using organization will provide the training date request at least 30 days prior to the requested date.
2003 Option - X-ray Screener Support Subscription
a. Please define what a Support Subscription consists of?
i. Phone support for technical issues?
ii. Phone support for training issues?
b. Is the subscription quantity of 1 for a year? Or month?
Answer: This requirement is outlined in the salient characteristics – it is for expert technician (bomb experts) support for interpretation of images.
Question:
Please clarify anticipated delivery date. X-Ray manufacturers have a standard 12-14 week wait on new unit orders.
Shipping and installation may require an additional 2-3 weeks to Hawaii. Will these factors be taken into consideration for the POP Start Date and subsequent option periods?
Answer:
Yes the dates will be revised based on the quoted delivery of the equipment and final acceptance of the installation.
Question:
Please specify maintenance timeline requirements. In the event of a breakdown, parts may need to be ordered from the OEM and delivered to Hawaii, and a technician will be required to travel to the place of performance to install.
Our typical Priority-On Site Maintenance service provides a response within 24 hours, however resolution times may vary depending on part availability. Will shipping and travel time be allotted for under this contract?
Answer:
The timeline will be revised to state a normal repair time of 2-7 business days unless coordinated with the using organization and Contracting Officer.
Question:
Travel costs for instructors was not outlined in the request for quote by line item. Will submitting a firm fixed price for training that includes travel be acceptable, or will travel costs be captured under another mechanism?
Answer:
Training is conducted 1x per year and therefore it is reasonable for a company to estimate the costs for a FFP CLIN. This CLIN will remain a FFP CLIN, however, I will add that the using organization will provide the training date request at least 30 days prior to the requested date.
NOTE: Any required changes as mentioned above and extended descriptions will be corrected in Amendment 0001.
AMENDMENT 0002 QUESTIONS & ANSWERS
Question:
SF 1449, Block 28, indicates that we are to return two copies of the SF1449 with our bid. Please clarify this for the electronic submission. Do you wish for vendors to mail these separately?
Answer:
No, just one copy is required to be submitted in response to the solicitaiton via electronic means.
Question:
SF 1449, Block 8 requires bids by Tuesday, 18-Sep-18 at noon. Because CLIN 0001AB involves complex and outsourced technology, we respectfully ask that the Government consider a modest extension to Friday, 21Sep18, 05:00 PM.
Answer:
An extension to 12:00 p.m. Hawaii Time 19 September 2018 is applied.
Question:
Addendum to FAR 52.212-1, #2(b) indicates that vendors are to “complete only paragraph (j) of FAR 52.212-3 Offeror Representations and Certifications – Commercial Items, Alternate I if the offeror has completed the annual representations and certifications electronically at https://www.sam.gov.” However, FAR 52.212-3 on page 14 of 33 indicates paragraph (b). Please clarify this requirement.
Answer:
The references in the Addendum to 52.212-1 have been corrected. FAR clause 52.212-3 Offeror Representations and Certifications – Commercial Items has been removed and replaced with 52.212-3 Offeror Representations and Certifications – Commercial Items Alt I.

SALIENT CHARACTERISTICS
Minimum Salient Characteristics for X-Ray machine:
Marine Corps Base Hawaii Military Post Office has a requirement for one (1) X-Ray machine to be used to detect explosive threats to the Installation. Vendor submission shall meet the following minimum specifications.
The system shall be brand name or equal to the Smiths Detection 6040ds or 6040i X-Ray Screening System. The minimum specification includes the following features:
- Must fit within a 17’L x 10’W (17 Feet long by 10 Feet wide) footprint area

Installation All equipment shall be installed on-site in accordance with industry and manufacturer requirements/standards to include operational and calibration procedures.
X-Ray Maintenance Support Provide industry standard on-site maintenance for the machine being quoted, all terms and conditions shall be provided with the quote. Minimum requirement is on-site support with replacement of normal wear & tear parts within 2-7 business days unless coordinated with the using organization and the Contracting Officer; minimum 1 annual preventive maintenance check to inclued operational and calibration procedures.
X-Ray Screener Training Provide industry standard training a minimum of 1x per year.
May be provided on-site or via video teleconference. Training, at a minimum, shall include basic x-ray interpretation (image analysis) and explosives recognition/IED awareness. The using organization will request a training date at least 30 days prior to the requested date.
SmartTech X-Ray Screener Support Subscription (or equal) Provide access to live expert/professional bomb technician(s) for consultation and/or review of suspicious imaging. The expert bomb technicial shall be able to answer the phone upon placement of a telephone call without leaving a message or being put on hold longer than an average of 90 seconds.
NOTE: Deliver dates and Periods of Performance will be modified/adjusted as appropriate based on the submitted delivery, installation and initial trianing time quoted.

1. Vendors shall submit only one (1) quote in response to this solicitation. Therefore, the Vendor’s submission should demonstrate the optimal capability in response to the requirements. Quotes for the services to be provided shall be electronically submitted by e-mail and received at the following location by 12:00 PM HAWAII STANDARD TIME (HST), 19 September 2018:

For quotes sent electronically (E-mail), vendors are advised that they are responsible to ensure that their submissions are received by the date and time specified. Vendors should verify that their proposals are received prior to the date and time specified.
All questions should be submitted, in writing via e-mail, to Jennifer George at jennifer.george@usmc.mil by 12:00 PM Hawaii Standard Time, 14 September 2018. The Government does not anticipate extending the due date for receipt of quotes, therefore, review the RFQ and these instructions thoroughly so all of your concerns/questions can be addressed.
2. Offerors shall submit the following with their proposal:
(a) RFQ – M00318-18-Q-0027. A completed and signed copy of the solicitation indicating agreement to the provisions and clauses therein. All CLINs and SubCLINs shall be filled out with unit and extended prices.
(b) A completed Offeror Representations and Certifications (52.212-3), An offeror shall complete only paragraph (b) of FAR 52.212-3 Offeror Representations and Certifications – Commercial Items Alt I if the offeror has completed the annual representations and certifications electronically at https://www.sam.gov. If an offeror has not completed the annual representations and certificates electronically at the System for Award Management (SAM) website, the offeror shall complete only paragraphs (c) through (u) of this provision.
(c) A completed FAR clauses 52.209-2 Prohibition on Contracting with inverted Domestic Corporations—Representations and FAR clause 52.209-11 Representation by Corporations Regarding Delinquent Tax Liability or a Felony Conviction Under any Federal Law.

52.209-2 PROHIBITION ON CONTRACTING WITH INVERTED DOMESTIC CORPORATIONS--
REPRESENTATION (NOV 2015)
(a) Definitions. Inverted domestic corporation and subsidiary have the meaning given in the clause of this contract entitled Prohibition on Contracting with Inverted Domestic Corporations (52.209-10).
(b) Government agencies are not permitted to use appropriated (or otherwise made available) funds for contracts with either an inverted domestic corporation, or a subsidiary of an inverted domestic corporation, unless the exception at 9.108-2(b) applies or the requirement is waived in accordance with the procedures at 9.108-4.
(c) Representation. The Offeror represents that--

52.209-10 Prohibition on Contracting With Inverted Domestic Corporations. (NOV 2015)
(a) Definitions. As used in this clause--
Inverted domestic corporation means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
Subsidiary means an entity in which more than 50 percent of the entity is owned--
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
(b) If the contractor reorganizes as an inverted domestic corporation or becomes a subsidiary of an inverted domestic corporation at any time during the period of performance of this contract, the Government may be prohibited from paying for Contractor activities performed after the date when it becomes an inverted domestic corporation or subsidiary. The Government may seek any available remedies in the event the Contractor fails to perform in accordance with the terms and conditions of the contract as a result of Government action under this clause.
(c) Exceptions to this prohibition are located at 9.108-2.
(d) In the event the Contractor becomes either an inverted domestic corporation, or a subsidiary of an inverted domestic corporation during contract performance, the Contractor shall give written notice to the Contracting Officer within five business days from the date of the inversion event.

52.209-12 CERTIFICATION REGARDING TAX MATTERS (FEB 2016)
(a) This provision implements section 523 of Division B of the Consolidated and Further Continuing Appropriations Act, 2015 (Pub. L. 113-235), and similar provisions, if contained in subsequent appropriations acts.
(b) If the Offeror is proposing a total contract price that will exceed $5,000,000 (including options), the Offeror shall certify that, to the best of its knowledge and belief, it--
(1) Has [ ] filed all Federal tax returns required during the three years preceding the certification;
(2) Has not [ ] been convicted of a criminal offense under the Internal Revenue Code of 1986; and
(3) Has not [ ], more than 90 days prior to certification, been notified of any unpaid Federal tax assessment for which the liability remains unsatisfied, unless the assessment is the subject of an installment agreement or offer in compromise that has been approved by the Internal Revenue Service and is not in default, or the assessment is the subject of a non-frivolous administrative or judicial proceeding.
52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible vendor whose quote conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
1. Technical
2. Price
Technical: Items submitted by the vendor shall be in compliance with the brand name or equal salient characteristics. All vendors in compliance will be evaluated for price.
Price: The offeror’s price submission to include options will be evaluated.
Vendors prices will be evaluated on an all or none basis. Vendors shall provide pricing for all CLINs/SubCLINs as outlined in the schedule. Failure to provide pricing for a CLIN and/or SubCLINs may constitute rejection and the quote will no longer be considered for evaluation.
Options. The Government will evaluate offers for award purposes by adding the total cost for all options to the total cost for the basic requirement. The Government may determine that an offer is unacceptable if the option costs are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
The vendor with acceptable technical items and the lowest overall price will receive the award.
In order to determine a vendor responsible the government will review the Supplier Performance Risk System (SPRS) for the apparent awardee.
Technical is approximately equal to price.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (AUG 2018)
ALTERNATE I (OCT 2014)
The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site located at https://www.sam.gov/portal . If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u) of this provision.
(a) Definitions. As used in this provision--
“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
“Forced or indentured child labor” means all work or service—
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and https://www.sam.gov/portal
(10) PSC 9630, Additive Metal Materials.
“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
“Sensitive technology”—
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
“Service-disabled veteran-owned small business concern”—
(1) Means a small business concern—
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and
(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.
“Subsidiary” means an entity in which more than 50 percent of the entity is owned—
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
“Veteran-owned small business concern” means a small business concern—
(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.
“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
“Women-owned small business concern” means a small business concern --
(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and
(2) Whose management and daily business operations are controlled by one or more women.
“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127),” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.
