2. Nature and/or Description of the Action Being Processed:
This proposed sole source action is for an urgent requirement for three (3) Tablo Helodialysis Systems, with the treatment package and XT software upgrade. The Iowa City VA Health Care System, Dialysis Service Line (090), has identified an urgent requirement for delivery as soon as possible in support of treatment of Veterans with COVID-19 infection.
3. Description of Supplies/Services Required to Meet the Agency’s Needs:
The Iowa City VA Health Care System (IAVAHCS), Dialysis, has a requirement for 3 Hemodialysis Systems, that includes the treatment packages and XT software upgrades, delivery, installation, and training as determined necessary in support of VHAs response to support the Presidential Decree of a National Emergency Declaration to the COVID-19 Pandemic. The Contractor shall deliver the units to support the VHA’s response to the COVID-19 pandemic. Dialysis is an artificial process that uses a special fluid containing a mixture of pure water and chemicals to carefully eliminate wastes, salt, and extra water from the blood without removing substances the body needs. This process helps control blood pressure and keeps the body’s electrolytes in balance by keeping safe levels of potassium, sodium, and bicarbonate in the blood. A Hemodialysis System is used in dialysis that filters a patient's blood to remove excess water and waste products when the kidneys are not functionally properly. The estimated value of this sole source award is $176,850,000.
4. Statutory Authority Permitting Other than Full and Open Competition

5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority):
Due to the urgent nature of this requirement in support of the Presidential Decree of a National Emergency Declaration, it is not prudent nor will time allow fo rhte posting of a solicitation. If a solicitation wee issued, the delay would cause irreparable harm to the VAMC’s ability to provide Congressionally-mandated levels of care during the COVID-19 crisis.
6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable:
Only one source is being solicited, SDV Office Systems, LLC DBA SDV Medical Services (SDVOSB)
7. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable
To meet the regulatory requirements as required by FAR 13.106-3(2), the Contracting Officer has determined that this Sole Source, Firm-Fixed-Price Purchase Orcder is fair and reasonable based on both the validity of the comparison and the price reasonableness of previous award prices, market research, and the Independent Government Cost Estimate.
8. Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted:
Due to the emergent nature of this acquisition, market research will be conducted following the award and included in the file for future acauisitions. As this is a COVID-19 requirement, a verbal authorization to proceed will be given to the vendor and a basic market research analysis will be completed prior to contract completion.
9. Any Other Facts Supporting the Use of Other than Full and Open Competition:
This is an urgent requirement. The ability for the Iowa City VA Health Care System to be able to perform the hemodialysis function during the COVID-19 pandemic is paramount to both patient and staff health, safety and well-being and has a direct impact on all.

11. A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to
Competition before Making subsequent acquisitions for the supplies or services required:

Once the dissolution of the declared national emergency occurs, the barriers to competition will be lifted and subsequent acquisitions will follow the regulatory process as required.
12. Requirements Certification: I certify that the requirement outlined in this justification is a Bona Fide Need of the Department of Veterans Affairs and that the supporting data under my cognizance, which are included in the justification, are accurate and complete to the best of my knowledge and belief.
