JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

UNDER FAR 13.5, SIMPLIFIED PROCEDURES FOR

CERTAIN COMMERCIAL ITEMS

JUSTIFICATION

1. Contracting Activity

The Naval Sea Systems Command, Naval Undersea Warfare Center

Division, Code 02, Newport, RI.

2. Description of the Action Being Approved

Award of a sole source Firm Fixed Price contract to Saft

America, Inc. for seven (7)

Description of Supplies/Services

The Naval Undersea Warfare Center, Division Newport

(NUWCDIVNPT), The EPT21TV is a Lithium ion electric propulsion heavyweight torpedo that utilizes the original Underwater Express (UWX) batteries that were designed by Saft America. These batteries are due for replacement since they have been utilized for about 10 years and battery performance has degraded over time.

Saft America will be delivering new Underwater Express (UWX)

VL12V Modules. This will contain seven (7) replacement

Underwater Express modules (66 cells + housing); 462 cells

(~500 VL12V cells). Saft will provide VL12V cells in a module configuration only. Each module contains 66 – Saft

VL12V NCA Li-Ion cells in series. NUWC Newport has decided to use its own internally developed Battery Management

System (BMS). The UWX High-Power Li-Ion Battery will consists of electronics, high-voltage components (i.e., contactors, fuses, pre-charge circuit), and modules. The modules will be delivered to NUWC Newport after September

30, 2021. The following table describes the anticipated timeline.

Each of the modules, with different Part Numbers (PNs), has a slightly different arrangement of module covers. The position/location of the module determines the required, yet different, covers.

Requirement for one module of each position and a spare module to be a “middle” position module.

Per the module position, the following part number list, and quantities is required:

Module Quantity 1: PN 209915

Module Quantity 3: PN 209916 (2 modules for the battery + 1 module spare)

Module Quantity 2: PN 209917

Module Quantity 1: PN 209918

Total of seven (7) modules

4. Statutory Authority Permitting Other Than Full and Open

Competition

10 U.S.C. 2304(c)(1), as implemented in Federal Acquisition

Regulation (FAR) 6.302-1: Only one responsible source and no other type of supplies or services will satisfy agency requirements.

5. Rationale Justifying Use of Cited Statutory Authority

Saft America Underwater Express (UWX) VL 12V Modules are required for integration into EPT21TV to guarantee compatibility with the existing battery platform and housing. Utilizing an alternative battery module would require extensive re-design of the EPT21TV, resulting in significant added cost in the form or NUWC labor and fabrication in addition to significant schedule delays.

6. Description of Efforts Made to Solicit Offers from as Many

Offerors as Practicable

There are no efforts made to solicit offers from as many offerors as practicable

7. Determination of Fair and Reasonable Costs

The Contracting Officer will conduct a price analysis in accordance with FAR Part 15.404(1)(b) to ensure the supplies covered by this J&A will be fair and reasonable.

8. Actions to Remove Barriers to Competition

There are no actions to remove barriers to competition, as this is a one-time purchase.
