General Information:

The Contra Costa County Fire Protection District (District) is seeking proposals from qualified vendors to provide full-service HVAC maintenance for all District facilities, covering routine inspections, preventative maintenance, emergency repairs, and all necessary parts and labor. Section I: Introduction

A. Purpose Contra Costa County Fire Protection District (District) is requesting proposals from qualified vendors to provide complete HVAC maintenance services for all District buildings. The agreement will cover routine servicing, emergency response, and repair work, including all materials and labor. Maintaining HVAC system performance is essential for ensuring safety and comfort throughout District facilities. See Section IV, Scope of Work for details.

B. Objective The objective of this RFP is to secure a qualified contractor to provide a comprehensive Guaranteed Maintenance Contract. Services include initial equipment inspections, regular preventative maintenance, emergency response, and repairs to maintain equipment in optimal operating condition. Detailed requirements and expectations are outlined in Section IV, Scope of Work.

C. Background The Contra Costa County Fire Protection District was originally formed on December 29, 1964, by the merger of the Central Fire Protection District and the Mt. Diablo Fire Protection District. Stations 1, 3 and 4 in Walnut Creek and Stations 2 and 5 in Pleasant Hill were part of the Central Fire Protection District while Stations 6, 8 and 10 in Concord, Station 7 in West Pittsburg, Station 11 in Clayton and Station 9 in Pacheco were part of the Mt. Diablo Fire Protection District. Since then, ten (10) other mergers took place, including the most recent: on July 1, 2022, the District annexed the former East Contra Costa Fire Protection District (ECCFPD). In addition, on March 1, 2023 the District contracted for services with the city of Pinole, and annexed Rodeo-Hercules Fire District on July 1, 2025.

Contra Costa County Fire Protection District requires a contract for HVAC services to ensure that all fire stations and critical facilities, such as communication centers and training campuses, maintain safe, comfortable, and operational environments for emergency personnel and equipment. Reliable HVAC systems are essential for maintaining air quality and ensuring the readiness of staff working long hours in demanding conditions. Regular maintenance reduces the risk of system failures during emergencies and helps extend the life of costly equipment.

E. Correspondence As of the issuance of this RFP, vendors are specifically directed not to contact District personnel for meetings, conferences or technical discussions related to this RFP. Questions to this RFP must be submitted via BidNet medium. Failure to adhere to this policy may result in disqualification of the vendor.

F. Addenda Knowledge All bidders shall acknowledge receipt of any amendments to this bid event by returning a signed hard copy with the bid. Failure to acknowledge receipt of any amendments may render the proposal to be non-responsive. Changes to this bid event shall be issued only by the District. See attachment D.

Section II: Requirements and Qualifications

The following are minimum qualifications that the vendor must meet for their proposal submittal to be eligible for evaluation.

A. Has been engaged regularly and continuously in the business of HVAC service and repair work for at least 3 years.

B. Possesses current permits, licenses, and professional credentials necessary to supply the products and perform the services specified within.

C. Requires employees to adhere to all safety policies and procedures as directed by the District, and as required by the California Code of Regulations and the California Labor Code.

D. The successful proposer must have a commercial general liability insurance policy that conforms to District requirements.

The Evaluation Committee may choose to determine if a vendor meets minimum qualifications by the Statement of Experience alone, so the submittal should be sufficiently detailed to clearly show how the minimum qualifications are met without looking at any other material. Minimum qualifications are scored on a pass/fail basis. Those that are not clearly responsive to these minimum qualifications may be rejected by the District without further consideration.

Section III: Instructions to Responders

All proposals shall include the following information, organized as separate sections of the proposal. The proposal should be concise.

A. Format Respondents shall submit proposals which are concise and which specifically respond to the specifications posted in this RFP. Each proposal shall be submitted with a cover letter signed by an authorized person, and the following documents:

a. Cover Letter – Signed by an authorized representative of the company

b. Proposal – within a maximum of 15 pages, no smaller than 12-point font, describe specific capabilities, experience, approaches and proposed methodologies that demonstrate a clear understanding of the nature of the work to be performed described in Section IV under Scope of work

c. Resume of key persons who will be assigned to the project

d. Statement of Experience – See Exhibit A

e. Price Proposal – See Exhibit B

B. Proposal Submission

C. Staffing List the staff anticipated to perform the services including disciplines and degrees, as appropriate. Indicate the qualifications, training, and experience of each team member.

D. Customer References Respondents shall provide a minimum of three (3) letters of references. Each letter must include the name of the firm, description of services provided, date(s) of services and contract amount for projects similar to the services requested in this RFP. See Exhibit C.

E. Licenses and Permits Respondents shall possess all licenses, registrations and permits required by the State of California and the County of Contra Costa. Such licenses and permits are to be submitted to the District with the proposal or prior to the contract signing date.

F. Proposal Expenses Respondents shall be fully responsible for all costs incurred in the development and submission of this RFP.

G. Proposer Responsibility The bidder assumes sole responsibility for the complete effort required in submitting a bid proposal in response to this RFP. No special consideration will be given after bid proposals are opened because of a proposer’s failure to be knowledgeable as to all of the requirements of this RFP.

H. Interpretation Should any discrepancies, omissions, or doubt as to their meaning be found in the RFP specifications or requirements, the Respondent shall notify the District in writing through the BidNet website. The District will send written instructions or addenda to all participants in the RFP process. The District shall not be responsible for oral interpretations.

I. Reservation The District reserves the right to do the following at any time and for its own convenience, at its sole discretion:

· To reject any and all proposals without indicating any reasons for such rejection

· Terminate this RFP and issue a new Request for Proposals anytime thereafter

· Extend any or all deadlines specified in the RFP, including deadlines for accepting proposals by issuing an Addendum at any time prior to the deadline for receipt of responses to the RFP

· Procure any services specified in the RFP by other means

· Disqualify any Respondent on the basis of any real or perceived conflict of interest or evidence of collusion that is disclosed by the proposal or other data available to the District. Such disqualification is at the sole discretion of the District

· Reject the proposal of any Respondent that is in breach of or in default under any other agreement with the District

· Reject any Respondent deemed by the District to be non-responsive, unreliable, unqualified or non-responsible

J. Truth and Accuracy of Representation False, misleading, incomplete, or deceptively unresponsive statements in connection with a proposal shall be sufficient cause for rejection of the proposal.

K. Sub-Contract and Assignment The Contract binds the heirs, successors, assigns and representatives of Contractor. Prior written consent of the District, subject to any required state or federal approval, is required before the Contractor may enter into subcontracts for any work contemplated under the Contract, or before the Contractor may assign the Contract or monies due or to become due, by operation of law or otherwise.

L. Addenda No one is authorized to amend any of these documents in any respect by an oral statement or to make any representation or interpretation in conflict with their provisions. Any changes to these documents will be issued in writing via Addenda to be posted on BidNet website.

M. Addenda Acknowledgement All addenda shall include an acknowledgement of receipt that must be returned. The addenda must be signed and attached to the final response. Failure to attach any addendum may result in the rejection of the response. See Attachment D.

N. Non-Collusion By submitting a signed proposal, Offeror certifies that there has been no collusion with any other Offeror. Reasonable grounds for believing Offeror has an interest in more than one proposal will result in rejection of all proposals in which the Offeror has an interest. Any party to collusion may not be considered in future proposals for the same or similar work. See Exhibit D attached.

Section IV: Scope of Work

1. Upon award and execution of the Guaranteed Maintenance Contract, the successful Contractor shall conduct an initial inspection of all Equipment at no charge to the District. Equipment identified by the Contractor as needing repairs shall be specifically identified with a fixed dollar quote for the repairs. Inspection and any repair quotes shall be delivered to the District within 45 days of notice to proceed. Contractor and District shall mutually agree upon repairs and costs. District reserves the right to solicit additional professional inspections and/ or quotations for identified repairs if repair agreement cannot be reached with the Contractor. District shall not unreasonably withhold repair approval from the Contractor. Once equipment is repaired and / or accepted by the District and the Contractor as maintainable, Equipment then becomes part of this Guaranteed Maintenance Contract.

2. For the period of this Contract, all Equipment shall be inspected, serviced, and tested per the following Schedule: Administration and Communication Center serviced six (6) times per year (every 60 days); all other equipment four (4) times per year (every 90 days). Contractor shall submit a detailed service report of the inspection, service, and testing to the District within 7 days of service. Contractor may use his/her standard inspection form upon approval of the District. Every service shall include appropriate MERV 13 air filter replacement (pleated disposable filters) or cleaning (permanent, re-usable filters).

3. The Contractor shall perform preventative maintenance, test, and inspect the equipment to extend the equipment life and assure proper operating condition, efficiency, and reliability with no additional cost.

4. Inclusive in the contract shall be all costs for all labor, travel, parts procurement, freight, and taxes required to repair, remove, and / or replace any and all broken, worn, damaged, and or incorrect components and / or parts needed to maintain the equipment in its operational condition. Excluded from this shall be damage to equipment by outside causes, e.g., vehicle collision.

5. All costs for emergency and / or trouble calls shall be included in the Guaranteed Maintenance Contract. This shall include all items listed in Paragraph 4 including overtime. Contractor shall respond to emergency / trouble calls no later than the following business day except emergency / trouble calls at the Communication Center shall be responded to within 4 hours.

6. Contractor shall maintain a work force trained, qualified, certified, and licensed as necessary to service the Equipment. With the specific District approval, Contractor may use limited subcontractors to meet this requirement.

7. Unless specifically identified in Paragraph 12, the cost (including labor and taxes) of all components, controls, devices, parts, refrigerants, and supplies shall be included in the annual Guaranteed Maintenance Contract cost. Any miscellaneous or emergency services, as needed.

8. District may, from time to time, add or subtract equipment on the District inventory. This may occur with the construction of new stations or facilities, change in use, or operational needs. Contract shall be modified to include any increases or deductions to the contract with cost equal to comparable equipment.

9. This Guaranteed Maintenance Contract shall not include supply air and return air ducting but shall include furnace exhaust gas ducts and condensate drains.

10. There shall be no additional charges at any site unless system design changes or upgrades are requested in writing by the Fire District.

11. Coils, condensate trays, and drain lines on roof-mounted units at the Communication Center HVAC and Training Campus computer room coils shall be cleaned at every regular service. This is intended to prevent backup, clogging, and / or overflow of condensate. Use of algaecide tablets is permitted if they do not cause damage to the components.

12. Not included in this contract shall be the direct cost of replacement of Equipment evaporator coils and/or combustion chambers. Replacement cost, inclusive of labor and other expenses, for these two items shall be quoted specifically and separately in the quotation sheet. No exceptions or exclusions permitted without individual specific explanation and alternate fixed costing. Total unit replacement is not an acceptable alternative. Any missing values may be negotiated at, and shall not exceed, other similar manufactures evaporator coils or combustion chambers at the bidders quoted costs. If there are excessive missing values for replacement of evaporator coils or combustion chambers, the quote may be considered non-responsive. Costing for this item may be factored in to the final acceptance.

Preventative Maintenance As applicable, these activities are intended to extend Equipment life and assure proper operating condition, efficiency, and reliability. Typical activities include, but are not limited to:

· Cleaning coil surfaces, fan housings, impellers and blades, electrical contacts, burner orifices, passages and nozzles, pilot and igniter, basin, sump and float, chiller, condenser and boiler tubes, etc.

· Aligning belts and drives, couplings, air fins

· Calibrating safety controls; temperature and pressure controls, etc.

· Tightening electrical connections, mounting bolts, pipe clamps, refrigerant piping fittings, dampers and components, etc.

· Adjusting belt tension, refrigerant charge, superheat, fan RPM, water chemical feed and feed rate, burner fuel / air ratios, gas pressure, set point of controls and limits, compressor cylinder unloaders, damper close-off, sump floats, etc.

· Lubricating motors, fan and other bearings / bushings, valve stems, linkages, etc.

· Preparation and painting for corrosion control as needed.

· Disposable air filters are to be replaced with new pleated filters at each service. Contractor to maintain a supply of correctly sized filters for replacement and to only install filters that fit correctly. Permanent air filters to be thoroughly cleaned at each service interval. In the event of excessive build-up between filter changes, Contractor to notify Fire District by specific correspondence (not periodic service report) of the problem and possible solutions.

· Belts that are frayed, worn, or otherwise appear to be approaching failure are to be replaced as necessary.

· Annual inspection at the Administration Building of the following: Controls, Chiller and Boiler, Oil analysis including acid test (annually and repeated as necessary).

· All hazardous waste generated in the course of this contract, including refrigerants, shall be disposed of in accordance with all Federal, State, and Local regulations at the contractor’s sole expense.

Inspection and Availability Due to the essential services of the District, the contractor understands that fire stations and facilities may or may not be staffed at any time. This understanding of the availability of site access includes the bidding period and the work and repairs required for the duration of the contract.

Contractor to maintain over the lifetime of this agreement, historical records of maintenance including dates and conditions of service. Records shall be in a format that is readily transferable to the District by electronic means, preferably Microsoft or Acrobat.

Contractor understands and agrees that by submitting his/her bid, he/she has had sufficient opportunity to inspect and observe all the Equipment in this proposal for bidding purposes and the work intended in this contract.

Contractor is required to provide service to all District locations including but not limited to the list below.

Additional Work:

From time to time the District may request additional work of the contractor. This request may be in the form of a fixed price request or time and materials. Such requested work shall be under the terms and conditions of the contract issued for this Guaranteed Maintenance Contract. District at its sole option reserves the right to pursue similar services from other contractors.

Section V: Evaluation and Selection Process

A. Selection Process All Proposals will be evaluated according to the following criteria and point value. Within the content of the information required by the RFP, Proposers are welcome to submit any and all supporting information which describes their ability to meet and exceed the criteria. An evaluation committee will conduct the evaluation of proposals. The Committee will discuss each proposal and establish consensus. Each member of the committee shall score the proposals independent of the other members, after which, scores will be combined/averaged. Once a contract award has been made, the District will notify all firms accordingly. Proposals will be evaluated based on the following criteria:

1. Company qualifications and technical experience with similar projects

2. Project understanding, methodology, approach, and implementation plan

3. Experience of key personnel who will be assigned to the project

4. Cost

5. Client References

B. Interviews If needed, only top ranked proposers may need to attend an interview. The project manager and any key team members should attend the interview. The determination as to the need for interviews, the location, order, and schedule of the interviews is at the sole discretion of the District. The evaluation interview panel may include representatives from the District and other agencies, but the specific composition of the panel will not be revealed prior to the interviews. The District will use the forced ranking system to evaluate the proposers. The proposer must bear all costs incurred to attend.

C. Best Value The District will select the proposal that presents the best value and is most advantageous to the District and the public. Accordingly, the District may not necessarily award the proposer with the lowest price proposal if doing so would not be in the overall best interest of the District. The District reserves the right to expand or reduce the proposed scope of work during the contract negotiations based on budget constraints and to award to a single or multiple proposers.

D. Best and Final Offer (BAFO) The District, at its sole discretion, may request a Best and Final Offer (BAFO) from the finalists.

E. Award Notice and Acceptance Period

a. After the evaluation of proposals and final consideration of all pertinent information available, the District will either reject all proposals or issue a written notice of intent to award the contract to all proposers submitting a timely proposal. The notice shall identify the apparent best evaluated proposal. The notice shall not create rights, interests, or claims of entitlement in the apparent best evaluated proposer.

b. The apparent best evaluated proposer should be prepared to enter into a contract with the District which shall be substantially the same as the Standard Contract included in Exhibit I to this RFP. Notwithstanding, the District reserves the right to add terms and conditions, deemed to be in the best interest of the District, during final contract negotiations.

c. If a proposer fails to sign and return the contract drawn pursuant to this RFP and final contract negotiations by the requested date set forth by the District, the District may cancel the award and award the contract to the next best evaluated proposer.

F. Proposals are Public Records California Government Code Section 6250, the Public Records Act, defines a public record as any writing containing information relating to the conduct of the public’s business prepared, owned, used or retained by any state or local agency regardless of physical form or characteristics. The Public Records Act provides that public records shall be disclosed upon request and that any resident has a right to inspect any public record unless the document is exempted from disclosure.

Unless otherwise compelled by a court order, the District will not disclose any proposal while the District conducts its deliberative process in accordance with the procedures identified in this RFP. However, after the District either awards an agreement to a successful Proposer, or rejects all proposals, the District shall consider each proposal subject to the public disclosure requirements of the California Public Records Act. Each Proposer is hereby informed that, upon submittal of its proposal to the District in accordance with this RFP, the proposal becomes the property of Contra Costa County Fire Protection District.

G. Protest Procedures In the event a dispute arises concerning the proposal process prior to the award of the contract, the party wishing resolution of the dispute shall submit a request in writing to the attention of:

Section VI: Invoicing and Billing

A. Payment Terms Contractor shall submit a correct and complete invoice(s) to the District after the District accepted the deliverables. Payment terms are Net 45 days or best offer, after receipt of correct invoice.

All bidders MUST accept the payment terms of Contra Costa County Fire Protection District.

B. Rates Proposer shall submit pricing based on annual maintenance cost, hourly rate for additional services, and material markup rate, if applicable. Please see Exhibit B.

C. Pricing Price shall be firm fixed for the duration of the contract.

1. Annual Maintenance Cost Provide a fixed price for one (1) year of preventive HVAC maintenance services, as described in the Scope of Work. This cost may be presented in one of the following ways:

· Option A: A single lump-sum price for the full year of service; or

· Option B: A breakdown of the annual cost into twelve (12) equal or itemized monthly payments, clearly totaling the full annual amount.

2. Hourly Rates for Additional Services Provide hourly labor rates for any work performed outside the scope of routine maintenance.

3. Material Markup Rate Specify the percentage markup, if any, that will be applied to materials or parts supplied in connection with additional services not covered under the annual maintenance agreement.
