(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $100, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor -
(1) Any order for a single item in excess of the maximum contract value on the awarded schedule of rates;
(2) Any order for a combination of items in excess of the maximum contract value on the awarded schedule of rates;
or
(3) A series of orders from the same ordering office within 7 days that together call for quantities exceeding the limitation in paragraph (b) (1) or (2) of this section.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.
(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 48 hours after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.
(End of clause)
52.216-22 INDEFINITE QUANTITY. (OCT 1995)

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 30 June 2021.
52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The Contracting Officer may exercise the option by written notice to the Contractor within 15 calendar days.

252.247-7002 REVISION OF PRICES (DEC 1991)
(a) "Definition. Wage adjustment", as used in this clause, means a change in the wages, salaries, or other terms or conditions of employment which --
(1) Substantially affects the cost of performing this contract;
(2) Is generally applicable to the port where work under this contract is performed; and
(3) Applies to operations by the Contractor on non-Government work as well as to work under this contract.
(b) "General." The prices fixed in this contract are based on wages and working conditions established by collective bargaining agreements, and on other conditions in effect on the date of this contract. The Contracting Officer and the Contractor may agree to increase or decrease such prices in accordance with this clause.
(c) "Demand for negotiation." (1) At any time, subject to the limitations specified in this clause, either the Contracting Officer or the Contractor may deliver to the other a written demand that the parties negotiate to revise the prices under this contract.
(2) No such demand shall be made before 90 days after the date of this contract, and thereafter neither party shall make a demand having an effective date within 90 days of the effective date of any prior demand. However, this limitation does not apply to a wage adjustment during the 90 day period.
(3) Each demand shall specify a date (the same as or subsequent to the date of the delivery of the demand) as to when the revised prices shall be effective. This date is the effective date of the price revision.
(i) If the Contractor makes a demand under this clause, the demand shall briefly state the basis of the demand and include the statements and data referred to in paragraph (d) of this clause.
(ii) If the demand is made by the Contracting Officer, the Contractor shall furnish the statements and data within 30 days of the delivery of the demand.
(d) "Submission of data." At the times specified in paragraphs (c)(3)(i) and (ii) of this clause, the Contractor shall submit --
(1) A new estimate and breakdown of the unit cost and the proposed prices for the services the Contractor will perform under this contract after the effective date of the price revision, itemized to be consistent with the original negotiations of the contract;
(2) An explanation of the difference between the original (or last preceding) estimate and the new estimate;
(3) Such relevant operating data, cost records, overhead absorption reports, and accounting statements as may be of assistance in determining the accuracy and reliability of the new estimate;
(4) A statement of the actual costs of performance under this contract to the extent that they are available at the time of the negotiation of the revision of prices under this clause; and
(5) Any other relevant data usually furnished in the case of negotiations of prices under a new contract. The Government may examine and audit the Contractor's accounts, records, and books as the Contracting Officer considers necessary.
(e) "Negotiations." (1) Upon the filing of the statements and data required by paragraph (d) of this clause, the Contractor and the Contracting Officer shall negotiate promptly in good faith to agree upon prices for services the Contractor will perform on and after the effective date of the price revision.
(2) If the prices in this contract were established by competitive negotiation, they shall not be revised upward unless justified by changes in conditions occurring after the contract was awarded.
(3) The agreement reached after each negotiation will be incorporated into the contract by supplemental agreement.
(f) "Disagreements." If, within 30 days after the date on which statements and data are required pursuant to paragraph (c) of this clause, the Contracting Officer and the Contractor fail to agree to revised prices, the failure to agree shall be resolved in accordance with the Disputes clause of this contract. The prices fixed by the Contracting Officer will remain in effect for the balance of the contract, and the Contractor shall continue performance.
(g) "Retroactive changes in wages or working conditions." (1) In the event of a retroactive wage adjustment, the Contractor or the Contracting Officer may request an equitable adjustment in the prices in this contract.
(2) The Contractor shall request a price adjustment within 30 days of any retroactive wage adjustment. The Contractor shall support its request with --
(i) An estimate of the changes in cost resulting from the retroactive wage adjustment;
(ii) Complete information upon which the estimate is based; and
(iii) A certified copy of the collective bargaining agreement, arbitration award, or other document evidencing the retroactive wage adjustment.
(3) Subject to the limitation in paragraph (g)(2) of this clause as to the time of making a request, completion or termination of this contract shall not affect the Contractor's right under paragraph (g) of this clause.
(4) In case of disagreement concerning any question of fact, including whether any adjustment should be made, or the amount of such adjustment, the disagreement will be resolved in accordance with the Disputes clause of this contract.
(5) The Contractor shall notify the Contracting Officer in writing of any request by or on behalf of the employees of the Contractor which may result in a retroactive wage adjustment. The notice shall be given within 20 days after the request, or if the request occurs before contract execution, at the time of execution.
252.247-7023 TRANSPORTATION OF SUPPLIES BY SEA (FEB 2019)
(a) Definitions. As used in this clause --
"Components" means articles, materials, and supplies incorporated directly into end products at any level of manufacture, fabrication, or assembly by the Contractor or any subcontractor.
"Department of Defense" (DoD) means the Army, Navy, Air Force, Marine Corps, and defense agencies.
"Foreign-flag vessel" means any vessel that is not a U.S.-flag vessel.
"Ocean transportation" means any transportation aboard a ship, vessel, boat, barge, or ferry through international waters.
"Subcontractor" means a supplier, materialman, distributor, or vendor at any level below the prime contractor whose contractual obligation to perform results from, or is conditioned upon, award of the prime contract and who is performing any part of the work or other requirement of the prime contract.
"Supplies" means all property, except land and interests in land, that is clearly identifiable for eventual use by or owned by the DoD at the time of transportation by sea.
(i) An item is clearly identifiable for eventual use by the DoD if, for example, the contract documentation contains a reference to a DoD contract number or a military destination.
(ii) "Supplies" includes (but is not limited to) public works; buildings and facilities; ships; floating equipment and vessels of every character, type, and description, with parts, subassemblies, accessories, and equipment; machine tools; material; equipment; stores of all kinds; end items; construction materials; and components of the foregoing.
"U.S.-flag vessel" means a vessel of the United States or belonging to the United States, including any vessel registered or having national status under the laws of the United States.
(b)(1) The Contractor shall use U.S.-flag vessels when transporting any supplies by sea under this contract.
(2) A subcontractor transporting supplies by sea under this contract shall use U.S.-flag vessels if--
(i) This contract is a construction contract; or
(ii) The supplies being transported are--
(A) Noncommercial items; or
(B) Commercial items that--
(1) The Contractor is reselling or distributing to the Government without adding value (generally, the Contractor does not add value to items that it contracts for f.o.b. destination shipment);
(2) Are shipped in direct support of U.S. military contingency operations, exercises, or forces deployed in humanitarian or peacekeeping operations; or
(3) Are commissary or exchange cargoes transported outside of the Defense Transportation System in accordance with 10 U.S.C. 2643.
(c) The Contractor and its subcontractors may request that the Contracting Officer authorize shipment in foreign-flag vessels, or designate available U.S.-flag vessels, if the Contractor or a subcontractor believes that --
(1) U.S.-flag vessels are not available for timely shipment;
(2) The freight charges are inordinately excessive or unreasonable; or
(3) Freight charges are higher than charges to private persons for transportation of like goods.
(d) The Contractor must submit any request for use of foreign-flag vessels in writing to the Contracting Officer at least 45 days prior to the sailing date necessary to meet its delivery schedules. The Contracting Officer will process requests submitted after such date(s) as expeditiously as possible, but the Contracting Officer's failure to grant approvals to meet the shipper's sailing date will not of itself constitute a compensable delay under this or any other clause of this contract. Requests shall contain at a minimum --
(1) Type, weight, and cube of cargo;
(2) Required shipping date;
(3) Special handling and discharge requirements;
(4) Loading and discharge points;
(5) Name of shipper and consignee;
(6) Prime contract number; and
(7) A documented description of efforts made to secure U.S.-flag vessels, including points of contact (with names and telephone numbers) with at least two U.S.-flag carriers contacted. Copies of telephone notes, telegraphic and facsimile message or letters will be sufficient for this purpose.
(e) The Contractor shall, within 30 days after each shipment covered by this clause, provide the Contracting Officer and the Maritime Administration, Office of Cargo Preference, U.S. Department of Transportation, 400 Seventh Street SW., Washington, DC 20590, one copy of the rated on board vessel operating carrier's ocean bill of lading, which shall contain the following information:
(1) Prime contract number;
(2) Name of vessel;
(3) Vessel flag of registry;
(4) Date of loading;
(5) Port of loading;
(6) Port of final discharge;
(7) Description of commodity;
(8) Gross weight in pounds and cubic feet if available;
(9) Total ocean freight in U.S. dollars; and
(10) Name of the steamship company.
(f) If this contract exceeds the simplified acquisition threshold, the Contractor shall provide with its final invoice under this contract a representation that to the best of its knowledge and belief--
(1) No ocean transportation was used in the performance of this contract;
(2) Ocean transportation was used and only U.S.-flag vessels were used for all ocean shipments under the contract;
(3) Ocean transportation was used, and the Contractor had the written consent of the Contracting Officer for all foreign-flag ocean transportation; or
(4) Ocean transportation was used and some or all of the shipments were made on foreign-flag vessels without the written consent of the Contracting Officer. The Contractor shall describe these shipments in the following format:
ITEM CONTRACT QUANTITY
DESCRIPTION LINE ITEMS

52.212-2 Evaluation - Commercial Items OCT 2014
ADDENDUM 52.212-2
ADDENDUM TO 52.212-2 EVALUATION – COMMERCIAL ITEMS (OCT 2014):
Paragraphs (d) and (e) are added to read as follows:
(a) The Government will award one contract resulting from this solicitation to the responsible quoter whose quote conforming to the solicitation will be most advantageous to the Government, price and other factors considered:
The following factors shall be used to evaluate quotes:
A. Factor I - Technical (Acceptable/Unacceptable)
(1) Subfactor 1 – Technical Worksheet B. Factor II - Price (Fair and Reasonable/Not Fair and Reasonable)
(b) A written notice of award or acceptance of an quote, mailed or otherwise furnished to the successful quoter within the time for acceptance specified in the quote, shall result in a binding contract without further action by either party. Before the quote's specified expiration time, the government may accept an quote (or part of an quote), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
(c) Basis for contract award - This acquisition is being conducted under FAR Part’s 13, Simplified Acquisition Procedures, Subpart 13.5 and Part 12, Acquisition of Commercial Items of the Federal Acquisition Regulation (FAR). Quotes will be evaluated using the factors identified in FAR 52.212-2, Evaluation – Commercial Items and this addendum. Noncompliance may be grounds to eliminate the quote from consideration for contract award.
Award will be made in accordance with (IAW) FAR 15.101-2, Lowest Price Technically Acceptable Source Selection Process. Specifically, by submitting a quote the quoter understands and accedes to all the terms and conditions of this solicitation. Specifically, the evaluation process shall proceed as follows:
Following the RFQ closing date, quotes will be checked for compliance with Quote Preparation Instructions in Addendum to FAR 52.212-1(b). Failure to materially comply with all Quote Preparation Instructions will result in the quote being found noncompliant with the solicitation. Noncompliance may be grounds to eliminate the quote from evaluation and consideration for contract award.
Next, Technical Worksheets of all compliant quotes will be evaluated by the Technical Team and receive a rating of Acceptable or Unacceptable. In order to be rated as Acceptable, the Technical Quote must provide sufficient detail identifying how the Quoter intends to meet the Government’s minimum requirements as stated in paragraph (d)(1) below. Quotes deemed Unacceptable are those that fail to meet the Government’s minimum requirements.
Following the technical evaluation, all technically acceptable quotes shall be placed in order of lowest to highest Total Proposed Price (TPP). Beginning with the technically acceptable quote with the lowest TPP, the Government will then evaluate pricing as proposed in Attachment 2, Schedule of Rates Excel (.xlsx) spreadsheet to determine fair and reasonableness using one or more techniques set forth in FAR 15.404-1(b)(2). Additionally, IAW FAR 15-404- 1(g), the Government will review the proposed prices to determine if unbalanced pricing exists. If proposed prices are unbalanced, this will be noted and the risk to the Government will be considered in making the source selection decision. In Accordance With (IAW) FAR 15.404-1(g)(3), if the lack of balance poses an unacceptable risk to the Government, the quote may be rejected and not considered for further for award. If it is determined the technically acceptable quote with the lowest TPP has fair and reasonable prices and balanced pricing (or if unbalanced pricing exists that it does not pose an unacceptable risk), the Government will complete a responsibility determination IAW the criteria specified in FAR 9.104-1. If found responsible, the evaluation process stops at this point as that quote represents the best value to the Government. Award shall be made to that quoter without further consideration of any other quotes.
If the technically acceptable quote with the lowest ranked TPP is determined not to have fair and reasonable prices, unbalanced pricing poses an unacceptable risk to the Government or if the quoter is unable to be found responsible, the technically acceptable quote with the next lowest TPP will be evaluated in accordance with the paragraph above.
This process will continue for any technically acceptable quotes in order of ascending TPP until an quote is judged to have an acceptable technical rating, fair and reasonable prices, balanced pricing (of if unbalanced pricing exists that it does not pose an unacceptable risk) and the quoter is deemed responsible; or until all technically acceptable quotes have been evaluated.
If all technically acceptable quotes are not awardable based on the initial evaluation process above or any quoters were found not to be compliant, technically acceptable or to have fair and reasonable and balanced pricing, then the Source Selection Authority (SSA) will determine whether it is in the Government's best interest to enter into discussions. If the SSA determines to enter into discussions, a competitive range will be established IAW FAR 15.306(c). The source selection team will complete the discussion process, request final quote revisions, and document final evaluation results IAW DOD Source Selection procedures for those quoters determined to be within the competitive range. After the evaluation of the final quote revisions, the SSA will make a selection of the best-value quote consistent with the stated evaluation criteria unless it is in the Government’s best interest not to award a contract.
The Contracting Officer at any time may inquire about any quote if additional information or a revised quote is required. The Contracting Officer may inquire about all, none, or as many quotes as needed, however, the Contracting Officer shall treat all quoters fairly and impartially, in accordance with FAR 1.102-2(c)(3).
The following factors shall be used to evaluate quotes:
1. Factor I: Technical.
Quoter’s Technical Quote will be evaluated as Acceptable or Unacceptable, as defined below. Statements that the quoter understands, can or will comply with the PWS; statements paraphrasing the PWS or parts thereof; flowcharts simply listing activities related to performance of the PWS; and phrases such as “standard procedures will be employed’ or “well known techniques will be used,” etc., will be considered unacceptable.
RATING DESCRIPTION
Acceptable Quote meets the requirements of the solicitation.
Unacceptable Quote does not meet the requirements of the solicitation
Technical Quote. To be rated Acceptable, the quote must provide a completed Technical Worksheet (Attachment 4) which clearly describes in sufficient detail how the quoter will achieve the objectives in the worksheet in accordance with the Performance Work Statement as defined by the minimum requirements listed in the Technical Worksheet (Attachment 4). The Government will evaluate the quoters response to each item in the worksheet to determine if the quoter adequately demonstrates the capability to successfully conduct Stevedoring & Related Terminal Services.
If any of the minimum requirements in the Technical Worksheet (Attachment 4) is rated as Unacceptable, the entire Technical Worksheet will be rated as Unacceptable. Failure to complete the Technical Worksheet in its entirety may result in an quote being ineligible for award. See Technical Worksheet for specifics.
2. Factor II: Price.
The quoter shall complete and submit the Schedule of Rates, Attachment 2 as its price quote. The price quote shall be submitted as an attachment to an email and contain no hidden formulas or external links.
