HTC711-17-R-CC10 Q&A
| Question # | Reference | Category | Question | Government Response | |
| 1 | Solicitation pg. 2 | Pricing | The unit price block is supposed to be a per mile rate inclusive of the into-plane cost of aviation fuel. Accordingly, a block needs to be added to indicate the into-plane cost of aviation fuel upon which the per mile rate is associated. | CLIN 0001 specifies "Economic Price Adjustments (EPA) will be applied IAW RFP Attachment 2. Attachment 2 EPA Language, page 4, para 2(b) states "Allowable fuel adjustment will be made upward or downward when the price of fuel varies by more than one cent per gallon from the pegged rate established in the Uniform Rates and Rules." | |
| 2 | Solicitation pg. 2 | Period of Performance | The Base Period (BP) and Period of Performance (POP) are listed as January 1, 2018 through December 31, 2021. However, Attachment 8 states April 2018 through September 2018. Please clarify. | The base period of the IDIQ contract will be January 1, 2018 through December 31, 2021. Attachment 8 is associated with Task Order 0001 for COMBI mission performance from April 1, 2018 through Sep 30, 2018. | |
| 3 | Solicitation pg. 3 | Period of Performance | Same date discrepancies as Question 2. above. | The base period of the IDIQ contract will be January 1, 2018 through December 31, 2021. Attachment 8 is associated with Task Order 0001 for COMBI mission performance from April 1, 2018 through September 30, 2018. | |
| 4 | Solicitation pgs. 5-7 | Security | Please identify any differences between this section and the DD254 (Attachment 3), as well as recent Industry/Government discussions regarding Cyber Security and other related matters. | Attachment 3 DD254 consists of general OPSEC and COMSEC contract requirements whereas clause 52.204-21 Basic Safeguarding of Covered Contractor Information Systems (pursuant to FAR 4.1903 and 12.301(d)(3)) is specific to cyber security. | |
| 5 | Solicitation pg. 10, | ||||
| 52.216-22 | Clauses and Provisions | Since this is an indefinite-quantity contract, apparently the Government is not under any obligation to order other than the “minimum” of $1,500. However, unlike providers of other goods and services to the Government, which have commercial viability, the specially manufactured “Combi” aircraft and its associated support infrastructure is specifically designed for the USTRANSCOM/Air Mobility Command Combi mission. Therefore, if the Government reduced its estimated 3,000,000 annual miles of utilization by more than 10%, and/or restructured the routes and schedules so as to materially change the current operational structure of the program, the proposed rates might not be compensatory to the Contractor, or even the entire program might not be economically viable for the Contractor. Under such a scenario where the mileages and/or routes and schedules were to be reduced and/or changed as described above at any time during the initial Base Period, what is the mechanism whereby the Contract can renegotiate the rates and/or terminate the Contract in whole or in part? | To clarify, under this and any previous like-contract, the Government is not purchasing an aircraft, we are purchasing air transportation services. That said, if the Government's requirement materially changes, a contract modification would be required whereby the Contractor and Government would negotiate the rate. The Government is the only party with termination rights. | ||
| 6 | Solicitation pg. 11, | ||||
| 52.217-9 | Clauses and Provisions | Is the Option to extend the contract an additional 4 years unilateral on the part of the Government, or bilateral? Discussions between Government/Industry regarding a new form of multiyear contract governing the International CRAF Contract indicate that the option to extend every 2 years is bilateral. | In accordance with FAR 52.217-9, the Government will have the right to extend the term of the contract, for a total duration which shall not exceed eight years, six months. This right is unilateral. | ||
| 7 | Solicitation pg. 59, | ||||
| Option Period One - Rate Refresh | Pricing | If the Contractor and the Government do not reach agreement regarding a rate refresh for the Option Period, what happens? | The Rate Refresh is a request submitted by the contractor. If the supporting cost and pricing data does not lead the Contracting Officer to determine adjusted NOT TO EXCEED (NTE) prices fair and reasonable, the Government may deny the request. Price adjustments IAW RFP Attachment 2 EPA Language shall still apply. | ||
| 8 | Solicitation pg. 59, | ||||
| Insurance and Liability | Insurance and Liability | Please identify any differences, if any, between these requirements and the current Insurance and Liability requirements of the FY18 CRAF International Airlift Services Contract. | This solicitation is for a separate, stand-alone contract from the "Charter Airlift Services In Support of the Civil Reserve Air Fleet (CRAF)" contract whereby language and documents may vary. For comparison purposes, the "Charter Airlift Services In Support of the CRAF" documents can be assessed using the following link: https://www.fbo.gov/index?s=opportunity&mode=form&id=11a09cbf56aaff1efd8ea28bf6845f8f&tab=core&_cview=1 | ||
| 9 | Solicitation pg. 67, | ||||
| (D) Instructions | Clauses and Provisions | Regarding current and binding lease agreement or ownership documentation for all proposed aircraft, please advise what exactly is required? The entire lease agreement or extracts thereof? | Offerors shall submit the current and binding lease agreement or ownership documentation in its entirety. | ||
| 10 | Solicitation pg. 71, | ||||
| (b)4 | Clauses and Provisions | By universally accepted longstanding practice and definition, a “Combi” aircraft is an aircraft capable of transporting both passengers and cargo on the main deck of the aircraft, each in its own separate FAA approved passenger and cargo compartments. Accordingly, this section should be reworded to state: “All proposed aircraft shall be configured to simultaneously transport both passengers and palletized cargo on the main deck of the aircraft, in FAA approved compartments”. | See revised Addendum to FAR 52.212-2 in Amendment 0001. | ||
| 11 | SCA | We understand that if a new labor contract between the Contractor and its Aircrews is negotiated during the Base Period/Period of Performance, that the Contractor may adjust its NTE per mile rates to account for increased Aircrew labor costs. Please confirm and advise process to do this. | Any price adjustments made as a result of increased labor costs will be handled IAW FAR 52.222-43 -- Fair Labor Standards Act and Service Contract Labor Standards -- Price Adjustment (Multiple Year and Option Contracts). | ||
| 12 | General | We believe it would be in the best interests of both the Government and the Contractor, to have this contract mirror, to the extent possible, the current or future CRAF International Charter Airlift Contracts. This would be helpful to insure consistency across all airlift contracts, helping to minimize the possibility for confusion. | This solicitation is for a separate, stand-alone contract from the "Charter Airlift Services In Support of the CRAF" contract(s). The terms and conditions of each respective USTRANSCOM airlift contract shall direct execution and administration, thus mitigating possible confusion. | ||
| 13 | Attachment 1, PWS, pg. 5 | PWS | Under 1.0 Description of Services, by universally accepted longstanding practice and definition, a “Combi” aircraft is an aircraft capable of transporting both passengers and cargo on the main deck of the aircraft, each in its own separate FAA approved passenger and cargo compartments. Accordingly, this section should be reworded to state: “(2) the capability to accommodate 108” x 88” (standard military) 463L compatible pallets on the main deck of the aircraft.” | See revised Attachment 1 PWS, paragraph 1.0 in Amendment 0001. | |
| 14 | Attachment 1, PWS, pg. 5 | PWS | Under 1.1.1 Airlift Services, this should be reworded to state: “The contractor shall provide air transportation services utilizing aircraft configured to simultaneously transport both passengers and cargo on the main deck of the aircraft.” | See revised Attachment 1 PWS, paragraph 1.1.1. in Amendment 0001. | |
| 15 | Attachment 1, PWS, pg. 5 | PWS | Under 1.1.2 Aircraft Specifications, this should be reworded to state: “Aircraft shall provide commercial equivalent economy passenger seating and shall be capable of accommodating 108” x 88” (standard military) 4673L compatible pallets on the main deck of the aircraft and equipped with mechanized roller and rail systems on the main deck of the aircraft that are fully compatible with 463L configured pallets and equipment…Combi aircraft shall also have a nose, side forward, or side loading cargo door on the main deck of the aircraft…” | See revised Attachment 1 PWS, paragraph 1.1.2. in Amendment 0001. | |
| 16 | Attachment 1, PWS | PWS | Please advise to what extent, if any (other than the comments in questions 1,2,3 above), that this PWS differs from the current PWS in the current FY18 International CRAF Charter Airlift Services contract. | This solicitation is for a separate, stand-alone contract from the "Charter Airlift Services In Support of the Civil Reserve Air Fleet (CRAF)" contract whereby language and documents may vary. For comparison purposes, the "Charter Airlift Services In Support of the CRAF" documents can be assessed using the following link: https://www.fbo.gov/index?s=opportunity&mode=form&id=11a09cbf56aaff1efd8ea28bf6845f8f&tab=core&_cview=1 | |
| 17 | Attachment 2, EPA Language, pg. 1 | Pricing | Since the contract apparently begins 01 April 2018, and renews on 01 January of each subsequent year, please explain why the adjustment will be made on 01 October of each year. | The EPAs will be effective on 1 October of each year for simplicity purposes as the Government anticipates issuing task orders on the fiscal year cycle. | |
| 18 | Attachment 2, EPA Language, pg. 1 | Pricing | Our research indicates that the Producer Price Index for NAICS 481211 is inappropriate for this contract, since it includes the cost of fuel and also varies due to retail pricing of tickets and charter services. We believe a more appropriate index would be something such as the CPI-U ,US CITY AVERAGE, ALL ITEMS LESS FOOD AND ENERGY, or some other index (or a blend of indices), that exclude the cost of aviation fuel and ticket sales, but include the cost of aviation labor, capital expenditures and maintenance. Aviation fuel fluctuations are already managed through the fuel adjustment procedures detailed in the PWS and elsewhere and should not be factored into the annual EPA methodology. We would welcome a dialogue to select an index (or indices) that are acceptable to all parties. | The index and related rate adjustment affects the NTE whereas the fuel adjustment procedures detailed in the PWS does not affect the NTE rates. Including fuel and any other cost elements in the index protects contractors from significant increases due to market conditions with an associated increase to the NTE. Similarly, the Government is protected from significant downward prices by lowering the NTE if warranted by market conditions. The Government has determined that the BLS PPI is an appropriate index to utilize on COMBI. | |
| 19 | Attachment 3, DD Form 254, pgs. 2-3 | Security | The provisions of Section 13 of this DD254 appear to be more complex than the cyber requirements stipulated in the Solicitation itself and/or cyber policies that have been extensively discussed at recent Industry/Government meetings. Please clarify the differences. | |
| 20 | Attachment 4, Wage Determination | SCA | Please clarify why this document refers to U.S. Postal Service contracts and not to USTRANSCOM contracts. | The Government erroneously included an incorrect Wage Determination. See revised Attachment 4 Wage Determination in Amendment 0001. | |
| 21 | Attachment 5, Award Fee Plan | Award Fee Plan | Please confirm that this award fee plan is the same as the current award fee plan under the present FY18 International Charter Airlift Services CRAF contract. Please provide details on any differences.
| 22 | Attachment 8, Task Order Pricing Matrix, Routes Tab | Pricing | The routes listed do not detail the agreed to and currently authorized paid ferry miles and technical stops. Therefore, the total prices calculated will not reflect the actual prices paid. Please reissue to show all currently approved ferries and technical stops as detail on the FY18 CRAF contract “B” pages. | See revised Attachment 8 Task Order Pricing Matrix in Amendment 0001. | |
| 23 | Attachment 8, Task Order Pricing Matrix, Routes Tab | Pricing | The matrix should include all information on the current FY18 CRAF contract “B” pages, such as the use of + * - symbols to indicate ferries and technical stops, TSA baggage screening fees, Eurocontrol, etc. | See revised Attachment 8 Task Order Pricing Matrix in Amendment 0001. Offerors shall include costs associated with TSA baggage screening fees, Eurocontrol, etc. in their proposed per mile rates. | |
| 24 | Attachment 8, Task Order Pricing Matrix, Routes Tab | Pricing | The proposed per mile rate is to include the cost of aviation fuel. Therefore, the matrix needs to have an entry for the into-plane fuel cost per gallon that is associated with the proposed per mile rate. Otherwise comparison between multiple offers will not be possible without knowing the price of fuel upon which the offers were based. | See revised Attachment 8 Task Order Pricing Matrix in Amendment 0001. | |
| 25 | Attachment 8, Task Order Pricing Matrix, Routes and Schedule Tabs | Period of Performance | Why are the task order dates limited to April 2018 through September 2018, since the Base Period for the contract is January 1, 2018 through December 31, 2021? | The base period of the IDIQ contract will be January 1, 2018 through December 31, 2021. Attachment 8 is associated with Task Order 0001 for COMBI mission performance from April 1, 2018 through Sep 30, 2018. | |
| 26 | Attachment 8, Task Order Pricing Matrix, Routes and Schedule Tabs | Period of Performance | Since the Base Period commences January 1, 2018, why does Attachment 8 indicate a starting date of April 1, 2018? | The base period of the IDIQ contract will be January 1, 2018 through December 31, 2021. Attachment 8 is associated with Task Order 0001 for COMBI mission performance from April 1, 2018 through Sep 30, 2018. | |
| 27 | Solicitation pg. 68 | Clauses and Provisions | If the offered Combi aircraft are already accepted in the CRAF program and currently operating CRAF missions, must a new Performance Data Sheet 81,82,83 plus a Computerized Flight Plan be submitted or can we simply submit the revalidation sheet 8c listing the aircraft? | Offerors shall submit Performance Data Sheets 81, 82, 83 with a Computerized Flight Plan. This is required even if the offered COMBI aircraft are already accepted in the CRAF program. |
