Section C – Description/Specifications/Statement of Work
C.1 Scope of Work
The scope of this order is to provide PUMA Block II classroom and/or Computer Based Training (CBT) and flight evolutions for eight members to obtain a certification for operating a PUMA Block II System as per the Statement of Work (SOW), Attachment #1.
C.2 Personnel Qualifications and Workmanship
Unless quality requirements are specifically provided in this order, the quality of all services rendered hereunder shall conform to the highest standards in the relevant profession, trade, or field of endeavor. All services shall be rendered by individuals fully qualified in the relevant profession, trade or field and holding any licenses required by law.

F.1 Period of Performance
The period of performance of this purchase order is from March 20, 2016 through March 25, 2016.
F.2. Place of Performance
Training will be performed at the Army National Guard, Camp Edwards facility located in Buzzards Bay, MA 02542.
Section G- Contract Administration Data
G.1 Contractual Authority and Communications
(a) The Contracting Officer is the only person authorized to approve changes to any of the requirements of this contract and, notwithstanding provisions contained elsewhere in this contract, the contractual authority remains solely the Contracting Officer’s.
(b) In no event will any understanding, agreement, modification, change order, or other matter deviating from the terms of this contract between the Contractor and any other person be effective or binding on the Government. The Contractor shall not comply with any order, direction or request of Government personnel unless it is issued in writing and signed by the Contracting Officer, or is pursuant to specific authority otherwise included as a part of this contract.
(c) Except as specified in paragraph (b) above, no order, statement, or conduct of any Government personnel who visit the Contractor's facilities or in any other manner communicate with Contractor personnel during the performance of this contract shall constitute a change under the Changes clause of this contract. If, in the opinion of the Contractor, an effort outside the existing scope of this contract is requested, the Contractor shall promptly notify the Contracting Officer of this contract in writing. No action shall be taken by the Contractor unless the Contracting Officer has issued a formal modification. In the event the Contractor effects any change at the direction of any person other than the Contracting Officer for this contract, the change will be considered to have been made without authority and no cost adjustment will be made to this contract to cover an increase in charges incurred as a result thereof.
(d) The Government reserves the right to administratively transfer authority over this contract from the individual named below to another Contracting Officer at any time.

G.2 Contracting Officer’s Representative (COR) Appointment
(a) Contracting Officer’s Representative (COR). The Contracting Officer hereby appoints a COR for this contract.
The COR is responsible for the specific functions identified in the COR Appointment Letter. The COR does not have the authority to make new assignments of work or to issue directions that cause an increase or decrease to the cost of this contract or otherwise affect any other contract terms. Unless otherwise specified in this contract all references to “days” are defined as “calendar” days.

Section I – Contract Clauses
52.204-7 System for Award Management. (Jul 2013)
(a) Definitions. As used in this provision—
“Data Universal Numbering System (DUNS) number” means the 9-digit number assigned by Dun and Bradstreet, Inc. (D&B) to identify unique business entities.
“Data Universal Numbering System +4 (DUNS+4) number” means the DUNS number assigned by D&B plus a 4-character suffix that may be assigned by a business concern. (D&B has no affiliation with this 4-character suffix.)
This 4-character suffix may be assigned at the discretion of the business concern to establish additional System for Award Management records for identifying alternative Electronic Funds Transfer (EFT) accounts (see the FAR at subpart 32.11) for the same concern.

“Registered in the System for Award Management (SAM) database” means that—
(1) The offeror has entered all mandatory information, including the DUNS number or the DUNS+4 number, the Contractor and Government Entity (CAGE) code, as well as data required by the Federal Funding Accountability and Transparency Act of 2006 (see subpart 4.14) into the SAM database;
(2) The offeror has completed the Core, Assertions, and Representations and Certifications, and Points of Contact sections of the registration in the SAM database;
(3) The Government has validated all mandatory data fields, to include validation of the Taxpayer Identification Number (TIN) with the Internal Revenue Service (IRS). The offeror will be required to provide consent for TIN validation to the Government as a part of the SAM registration process; and
(4) The Government has marked the record “Active”.
(b)(1) By submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance, and through final payment of any contract, basic agreement, basic ordering agreement, or blanket purchasing agreement resulting from this solicitation.
(2) The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “DUNS” or “DUNS +4” followed by the DUNS or DUNS +4 number that identifies the offeror’s name and address exactly as stated in the offer. The DUNS number will be used by the Contracting Officer to verify that the offeror is registered in the SAM database.
(c) If the offeror does not have a DUNS number, it should contact Dun and Bradstreet directly to obtain one.
(1) An offeror may obtain a DUNS number—
(i) Via the Internet at http://fedgov.dnb.com/webform or if the offeror does not have internet access, it may call Dun and Bradstreet at 1-866-705-5711 if located within the United States; or
(ii) If located outside the United States, by contacting the local Dun and Bradstreet office. The offeror should indicate that it is an offeror for a U.S. Government contract when contacting the local Dun and Bradstreet office.
(2) The offeror should be prepared to provide the following information:
(i) Company legal business.
(ii) Tradestyle, doing business, or other name by which your entity is commonly recognized.
(iii) Company Physical Street Address, City, State, and ZIP Code.
(iv) Company Mailing Address, City, State and ZIP Code (if separate from physical).
(v) Company Telephone Number.
(vi) Date the company was started.
(vii) Number of employees at your location.
(viii) Chief executive officer/key manager.
(ix) Line of business (industry).
(x) Company Headquarters name and address (reporting relationship within your entity).
(d) If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror.

(e) Processing time, which normally takes 48 hours, should be taken into consideration when registering. Offerors who are not registered should consider applying for registration immediately upon receipt of this solicitation.

(d) Inspection/Acceptance. The Contractor shall tender for acceptance only those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. The Government must exercise its postacceptance rights—
(1) Within a reasonable period of time after the defect was discovered or should have been discovered; and
(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.
(e) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence, such as acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence.

(f) Termination for the Government's convenience. The Government reserves the right to terminate this contract, or any part hereof, for its sole convenience. In the event of such termination, the Contractor shall immediately stop all work hereunder and shall immediately cause any and all of its suppliers and subcontractors to cease work. Subject to the terms of this contract, the Contractor shall be paid a percentage of the contract price reflecting the percentage of the work performed prior to the notice of termination, plus reasonable charges that the Contractor can demonstrate to the satisfaction of the Government, using its standard record keeping system, have resulted from the termination.
The Contractor shall not be required to comply with the cost accounting standards or contract cost principles for this purpose. This paragraph does not give the Government any right to audit the Contractor’s records. The Contractor shall not be paid for any work performed or costs incurred that reasonably could have been avoided.
(g) Termination for cause. The Government may terminate this contract, or any part hereof, for cause in the event of any default by the Contractor, or if the Contractor fails to comply with any contract terms and conditions, or fails to provide the Government, upon request, with adequate assurances of future performance. In the event of termination for cause, the Government shall not be liable to the Contractor for any amount for supplies or services not accepted, and the Contractor shall be liable to the Government for any and all rights and remedies provided by law. If it is determined that the Government improperly terminated this contract for default, such termination shall be deemed a termination for convenience.
(h) Warranty. The Contractor warrants and implies that the items delivered hereunder are merchantable and fit for use for the particular purpose described in this contract.

Section L - Instructions, Conditions, and Notices to Offerors or Respondents
L.1 General Instructions for Quotation
A quote shall consist of a technical proposal, the completed RFQ documents, and a price. Offerors are required to submit a copy of their Technical Proposal and completed RFQ documents to Joseph.M.Case@uscg.mil.
Technical Proposal - The offeror shall provide information and documentation in sufficient detail to clearly identify their overall qualifications as they pertain to the Statement of Work (SOW) requirements. The Technical Proposal shall not contain pricing information. The Technical Proposal is limited to eight (8) Pages.
The offeror shall demonstrate their capability to provide the services required by the SOW by providing the following.
1. Evidence of the instructor’s Master Trainer qualification to include a record of total PUMA flight hours that must exceed 100 hours.
2. A syllabus for your proposed course that meets the requirements in Section 2 of the SOW. The syllabus shall contain a listing of topics, day number of training (e.g. Day 3), hours of instruction and whether the instruction is computer based, classroom, flight or combination. An example to illustrate the required information is provided below:

3. Evidence of commitment to provide PUMA Block II Systems sufficient to conduct the required flight training in paragraph 2.2 of the SOW. The evidence shall include the intended numbers of PUMA’s provided for training, strategy to ensure they are available for the entire flight training period and if the contractor does not own the systems, a quote for use of those systems from the manufacturer.
Section M – Evaluation Factors for Award
M.1 Basis for Award – Lowest Price Technically Acceptable
Evaluation Factors for Award - It is the Government's intent to make an award based upon initial offers without entering into discussions. Award will be made to the responsive and responsible offeror who offers a technically acceptable proposal at the lowest cost to the Government.
While it is the Government's intent to make award based upon initial offers, the Government may, nevertheless, determine during the evaluation period that it is necessary to conduct discussions.
M.2 Technical Evaluation
To be technically acceptable, the contractors offer shall demonstrate
• A qualified Master Flight instructor with over 100 hours of documented PUMA flight time;
• A syllabus that covers all of the required course topics from Section 2 of the SOW and will result in PUMA
Block II flight qualification;
• Sufficient PUMA Block II aircraft will be available for eight students to complete the flight training portion of the course described in SOW paragraph 2.2.
The Government intends to evaluate proposals and award a purchase order based on the initial offer as stated in the provision entitled, FAR 52.215-1(f)(4)), Instructions to Offerors - Competitive Acquisition. It is particularly important that each offeror be fully responsive in providing their best offer, since there may be no opportunity to revise proposals at a later date.
M.3 Adequate Price Competition
DHS policy requires that pricing for competitive negotiations should be based on adequate price competition. The Government expects adequate price competition for this acquisition. However, in the event only one responsible offer is obtained as a result of this solicitation, that Offeror may, at the request of the Contracting Officer, be required to submit either Certified Cost or Pricing Data (FAR 15.403-4) or Data Other Than Certified Cost or Pricing Data (FAR 15.403-3) to support price negotiations.
