ADDITIONAL TERMS AND CONDITIONS

1.1 Contractor Personnel.

1.1.1 Project Manager. The Contractor shall provide a Project Manager who shall be responsible for all Contractor work performed under this contract. The Project Manager is further designated as Key by the Government (see also 1.2).

1.1.1.1 The Project Manager shall be a single point of contact for the Contracting Officer (KO) and the COR. It is anticipated that the Project Manager shall be one of the senior level employees provided by the Contractor for this work effort. The name of the Project Manager, and the name of any alternates who shall act for the Contractor in the absence of the Project

Manager, shall be provided to the Government as part of the Contractor's proposal.

During any absence of the Project Manager, only one alternate shall have full authority to act for the Contractor on all matters relating to work performed under this contract. The Project

Manager and all designated alternates shall be able to read, write, speak and understand English.

Additionally, the Contractor shall not replace the Project Manager without prior acknowledgement from the Contracting Officer.

1.1.1.2 The Project Manager or designee shall be available to the KO and COR via telephone during normal business hours, and shall respond to a request for discussion or resolution of technical problems within twenty-four (24) hours of notification.

1.1.2 Qualified Personnel. The Contractor shall provide qualified personnel to perform all requirements specified in this contract. All employees supporting this contract shall be citizens or legal residents of the United States. Contractor personnel shall have experience with the

USCG BWM program; marine science and environmental science; database management and development; and data analysis and statistics, program and financial management, or a relevant combination of these and other relevant skills and knowledge.

1.1.3 Employee Identification. Contractor employees visiting Government facilities shall wear an identification badge that, at minimum, displays the Contractor name, the employee’s photo, name, clearance-level and badge expiration date. Visiting Contractor employees shall comply with all Government escort rules and requirements. All Contractor employees shall identify themselves as Contractors when their status is not readily apparent and display all identification and visitor badges in plain view above the waist at all times.

1.1.4 Employee Conduct. The Project Manager shall ensure Contractor employees are aware of, understand, and abide by established USCG rules, regulations, and safety and work practices.

1.1.4.1 Removing Employees for Misconduct or Security Reasons. The Government may, at its sole discretion, direct the Contractor to remove any Contractor employee from USCG facilities for misconduct or security reasons. Removal does not relieve the Contractor of the responsibility to continue providing the services required under any task order awarded. The

Contracting Officer will provide the Contractor with a written explanation to support any request to remove an employee.

1.1.5 Conflict of Interest. The Contractor shall not employ any person who is an employee of the U.S. Government if that employment would, or would appear to cause a conflict of interest.

1.2 KEY PERSONNEL. Before replacing any individual designated as Key by the

Government, the Contractor shall notify the Contracting Officer no less than 15 business days in advance, submit written justification for replacement, and provide the name and qualifications of any proposed substitute(s). All proposed substitutes shall possess qualifications equal to or superior to those of the Key person being replaced. The Contractor shall not replace Key

Contractor personnel without acknowledgment from the Contracting Officer. The Government may designate additional Contractor personnel as Key at the time of award.

1.3 SECURITY. All support positions under this contract are classified as non-critical.

However, Contractor personnel will have access to privacy information and shall maintain the privacy and integrity of all such data in accordance with (IAW) the Privacy Act (5 USC 522a) and all applicable USCG and DHS rules and regulations.

1.4 PERIOD OF PERFORMANCE. The period of performance for this contract is twelve

(12) months from the date of award, plus one (1) 12-month option period.

1.5 PLACE OF PERFORMANCE. The primary place of performance will be the

Contractor’s facilities with visits to USCG Headquarters Building at St. Elizabeth’s

2703 Martin Luther King Jr. Ave SE, Washington, DC 20593 - as needed.

1.6 HOURS OF OPERATION. Contractor employees shall generally perform work between the hours of 0900 and 1700 Eastern Time (ET), Monday through Friday (except Federal holidays). However, there may be occasions when Contractor employees shall be required to work other than normal business hours, including weekends and holidays, to fulfill requirements under this contract.

1.7 TRAVEL. Contractor travel beyond the minimum local commuting area of 50 miles from the primary place of performance will be required under some tasks. The Government will not reimburse the Contractor for travel to their primary place of performance. All travel required by the Government outside the local commuting area(s) will be reimbursed to the Contractor in accordance with FAR 31.205-46. The Contractor shall ensure that the cost of all anticipated travel is included in the firm-fixed-price proposed for each Contract Line Item Number (CLIN) in the schedule. Travel will not be reimbursed as a separate cost on the Contractor’s invoice.

1.7.1 Travel Locations. For planning purposes, the Contractor shall attend an initial Post-Award

Conference at the USCG Headquarters Building and as requested, quarterly or monthly planning meetings at either the USCG Headquarters Building or the Contractor’s facility, as specified by the COR. Meetings may also be held by teleconference. Travel for Task 2.4 will be required in the base and option year to sample one bay per year, to include San Francisco Bay, Tampa Bay, or Chesapeake Bay.

1.8 GENERAL REPORT REQUIREMENTS. The Contractor shall provide all written reports in electronic format with read/write capability using applications that are compatible with

USCG Standard Workstation III (Windows Vista and Microsoft Office Applications).

1.9 INTELLECTUAL PROPERTY. All documentation, photography and electronic data and information collected by the Contractor and entered into or generated in support of this contract shall be considered Government property, and shall be returned to the Government at the end of the contract. All courses and materials developed under this contract shall be the property of the

USCG, including all intellectual property developed by the Contractor or provided by the

Government in meeting the requirements of the contract.

1.10 PROTECTION OF INFORMATION. Contractor access to information protected under the Privacy Act may be required under this contract. Contractor employees shall safeguard this information against unauthorized disclosure or dissemination IAW the law and Government policy and regulation.

1.11 SECTION 508 COMPLIANCE. Section 508 of the Rehabilitation Act (29 U.S.C. 794d), as amended by the Workforce Investment Act of 1998 (P.L. 105-220), August 7, 1998, requires that when Federal agencies develop, procure, maintain, or use electronic and information technology, they must ensure that it is accessible to people with disabilities, unless it would pose an undue burden to do so. Federal employees and members of the public who have disabilities must have access to and use of information and services that is comparable to the access and use available to non-disabled Federal employees and members of the public.
